CITY OF OSHKOSH
Amended Initial Resolution for Revenue Bonds
(ChurchField Life Care Project)
WHEREAS, the City of Oshkosh, Wisconsin ("municipality")
passed an initial resolution January 21, 1982 AND WIIICH WAS
APPROVED BY THE City Manager on the same date; providing for the
issuance of up to $8,500,000.00 of principal amount in Bonds to
finance the Project, a copy of said resolution is attached hereto
and made a part hereof, described as Exhibit A, and
WHEREAS, the site-on which said Project was originally to be
built has become unavailable to ChurchField Development Company,
an Illinois partnership, its affiliates, assignees or joint
ventures (the "Company") and '
WHEREAS, as the Company wishes to proceed with the
development of the project on an alternative site, hereafter the
("New Site") described in Exhibit B attached hereto and made a
part hereof.
NOW THEREFORE, BE IT RESOLVED:
All terms, conditions, statements and covenants of the
Initial Resolution are hereby confirmed from the date of its
adoption, except and with the following amendment:
a) The Diunicipality declares the new site of the project
"blighted" as defined in the "Act!', which site is legally
described in Exhibit B attached hereto and hereby authorizes the
City Attorney, if necessary, to take such steps and commence
legal proceedings to consummate the "blighting" of said new site �
Municipality when complete, no further acts or proceedings are
necessary to "blight" said site to allow for the proper issuing
of the Bonds herein described.
b) The Municipality hereby acknowledges and agrees to the
transfer of the site of the Project from that Detailed in Exhibit
A of the Initial Resolution to that described hereby in Exhibit.
c) All other terms of the initial resolution shall remain
in full force and effect and unmodified except where in conflict
with subparagraph a and b above.`
2. The City Clerk is directed to:
a) Publish notice of adoption of this resolution as a
Class 1 Notice under Chapter 985 Wisconsin Statutes, in a
newspaper eligible to make such publication for the
Municipality in substantially the form of this resolution.
b) File with the Secretary of Development of the State of
Wisconsin a copy of this resolution and a copy of the Notice of
Adoption within ten days following publication of the notice,

Legal description of new Project Site
A parcel of land in Government Lot 1, Fractional Sect. 23,
T18N, R16E, 16th Ward, City`of Oshkosh, Winnebago County,
Wisconsin, being described as follows:
Commencing at the intersection of the centerline of Campbell
Rd. and the south line of said Government Lot 1, thence west
along the south Tine of Government Lot 1 to a point 560.9' east of
the southwest corner of said Lot 1, thence north parallel with
the west line of Government Lot 1 to the centerline of Campbell
Road, thence Southeasterly along the centerline of Campbell
Road to the point of beginning.
Generally loeated directly north of C�mpbell Creek and west
of Campbell Road. �
