Praska Deputy City Attorney Oshkosh, WI 54903-1130 • April24, 2019 1 e...9 DECLARATION OF MUNICIPAL UTILITY EASEMENTS RECITALS 1. EFFECTIVE DATE. This Declaration is made this a5day of April, 2019, by the City of Oshkosh, a Wisconsin Municipal Corporation(the City or Declarant), but is intended to describe and clarify easements created in Certified Survey Map 7469, as recorded on April 11, 2019, as more fully described herein. 2. PROPERTY. The Declarant is the owner of real property(individually, "Lot,"and collectively, "Property") legally described below and identified within Exhibit A, which is attached hereto and incorporated into this Easement. As used in this Declaration, "Property Owner" shall mean the owner or owners of the Property, including parts thereof, which currently is the Declarant, but is intended to be owned in the future by others. Lots 1, 2, and 3 of Certified Survey Map Number 7469, located in the City of Oshkosh, Winnebago County, Wisconsin, and recorded with the Winnebago County Register of Deeds on April 11, 2019, in Volume 1, Page 7469, as Document Number 1786959. 3. CONVEYANCE. The Property is within and part of the City's Southwest Industrial Park. The SW Industrial Park is a defined area within the City's municipal boundaries. The Declarant intends to convey or cause to be conveyed all or part of the Property to others for the purpose of industrial development, with such conveyances subject to certain easements, covenants, conditions, restrictions, and reservations of record as well as those included in each individual conveyance. 4. DECLARATION. The Municipal Utility Easements have been previously identified within the aforementioned CSM Number 7469 which divided the Property owned by Declarant. The purpose of this Declaration is to clarify the intent and terms of the Municipal Utility Easements identified within CSM Number 7469. The Declarant hereby declares that, upon the execution and recording of this Declaration, all of the Property described herein and identified in Exhibit A shall be held,transferred, sold conveyed, and occupied subject to the terms of the Municipal Utility Easements as described in this Declaration. 5. COMMON PURPOSE. The Declarant hereby states and affirms that the purpose of the Municipal Utility Easements is to enhance and facilitate the installation and operation of municipal utilities and facilities to serve industrial development of the SW Industrial Park and surrounding areas. The Municipal Utility Easements shall attach to and run with the Property as part of a general plan of the SW Industrial Park and shall be binding upon all parties having or acquiring any right, title or interest in the Property, or any part thereof, and shall inure to the benefit of the Declarant for the purpose of providing utilities and facilities benefiting the SW Industrial Park and surrounding area. April 24, 2019 2 EASEMENT 6. EASEMENT. The Declarant City of Oshkosh, herein declares, establishes, and reserves for Declarant's benefit, Municipal Utility Easements over under and through the Easement Property described herein for all necessary municipal utilities and any lawful municipal function of the Declarant, subject to the terms and conditions described in this Declaration of Municipal Utility Easements. a. The Municipal Utility Easements subject to this Declaration are identified on and within CSM 7469, attached as Exhibit A, as Easement Areas one (1) through seven(7) for the purposes of establishing and operating Municipal Utilities and other municipal facilities. b. The municipal utility and facility uses allowed are intended to be interpreted broadly in favor of necessary and lawful uses of the Declarant that are undertaken at the discretion of the Declarant. The allowed uses include, without limitation, municipal drainage and storm,water distribution, sanitary sewer, electrical, and transportation facilities, along with all other lawful uses as determined by the Declarant from time to time. c. Municipal utilities and municipal facilities may be installed and operated on the surface, above ground, and/or below ground at the Declarant's discretion. d. Allowed uses include surveying, inspection, construction, operation, repair, replacement, and maintenance of municipal utilities and other municipal facilities. 7. EASEMENT PROPERTY. The Public Utility Easement shall be over, under, and through certain real property (collectively, Easement Property) described in CSM 7469. The Municipal Utility Easement referred to singularly in this Declaration shall include multiple Easement areas, specifically those identified as Easement Areas one (1)through seven (7) within the Certified Survey Map attached as Exhibit A. The Municipal Utility Easement areas are described as follows: See Exhibit B, attached and fully incorporated into this Easement 8. ACCESS RIGHTS. Declarant shall have the right to access and use the Easement Properties for all purposes described or referenced in this Declaration. 9. USE FOR MUNICIPAL UTILITY AND PUBLIC FACILITY PURPOSES. The Declarant shall be allowed to use the Municipal Utility Easements for all lawful municipal purposes. a. The Easement Property is intended to be used for municipal utility and facility purposes. Use is subject to easements and covenants of record, as well as the terms of this Declaration. b. The Declarant shall have the right to access, survey, lay, construct, use, operate, maintain, repair, replace, relocate, and/or remove municipal utilities and municipal facilities. April24, 2019 3 c. These Easements are limited to municipal utility and other lawful municipal purposes as distinguished from the use by other public utilities as that term is defined by law. General public utility easements within the SW Industrial Park are separately identified on CSM 7469 and will be described through a separate document. 10. MAINTENANCE. Declarant shall be responsible for maintenance, repair, and replacement of its municipal utilities and municipal facilities that are located over, under, or on the Easement Property. The Property Owner shall be responsible for the general and routine maintenance of the surface of the Easement Property. Declarant is also responsible for the maintenance and repair of the surface of the Easement Property to the extent it is affected by Declarant's use of the Easement Property. The Declarant shall return the surface of the Easement Property to a condition substantially similar to the condition at the beginning of the Declarant's activity. This includes repairing or replacing any allowed improvement as described in this Declaration nor as allowed by law. In cases of restoration of grass, the disturbed area shall be graded and seeded, and repair erosion or other damages to the extent such damage results from the Declarant's use of the Easement Property. Surface drainage facilities, if present, shall be maintained by Property Owner(s). It is the responsibility of Property Owner(s)to inquire and confirm details regarding required maintenance of the Easement Property. 11. INTERFERENCE WITH EASEMENT. Property Owner shall not interfere with, obstruct, or impede the Declarant's full and lawful use of the Easement Property. a. Except as otherwise explicitly allowed in this document, prohibited obstructions include buildings, fencing, poles, landscaping other than grass,or similar objects. Obstructions that are not otherwise specifically allowed, may be allowed with the written permission of the Declarant. Declarant has no obligation to approve requested obstructions. b. Improvements such as driveways, drive aisles, and sidewalks may be placed in the Easement Property by Property Owner, or tenant, or other designee of the Property Owner. However, while such obstructions may be allowed, the Property Owner is responsible for the costs of returning the obstruction to its materially similar condition when the Declarant needs to disrupt those obstructions to access its municipal utilities and facilities. c. Except in cases of an emergency, the Property Owner shall be given thirty (30) days written notice to remove the prohibited obstruction. In the event the Property Owner fails to remove the prohibited obstruction within the allowed time,then Declarant may remove and dispose of the object or obstruction at the Property Owner's expense. In the case of removal, there shall be no compensation or reimbursement related to the value of the prohibited obstruction that was removed. April24, 2019 4 d. Emergencies include the presence of objects or obstructions that adversely affect, or that the Declarant reasonably believes will adversely affect,the safe operation of the municipal service. Emergencies may also include obstructions which prevent Declarant from fully accessing the Easement Property for repairs that are necessary to ensure the continued safe use or operation of the Declarant's facilities. e. Property Owner shall not change, alter, or disturb the surface of the Easement Property if it is used for storm water drainage. In all other instances, the Property Owner shall not change, alter, or disturb more than the top six (6) inches of the surface, or any of the subsurface of the Easement Property without explicit written permission from authorized representatives of the Declarant. 12. RAIL CROSSINGS. The Municipal Utility Easements are located within the City's SW Industrial Park. As part of the current and future development of the SW Industrial Park, certain rail tracks, including lead tracks, spurs, and related facilities, will be constructed across the surface of one or more of the Easement Properties for the purpose of facilitating and providing freight rail service to industry within the SW Industrial Park. a. The crossings may be within and otherwise authorized by a separate Railroad Easement that is also identified on CSM 7469, along with the Railroad Easement Property identified as Easement Area 14, attached as Exhibit C, with specific conditions for using the Railroad Easement through separate documents recorded after and subject to this Declaration. b. Rail crossings crossing the Easement Property shall be considered an appropriate use of the Easement Property surface provided Declarant is provided advance notice of the crossing and approves of the same, the railroad retains responsibility for Declarant's additional costs associated with the crossing, and the rail crossing remains in full compliance with the terms of this Declaration. c. Owner and operator of the rail crossing within the Municipal Utility Easement shall be responsible for all additional costs for installing, maintaining, repairing, replacing, and operating Declarant's municipal utilities and municipal facilities within the Easement Property. This responsibility applies to those municipal utilities and facilities existing prior to the installation of the rail crossing, and also those installed after the rail crossing is constructed. d. The rail crossing owner and operator—whether railroad, rail-related entities, and/or industry - shall be responsible the cost of installation and future maintenance of casings and/or other support or preventative support facilities necessary to protect the Declarant's facilities as well as maintaining appropriate underground and other support for the rail to ensure the safe operation of both the municipal utilities and facilities, and the railroad. e. It is intended that the word"responsible" shall mean all construction and maintenance-related costs and all liabilities. Responsibilities for construction and maintenance-related costs will generally be calculated as the difference between April24, 2019 5 the Declarant's estimated costs that would be incurred without the presence of the railroad tracks and the Declarant's actual additional costs incurred because of the presence of the railroad crossing. Liability responsibilities shall be those costs and damages resulting from the operation of the railroad. 13. USE OF EASEMENT BY OTHERS. The Declarant may temporarily assign the rights identified herein to any contractor,third party, or other assignee that will be performing work on behalf of the Declarant within Easement Property which the Declarant would otherwise be allowed to undertake. Declarant shall take reasonable steps to ensure that the other party retains sufficient competence and gives adequate assurances that any work to be performed in or around the Easement Property shall be conducted in a skillful manner, and that the Property Owner's interest in the Easement Property shall be protected to the same extent as if the Declarant was itself performing the construction and maintenance. 14. DEFAULT. If either Property Owner or Declarant reasonably believes that the terms of this Declaration of Municipal Utility Easements have been breached by the other, then written notification of the alleged breach shall be delivered to the other party. Any party in breach shall have thirty (30) days to cure any actual breach. However, Declarant may immediately remove any object or material which it believes creates any safety issue and/or interferes with the design and use of the municipal utilities or municipal facilities within the Easement Property. 15. TERM. The Municipal Utility Easements are being granted in perpetuity for public purposes and uses of the current and future municipal utility systems and all other municipal facilities without regard to the Declarant's use of the Easement Property at any particular time. All rights,title and privileges herein granted, including benefits and burdens, shall run with the land and shall be binding upon and inure to the benefit and burden of the Declarant, Property Owner(s), their respective heirs, executors, administrators, successors, assigns, and legal representatives. 16. WAIVER. No delay or omission in exercising any right or power arising out of any default or breach under any of the terms or conditions of this Declaration of Municipal Utility Easements shall be construed as a waiver of the right or power to enforce any term or related term in the future. An explicit written waiver by one party of any obligations of the other party shall not be construed to be a waiver of any other terms or conditions of this Declaration of Municipal Utility Easements. 17. INVALIDITY. If any term, condition, or part of this Declaration of Municipal Utility Easements shall be invalid or unenforceable,the remainder of this Declaration shall not be affected and each remaining term and condition shall be valid and enforceable to the fullest extent permitted by law. 18. NO THIRD PARTY BENEFICIARY. It is the intention of the Declarant that no parties other than the Declarant and the Property Owner(s) will acquire any rights, to enforce or benefit from, through the specific terms of this Declaration of Municipal Utility Easements and therefore there shall be no third-party beneficiaries to this Declaration. April24, 2019 6 19. MUNICIPAL LIABILITY. Nothing in this Declaration of Municipal Utility Easement is intended as a waiver of the Declarant municipality's right or opportunity to rely upon the municipal limitations and immunities contained within Wisconsin law. Municipal immunities and limitations include, but are not limited to, Sections 345.05, 893.80, and 893.83, Wisconsin Statutes. Such damage limits, caps and immunities are intended to be preserved and are incorporated into this Declaration of Municipal Utility Easement and shall govern all disputes, contractual or otherwise, as they apply to the municipality and its agents, officers, and employees. 20. GOVERNING LAW. This Declaration of Municipal Utility Easements shall be construed and enforced in accordance with the laws of the State of Wisconsin. Venue for any action regarding this Declaration of Easement shall be the Winnebago County, Wisconsin, Circuit Court or, if a federal court action,then the appropriate district and/or branch within which Winnebago County is located. 21. NOTICES. Any notices to the Declarant required by this Declaration of Municipal Utility Easement shall be in writing and delivered via certified mail, return receipt requested, as follows. Changes to these addresses, shall be in writing. In addition to formal notification, all parties agree to take reasonable measures inquire about benefits and burdens related to the Easement Property, and to keep others with interests in the Easement Property reasonably informed of issues or questions. The Declarant affirms that all necessary boards and elected officials have approved the acceptance of this Declaration of Municipal Utility Easements, and that the undersigned have the authority to sign this Declaration of Municipal Utility 23. INTERPRETATION. This Declaration should be read and interpreted as a whole. Each paragraph shall be incorporate and be interpreted consistently with other paragraphs. Recitals are included in and made part of the terms of this Declaration. 24. AMENDMENTS. Municipal Utility Easements may be amended and modified by the Declarant prior to the sale of any Property within which the Easement Property is located, or upon written agreement between the Declarant and subsequent Property Owner(s). 25. NO MERGER: It is necessary that the Municipal Utility Easement benefits and burdens described in this Declaration remain in effect to ensure efficient continuity of service of municipal utility customers and those utilizing other municipal facilities. There shall be no merger of any Easement interests with the title or other interests of any other of the real property interests described herein.
