Praska Deputy City Attorney Oshkosh, WI 54903-1130 April 24, 2019 1 DECLARATION OF RAILROAD EASEMENT RECITALS 1. EFFECTIVE DATE. This Declaration is made this a 5 day of April, 2019, by the City of Oshkosh, a Wisconsin Municipal Corporation(the City or Declarant), but is intended to describe and clarify easements created in Certified Survey Map 7469, as recorded on April 11, 2019, as more fully described herein. 2. PROPERTY. The Declarant is the owner of real property(individually, "Lot,"and collectively, "Property") legally described below and identified within Exhibit A, which is attached hereto and incorporated into this Easement. As used in this Declaration, "Property Owner" shall mean the owner or owners of the Property, including parts thereof, which currently is the Declarant, but is intended to be owned in the future by others. Lots 1, 2, and 3 of Certified Survey Map Number 7469, located in the City of Oshkosh, Winnebago County, Wisconsin, and recorded with the Winnebago County Register of Deeds on April 11, 2019, in Volume 1, Page 7469, as Document Number 1786959. 3. CONVEYANCE. The Property is within and part of the City's Southwest Industrial Park, which is a defined area within the City's municipal boundaries created and developed by the Declarant to enhance the development and operation of industry within the City of Oshkosh. The Declarant has acquired and is expected to acquire additional property that will thereafter added to and included within the SW Industrial Park boundaries. The Declarant intends to convey or cause to be conveyed all or part of said Property to private parties for industrial development, subject to certain easements, covenants, conditions, restrictions,reservations, and charges currently of record, as well as set forth herein and potentially the subject of specific conditions as set forth in each individual conveyance. 4. DECLARATION. The Declarant hereby declares that, upon the execution and recording of this Declaration, all of the Property described herein and identified in Exhibit A shall, upon such recording, be held, transferred, sold conveyed, and occupied subject to this Railroad Easement and its terms as described in this Declaration. 5. COMMON PURPOSE. The Declarant hereby states and affirms that the purpose of this Railroad Easement is for enhancing and protecting the value, desirability, and attractiveness of the development, operation, and profitability of the SW Industrial Park and surrounding industrial areas, both present and future. Therefore, this Railroad Easement shall attach to and run with the Property as part of a general plan of development and shall be binding upon all subsequent Property Owners having or acquiring any right,title or interest in the described Property, or any part thereof, and shall inure to the benefit of the Declarant and to each owner of the SW Industrial Park, together with their grantees, successors,heirs, executors, administrators, devisees, or assigns. April 24, 2019 2 6. CITY CONTROL. Although the SW Industrial Park Property is intended to generally benefit from the Railroad Easement,the City shall control and operate the use of the Railroad Easement for the purpose of ensuring the uniform operation and benefit of railroad activities within the current SW Industrial Park as well as ensuring that future expansions of the SW Industrial Park and surrounding areas will also benefit from freight rail service provided through this Railroad Easement. EASEMENT 7. EASEMENT. The Declarant City of Oshkosh, its successors and assigns, herein declares, establishes, and reserves a Railroad Easement over under and through the Easement Property described herein. The Railroad Easement shall benefit the Declarant by providing common facilities to enhance the development of the SW Industrial Park as developed by the Declarant. The Railroad Easement will provide industries within the SW Industrial Park with access to freight rail services and will be subject to the terms and conditions described in this Declaration of Railroad Easement. a. The Easement Property subject to this Declaration is identified on and within CSM 7469, attached as Exhibit A, as Railroad Easement Areas eight(8) and nine (9), along with the Railroad Easement Property identified as Easement Area 14, attached as part of Exhibit B. b. Allowed uses of the Railroad Easement include surveying, inspection, construction, repair, replacement, and maintenance of railroad facilities, as well as the operation of all necessary railroad services and activities. c. The Easement Property will be allowed to be graded for the purpose of ensuring that drainage is appropriate or desirable, as determined by Declarant at its discretion,to protect and enhance the structure and use of the tracks. d. The allowed use of the Easement Property for the purposes described herein includes the construction, repair, and maintenance of the main line track, as well as railroad spur tracks and associated facilities which will necessarily be placed over, under, and upon certain parts of the Easement Property to connect the industry with the lead track. e. Spur tracks and the associated facilities for the spur tracks shall not be allowed as a right pursuant to this Declaration of Easement, but may be allowed access to the lead track through rail spur facilities provided the proposed industry complies with all requirements of the Declarant and/or rail operator and are subject to any agreements allowing access. f. In no case will a business or industry benefitting from the location of a rail spur result in the transformation of access to an easement or other property right, or any contractual right that would result in any rights superior to the rights and benefits of the Declarant, or their designee, or of rail operator using this Railroad Easement. April 24, 2019 3 8. EASEMENT PROPERTY. This Railroad Easement shall be over, under, and through certain real property(`Easement Property") described as follows: See Exhibit B, attached and fully incorporated into this Easement 9. ACCESS RIGHTS. Declarant shall have the right to access and use the Easement Property for all purposes related to rail service to the present and future SW Industrial Park. 10. USE FOR RAILROAD PURPOSES. The Declarant will use or cause the Easement Property to be used for Railroad purposes, including construction and operation of a lead track and appurtenances of the lead track. The Easement Property will necessarily be used, in part, for rail spurs and their appurtenances necessary to attach to the lead track serving property within the current and future SW Industrial Park and surrounding area. The Declarant shall have the right to access, survey, lay, construct, use, operate, maintain, repair, replace, relocate, and/or remove Railroad tracks, appurtenances, and related facilities. Declarant shall be allowed to operate the rail tracks, as a regulated industry, according to all required Federal, State, and local rules and regulations, without regard to specific terms within this Declaration. 11. ASSIGNMENT OF EASEMENT RIGHTS. The Declarant retains the railroad easement rights for the purpose of encouraging and facilitating the development and on-going operation of the SW Industrial Park as developed and expanded by the Declarant. In order to carry out this purpose,the Declarant shall be allowed to assign, delegate,transfer, or otherwise contractually allow other entities to undertake and exercise the Easement rights benefitting and obligating the Declarant as described in this Declaration of Railroad Easement. Such assignment, delegation, transfer, or otherwise contractually allowance shall be at the Declarant's sole discretion and may be undertaken by any lawful means or methods necessary to carry out the intended purpose and use of the Railroad Easement. Such assignments, delegations, or transfers of Easement rights and obligations shall not require the consent or approval of Property Owners. However, such agreement or documents, or memorandums of such agreements or documents, shall be recorded with the Winnebago County Register of Deeds to provide notice of such assignment, delegation, or transfer of rights. The Declarant reserves the right to permanently assign to others all rights contained in this Declaration without the consent or approval of any subsequent Property Owner. 12. MAINTENANCE. Declarant shall be responsible for maintenance, repair, and replacement of rail and rail-related improvements within the Easement Property. Declarant is also responsible for grading and seeding the remaining surface of the Easement Property, as well as the on-going normal and routine maintenance and repair of the remaining surface of the Easement Property. In the event certain areas of the Easement Property are subject to access, boundary, or setback limitations for railroads as determined by Federal, State, or local laws,then Declarant may post appropriate signage within the Easement Property and will be responsible for maintenance of those areas. Declarant shall also regrade and/or repair erosion or other damages resulting from Declarant's use of the Easement Property. April 24, 2019 4 13. INTERFERENCE WITH EASEMENT. Property Owner,their heirs, agents,tenants, or assigns, shall not interfere in any way with or obstruct the Declarant's lawful use of the Easement Property. Prohibited obstructions include buildings, structures, or other objects or improvements within the Easement Property. Declarant may remove objects or obstructions within the Easement Property at its sole discretion, and shall be entitled to reimbursement from the affected Property Owner for such actions. The Property Owner shall not be entitled to compensation or reimbursement based on the removal of objects or obstructions within the Easement Property. The safety and stability of the Railroad, including the tracks and related facilities, is of paramount importance and therefore a Property Owner shall not change or alter the surface or subsurface of the Easement Property without explicit written permission from the Declarant. Property Owner shall promptly remove any objects, materials, or structures which interfere with, obstruct, or impede the Declarant's access and/or use of the Railroad Easement Property. If Property Owner fails to remove these objects, materials, or obstructions within thirty (30) days after written notice from Declarant, Declarant shall have the authority to remove them at Property Owner's expense. In the event of an emergency, which includes the presence of any actual or potential safety hazard,the Declarant shall have the right and sole authority to remove any obstruction on and within the Easement Property without notice to the Property Owner in the event of an emergency or actual or potential safety hazard. Property Owner shall be responsible for the cost of removing such obstruction. 14. RAIL CROSSINGS. This Easement Property does not include or cross any existing, new, or planned public streets and rights-of-way, although lead tracks and spurs serving the SW Industrial Park will have to cross rights-of-way. Any rail crossings of public rights-of-way will be subject to review and approval by any applicable federal, state, and/or local governing body. All requests for private vehicular crossings over this Railroad Easement, such as driveways or other forms if ingress and egress, shall be subject to approval by the Declarant, along with all required Federal, state, and/or local approval process if applicable. The aforementioned agreements and/or governing body approval are intended to address the apportionment of costs associated with the particular crossing. Requests for underground private or public utility crossings of the Easement Property must be approved by the Declarant. Public utilities and private property owners seeking to install private utilities underground below the rail track and facilities must receive written permission from Declarant before undertaking any work on, over, or below the Easement Property. The public utility and/or private property owner will be responsible for all costs related to the requests. Included within the costs may be required support structures, casings, and specific installation techniques that will assist or ensure the safe operation of the rail system. 15. EXPANSION. It is the Declarant's intention to expand the SW Industrial Park beyond its current boundaries. Declarant further intends to include efforts to expand rail service to newly created SW Industrial Park boundaries, as well as other property that may wish to use the rail within the Easement Property by direct access or to pass through in order to enable and enhance industrial development. In all cases, expanded usage of the Easement Property due to rail expansions into other areas shall be considered allowed use of the Easement Property. The allowed use of the April24, 2019 5 Easement Property described in this Declaration shall be interpreted broadly to maximize the utilization of the Declarant's development of the SW Industrial Park and other areas, as well as the investment in rail facilities within the Easement Property. 16. USE OF EASEMENT BY OTHERS. The Declarant may temporarily assign the access rights identified herein to any contractor, third party, or other assignee that will be performing work on the Easement Property which the Declarant would otherwise be allowed to undertake. Declarant shall take reasonable steps to ensure that the other party retains sufficient competence and gives adequate assurances that any work to be performed in or around the Easement Property shall be conducted in a skillful manner, and that the Property Owner's interest in the Easement Property shall be protected to the same extent as if the Declarant was itself performing the construction and maintenance. 17. DEFAULT. If either a Property Owner or Declarant reasonably believes that the terms of this Declaration of Easement have been breached by the other,then written notification of the alleged breach shall be delivered to the other party. Any party in breach shall have sixty (60) days to cure any actual breach. However,Declarant may immediately remove any object or material which it believes creates any safety issue and/or materially interferes with the design, operation, and/or safety of the rail facilities within the Easement Property. 18. TERM. This Railroad Easement is being granted in perpetuity for purposes and uses serving the current and future SW Industrial Park without regard to the Declarant's use of the Easement at any particular time. All rights, title and privileges herein granted, including benefits and burdens, shall run with the land and shall be binding upon the Property Owners and inure to the benefit of the Declarant, their respective heirs, executors, administrators, successors, agents, assigns, and legal representatives. 19. WAIVER.No delay or omission by a person in taking any action related to this Declaration of Railroad Easement or exercising any right or power arising out of any default or breach under any of the terms or conditions of this Declaration of Railroad Easement shall be construed as a waiver of the right or power. An explicit written waiver by one party of any obligations of the other party shall not be construed to be a waiver of any other terms or conditions of this Declaration of Railroad Easement. 20. INVALIDITY. If any term, condition, or part of this Declaration of Railroad Easement shall be determined to be invalid or unenforceable by a court of competent jurisdiction, the remainder of this Declaration shall not be affected and each remaining term and condition shall be valid and enforceable to the fullest extent permitted by law. 21. NO THIRD PARTY BENEFICIARY. While the intent and purpose of this Declaration of Easement is to generally make freight rail service to industry within the current and future SW Industrial Park, the specific terms of this Declaration of Easement are for the benefit of the Declarant in its efforts to develop the City of Oshkosh's Southwest Industrial Park. It is not the intention of the Declarant that April24, 2019 6 other parties acquire any rights or benefits through the terms of this Declaration of Railroad Easement. 22. MUNICIPAL LIABILITY. Nothing in this Declaration of Railroad Easement is intended as a waiver of the Declarant municipality's right or opportunity to rely upon the municipal limitations and immunities contained within Wisconsin law. Municipal immunities and limitations include, but are not limited to, Sections 345.05, 893.80, and 893.83, Wisconsin Statutes. Such damage limits, caps and immunities are intended to be preserved and are incorporated into this Declaration of Easement and shall govern all disputes, contractual or otherwise, as they apply to the municipality and its agents, officers, and employees. 23. GOVERNING LAW. This Declaration of Easement shall be construed and enforced in accordance with the laws of the State of Wisconsin. Venue for any action regarding this Declaration of Easement shall be the Winnebago County, Wisconsin, Circuit Court or, if a federal court action, then the appropriate district and/or branch within which Winnebago County is located. 24. NOTICES. Any notices to the Declarant required by this Declaration of Railroad Easement shall be in writing and delivered via certified mail, return receipt requested, as follows. Notice to a Property Owner shall be to that Property Owner's last known address. Changes to these addresses, shall be in writing. In addition to formal notification, both parties agree to take reasonable measures to keep the other party informed of issues or questions regarding the Easement Property. The Declarant affirms that all necessary boards and elected officials have approved the acceptance of this Declaration of Easement, and that the undersigned have the authority to sign this Declaration of Railroad Easement on behalf of the Declarant. Declarant's written consent will be required before any additional easement(s), use(s), or privilege(s) of the Easement Property is granted to third parties, and Declarant shall have no obligation to approve such additional easements. 26. INTERPRETATION. This Declaration should be read and interpreted as a whole. Each paragraph shall be incorporate and be interpreted consistently with other paragraphs. Recitals are included in and made part of the terms of this Declaration. The terms, conditions, and covenants of his Declaration of Railroad Easement shall run with the land and be binding upon and inure to the benefit of the owners of the parcels within the Southwest Industrial Park, including all successors,transferees and assigns. 27. NO MERGER: It is necessary that the Railroad Easement benefits and burdens described in this Declaration remain in effect in their totality to ensure functioning and continuity of freight rail service within and around the SW Industrial Park, and April 24, 2019 7 also to ensure the proper and ongoing construction, maintenance, and use of the lead track, spurs, and related rail facilities. Lawful uses described in this Declaration shall retain its priority over subsequent encumbrances and uses of the Easement Property. The Railroad Easement rights created in this Declaration shall continue until explicitly terminated by the Declarant, regardless of common ownership or unity of title. There shall be no merger of any Easement Rights with the title or other interests of any other of the real property interests described herein. 28. NO DEDICATION: It is not intended for this Declaration of Railroad Easement to act as, infer, or result in the dedication of the Easement Property as a public right-of- way. 29. AMENDMENTS. This Declaration may be amended and modified based upon the continued development of the Southwest Industrial Park, both current and future boundaries, as well as based upon changes in local, state, or federal laws. All Property Owners agree to approve and sign all amendments proposed by the Declarant, or their designee, that may be necessary or desirable to facilitate the Industrial Park use, development and/or expansion. Approvals and signatures shall not be unreasonably withheld. This Declaration may also be modified or amended for other reasons upon the written consent of all Property Owners and the Declarant and the amendments promptly recorded with the Winnebago County Register of Deeds.
