Praska Deputy City Attorney Oshkosh, WI 54903-1130 April 24, 2019 1 2‘1C-#1 DECLARATION OF PUBLIC UTILITY EASEMENT RECITALS 1. EFFECTIVE DATE. This Declaration is made this A6 day of April, 2019, by the City of Oshkosh, a Wisconsin Municipal Corporation(the City or Declarant),but is intended to describe and clarify easements created in Certified Survey Map 7469, as recorded on April 11, 2019, as more fully described herein. 2. PROPERTY. The Declarant is the owner of real property (individually, "Lot,"and collectively, "Property") legally described below and identified within Exhibit A, which is attached hereto and incorporated into this Declaration. As used in this Declaration, "Property Owner" shall mean the owner or owners of the Property, which currently is the Declarant, but may be owned by others in the future. Lots 1, 2, and 3 of Certified Survey Map Number 7469, located in the City of Oshkosh, Winnebago County, Wisconsin, and recorded with the Winnebago County Register of Deeds on April 11, 2019, in Volume 1, Page 7469, as Document Number 1786959. 3. CONVEYANCE. The Property is within and part of the City's Southwest Industrial Park. The SW Industrial Park is a defined area within the City's municipal boundaries. The Declarant intends to convey or cause to be conveyed all or part of the Property to others for the purpose of industrial development, with such conveyances subject to certain easements, covenants, conditions, restrictions, and reservations of record as well as included in each individual conveyance. 4. DECLARATION. The Public Utility Easements have been previously identified within the aforementioned CSM Number 7469 which divided the Property owned by Declarant. The purpose of this Declaration is to clarify the intent and terms of the Public Utility Easements identified within CSM Number 7469. The Declarant hereby declares that, upon the execution and recording of this Declaration, all of the Property described herein and identified in Exhibit A shall be held,transferred, sold conveyed, and occupied subject to all easements of record including the terms of this non- exclusive Public Utility Easement. 5. COMMON PURPOSE. The Declarant states and affirms that the purpose of the Public Utility Easement is to enhance and facilitate the installation and operation of public utilities to serve industrial development within the Southwest Industrial Park and surrounding areas. This Public Utility Easement shall be attached to and run with the Property as part of a general plan of SW Industrial Park and shall be binding upon all parties having or acquiring any right, title or interest in the Property, or any part thereof, and shall inure to the benefit of the public utilities for the purpose of providing facilities benefiting the SW Industrial Park and surrounding area. April 24, 2019 2 EASEMENT 6. EASEMENT. The Declarant City of Oshkosh, its successors and assigns, herein declares, establishes, and reserves for benefit of public utilities, an non-exclusive Public Utility Easement over under and through the Easement Property described herein for public utility purposes, subject to the easements and encumbrances of record, as well as the terms and conditions described in this Declaration of Public Utility Easement. Allowed uses include surveying, inspection, construction, operation, repair, replacement, and maintenance of public utilities. 7. EASEMENT PROPERTY. The non-exclusive Public Utility Easement shall be over, under, and through certain real property(collectively, Easement Property) described in CSM 7469. The Public Utility Easement referred to singularly in this Declaration shall include multiple Easement areas, specifically those identified as Easement Areas ten(10)through thirteen (13) within the Certified Survey Map attached as Exhibit A. The Public Utility Easement areas are described as follows: See Exhibit B, attached and fully incorporated into this Easement 8. ACCESS RIGHTS. Public Utilities shall have the right to access and use the Easement Property for all purposes described or referenced in this Declaration. 9. USE FOR PUBLIC UTILITY PURPOSES. Public Utilities shall be allowed to use the Public Utility Easement for all lawful public utility purposes. a. The Easement Property is intended to be used for public utility purposes. Use is subject to easements and covenants of record, as well as the terms of this Declaration. b. Public utilities shall have the right to access, survey, lay, construct, use, operate, maintain, repair, replace, relocate, and/or remove public utilities and public facilities. c. As clarification of the priority of use, in those situations where the Easement Property crosses or overlaps with Municipal/City Utility Easement Property and/or public right-of-way, the use of the Municipal/City Utility Easements and public rights-of-way shall have priority of use, including size and location of facilities within the Easement or right-of-way. This designation of priority is not intended to necessarily limit use by public utilities, but to apportion costs for such use. d. The Easement Property is not intended to include utilities and facilities of the City of Oshkosh, except as those utilities and facilities may cross or otherwise interact with the Easement Property through separate Municipal Utility Easements, public rights-of-way, or other lawful uses by the City of Oshkosh. 10. MAINTENANCE. Public utilities shall be responsible for maintenance, repair, and replacement of their respective public utilities and facilities within the Easement Property. The Property Owner shall be responsible for the general and routine April 24, 2019 3 maintenance of the surface of the Easement Property. Each public utility is also • responsible for the maintenance and repair of the surface of the Easement Property to the extent it is affected by the public utility's use of the Easement Property. The public utility shall return the surface of the Easement Property to a condition substantially similar to the condition at the beginning of the public utility activity. This includes repairing or replacing any allowed improvement as described in this Declaration or as allowed by law. In cases of restoration of grass, the disturbed area shall be regraded and seeded, and repair erosion or other damages to the extent such damage results from the public utility's use of the Easement Property. 11. INTERFERENCE WITH EASEMENT. Property Owner shall not interfere with, obstruct, or impede the public utility's full and lawful use of the Easement Property. a. Excepting uses allowed pursuant to other easements and documents of record, prohibited obstructions include buildings, fences, poles, or similar objects. Obstructions that are not otherwise allowed, may be allowed with the written permission of those using the Easement Property. b. Improvements such as driveways, drive aisles, sidewalks, and railroad crossings may be placed in the Easement Property by the Property Owner, or tenant or other designee of the Property Owner. c. In addition to other obligations described in this Declaration,the surface of Easement Area thirteen(13) will have certain improvements related to a transload facility. There is, or is planned, certain hard surfaces for drive aisles related to the transload facility. All of these improvements for the transload facility shall be allowed provided the improvements do not interfere with the safe provision of utility services through the Easement Property. Similarly, allowed uses of the Public Utility Easement Property for railroad purposes are more fully described within easements and documents of record, as well as this Easement document. d. Except in cases of an emergency, the Property Owner shall be given thirty (30) days written notice to remove the prohibited obstruction. In the event the Property Owner fails to remove the prohibited obstruction within the allowed time,then the public utility may remove and dispose of the obstruction at the Property Owner's expense. In the case of removal, there shall be no compensation or reimbursement related to the value of the prohibited obstruction that was removed. e. Emergencies include the presence of objects or obstructions that adversely affect, or that the public utility reasonably believes will adversely affect, the safe operation of the utility service. Emergencies may also include obstructions which prevent the public utility from fully accessing the Easement Property for repairs that are necessary to ensure the continued safe operation of the utility service. April 24, 2019 4 f. Property Owner shall not change, alter, or disturb the surface of the Easement Property if it is used for storm water drainage. In all other instances, the Property Owner shall not change, alter, or disturb more than the top six (6) inches of the surface, or any of the subsurface of the Easement Property without explicit written permission from authorized representatives of the Declarant. 12. RAIL CROSSINGS. This Public Utility Easement is located within the City's Southwest Industrial Park. As part of the current and future development of the SW Industrial Park, certain rail tracks will be constructed through separate Railroad Easements that will cross the surface of the Public Utility Easement Property. This Public Utility Easement shall be subject to Railroad, and other, easements of record prior to this document. Furthermore, these rail crossings, whether currently planned or extensions of those currently planned, shall be considered an appropriate and allowed uses of the Easement Property surface.. The public utilities shall be responsible, at their own expense, for accommodating additional or alternative construction, repair, replacement, or maintenance activities that are or will be required as a result of the presence of the rail track. Public utilities shall be entitled to safely operate their facilities through the rail crossing in a manner that also allows safe and consistent rail use. Public utilities are responsible for becoming familiar with the present and future rail plans and schedule for the construction and operation of the railroad tracks. Public utility obligations in this regard apply all situations involving a railroad crossing, even in those cases where the public utility facilities are constructed before the railroad track is constructed. 13. USE OF EASEMENT BY OTHERS. The public utility may temporarily assign the access rights identified herein to any contractor, third party, or other assignee that will be performing work on the Easement Property which the public utility would otherwise be allowed to undertake. Public utility shall take reasonable steps to ensure that the other party retains sufficient competence and gives adequate assurances that any work to be performed in or around the Easement Property shall be conducted in a skillful manner, and that the Property Owner's interest in the Easement Property shall be protected to the same extent as if the public utility was itself performing the construction and maintenance. 14. DEFAULT. If either a Property Owner or a public utility reasonably believes that the terms of this Declaration of Public Utility Easement have been breached by the other, then written notification of the alleged breach shall be delivered to the other party. Any party in breach shall have thirty (30) days to cure any actual breach. However, the public utility may immediately remove any object or material which it believes creates any safety issue and/or interferes with the design and use of the public utilities within the Easement Property. 15. TERM. This easement is being granted in perpetuity for purposes and uses of the current and future public utility systems and all other public facilities without regard to the public utility's use of the Easement at any particular time. All rights, title and privileges herein granted, including benefits and burdens, shall run with the land and shall be binding upon and inure to the benefit of the public utility,their respective heirs, executors, administrators, successors, assigns, and legal representatives. April 24, 2019 5 16. WAIVER. No delay or omission by a person related to this Declaration of Public • Utility Easement in exercising any right or power arising out of any default or breach under any of the terms or conditions of this Public Utility Easement shall be construed as a waiver of the right or power. An explicit written waiver by one party of any obligations of the other party shall not be construed to be a waiver of any other terms or conditions of this Declaration of Public Utility Easement. 17. INVALIDITY. If any term, condition, or part of this Declaration of Public Utility Easement shall be invalid or unenforceable, the remainder of this Declaration shall not be affected and each remaining term and condition shall be valid and enforceable to the fullest extent permitted by law. 18. NO THIRD PARTY BENEFICIARY. It is the intention of the Declarant that no parties other than the public utilities and the Property Owner(s) will acquire any rights,to enforce or benefit from, through the specific terms of this Declaration of Public Utility Easement and therefore there shall be no third-party beneficiaries to this Declaration. 19. MUNICIPAL LIABILITY.Nothing in this Declaration of Public Utility Easement is intended as a waiver of the Declarant municipality's right or opportunity to rely upon the municipal limitations and immunities contained within Wisconsin law. Municipal immunities and limitations include, but are not limited to, Sections 345.05, 893.80, and 893.83, Wisconsin Statutes. Such damage limits, caps and immunities are intended to be preserved and are incorporated into this Declaration of Public Utility Easement and shall govern all disputes, contractual or otherwise, as they apply to the municipality and its agents, officers, and employees. 20. GOVERNING LAW. This Declaration of Public Utility Easement shall be construed and enforced in accordance with the laws of the State of Wisconsin. Venue for any action regarding this Declaration of Easement shall be the Winnebago County, Wisconsin, Circuit Court or, if a federal court action, then the appropriate district and/or branch within which Winnebago County is located. 21. NOTICES. Any notices related to this Declaration of Public Utility Easement shall be in writing and delivered via certified mail,return receipt requested, to the last known address of the public utility and of the Property Owner. Changes to these addresses, shall be in writing. In addition to formal notification, both parties agree to take reasonable measures to keep the other party informed of issues or questions regarding the Easement Property. 22. AUTHORITY. The Declarant affirms that all necessary boards and elected officials have approved the acceptance of this Declaration of Public Utility Easement, and that the undersigned have the authority to sign this Declaration of Public Utility Easement on behalf of the Declarant. 23. INTERPRETATION. This Declaration should be read and interpreted as a whole. Each paragraph shall be incorporate and be interpreted consistently with other paragraphs. Recitals are included in and made part of the terms of this Declaration. April 24, 2019 6 24. NO MERGER: It is necessary that the Public Utility Easement benefits and burdens described in this Declaration remain in effect to ensure the efficient continuity of service of public utility customers. There shall be no merger of any Easement interests with the title or other interests of any other of the real property interests described herein.
