� ORIGINAL T , 13L1 ZZ of Oshkosh CONTRACTOR AGREEMENT: CUSTODIAL NEEDS FOR THE CITY OF OSHKOSH PARKS DEPT—POLLOCK POOL THIS AGREEMENT,made on the 23RD day of JANUARY 23,2019,by and between the CITY OF OSHKOSH, party of the first part,hereinafter referred to as CITY, and SERVICEMASTER BUILDING MAINTENANCE, hereinafter referred to as the CONTRACTOR, WITNESSETH: That the City and the Contractor,for the consideration hereinafter named,enter into the following agreement. The Contractor's proposal is attached hereto and reflects the agreement of the parties except where it conflicts with this agreement, in which case this agreement shall prevail. ARTICLE I. COMPONENT PARTS OF THE CONTRACT This contract consists of the following component parts, all of which are as fully a part of this contract as if herein set out verbatim, or if not attached, as if hereto attached: 1. Contractor's Proposal In the event that any provision in any of the above component parts of this contract conflicts with any provision in any other of the component parts, the provision in the component part first enumerated above shall govern over any other component part which follows it numerically except as may be otherwise specifically stated. ARTICLE II. PROJECT MANAGER A. Assignment of Project Manager. The Contractor shall assign the following individual to manage the project described in this contract: (HEATHER AUMAN, SERVICEMASTER BUILDING MAINTENANCE,PROJECT MANAGER) B. Changes in Project Manager. The City shall have the right to approve or disapprove of any proposed change from the individual named above as Project Manager.The City shall be provided with a resume or other information for any proposed substitute and shall be given the opportunity to interview that person prior to any proposed change. ARTICLE III. CITY REPRESENTATIVE City Hall,215 Church Avenue P.O.Box 1 130 Oshkosh,WI 54903-1130 http://www.ci.oshkosh.wi.us The City shall assign the following individual to manage the project described in this contract: (CHAD DALLMAN,CITY OF OSHKOSH ASSISTANT DIRECTOR,PARKS DEPT) ARTICLE IV. SCOPE OF WORK The Contractor shall provide the services described in the City's (INVITATION FOR BID OR REQUEST FOR QUOTATION) for the Project titled "CUSTODIAL NEEDS —POLLOCK POOL dated JANUARY 21,2019 and the contractor's bid form and materials attached as Exhibit A.If anything in the Bid Form conflicts with the Bid Specifications, the provisions in the Bid Specifications shall govern. The Contractor may provide additional products and/or services if such products/services are requested in writing by the Authorized Representative of the City. ARTICLE V. CITY RESPONSIBLITIES The City shall furnish, at the Contractor's request, such information as is needed by the Contractor to aid in the progress of the project, providing it is reasonably obtainable from City records. To prevent any unreasonable delay in the Contractor's work the City will examine all reports and other documents and will make any authorizations necessary to proceed with work within a reasonable time period. ARTICLE VI. TIME OF COMPLETION The work to be performed under this contract shall be completed by no later than END OF THE POOL SEASON 2019 OR: The work to be performed under this contract shall be completed DURING THE 2019 POOL SEASON of the purchase order issued for this project. Any changes to this completion date must be agreed upon by both parties in writing. ARTICLE VII. PAYMENT A. The Contract Sum. The City shall pay to the Contractor for the performance of the contract the sum of$9,000.00 adjusted by any changes hereafter mutually agreed upon in writing by the parties hereto. Fee schedules shall be firm for the duration of this Agreement. B. Method of Payment. The Contractor shall submit itemized monthly statements for services. The City shall pay the Contractor within 30 calendar days after receipt of such statement. If any statement amount is disputed, the City may withhold payment of such amount and shall provide to Contractor a statement as to the reason(s) for withholding payment. C. Additional Costs. Costs for additional services shall be negotiated and set forth in a written amendment to this agreement executed by both parties prior to proceeding with the work covered under the subject amendment. ARTICLE WII. CONTRACTOR TO HOLD CITY HARMLESS The Contractor covenants and agrees to protect and hold the City of Oshkosh harmless against all actions, claims and demands of any kind or character whatsoever which may in any way be caused by or result from the intentional or negligent acts of the Contractor,his agents or assigns,his employees or his subcontractors related however remotely to the performance of this Contract or be caused or result from any violation of any law or administrative regulation, and shall indemnify or refund to the City all sums including court costs, attorney fees and punitive damages which the City may be obliged or ad- judged to pay on any such claims or demands within thirty (30) days of the date of the City's written demand for indemnification or refund. ARTICLE IX. INSURANCE The Contractor shall provide insurance for this project that includes the City of Oshkosh as an additional insured. The contractor's certificate of insurance for this project is attached as Exhibit B. ARTICLE X. TERMINATION A. For Cause. If the Contractor shall fail to fulfill in timely and proper manner any of the obligations under this Agreement, the City shall have the right to terminate this Agreement by written notice to the Contractor. In this event, the Contractor shall be entitled to compensation for any satisfactory, usable work completed. B. For Convenience. The City may terminate this contract at any time by giving written notice to the Contractor no later than 10 calendar days before the termination date. If the City terminates under this paragraph, then the - Contractor shall be entitled to compensation for any satisfactory work performed to the date of termination. This document and any specified attachments contain all terms and conditions of the Agreement and any alteration thereto shall be invalid unless made in writing, signed by both parties and incorporated as an amendment to this Agreement. We utilize a variety of sources for finding and recruiting staff members, as outlined below. Recruiting Sources In addition to traditional recruiting sources—employee referrals, classified newspaper advertising and local recruitment agencies—ServiceMaster Building Maintenance will evaluate and promote current employees to positions of higher responsibility to fulfill our staffing requirements. By promoting from within, ServiceMaster Building Maintenance is able to maintain core staff of highly trained, experienced and responsive cleaning professionals. We also use job services, Craigslist and the Wisconsin JobNet to recruit employees. Staff Selection The staff selection process includes several activities to ensure that the best possible candidates are chosen: • Telephone interviews will be conducted to determine the applicant's attitude regarding honesty, drug avoidance,job commitment, safety and work values. • Face-to-face interviews will be conducted with those candidates that pass the telephone screening to verify the prospective employee's application information,provide him/her with the job description,to verify his/her ability to perform the job functions described and to provide him/her with a chance to ask questions. • Background checks,including a criminal history search, social security verification and address tracing are performed on all candidates who receive an offer of employment. We use several services that provide these checks. • All employees are subject to random,reasonable cause and post-accident drug screening. ServiceMaster Building Maintenance Proposal for City of Oshkosh Pollock Pool 1.21.2019 ServiceMaster Building Maintenance cleans various United States government agencies through property management companies. Some of these agencies are the FBI,IRS,DEA,FDA,FDIC,U.S. Trustees,U.S.Attorneys,Department of Homeland Security and others. Quality Assurance Nighttime Supervision ServiceMaster will dedicate an Area Supervisor to Pollock Community Water Park to oversee services performed throughout the facility. This supervisor would perform cleaning tasks and would check each area on a regular basis to ensure that the cleaning is completed and that the standards set forth in the proposal and cleaning specifications are being met at all times. Client Service Representative These staff primarily works.day shift hours meeting with contacts designated by you. They will tour the facility on a monthly basis, more if needed. Perform awareness inspections. They will communicate requests and concerns from your staff to the proper ServiceMaster operations staff. They will respond immediately to calls and emails insuring customer satisfaction. They are the prime conduit and communication tools between you and ServiceMaster operations. The Client Service Representatives carry smart phones to speed the communications accessibility. ExpressTime Automated Professional Timekeeping System ServiceMaster Building Maintenance utilizes the ExpressTime Timekeeping System,which provides an accurate, dependable means of tracking each employee's time and location using a dedicated clock in/clock out call monitoring system that works 24/7. Times are recorded and we are able to view data per building and generate reports for any combination of building and employee information to extract the desired information. We are able to record and leave messages for each one of our employees that must be checked in order to clock in or out. A series of alerts are set up for the Supervisors and Production Management and pages are sent for no shows, late arrivals and/or early leavers. This helps insure quality customer service by making sure our people are where they are supposed to be when they are supposed to be and no building is missed. Back-Up Plan ServiceMaster Building Maintenance utilizes the ExpressTime Timekeeping System as a tool to assure that a facility never goes unclean. As described above, a series of alerts are set up for the Supervisors and Production Management and pages are sent for no shows, late arrivals and/or early leavers. This helps insure quality customer service by making sure our people are where they are supposed to be when they are supposed to be and no building is missed. In addition, several members of the ServiceMaster team are trained at each facility we service and will provide back-up cleaning in the absence of the regular scheduled cleaner. Back-up staff includes other cleaners, supervisors,project technicians and office staff that are all familiar with your unique facility needs. ServiceMaster is dedicated to servicing our customers day and night and work diligently to see that cleaning is completed as scheduled. ServiceMaster Building Maintenance Proposal for City of Oshkosh Pollock Pool 1.21.2019 Monthly Planning Calendar ServiceMaster has processes in place to assure that services to be performed monthly or on a regularly scheduled, yet less frequent basis are completed consistently and thoroughly. Upon beginning service in a new facility, each crew receives a Monthly Planning Calendar, which illustrates when less frequent tasks—dusting blinds or completely cleaning partition glass, for example—are to be completed. In larger facilities, our Client Services Staff maintains a schedule of these items so that project technicians can be scheduled during the appropriate months to complete this work. Having these items regularly scheduled immediately upon beginning service helps to eliminate confusion as to when these tasks are to be done. Communication Log Book Communication log books are kept at each facility we service and are used as a form of direct communication between facility staff and cleaning staff. Small requests can be written in the communication log book by facility staff and will be immediately addressed by our cleaning staff at the next regularly scheduled service. Other uses for the log book range from inventory of disposable products and compliments. ServiceMaster staff is required to check the log book each night, sign in and respond to any questions or concerns. Walkthroughs Client Service Staff perform regular walkthroughs during the daytime hours of facilities. The purpose of the walkthroughs is to allow for another set of eyes to check cleaning and follow up on any issues that need addressing. These walkthroughs are reviewed with cleaners during the next cleaning shift by the Area Manager. ServiceMaster Building Maintenance Proposal for City of Oshkosh Pollock Pool 1.21.2019 The P.A.C.T. Inspection Program was developed as a Six Sigma project in order to improve the janitorial services that ServiceMaster provides. ServiceMaster Building Maintenance was one of five franchises selected to work with the Home Office to develop a system that improves the way that facilities are inspected. This system also communicates those inspection results to employees, management staff and, most importantly,to our clients. ,` , , Plan ServiceMaster has developed a standardized inspection form that makes it easy for the E.inspector,to check the condition of the facility on a regularly scheduled basis. AAct Buildings are inspected on schedule and inspections are turned in to ServiceMaster management. Upon reviewing the inspections, we act quickly to address any issues. Communicate Inspection results are communicated to the employees within 24 hours. A recap of the inspection detailing what was found, what has been corrected, and other special items you will need to know will be sent to you, the client. TTrack The results of the inspections are monitored and tracked to ensure that our high quality of service is maintained. d - $ e k „ Confidentiality ServiceMaster is aware that, as we provide service to our customers,there are items in customers' facilities that contain information about their business. ServiceMaster employees are not to move,touch,read, copy or in any other way use this information. All of this information is confidential and is to be treated as such by ServiceMaster personnel. Anything seen or heard while working in the clients' facilities that relates to their business, employees, or patients is confidential and is not to be discussed with anyone at any time....unless it is a security concern and then must be brought to the attention of ServiceMaster management. We respect our clients' information at all times. Misconduct of any kind by anyone (whether a ServiceMaster employee or another person)must be reported to the ServiceMaster office immediately. Similarly, information that you see or is provided to you in the performance of your job with ServiceMaster is proprietary and confidential (contract and building security information,task schedules, , personnel information,phone numbers,budgeted hours,etc.). This information is to remain confidential and is company property. Breaches of confidentiality will result in disciplinary action or termination of employment. Security Security Procedure and Policies ServiceMaster follows proper security procedures. ServiceMaster is entrusted with the keys and access cards for many facilities, including high security facilities throughout the area. It is our responsibility as a company and as employees of that company to be certain that these keys and access cards are kept secure and in control at all times. It is understood that ServiceMaster and its employees will comply with any and all building security measures. Access Cards and Keys ServiceMaster secures all supervisor keys assigned in a secured lock box. All keys are checked out as needed and checked back in each morning. A full key audit is completed on a regular basis.
