That Section 2-38(A) BID Board Membership and Terms is hereby amended to increase the membership by (3) members for a total of (13) members. SECTION 2. This Ordinance shall be in full force and effect on January 1, 2019 after its passage and publication. SECTION 3. Publication Notice. Please take notice that the City of Oshkosh enacted Ordinance #18 -XXX APPROVE AMENDMENT TO SECTION 2-38(A) BID BOARD MEMBERSHIP AND TERMS TO INCREASE MEMBERSHIP BY THREE MEMBERS on November 14, 2018. This ordinance increases BID Board Membership by three members. TO: Honorable Mayor and Members of the Common Council FROM: Jeffrey Nau Associate Planner DATE: October 18, 2018 RE: Approve Amendment to Section 2-38(A) BID Board Membership and Terms to increase membership from ten (10) regular members to thirteen (13) regular members BACKGROUND The BID Board is requesting a change to section 2-38 (BID Board) to increase regular member Board membership from ten (10) to thirteen (13) members. The Board feels they need to encourage more engagement from their constituents and hope increasing the number of Board Members will help achieve this. Wisconsin BID law requires a minimum of five board members with no maximum limitation. ANALYSIS In 2011 the Common Council approved an ordinance change to Section 2-38(A) which added two alternate members to the BID Board to help alleviate problems with the Board not having quorum at their regular meetings. Since then, one meeting had been canceled due to lack of quorum which was the morning after an ice storm. The Board discussed if increasing membership to 13 would create new quorum issues because quorum would increase from six to seven members. They concluded that it should not be a problem as attendance has been high in recent years due to the increased interest and activity in the downtown. The Board included the additional three regular positions in its 2019 Operating Plan. The BID Board hopes to have the ordinance amended in time for implementation of the 2019 Operating Plan. Several people have expressed interest in being appointed to the Board. It is planned that the BID will invite those who are interested to a regular meeting to observe its proceedings. Afterwards, the Board will forward recommendations to the Mayor for consideration of appointments. City Hall • 215 Church Avenue • P.O. RECOMMENDATION The BID Board approved their 2019 Operating Plan (with the proposed increase in membership) and Budget and an amendment of the BID Bylaws at its regular meeting on October 16, 2018.
