HomeMy WebLinkAboutEngineered Fluid Inc Ripple Avenue Pressure Regulating Valve Station 2018i5V5L AGREEMENT This AGREEMENT, made on the, day of 2018, by and between the CITY OF OSHKOSH, party of the first part, hereinafter referred to as CITY, and ENGINEERED FLUID, INC., 1221 North Elm Street, Centralia, IL 62801, party of the second part, hereinafter referred to as the SUPPLIER, WITNESSETH: The CITY and the SUPPLIER, for the consideration hereinafter named, enter into the following AGREEMENT for RIPPLE AVENUE PRESSURE REGULATING VALVE STATION. The SUPPLIER's Proposal is attached hereto and reflects the agreement of the parties, except where it conflicts with this Agreement, in which case this Agreement shall prevail. ARTICLE I. PROTECT MANAGER A. Assignment of Project Manager. The SUPPLIER shall assign the following individual to manage the PROJECT described in this AGREEMENT: Ryan Brinkman - Project Manager B. Changes in Project Manager. The CITY shall have the right to approve or disapprove of any proposed change from the individual named above as Project Manager. The CITY shall be provided with a resume or other information for any proposed substitute and shall be given the opportunity to interview that person prior to any proposed change. ARTICLE II. CITY REPRESENTATIVE The CITY shall assign the following individual to manage the PROJECT described in this AGREEMENT: Justin Gierach, P.E. - Civil Engineering Supervisor ARTICLE III. SCOPE OF WORK The SUPPLIER shall provide the products described in the SUPPLIER's Proposal. The CITY may make or approve changes within the general Scope of Services in this AGREEMENT. If such changes affect SUPPLIER's cost of or time required for providing the products, an equitable adjustment will be made through an amendment to this AGREEMENT. STANDARD OF CARE The standard of care applicable to SUPPLIER's services will be the degree of skill and diligence normally employed by professional suppliers or suppliers performing the same or similar services at the time said services are performed. SUPPLIER will re -perform any services not meeting this standard without additional compensation. ARTICLE V. CITY RESPONSIBILITIES The CITY shall furnish, at the SUPPLIER's request, such information as is needed by the SUPPLIER to aid in the progress of the PROJECT, providing it is reasonably obtainable from City records. To prevent any unreasonable delay in the SUPPLIER's work, the CITY will examine all reports and other documents and will make any authorizations necessary to proceed with work within a reasonable time period. ARTICLE VI. CITY'S INSURANCE The CITY will maintain property insurance on all pre-existing physical facilities associated in any way with the PROJECT. The CITY will provide (or have the construction contractor(s) provide) a Builders Risk All Risk insurance policy for the full replacement value of all project work including the value of all onsite CITY -furnished equipment and/or materials associated with SUPPLIER's services. Upon request, the CITY will provide SUPPLIER a copy of such policy. ARTICLE VII. TIME OF COMPLETION The work to be performed under this AGREEMENT shall be commenced and the work completed within the time limits as agreed upon in the SUPPLIER's Proposal. The SUPPLIER shall perform the services under this AGREEMENT with reasonable diligence and expediency consistent with sound professional practices. The CITY agrees the SUPPLIER is not responsible for damages arising directly or indirectly from any delays for causes beyond the SUPPLIER's control. For the purposes of this AGREEMENT, such causes include, but are not limited to, strikes or other labor disputes, severe weather disruptions or other natural disasters, failure of performance by the CITY, or discovery of any hazardous substances or differing site conditions. If the delays resulting from any such causes increase the time required by the SUPPLIER to perform its services in an orderly and efficient mariner, the SUPPLIER shall be entitled to an equitable adjustment in schedule. COMPONENT PARTS OF THE AGREEMENT This AGREEMENT consists of the following component parts, all of which are as fully a part of this AGREEMENT as if herein set out verbatim, or if not attached, as if hereto attached: 1. SUPPLIER's Proposal dated January 31, 2018 and attached hereto In the event any provision in any of the above component parts of this AGREEMENT conflicts with any provision in any other of the component parts, the provision in the component part first enumerated above shall govern over any other component part which follows it numerically except as may be otherwise specifically stated. ARTICLE IX. PAYMENT A. The Agreement Sum. Method of Payment. The SUPPLIER shall submit itemized monthly statements for services. The CITY shall pay the SUPPLIER within thirty (30) calendar days after receipt of such statement. If any statement amount is disputed, the CITY may withhold payment of such amount and shall provide to SUPPLIER a statement as to the reason(s) for withholding payment. C. Additional Costs. Costs for additional services shall be negotiated and set forth in a written amendment to this AGREEMENT executed by both parties prior to proceeding with the work covered under the subject amendment. HOLD HARMLESS The SUPPLIER covenants and agrees to protect and hold the City of Oshkosh harmless against all actions, claims, and demands of any kind or character whatsoever which may in any way be caused by or result from the intentional or negligent acts of the SUPPLIER, his/her agents or assigns, his/her employees, or his/her subcontractors related however remotely to the performance of this AGREEMENT or be caused or result from any violation of any law or administrative regulation, and shall indemnify or refund to the CITY all sums including court costs, attorney fees, and punitive damages which the CITY may be obliged or adjudged to pay on any such claims or demands within thirty (30) days of the date of the CITY's written demand for indemnification or refund. ARTICLE XI. INSURANCE The SUPPLIER agrees to abide by the attached City of Oshkosh Insurance Requirements. ARTICLE XII. TERMINATION A. For Cause. If the SUPPLIER shall fail to fulfill in timely and proper manner any of the obligations under this AGREEMENT, the CITY shall have the right to terminate this AGREEMENT by written notice to the SUPPLIER. In this event, the SUPPLIER shall be entitled to compensation for any satisfactory, usable work completed. B. For Convenience. The CITY may terminate this AGREEMENT at any time by giving written notice to the SUPPLIER no later than ten (10) calendar days before the termination date. If the CITY terminates under this paragraph, then the SUPPLIER shall be entitled to compensation for any satisfactory work performed to the date of termination. This document and any specified attachments contain all terms and conditions of the AGREEMENT and any alteration thereto shall be invalid unless made in writing, signed by both parties and incorporated as an amendment to this AGREEMENT. DEFINITIONS 1.1. Contract Documents: "CONTRACT" or "Contract Documents" shall include the PART 1 - AGREEMENT, PART 2 — GENERAL CONDITIONS, PART 3 — GENERAL REQUIREMENTS, PART 4 — PRESSURE REGULATING VALVE STATION SPECIFICATION, and PART 5 — SUPPLIER'S PROPOSAL, including subsequent Contract Amendments issued by the OWNER. These form the CONTRACT. 1.2. SUPPLIER: Shall be synonymous with Engineered Fluid, Inc., (EFI), 7045 N. Ionia Avenue, Chicago, IL 60645, Pressure Regulating Valve Station Supplier and Manufacturer. 1.3. Days: Unless otherwise specifically stated, the term "days" shall be understood to mean calendar days. 1.4. ENGINEER: CH2M HILL Engineers, Inc., (CH2M) located at 135 S. 84" Street, Suite 400, Milwaukee, WI 53214, Attention: Linda Mohr, P.E. 1.5. Execution of CONTRACT: Shall mean the signing of the CONTRACT by the authorized representatives of both OWNER and SUPPLIER (OWNER's signature date is the Notice to Proceed date). 1.6. OWNER's Installing Contractor (Contractor): The party under separate contract with OWNER who installs the Ripple Avenue Pressure Regulating Valve Station and associated site civil, electrical, and telemetry system work. 1.7. Manufacturer: Shall be synonymous with SUPPLIER. 1.8. OWNER: City of Oshkosh, Oshkosh, WI, its agents, officers, and employees, 215 Church Avenue, P.O. Box 1130, Oshkosh, WI 54903-1130. Attention: Justin Gierach, P.E. 1.9. Person -day: Person -day shall be eight (8) working hours (8 a.m. to 5 p.m.) in a twenty-four (24) hour period. 1.10. Pressure Regulating Valve (PRV) Station: Shall be synonymous with one (1) factory -built, factory -delivered, below -ground PRV station, in a steel welded capsule for installation in the City of Oshkosh drinking water distribution system. The PRV station shall be complete with all necessary internal piping, control valves, instruments, fittings, manual valves, supports, and any necessary appurtenances, as shown on the Reference Drawing and specified herein. Work: Shall include all equipment, materials and appurtenances, transport and delivery of equipment, and specified services necessary for the SUPPLIER to perform and complete the CONTRACT, including items not specifically indicated or described which are reasonably considered in good practice as belonging to the equipment specified. 2. CONTRACT DOCUMENTS 2.1. Discrepancies and Omissions: 2.1.1. Should anything which is necessary for a clear understanding of the Work be omitted from the Specifications, or should it appear that various instructions are in conflict, the SUPPLIER shall secure written instructions from ENGINEER before proceeding with the Work affected by such omissions or discrepancies. It is understood and agreed that the Work shall be performed according to the true intent of the Contract Documents. 2.1.2. It is understood and agreed that the written terms and provisions of the Contract Documents shall supersede all verbal statements of representatives of OWNER, and verbal statements shall not be effective or be construed as being a part of this CONTRACT. 3. INSPECTION/ACCEPTANCE 3.1. OWNER reserves the right to reject nonconforming material and equipment. OWNER shall have the option either to require SUPPLIER to promptly remove and replace rejected material and equipment at SUPPLIER's expense; or to cancel this order pursuant to PART 1— AGREEMENT, ARTICLE XII. TERMINATION, and require SUPPLIER to promptly remove rejected material and equipment at SUPPLIER's expense. 4. SUPPLIER 4.1. The relationship of SUPPLIER to OWNER shall be that of an independent contractor. SUPPLIER shall have no contractual relationship with the ENGINEER as a result of its Contract with OWNER. Nothing contained in this Contract shall create any contractual relation between any subcontractor of SUPPLIER and OWNER or ENGINEER. 5. MATERIALS AND EQUIPMENT 5.1. General: All materials and equipment furnished shall conform to applicable Specifications and shall be new, unused, and undamaged when installed or otherwise incorporated in OWNER'S project. No such material or equipment shall be used by SUPPLIER for any purpose other than that intended or specified, unless such use is specifically authorized by OWNER in each case. Codes, Laws, and Regulations: All material, equipment, and services provided hereunder shall comply with all applicable codes, laws, regulations, standards, ordinances, National Electrical Code, and UL listing mark or label requirements. All products or materials in direct contact with drinking water shall be of materials that comply with the maximum lead content standard in accordance with NSF/ANSI 61 and NSF/ANSI 371. 6. FIELD PERFORMANCE TESTING AND ACCEPTANCE 6.1. Operating equipment and systems will be functionally tested by the SUPPLIER in the presence of OWNER and ENGINEER to demonstrate compliance with the specified requirements. Performance testing will be conducted under the specified design operating conditions or under such simulated operating conditions as recommended or approved by ENGINEER. Upon a showing that the equipment meets said criteria, OWNER shall accept the equipment. 6.2. In the event of malfunction or failure to perform as specified, and it is determined that the equipment or system furnished under this CONTRACT is in nonconformance with the Contract Documents, SUPPLIER shall bear all cost for repair, replacement, and retesting to correct such non -conformity. 7. WARRANTY 7.1. All material and equipment supplied shall be warranted by SUPPLIER to OWNER as follows: 7.1.1. All Work, including mechanical and electrical components of new material and equipment, and/or packaged control systems which are furnished as components of the materials and equipment specified hereinafter, shall be warranted against defects in materials and workmanship for a period of one (1) year following acceptance of performance field testing by OWNER and ENGINEER. 7.1.2. SUPPLIER shall promptly make all repairs or replacements necessitated by defects in materials or workmanship that become evident within the warranty period. If SUPPLIER fails to perform its remedial obligations as set forth above, OWNER is hereby authorized to make the corrections or to order the Work to be done by a third party, and the cost of the corrections shall be paid by SUPPLIER. PW/DEN003/698776 PART 2 - GENERAL CONDITIONS JANUARY 17, 2018 SUPPLEMENT, PAGE - 3 RIPPLE AVENUE PRESSURE REGULATING VALVE STATION CITY OF OSHKOSH 8. RELATED SERVICES 8.1. Whenever SUPPLIER furnishes personnel for installation supervision, startup, testing, inspection, or maintenance (the Work), the following provisions shall apply, in addition to other applicable provisions of this order including compensation: 8.1.1. Representation by SUPPLIER: SUPPLIER represents that SUPPLIER, its agents, and employees, are qualified and competent to perform the Work and that all tools and equipment furnished by SUPPLIER in its performance of the Work are, and shall be, kept in good working order. 8.1.2. SUPPLIER's Responsibility: SUPPLIER asserts that the Work shall be performed in accordance with accepted standards and shall conform to the requirements of this CONTRACT. Any Work not so performed or not in conformity herewith shall be corrected by SUPPLIER where SUPPLIER is notified of such non-conformance within eighteen (18) months after completion of performance thereof. If such deficiencies are not promptly corrected, SUPPLIER shall pay the cost of repair for such defective services. These are the exclusive remedies for breach of warranty, provided, however, that if SUPPLIER fails to so remedy such non -conformity, OWNER may cause the same to be corrected for the account of SUPPLIER. The warranties set forth above are in lieu of any implied, including an implied warranty of merchantability, an implied warranty of fitness for a particular purpose. 8.1.3. SUPPLIER's Responsibility: SUPPLIER is responsible for the safety of its employees, agents, and representatives while assisting the CITY and the Installing Contractor with the Work. 8.1.4. Completion and Acceptance: When SUPPLIER deems the Work completed, SUPPLIER shall give OWNER notice thereof in writing. Within a reasonable time after receipt of such notice, OWNER will determine if the Work has been completed to its satisfaction; if so, OWNER will advise SUPPLIER, in writing, of its final acceptance thereof, if not, OWNER will notify SUPPLIER of its lack or failure of performance and SUPPLIER will take remedial action as described in this Article and will repeat the procedure stated herein until the Work has been satisfactorily completed and accepted. 9. DELIVERY MILESTONES 9.1. Since material and equipment covered hereby are incorporated into a construction project to install a new watermain, the delivery date must be met by SUPPLIER, and be subject to Liquidated Damages, as defined below, if date is not met. 9.3. Liquidated Damages: 9.3.1. SUPPLIER and OWNER recognize that time is of the essence of this CONTRACT and that OWNER will suffer financial loss if the Work is not completed within the times specified above. The parties also recognize the delays, expense, and difficulties involved in proving in a legal or arbitration proceeding from the actual loss suffered by OWNER if the Work is not completed on time. Accordingly, instead of requiring any such proof, OWNER and SUPPLIER agree that as liquidated damages for delay (but not as a penalty) SUPPLIER shall pay OWNER: Five Hundred Dollars ($_500.00 ) for each day that expires after the milestone times specified herein up to an amount not to exceed five percent (5%) of the purchase price set forth herein. 9.4. SUPPLIER shall not be responsible for delays resulting from occurrences beyond its control which it could not have reasonably anticipated and provided for. In such event, SUPPLIER shall give OWNER written notice within five (5) days of such occurrence. OWNER shall determine an equitable extension of time for delivery. SUPPLIER's failure to notify OWNER of such delay shall constitute a waiver of SUPPLIER's right to a time extension. There shall be no price adjustment by virtue of any such time extension. 9.5. SUPPLIER shall not be responsible for delays resulting from work required for tasks beyond the scope of CONTRACT. 10. SUSPENSION OF WORK 10.1. OWNER reserves the right to suspend and reinstate execution of the whole or any part of the Work without invalidating the provisions of the CONTRACT. Orders for suspension or reinstatement of the Work will be issued by OWNER to SUPPLIER in writing. The time for completion of the Work will be extended for a period equal to PW/DEN003/698776 PART 2 - GENERAL CONDITIONS JANUARY 17, 2018 SUPPLEMENT, PAGE - 5 RIPPLE AVENUE PRESSURE REGULATING VALVE STATION CITY OF OSHKOSH the time lost by reason of the suspension. Any suspensions of work extending beyond six (6) months in the aggregate shall require the approval of SUPPLIER. 11. PAYMENT I LI. SUPPLIER shall invoice OWNER on a complete and accurate OWNER - supplied payment request form in the percent complete amounts as described below. OWNER will make payment within thirty (30) days of ENGINEER's approval of the SUPPLIER's payment request: 11.1.1. Ten percent (10%) of the Contract amount will be paid by OWNER after the complete set of submittals, including shop drawings, acceptable to ENGINEER, have been returned to SUPPLIER. 11.1.2. Seventy five percent (75%) of the Contract amount will be paid by OWNER after the delivery and inspection of the Ripple Avenue Pressure Regulating Valve Station. 11.1.3. Ten percent (10%) of the Contract amount will be paid by OWNER after Ripple Avenue Pressure Regulating Valve Station installation, startup services and performance testing, and acceptance by OWNER. 11.1.4. The remaining five percent (5%) will be paid upon final acceptance of the Work. 11.1.5. Acceptance by SUPPLIER of the final payment shall be a release to OWNER from all claims and liability hereunder for anything done or furnished in connection with the Work, or for any act or neglect of OWNER or of any person relating to or affecting the Work. 12. INSURANCE REQUIREMENTS 12.1. For products and services requiring SUPPLIER's presence on any OWNER property, the SUPPLIER shall, during the term of this CONTRACT and until completion thereof, provide and maintain the coverages set forth in PART 1 — AGREEMENT, ARTICLE XI. INSURANCE. 13. HOLD HARMLESS AGREEMENT 13.1. The SUPPLIER agrees to protect, defend, indemnify, and hold harmless OWNER as set forth in PART 1 — AGREEMENT, ARTICLE X. HOLD HARMLESS. PW/DEN003/698776 PART 2 - GENERAL CONDITIONS JANUARY 17, 2018 SUPPLEMENT, PAGE - 6 RIPPLE AVENUE PRESSURE REGULATING VALVE STATION CITY OF OSHKOSH 14. LAWS AND REGULATIONS 14.1. All applicable State of Wisconsin and federal laws, ordinances, licenses, and regulations of a governmental body having jurisdiction shall apply to the award throughout as the case may be, and are incorporated here by reference. The courts of the State of Wisconsin shall be the venue for resolution of disputes. 15. FORCE MAJEURE 15.1. For the purpose hereof, force majeure shall be any of the following events: acts of God or the public enemy; compliance with any order, rule, regulation, decree, or request of any governmental authority or agency or person purporting to act therefore; acts of war, public disorder, rebellion, terrorism, or sabotage; floods, hurricanes, or other similar unusual storms; strikes or labor disputes; or any other cause, whether or not of the class or kind specifically named or referred to herein, not within the reasonable control of the party affected. 15.2. A delay in or failure of performance of either party shall not constitute a default hereunder nor be the basis for, or give rise to, any claim for damages, if and to the extent such delay or failure is caused by force majeure. 15.3. The party who is prevented from performing by force majeure (i) shall be obligated, within a period not to exceed fourteen (14) days after the occurrence or detection of any such event, to give notice to the other party setting forth in reasonable detail the nature thereof and the anticipated extent of the delay, and (ii) shall remedy such cause as soon as reasonably possible. The requirements specified in herein pertain to the factory -built Ripple Avenue Pressure Regulating Valve (PRV) Station for buried installation and complete with all necessary internal piping, control valves, instruments, fittings, manual valves, supports, and appurtenances as shown on the Plans and specified herein. 1.02 SUBMITTALS - PROCEDURES A. Within fourteen (14) days of Notice to Proceed, provide OWNER with a schedule showing expected start date, duration, and completion date for the following: I. Shop drawing submittal. 2. O&M manual submittal. 3. Start of PRV Station manufacture. 4. Shipment of PRV Station. 5. Field services. PART 2 PRODUCTS (NOT USED) PART 3 EXECUTION 3.01 PREPARATION FOR SHIPMENT A. Insofar as is practical, the pressure regulating valve station shall be factory assembled. The equipment parts and assemblies that are, of necessity, shipped unassembled shall be furnished with an assembly plan and instructions. The separate parts and assemblies shall be match -marked or tagged in a manner to facilitate field assembly of the equipment. B. Generally, machined and unpainted parts subject to damage by the elements shall be protected with an application of a strippable protective coating. C. Equipment shall be packaged or crated in a manner that will protect equipment from damage during shipping, handling, and storage. D. The outside of the package or crate shall be adequately marked or tagged to indicate its contents by equipment name, Contract number, and approximate weight; state any special precautions for handling. 3.02 UNLOADING EQUIPMENT AT POINT OF RECEIPT A. SUPPLIER shall coordinate delivery of PRV Station with OWNER and OWNER's Installing Contractor. The 48-hour notice must include the approximate hour of delivery which shall be during regular daytime working hours at the intersection of Ripple Avenue and Knapp Street in Oshkosh, Wisconsin, Monday through Friday, 7:30 a.m. to 3:00 p.m. Delivery and unloading shall not take place on a City -recognized holiday. 3.03 EQUIPMENT TESTING A. The Ripple Avenue Pressure Regulating Valve (PRV) Station Supplier (SUPPLIER) shall furnish one (1) factory -built, factory -delivered, PRV Station for below -ground installation by OWNER's Installing Contractor. The PRV Station shall be housed in a steel welded capsule with all necessary internal piping, valves, fittings, supports, control valves, and any necessary appurtenances as shown on the Reference Drawing at the end of this Section and as specified. B. The PRV station shall be complete when delivered and will not require internal construction by OWNER's Installing Contractor except to install the power service through the service conduit provided for that purpose and to connect the main water service and other work as may be listed in the Section for Installing Contractor's Requirements. 1.02 OWNER'S RESPONSIBILITIES A. OWNER shall design PRV Station foundation and station anchorage to the foundation. B. OWNER shall collaborate with SUPPLIER on cathodic protection system design. 1.03 SUPPLIER'S RESPONSIBILITIES A. Design, fabricate, and provide of one (1) factory -built, factory -delivered, below ground pressure control valve station, in a steel welded capsule for installation in the City of Oshkosh drinking water distribution. The pressure regulating valve station shall be complete with all necessary internal piping, control valves, instruments, fittings, manual valves, supports, and any necessary appurtenances as shown on the Reference Drawing and specified herein. B. Transport complete pressure regulating valve station from SUPPLIER's facility to City of Oshkosh. C. Provide complete submittals, O&M manuals, and instructions as specified herein. D. Participate by telephone in one (1) PRV Station pre -installation coordination meeting with the OWNER and the OWNER'S Installing Contractor. E. Provide SUPPILER's field services specified herein. PW/DEN003/698776 PART 4 — PRESSURE REGULATING VALVE STATION JANUARY 17, 2018 PAGE - 1 RIPPLE AVENUE PRESSURE REGULATING VALVE STATION CITY OF OSHKOSH 1.04 INSTALLING CONTRACTOR'S RESPONSIBILITIES A. Installing Contractor shall fulfill the following responsibilities: 1. Provide the PRV Station foundation and station anchor bolts as shown on the Installation Drawings. 2. Off-load the PRV Station upon delivery to the site and protect PRV Station against damage and during on-site storage and installation. Equipment and materials damaged during on-site storage and installation will be replaced at the Installing Contractor's expense. 3. Anchor the station to the foundation. 4. Provide two (2) restrained joint couplings in conformance with the current edition of the Standard Specifications for City of Oshkosh, Wisconsin for connection of the PRV Station to the 16 -inch Ripple Avenue water main. Connect the PRV Station piping to the water main on shown on the Ripple Avenue PRV Station Installation Drawings. 5. Install sump pump discharge pipe exterior to PRV Station shown on the Ripple Avenue PRV Station Installation Drawings. 6. Coordinate electrical service with Wisconsin Public Service (WPS) and make electrical connections from WPS electric meter to the PRV Station. 7. Install PRV Station cathodic protection system. 8. Install radio telemetry antenna at PRV Station. 9. Install telemetry equipment at the City of Oshkosh Southwest Water Tower located at 3999 CTH N, Oshkosh, WI. 1.05 SUBMITTAL DOCUMENTS A. For submittal requirements, refer to PART 3 — GENERAL REQUIREMENTS. 1.06 QUALITY ASSURANCE A. The equipment furnished shall be designed, constructed, and able to be installed in accordance with the best practices and methods and shall operate satisfactorily when installed as shown on the Ripple Avenue PRV Station Installation Drawings and operated per Manufacturer's recommendations. 1.07 SHIPPING AND DELIVERY A. Pressure regulating valve station shall be prepared for shipment, shipped, and delivered in accordance with PART 3 — GENERAL REQUIREMENTS. The specified equipment shall be delivered by the SUPPLIER Freight On Balance Oshkosh and thereby SUPPLIER shall hold the full responsibility for the condition and completeness of the equipment upon its delivery. B. The OWNER shall inspect the equipment prior to unloading and setting so as to assure the quality and condition of the equipment is in no way deficient. Without exception, the SUPPLIER is directly responsible for Ripple Avenue PRV Station start-up and operator training. Third party contractors, agents, or representatives are not to be allowed to start-up the station nor the equipment therein. Start-up factory service technician shall be a regular employee of the SUPPLIER. 1.09 MANUFACTURER'S WARRANTY A. Manufacturer shall provide a warranty in accordance with Part 2 — GENERAL CONDITIONS. The warranty is the sole responsibility of the SUPPLIER and shall be provided in written form, being placed in both the Submittal documents covering the specified equipment and the O&M manuals provided with that equipment. B. It is required that the PRV Station warranty provide the OWNER with a single source responsibility for all components specified herein and the system as a whole. That single source shall be none other than the SUPPLIER. PART 2 PRODUCTS AND COMPONENTS 2.01 PRV STATION CONFIGURATION AND PERFORMANCE CONDITIONS A. 12 -inch main inlet and outlet piping with approximate centerline elevation EL 810.0. B. PRV Station approximate finish grade elevation EL 819.50. C. One (1) 4 -inch PRV, associated appurtenances, piping, isolation valves, and flow meter. D. One (1) 12 -inch PRV, associated appurtenances, piping, and isolation valves. E. Anticipated recirculation flows through 4 -inch PRV are 200 — 300 gallons per minute (gpm). F. Maximum anticipated flow through 12 -inch PRV is 5,000 gpm. G. PRV upstream pressure: 90 — 100 psi. PRV downstream pressure: 55 — 75 psi. The PRV Station capsule shall be constructed for direct burial with water -tight integrity. B. The entrance man -way hatch shall be sized to provide eventual removal and replacement of any component within the PRV Station without altering the station to accomplish that task. 2.03 PRV STATION CAPSULE - CONSTRUCTION A. Plate steel: minimum 1/4 -inch and 3/8 -inch thickness for top and bottom sheets to meet or exceed the requirements for ASTM A-36. B. Structural shapes, channels, and angles: thickness/weight shall meet or exceed the requirements for ASTM A-36. C. Side Sheet Seams: 1. Orientation: Vertical. 2. Capsules under 96 -inch diameter: maximum three (3) vertical piecing seams. D. Seam welds: full penetration, double -sided butt welds ground smooth both inside and outside the capsule. 2.04 CAPSULE REINFORCEMENT A. Support and reinforce the top, bottom, and sides of the equipment capsules with a combination of standard structural shapes. B. The structural rectangular or square tubing: wall shall meet or exceed the requirements for ASTM A-500 Grade. C. Load rating: H-20 Incidental Traffic Wheel Loading. 2.05 PLATE/SHEET CAPSULE JOINTS — LAP SEAM WELD A. The plate forming the top and bottom of the capsules shall be rolled edge, cold formed prior to assembly so as to form a lap joint with the side wall. B. Continuously full fillet weld lap joints on the capsule to form an airtight seal. C. The lap joint shall be in full conformance with Steel Tank Institute (STI) P-3 specifications Section 4.2.6 and Underwriters Laboratories (UL) 58 Construction Section 6, Figure 6.1 Head Joint #23 specifications for steel vessels in buried service. Fully weld ferrous metal water transmission piping and conduits passing through the capsule wall along its circumference or length on both sides of the capsule wall using a metal -added, MIG shielded arc welding process. 2.07 LIFTING PLATES AND EQUIPMENT LIFTING EYES A. Four (4) lifting plates of 3/8 inch minimum thickness shall be placed about the perimeter of the PRV Station. B. Place lifting eyes over each piece of equipment in excess of sixty (60) pounds in weight. 2.08 FLOOR SUMP A. Size: 18 inches in diameter by 8 inches deep minimum. B. Provide sump with a 4 -inch plugged outlet for gravity outflow. 2.09 ENTRANCE MAN -WAY - RAISED MOUNTED SCUTTLE A. Manufacturer and model: Bilco Model MNB 50 roof scuttle. B. Minimum clear inside opening: 30 inches by 54 inches. C. Cover insulation: minimum of 1 inch of fiberglass insulation, covered and protected by an 18 gauge aluminum liner. D. Entry lock: 1. Flush mounted in the scuttle riser. 2. Pin tumbler type, dead bolt, with an inside safety release. E. Bolt hatch to extension of the capsule above finished grade. Seal with non -shrink closed cell foam gasket. 2.10 ACCESS LADDER A. Type IA all aluminum ladder with 300 pounds load rating meeting the ANSI A14.3 fixed ladder standard. The ladder will have serrated rungs with 3 - inch full I -Beam side rails. B. Protect uppermost ends of the side rails with plastic caps bolted into place. C. Bolt access ladder into place at a minimum of two (2) points both top and bottom. Ladder assist device: Bilco Model LU -1. 2.11 CAPSULE CATHODIC PROTECTION A. The SUPPLIER shall furnish for the Installing Contractor's proper installation a minimum of four (4) 17 -pound packaged magnesium anodes for cathodic protection. B. Anodes: H-1 alloy cast to meet ASTM B-80, alloy AZ -63. The anode lead wires shall be silver soldered and potted to be waterproof. C. Bury anodes equally spaced around the station and connected by heavy copper wire to lugs on the station provided for that purpose. D. Anode Test Station 1. Provide anode test station capable of testing individual anodes with electrical current and measure with a millimeter mounted on the test station door. 2. Milliammeter range: 0 to 30 mA. 3. Wire leads each anode shall enter the capsule through one (1) or several watertight, compression fittings in the capsule wall or in the hatch extension wall. The separate leads shall be run in conduit to the Test Station mounted on the capsule wall as shown. 4. A station capsule cathodic system lug shall be provided as required to complete the system circuit to the anodes. E. Capsule Anode Junction Box 1. Provide an at -grade anode test/junction station to provide access to the anode leads for periodically checking individual anode potential. 2. The anode test station shall a fiberglass reinforced plastic box with sealable lid. The passage of wires through the box shall facilitated by the use of threaded compression grommet fittings. 3. The wiring of the anodes and the ground wires shall be properly arranged and shunted. 4. The cathodic protection system shall be wired as shown and shall be submitted and approved by ENGINEER prior to submittal to the OWNER. 2.12 SAFETY FLOOR MATTING A. Cover walkway areas with a rubber drainage runner. B. Thickness: 1/2 inch minimum. Piping shall conform to AWWA Standard C-200. B. Material: steel conforming to the following specifications: 1. Pipe four (4) inch and smaller: ASTM A-53(CW) 2. Pipe size five (5) inches and larger: ASTM A-53(ERW) Grade B. Butt -welding fittings: ASTM A-234 Grade WPB and to the dimensions and tolerances of ANSI Standards 1316.9 and B16.28 respectively. 3. Forged steel flanges: ASTM A-105 Class 60 and/or ASTM A-181 for carbon steel forgings and to the dimensions and tolerances of ANSI Standards B16.5 as amended in 1992 for Class 150 and Class 300 flanges. C. Pipe Thickness: I. Size 10 inch and below Schedule 40. 2. Size 12 inch thru 20 inch Standard weight (0.375 inch wall). 3. Size 24 inch and above Standard weight (0.500 inch wall). D. Pipe Surface Preparation: Grit or abrasive blast piping inside and outside surfaces to minimum SP -6 finish. E. Pipe Welding Procedures: 1. Pipe welds shall be performed by metal added, inert gas shielded arc welding (MIG) techniques. 2. All flange welds and butt welds of equal size pipe shall be a single continuous nonstop weld around the complete circumference of the pipe. 3. The pipe shall be sand blasted, as specified elsewhere, before pipe weld and after pipe weld, before fusion bonded epoxy is applied. 4. No welding shall be performed on fusion bonded coated piping after the coating process has been performed. 5. Seal weld 1/2 -inch thick pipe sleeve over fusion bonded epoxy interior coated pipes that pass through the steel tank shell or a steel wall section, prior to fusion bonded coating of that pipe. F. Pipe Supports: Pipe supports minimum sizing: a. 8 inches and smaller: 2 by 3 by 3 by 3/16 -inch wall rectangular tubing. b. 10 inches and larger: 3 by 4 by 1/4 -inch wall rectangular tubing. Provide 6 inch and larger piping with "kick" bracing projecting fully from the underside of the pipe to the floor at an angle of no less than 15 inches from vertical out at a right angle to the run of the pipe being supported. These "kick" braces shall be in addition to the vertical pipe supports called out above. 2. Fully weld pipe supports at both end points to the pipe and steel floor where required. 3. Where components are to be supported and may require disassembly at some time, the supports for these components shall be welded at the bottom and bolted at the top by use of a bolt yoke welded to the top of the support and bolted into the flange connection picking up at least three (3) bolts. G. Riser Pipe Vertical Supports: 1. Two (2) structural steel, angle pipe support welded to the weldment plates on the vertical riser pipe to down to the floor. 2. Minimum member size: 3 by 4 by 1/4 -inch tubular steel. 2.14 FUSION BONDED EPDXY INTERNAL PIPE COATING A. The internal, wetted surfaces of the steel transmission piping shall have applied to it a Fusion Bonded Epoxy Coating on the interior pipe surface. Apply coating to meet the testing requirements of Table 1 and Table 2 with the exception of Table 2 Section 7 per AWWA C-213. B. Surface preparation: grit blasted to an SP -10 finish with the finish profile required by the coating material manufacturer. C. Powder coating product shall be National Sanitation Foundation (NSF) Standard 61 certified material. D. System and manufacture: ELS8-80003 Blue Epoxy Coating, latest revision from Sherwin Williams, Inc. E. Prior to shipment of the station, the station manufacturer shall provide in writing to the ENGINEER certification that the fusion bonded epoxy coating has been applied to all internal surfaces of the steel piping using the proper method. Said certification shall show under the station manufacturer's letterhead: 1. Date of application; Material manufacturer and product designation including a product data sheet for the coating; 2. Applier of the fusion bonded coating, name, address, and phone number; Notarized signature of an officer of the station manufacturing company stating the fusion bonded epoxy coating was applied to AWWA Standard C213-91 or the latest revision. Following fabrication all exposed surfaces of the station, interior and exterior, shall be coated according to the following requirements. B. Surface Preparation: Grit blast all interior and exterior surfaces of the exposed steel structure, transmission piping, and fittings equal to commercial blast cleaning (SSPC SP6). C. Pretreat all weldments by hand to provide additional corrosion protection using the same product as the base coat. D. Base Coat: 1. Apply base coating immediately after surface preparation. 2. Two -component, self -priming, high solids, high build, fast drying epoxy system for protection and finishing of steel and having excellent corrosion resistant properties. E. Top Coat: 1. Two -component, self -priming high solids, high build, fast drying epoxy system for protection and finishing of steel and having excellent corrosion resistant properties. 2. The base and finish coats shall provide a total dry mil thickness of 8.0 mils. F. Internal Capsule Floor Coating: 1. Apply additional coating over the entire floor area and 12 inch of side walls. 2. Coating system: two -component, 100 percent high performance aromatic polyuria spray elastomer with zero VOC (Volatile Organic Compounds) and 100 percent solid. 3. System and manufacturer: XS -350 as manufactured by Line -X. G. Post Assembly Coating: Following assembly and just prior to shipping, there shall take place a thorough cleaning of the floor of the station followed by a rolled on coating of the two-part epoxy coating to cover over any scuffing or scaring that might have occurred during assembly. 2.16 COMPRESSION COUPLINGS A. Include compression type, flexible coupling to prevent binding and facilitate removal of associated equipment. B. Grooved fittings may not be used under any circumstance. Combination pressure gauges with built-in pressure snubber. B. Face: 4-1/2 inch minimum diameter. C. Case: turret style, black fiberglass -reinforced thermoplastic with a clear acrylic window with Buna-N gasket. D. Movement: Rotary. E. Bourdon tube: Copper alloy C-type. F. Process connection: 1/4 inch MNPT lower mount and contain a 0.6 mm copper alloy restrictor. G. Combination pressure gauge range and scale graduations shall be in psi and feet of water as follows: Range: 0 to 100 psi for each of the inlet and discharge gauges for the pressure regulating valve station. H. Panel mount all gages off the pipeline and be connected to their respective sensing point. I. Gage trim tubing shall be complete with both isolating and vent valves and the tubing shall be so arranged as to easily vent air and facilitate gauge removal. 2.18 STATIC AND SENSING LINES A. All gauge, switch, and transmitter sensing lines shall be minimum 1/4 inch OD white polypropylene tubing run from the sensing point and a ball valve to the point of device mounting. B. The pilot tubing shall include elastomeric/stainless steel mounting straps to securely hold the tubing to be free of stress and vibration. The alignment and organization of the sensing lines shall be continuously rising. 2.19 SAMPLE TAP A. A single, right-angle outlet, smooth nose, brass sample tap shall be affixed to the manual vent ball valve for the low suction lockout and suction pressure gauge assembly. Provide a standard hose bib with valve and vacuum breaker on the suction piping. The hose bib connection shall be through a pressure regulator if the header pressure would exceed 60 psi. 2.21 BALL VALVES A. For piping of less than 3 -inch size ball valves shall be used meeting or exceeding ASTM Spec B124 No. C37700. T B. Two (2) -piece forged brass body, blow out proof stem, TFE seats, TFE packing with adjustable stem packing gland. C. NPT threaded pattern complete with lever operators. D. Maximum working pressure: 600 psi. 2.22 BUTTERFLY VALVES (NON -C-504 WAFER) A. Valve body shall be wafer style, for ANSI Class 125/150 flange bolting and have a metal reinforced, dovetail seat for drip -tight, bi-directional shutoff. The valve stem shall be one (1) piece connected to the disk by stainless steel torque plugs with upper and lower RTFE inboard stem bearings and heavy duty upper stem bushing. B. The valve body shall be cast iron with stainless steel disk and stem, EPDM seat, polyester upper stem bushing and NBR stem seal. C. 6 -inches and smaller valves shall be equipped with a lever operator with 10 degree throttle stops. 8 -inches and larger valves shall be equipped with a weatherproof, heavy duty handwheel gear operator. Valve Manufacturer: a. Keystone 221-786. b. Nibco WC -1020-3. 2.23 MANUAL VALVE ACTUATORS A. Manually operated butterfly valves size 6 -inches and smaller shall be equipped with lever style operators capable of withstanding 450 feet pounds of input torque and mounted to the valve trunnion with four (4) bolts. B. Manually operated butterfly valves size 8 -inches and larger shall be equipped with travelling nut style handwheel operators capable of withstanding 450 feet pounds of input torque and mounted to the valve trunnion with four (4) bolts. PW/DEN003/698776 PART 4 — PRESSURE REGULATING VALVE STATION JANUARY 17, 2018 PAGE - 11 RIPPLE AVENUE PRESSURE REGULATING VALVE STATION CITY OF OSHKOSH 2.24 HYDRAULIC ACTUATED CONTROL VALVES - GENERAL A. The valve configuration as shown shall be hydraulically operated, single diaphragm actuated. The valve shall consist of three (3) major components: the body with seat installed, the cover with bearing installed, and the diaphragm assembly. The diaphragm assembly shall be the only moving part and shall form a sealed chamber in the upper portion of the valve, separating operating pressure from line pressure. Packing glands and/or stuffing boxes are not permitted and there shall be no pistons operating the main valve or pilot controls. Valve body and cover shall be epoxy coated. The stainless steel seat with integral bearing shall be of the solid, one-piece design. The diaphragm assembly shall contain a non-magnetic stainless steel stem of sufficient diameter to withstand high hydraulic pressures. The stem shall be fully guided through its complete stroke by a removable bearing in the valve cover and an integral bearing in the valve seat. No center guides shall be permitted. The stem shall be drilled and tapped in the cover end to receive and affix such accessories as may be deemed necessary. B. The flexible, non -wicking, FDA -approved diaphragm shall consist of nylon fabric bonded with synthetic rubber compatible with the operating fluid. The diaphragm shall be fully supported in the valve body and cover by machined surfaces which support no less than one-half of the total surface area of the diaphragm in either the fully open or fully closed position. C. The pilot control system shall include CK2 isolation valves and X46 flow clean strainer. D. The pilot system shall include an opening and closing speed control on all valves. E. Pilot controlled sensing shall be upstream of the pilot system strainer so accurate control may be maintained if the strainer is partially blocked. F. The pressure reducing pilot control shall be a direct -acting, adjustable, spring- loaded, normally open, diaphragm valve designed to permit flow when controlled pressure is less than the spring setting. The pilot control is held open by the force of the compression on the spring above the diaphragm, and it closes when the delivery pressure acting on the underside of the diaphragm exceeds the spring setting. The pilot control system shall include a fixed orifice. G. The valve shall be equipped with a brass valve stem rod rising through a compression bushing in the top of the valve. PW/DEN003/698776 JANUARY 17, 2018 PART 4 — PRESSURE REGULATING VALVE STATION PAGE - 12 RIPPLE AVENUE PRESSURE REGULATING VALVE STATION CITY OF OSHKOSH H. The valve shall be equipped with one (2), 2 body mounted limit switches with adjustable cams on the valve stem rod. The limit switches shall be 120 VAC, 24 VAC powered back through the Station controls as so noted elsewhere in these Specifications: A valve position indicator shall be installed on the main valve cover and shall consist of a brass indicator rod fastened to the main valve stem which moves up and down inside a clear Pyrex tube contained in a bar brass housing open on two (2) sides to permit clear vision of the brass indicator rod. 2. Manufacturer: Cla-Val. 2.25 PRESSURE TESTING A. When the station plumbing is completed, the pressure piping within the station (including valves, control valves, and fittings), connections as make up the entire system shall be hydrostatically tested at a pressure of 150 psi or a pressure equal to the lowest test pressure rating of the equipment within the tested system, whichever is lesser pressure. The test pressure shall be applied for a minimum of 20 minutes, during which time all joints, connections, and seams shall be checked for leaking. Any deficiencies found shall be repaired and the system shall be retested. 2.26 ELECTRICAL DESIGN, ASSEMBLY AND TEST A. The electrical apparatus and control panel design, assembly, and installation, and the integration of component parts will be the responsibility of the manufacturer of record for this equipment. That manufacturer shall maintain at his/her regular place of business a complete electrical design, assembly, and test facility to assure continuity of electrical design with equipment application. Control panels designed, assembled, or tested at other than the regular production facilities or by other than the regular production employees of the manufacturer of record for this booster pumping equipment will not be approved. 2.27 CONFORMANCE TO BASIC ELECTRICAL STANDARDS A. The manufacturer of electrical control panels and their mounting and installation shall be done in strict accordance with the requirements of UL Standard 508A and the National Electrical Code (NEC), NFPA 70 latest revision so as to afford a measure of security as to the ability of the eventual OWNER to safely operate the equipment. B. No exceptions to the requirements of these codes and standards will be allowed; failure to meet these requirements will be cause to remove the equipment and correct the violation. PW/DEN003/698776 PART 4 — PRESSURE REGULATING VALVE STATION JANUARY 17, 2018 PAGE - 13 RIPPLE AVENUE PRESSURE REGULATING VALVE STATION CITY OF OSHKOSH 2.28 U.L. LISTING A. All service entrance, power distribution, control, and starting equipment panels shall be constructed and installed in strict accordance with Underwriter's Laboratories (UL) Standard 508A "Industrial Control Equipment." The UL label shall also include an SE "Service Entrance" rating stating that the main distribution panel is suitable for use as service entrance equipment. The panels shall be shop inspected by UL, or constructed in a UL -recognized facility. All panels shall bear a serialized UL label indicating acceptance under Standard 508A and under Enclosed Industrial Control Panel or Service Equipment Panel. B. A photocopy of the UL labels for this specific Project shall be transmitted to both the project ENGINEER and the Contractor for installation within their permanent project files, prior to shipment of the equipment covered under these Specifications. C. The results of this testing shall be transmitted in writing to the ENGINEER prior to shipment of the station and shall note test pressure, time at full pressure, and be signed by the Quality Control Manager or test technician. 2.29 E.T.L. LISTING A. All control panels shall be E.T.L. Listed by Interek Testing Services (ITS) under the Industrial Control Panel (ICP) Category. Each completed control panel shall bear an ETL listing label stating that the panel conforms to UL STD 508A and is certified to CAN/CSA STD C22.2 NO. 14. The listing label shall include the station manufacturer's name, address, and telephone number. The station manufacturer shall have quarterly inspections performed by ETL at the manufacturer's facility to ensure that the products being listed comply with the report and procedural guide for that product. 2.30 EQUIPMENT GROUNDING A. Each electrical equipment item in the station shall be properly grounded per Section 250 of the National Electrical Code. Items to be grounded include, but are not limited to, pump motor frames, control panel, convenience receptacles, dedicated receptacle for heater, air conditioner, dehumidifier, lights, light switch, exhaust fans, and pressure switches. B. All ground wires from installed equipment shall be in conduit and shall lead back to the control panel to a copper ground buss specific for grounding purposes and so labeled. The ground buss shall be complete with a lug large enough to accept the installing electrician's bare copper earth ground wire. The bus shall serve as a bond between the earth ground and the equipment ground wires. Metal framing channel and hangers shall be used exclusively for mounting of electrical panels and electrical components except for those specifically designated otherwise. 2.32 ELECTRICAL SERVICE A. The electrical service provided for this station will be 240 volt, 1 phase, 60 Hertz, 3 wire. 2.33 ELECTRICAL DISTRIBUTION PANEL A. The distribution panel shall be a single section bolt -on panelboard, bottom -feed, surface -mounted, service entrance rated NEMA 3R enclosure. The main circuit breaker shall be rated for a 100 amp, 240 volt, 2 -pole, 3 -wire, single phase service. Main lugs shall be rated to accept conductors between #1 AWG and 300 kcmil. B. All circuit breakers, including main circuit breaker, shall be incorporated into one (1), separate NEMA 1 circuit breaker panel. C. The distribution panel shall include space for eighteen (18) single pole branch circuit breakers, and be furnished complete with the following branch circuit breakers: Fourteen (14) Auxiliary Circuit Breakers, as follows: a. 2p, 30 amp Heater. b. 1p, 20 amp Sump Pump. C. 1p, 20 amp Single 20A Receptacle. d. Ip, 15 amp Convenience Outlets. e. 1p, 15 amp Controls. f. 1p, 15 amp Dehumidifier. g. 1p, 15 amp Telemetry. h. 1p, 15 amp Exhaust Fan. i. 1p, 15 amp Lighting. j. 1p, 15 amp Instrumentation. k. 1p, 15 amp Spare. 1. 1p, 15 amp Spare. M. 1p, 15 amp Spare. n. Four (4) spaces with cover plates equipped for future breakers. It will be the responsibility of the station manufacturer to provide the following as an adjunct to the supplied telemetry equipment. 1. 1 -inch telemetry entrance conduit complete to telemetry panel. 2. Size 12 by 12 inches NEMA 1 telemetry interface panel. 3. Separate 120 volt single phase power circuit in conduit to the telemetry interface panel. 4. Telemetry control circuits made up and in conduit from main control panel to telemetry interface panel terminal strip. 5. Metal framing channel to mount telemetry equipment. 2.35 ALARMS CONDITION AND OUTPUTS A. Water within Station: The water alarm shall be a 120 volt AC circuit driven by a float switch wall -mounted within the equipment capsule/building. The float switch shall be of the magnetic float type with the float moving up and down a guide tube. One-half (1/2) inch of float movement shall actuate the SPST reed type switch inside the guide tube. The switch shall be so mounted that when water reaches a point 1 inch above the sump the float switch will activate the alarm. The alarm will be sealed in through an auxiliary relay and will be manually reset via a push button station. B. Unauthorized Entry Alarms on Hatches and Doors: The unauthorized entry alarm shall be a 120 volt AC circuit driven by a hatch/door-mounted limit switch. The limit switch shall be the adjustable arm, roller contactor type which makes an internal SPST micro switch. The switch will be so mounted as to active anytime the entrance man -way hatch/door is opened. C. Fire/Smoke alarm: The fire/smoke alarm shall be provided by a 120 volt AC relay controlled by a fire/smoke detector in the station as an input to the logic. D. High Station Temperature Alarm: The station high temperature alarm shall be provided by a 120 volt AC relay controlled by a thermostat in the station. E. Low Temperature Alarm: The station low temperature alarm shall be provided by a 120 volt AC relay controlled by a thermostat in the station. 2.36 ELECTRICAL CONDUIT AND WIRING A. All service entrance conduits power and signal, shall be rigid steel conduit, individually sized to accept the inbound service conductors and telemetry/telephone/radio cables. These service entrance conduits shall be installed from the main power or control panel through the capsule steel sidewall or the building floor and terminate exterior to the equipment enclosure as a thread hub. The service entrance exterior conduit connection points shall be capped or plugged for shipment. C. All wiring within the equipment enclosure and outside of the panel enclosures shall be run in conduit except where watertight flexible conduit is properly used to connect pump drivers, fan motors, solenoid valves, limit switches, etc., where flexible connections are best utilized. D. Devices and appliances where furnished by the original manufacturer and, being equipped with a UL -approved rubber cord and plug, may be plugged into a receptacle. E. Equipment enclosure conduits shall be rigid, heavy wall, Schedule 40 PVC with solvent weld moisture proof connections, in minimum size 3/4 -inch or larger, sized to handle the type, number, and size of equipment conductors to be carried. F. The conduit shall be in compliance with Article 347 of the National Electrical Code and NEMA TC 2, Federal WC 1094A and UL 651 Underwriters Laboratory Specifications. G. Where flexible conduit connections are necessary, the conduit used shall be liquid tight, flexible, totally nonmetallic, corrosion resistant, nonconductive, U.L. listed conduit sized to handle the type, number and size of equipment conductors to be carried in compliance with Article 3 51 of the National Electrical Code. H. Motor circuit conductors shall be sized for load. All branch circuit conductors supplying a single motor of 1 horsepower or more shall have an ampacity of not less than 125 percent of the motor full load current rating, dual rated type THHN/THWN, as set forth in Article 310 and 430 B of the National Electrical Code, Schedule 310 13 for flame retardant, heat resistant thermoplastic, copper conductors in a nylon or equivalent outer covering. Control and accessory wiring shall be sized for load, type MTW/AWM (Machine tool wire/appliance wiring material) as set forth in Article 310 and 670 of the National Electrical Code, Schedule 310 13 and NFPA Standard 79 for flame retardant, moisture, heat and oil resistant thermoplastic, copper conductors in compliance with NTMA and as listed by Underwriters Laboratories (AWM), except where accessories are furnished with a manufacturer supplied UL approved rubber cord and plug. Pressure transmitters shall be supplied to measure inlet and outlet pressure. The transmitters shall sense gauge pressure and transmit a 4-20 mA do signal. The instruments shall measure pressure of a predetermined span. Range is to be fully adjustable throughout using allowable span and range limits. The accuracy shall be ±0.20 percent of span. B. Each transmitter shall provide an analog output and include a standard LCD with pushbuttons to provide Intelligent transmitter configuration directly from the on- board pushbuttons. The two-line digital indicator shall display the measurement in any selected units. The limits of insurance provided to such ven- dor will be the limits which you agreed to pro- vide in the written contract or agreement, or the limits shown in the Declarations of this Coverage Part, whichever are less. b. The insurance provided to such vendor does not apply to: (1) "Bodily injury" or "property damage" for which the vendor is obligated to pay damages by reason of the assumption of liability in a contract or agreement. This exclusion does not apply to liability for damages that the vendor would have in the absence of the contract or agreement; (2) Any express warranty unauthorized by you; (3) Any physical or chemical change in "your products" made intentionally by such vendor; (4) Repackaging, unless unpacked solely for the purpose of inspection, demonstration, testing, or the substitution of parts under instructions from the manufacturer, and then repackaged in the original container; (5) Any failure to make such inspections, ad- justments, tests or servicing as vendors agree to perform or normally undertake to perform in the regular course of business, in connection with the distribution or sale of "your products"; (6) Demonstration, installation, servicing or repair operations, except such operations performed at such vendor's premises in connection with the sale of "your prod- ucts"; or (7) "Your products" which, after distribution or sale by you, have been labeled or re- labeled or used as a container, part or in- gredient of any other thing or substance by or for such vendor. Coverage under this provision does not apply to: a. Any person or organization from whom you have acquired "your products", or any ingre- client, part or container entering into, accom- panying or containing such products; or b. Any vendor for which coverage as an addi- tional insured specifically is scheduled by en- dorsement. C. LIMITED WORLDWIDE LIABILITY COVERAGE — INDEMNITY BASIS 1. The following replaces the definition of "cov- erage territory" in the DEFINITIONS Section: "Coverage territory" means: a. The United States of America (including its territories and possessions), Puerto Rico and Canada; b. International waters or airspace, but only if: (1) The "bodily injury" or "property dam- age" is caused by an "occurrence" that takes place; or (2) The "personal injury" or "advertising injury" is caused by an offense com- mitted; in the course of travel or transportation between any places included in Para- graph a. above; or c. All other parts of the world except the "prohibited area", but only if the injury or damage arises out of: (1) Goods or products made, sold, han- dled or distributed by you, or services provided by you to your customers or clients, in the territory described in Paragraph a. above; (2) The activities of a person whose home is in the territory described in Paragraph a. above, but is away for a short time on your business; or (3) "Personal injury" or "advertising in- jury" offenses committed through the Internet or similar electronic means of communication; provided that the insured's responsibility to pay damages is determined in a "suit" on the merits brought anywhere in the world except the "prohibited area", or in a settlement we agree to. With respect to "occurrences" that take place, or "personal injury" or "advertising injury" of- fenses committed within the territory de- scribed in Paragraph c. above, the following conditions apply: Page 2 of 9 © 2008 The Travelers Companies, Inc. CG D4 58 10 08 (i) This insurance is excess over any valid and collectible other insurance available to the insured, whether primary, excess, contingent or on any other basis. (ii) This insurance is not a substitute for "compulsory admitted insurance" in any country or jurisdiction included in Para- graph c. above, regardless of whether this insurance would qualify as "compul- sory admitted insurance" in such country or jurisdiction or is accepted by the ap- propriate authorities as proof of "compul- sory admitted insurance". You agree to maintain "compulsory ad- mitted insurance" at the limits required by law. Your failure to do so will not invali- date the coverage provided for such "oc- currences" or offenses, but we will only be liable to the same extent we would have been liable had you maintained "compulsory admitted insurance". For purposes of this Paragraph (ii), "com- pulsory admitted insurance" means in- surance that is: (1) Required to be in -force to satisfy the legal requirements of a specific coun- try or jurisdiction; and (2) Issued by an insurance fund adminis- tered by such country or jurisdiction or issued by an insurer licensed or permitted by law to do business in such country orjurisdiction. (iii) With respect to defending the insured against, or the investigation or settlement of, any claim or "suit' brought against the insured, the following will apply: (1) The phrase "We will pay....." in the first sentence of Paragraph 1.a. of SECTION I — COVERAGES — COV- ERAGE A BODILY INJURY AND PROPERTY DAMAGE LIABILITY and Paragraph 1.a. of SECTION 1 — COVERAGES — COVERAGE B PERSONAL AND ADVERTISING INJURY LIABILITY is replaced by the phrase "We will indemnify the in- sured for....". (2) You must arrange to defend the in- sured against, and investigate or set- tle, any claim or "suit". (3) Neither you nor any other involved insured will make. any settlement without our consent. COMMERCIAL GENERAL LIABILITY (4) We will pay expenses incurred with our consent for your defense of the insured against any "suit" seeking damages for "bodily injury", "property damage", "personal injury" or "adver- tising injury" to which this insurance applies. (5) We may, at our discretion, participate in defending the insured against, or in the settlement of, any claim or "suit". 2. The following is added to the DEFINITIONS Section: "Prohibited area" means any country or juris- diction while any trade sanction, embargo, or similar regulation imposed by the United States of America applies to and prohibits the transaction of business with or within such country or jurisdiction. D. DAMAGE TO PREMISES RENTED TO YOU 1. The following replaces the last paragraph of Paragraph 2., Exclusions, of SECTION I — COVERAGES — COVERAGE A BODILY IN- JURY AND PROPERTY DAMAGE LIABIL- ITY: Exclusions c. through n. do not apply to dam- age to premises while rented to you, or tem- porarily occupied by you with permission of the owner, caused by: a. Fire; b. Explosion; c. Lightning; d. Smoke resulting from such fire, explosion, or lightning; or e. Water. A separate limit of insurance applies to such damage to premises as described in Para- graph 6. of Section III — Limits Of Insurance. This insurance does not apply to damage to premises while rented to you, or temporarily occupied by you with permission of the owner, caused by: a. Rupture, bursting, or operation of pres- sure relief devices; b. Rupture or bursting due to expansion or swelling of the contents of any building or structure, caused by or resulting from wa- ter; c. The following replaces Paragraph 6. of SEC- TION III — LIMITS OF INSURANCE: Subject to 5. above, the Damage To Prem- ises Rented To You Limit is the most we will pay under Coverage A for damages because of "property damage" to any one premises while rented to you, or temporarily occupied by you with permission of the owner, caused by fire; explosion; lightning; smoke resulting from such fire, explosion, or lightning; or wa- ter. The Damage To Premises Rented To You Limit will apply to all damage proximately caused by the same 'occurrence", whether such damage results from fire; explosion; lightning; smoke resulting from such fire, ex- plosion, or lightning; water; or any combina- tion of any of these. The Damage To Premises Rented To You Limit will be the higher of: a. $300,000; or b. The amount shown on the Declarations of this Coverage Part for Damage To Prem- ises Rented To You Limit. 4. The following replaces Paragraph a. of the definition of "insured contract" in the DEFINI- TIONS Section: a. A contract for a lease of premises. How- ever, that portion of the contract for a lease of premises that indemnifies any person or organization for damage to premises while rented to you, or tempo- rarily occupied by you with permission of the owner, caused by: (1) Fire; (2) Explosion; (3) Lightning,- (4) ightning;(4) Smoke resulting from such fire, ex- plosion, or lightning; or (5) Water. is not an "insured contract"; 5. The following replaces Paragraph 4.b.(1)(b) of SECTION IV — COMMERCIAL GENERAL LIABILITY CONDITIONS: (b) That is insurance for premises rented to you, or temporarily occupied by you with the permission of the owner; of SECTION IV — COMMERCIAL GENERAL LI- ABILITY CONDITIONS: We waive any right of recovery we may have against any person or organization because of payments we make for injury or damage arising out of premises owned or occupied by or rented or loaned to you; ongoing operations performed by you or on your behalf, done under a contract with that person or organization; "your work"; or "your products". We waive this right where you have agreed to do so as part of a written contract, executed by you prior to loss. F. BLANKET ADDITIONAL INSURED — OWNERS, MANAGERS OR LESSORS OF PREMISES The following is added to SECTION II — WHO IS AN INSURED: Any person or organization that is a premises owner, manager or lessor and that you have agreed in a written contract or agreement to name as an additional insured on this Coverage Part is an insured, but only with respect to liability for "bodily injury", "property damage", "personal injury" or "advertising injury" that: a. Is "bodily injury" or "property damage" caused by an 'occurrence" that takes place, or "per- sonal injury" or "advertising injury" caused by an offense that is committed, after you have signed and executed that contract or agree- ment; and b. Arises out of the ownership, maintenance or use of that part of any premises leased to you. The insurance provided to such premises owner, manager or lessor is subject to the following pro- visions: a. The limits of insurance provided to such premises owner, manager or lessor will be the limits which you agreed to provide in the written contract or agreement, or the limits shown on the Declarations of this Coverage Part, whichever are less. b. The insurance provided to such premises owner, manager or lessor does not apply to: (1) "Bodily injury" or "property damage" caused by an 'occurrence" that takes place, or "personal injury" or "advertising injury" caused by an offense that is com- mitted, after you cease to be a tenant in that premises; or E. BLANKET ADDITIONAL INSURED — LESSORS OF LEASED EQUIPMENT The following is added to SECTION II — WHO IS AN INSURED: Any person or organization that is an equipment lessor and that you have agreed in a written con- tract or agreement to include as an additional in- sured on this Coverage Part is an insured, but only with respect to liability for "bodily injury", "property damage", "personal injury" or "advertis- ing injury" that: a. Is "bodily injury" or "property damage" caused by an "occurrence" that takes place, or "per- sonal injury" or "advertising injury" caused by an offense that is committed, after you have signed and executed that contract or agree- ment; and b. Is caused, in whole or in part, by your acts or omissions in the maintenance, operation or use by you of equipment leased to you by such equipment lessor. The insurance provided to such equipment lessor is subject to the following provisions: a. The limits of insurance provided to such equipment lessor will be the limits which you agreed to provide in the written contract or agreement, or the limits shown on the Decla- rations of this Coverage Part, whichever are less. b. The insurance provided to such equipment lessor does not apply to any "bodily injury" or "property damage" caused by an "occur- rence" that takes place, or "personal injury" or "advertising injury" caused by an offense that is committed, after the equipment lease ex- pires. c. The insurance provided to such equipment lessor is excess over any valid and collectible other insurance available to such equipment lessor, unless you have agreed in a written contract for this insurance to apply on a pri- mary or contributory basis. COMMERCIAL GENERAL LIABILITY H. INCIDENTAL MEDICAL MALPRACTICE 1. The following is added to the definition of "oc- currence" in the DEFINITIONS Section: Unless you are in the business or occupation of providing professional health care services, "occurrence" also means an act or omission committed in providing or failing to provide "incidental medical services" to a person. 2. The following is added to the DEFINITIONS Section: "Incidental medical services" means: a. Medical, surgical, dental, laboratory, x-ray or nursing service or treatment, advice or instruction, or the related furnishing of food or beverages; b. The furnishing or dispensing of drugs or medical, dental, or surgical supplies or appliances; c. First aid; or d. "Good Samaritan services". "Good Samaritan services" means any emer- gency medical services for which no compen- sation is demanded or received. 3. The following is added to Paragraph 2.a.(1) of SECTION II — WHO IS AN INSURED: Unless you are in the business or occupation of providing professional health care services, Paragraphs (1)(a), (b), (c) and (d) above do not apply to any "bodily injury" arising out of any providing or failing to provide "incidental medical services" by any of your "employ- ees", other than an employed doctor. Any such "employees" providing or failing to pro- vide "incidental medical services" during their work hours for you will be deemed to be act- ing within the scope of their employment by you or performing duties related to the con- duct of your business. 4. The following exclusion is added to Para- graph 2., Exclusions, of SECTION I — COV- ERAGES — COVERAGE A BODILY INJURY AND PROPERTY DAMAGE LIABILITY.- Sale IABILITY: Sale Of Pharmaceuticals "Bodily injury" or "property damage" arising out of the willful violation of a penal statute or ordinance relating to the sale of pharmaceuti- cals committed by, or with the knowledge or consent of, the insured. 5. The following is added to Paragraph 5. of SECTION III — LIMITS OF INSURANCE: CG D4 58 10 08 © 2008 The Travelers Companies, Inc. I. PERSONAL INJURY — ASSUMED BY CON- TRACT 1. The following replaces Exclusion e., Contrac- tual Liability, in Paragraph 2. of SECTION I — COVERAGES — COVERAGE B PER- SONAL AND ADVERTISING INJURY LI- ABILITY: e. Contractual Liability "Personal injury" or "advertising injury" for which the insured is obligated to pay damages by reason of the assumption of liability in a contract or agreement. This exclusion does not apply to: (1) Liability for damages that the insured would have in the absence of the contract or agreement; or (2) Liability for damages because of "personal injury" assumed in a con- tract or agreement that is an "insured contract", provided that the "personal injury' is caused by an offense com- mitted subsequent to the execution of the contract or agreement. Solely for the purposes of liability assumed in an "insured contract", reasonable at- torneys fees and necessary litigation expenses incurred by or for a party other than an insured will be deemed to be damages because of "personal injury", provided that: (a) Liability to such party for, or for the cost of, that party's defense has also been assumed in the same "insured contract"; and (b) Such attorney fees and litigation expenses are for defense of that party against a civil or alternative dispute resolution proceeding in which damages to which this in- surance applies are alleged. 2. The following replaces the third sentence of Paragraph 2. of SUPPLEMENTARY PAY- MENTS — COVERAGES A AND B: Notwithstanding the provisions of Paragraph 2.b.(2) of Section I — Coverage A — Bodily In- jury And Property Damage Liability or Para- graph 2.e. of Section I — Coverage B — Per- sonal and Advertising Injury Liability, such payments will not be deemed to be damages because of "bodily injury", "property damage" or "personal injury', and will not reduce the limits of insurance. 3. The following replaces Paragraph 2.d. of SUPPLEMENTARY PAYMENTS — COVER- AGES A AND B: d. The allegations in the "suit" and the in- formation we know about the "occur- rence" or offense are such that no conflict appears to exist between the interests of the insured and the interests of the in- demnitee; 4. The following replaces the first subparagraph of Paragraph f. of the definition of "insured contract" in the DEFINITIONS Section: f. That part of any other contract or agree- ment pertaining to your business (includ- ing an indemnification of a municipality in connection with work performed for a municipality) under which you assume the tort liability of another party to pay for "bodily injury," "property damage" or "per- sonal injury" to a third person or organiza- tion. Tort liability means a liability that would be imposed by law in the absence of any contract or agreement. J. EXTENSION OF COVERAGE — BODILY IN- JURY The following replaces the definition of "bodily in- jury" in the DEFINITIONS Section: "Bodily injury" means bodily injury, mental an- guish, mental injury, shock, fright, disability, hu- miliation, sickness or disease sustained by a per- son, including death resulting from any of these at any time. BODILY INJURY TO CO -EMPLOYEES AND CO -VOLUNTEER WORKERS The following is added to Paragraph 2.a.(1) of SECTION II —WHO IS AN INSURED: Paragraph (1)(a) above does not apply to "bodily injury" to a co -"employee" in the course of the co - "employee's" employment by you or performing duties related to the conduct of your business, or to "bodily injury" to your other "volunteer workers" while performing duties related to the conduct of your business. L. AIRCRAFT CHARTERED WITH CREW The following is added to Exclusion g., Aircraft, Auto Or Watercraft, in Paragraph 2. of SECTION I — COVERAGES — COVERAGE A BODILY IN- JURY AND PROPERTY DAMAGE LIABILITY: This exclusion does not apply to an aircraft that is: (a) Chartered with crew to any insured; (b) Not owned by any insured; and (c) Not being used to carry any person or prop- erty for a charge. M. NON -OWNED WATERCRAFT 1. The following replaces Paragraph (2) of Ex- clusion g., Aircraft, Auto Or Watercraft, in Paragraph 2. of SECTION I — COVERAGES — COVERAGE A BODILY INJURY AND PROPERTY DAMAGE LIABILITY: (2) A watercraft you do not own that is: (a) Fifty feet long or less; and (b) Not being used to carry any person or property for a charge. 2. The following is added to Paragraph 2. of SECTION II — WHO IS AN INSURED.- Any NSURED: Any person or organization that, with your ex- press or implied consent, either uses or is re- sponsible for the use of a watercraft that you do not own that is: (1) Fifty feet long or less; and (2) Not being used to carry any person or property for a charge. N. INCREASED SUPPLEMENTARY PAYMENTS 1. The following replaces Paragraph 1.b. of SUPPLEMENTARY PAYMENTS — COVER- AGES A AND B of SECTION I — COVER- AGES: b. Up to $2,500 for cost of bail bonds re- quired because of accidents or traffic law violations arising out of the use of any COMMERCIAL GENERAL LIABILITY vehicle to which the Bodily Injury Liability Coverage applies. We do not have to fur- nish these bonds. 2. The following replaces Paragraph 1.d. of SUPPLEMENTARY PAYMENTS — COVER- AGES A AND B of SECTION I — COVER- AGES: d. All reasonable expenses incurred by the insured at our request to assist us in the investigation or defense of the claim or "suit", including actual loss of earnings up to $500 a day because of time off from work. 0. MEDICAL PAYMENTS — INCREASED LIMITS The following replaces Paragraph 7. of SECTION III — LIMITS OF INSURANCE: 7. Subject to 5. above, the Medical Expense Limit is the most we will pay under Coverage C. for all medical expenses because of "bod- ily injury" sustained by any one person, and will be the higher of: (a) $10,000; or (b) The amount shown on the Declarations of this Coverage Part for Medical Expense Limit. P. KNOWLEDGE AND NOTICE OF OCCUR- RENCE OR OFFENSE The following is added to Paragraph 2., Duties In The Event of Occurrence, Offense, Claim or Suit, of SECTION IV — COMMERCIAL GEN- ERAL LIABILITY CONDITIONS: e. The following provisions apply to Paragraph a. above, but only for the purposes of the in- surance provided under this Coverage Part to you or any insured listed in Paragraph 1. or 2. of Section II — Who Is An Insured: (1) Notice to us of such "occurrence" or of- fense must be given as soon as practica- ble only after the "occurrence" or offense is known to you (if you are an individual), any of your partners or members who is an individual (if you are a partnership or joint venture), any of your managers who is an individual (if you are a limited liability company), any of your trustees who is an individual (if you are a trust), any of your "executive officers" or directors (if you are an organization other than a partnership, joint venture, limited liability company or trust) or any "employee" authorized by you to give notice of an "occurrence" or offense. However, this provision does not affect our right to collect addi- tional premium or to exercise our rights of cancel- lation or nonrenewal in accordance with applica- ble insurance laws or regulations. R. REASONABLE FORCE — BODILY INJURY OR PROPERTY DAMAGE (i) A partner or member of any part- nership or joint venture; (ii) A manager of any limited liability company; (iii) A trustee of any trust; or (iv) An executive officer or director of any other organization; that is your partner, joint venture member, manager or trustee; or (b) Any "employee" authorized by such S partnership, joint venture, limited li- ability company, trust or other organi- zation to give notice of an "occur- rence" or offense. (3) Notice to us of such "occurrence" or of- fense will be deemed to be given as soon as practicable if it is given in good faith as soon as practicable to your workers' compensation insurer. This applies only if you subsequently give notice to us of the "occurrence" or offense as soon as prac- ticable after any of the persons described in Paragraphs e.(1) or (2) above discov- ers that the "occurrence" or offense may result in sums to which the insurance provided under this Coverage Part may apply. However, if this policy includes an endorse- ment that provides limited coverage for "bod- ily injury" or "property damage" or pollution costs arising out of a discharge, release or escape of "pollutants" which contains a re- quirement that the discharge, release or es- cape of "pollutants" must be reported to us within a specific number of days after its abrupt commencement, this Paragraph e. does not affect that requirement. Q. The following is added to SUPPLEMENTARY PAYMENTS — COVERAGE A AND B of SECTION I — COVERAGES: We will reimburse you for the reasonable "transportation expenses" that you incur, over and above "normal transportation costs", for the repatriation or relocation of any of your in- jured, diseased, sick or deceased "employ- ees". But only if: a. The injury, disease, sickness, or death occurred during the policy period and while such "employee" was employed or assigned to work by you anywhere in the world other than: (1) The United States of America (includ- ing its territories and possessions), Puerto Rico and Canada; and (2) Any country or jurisdiction in the "prohibited area"; b. The relocation or repatriation is neces- sary in the opinion of competent medical authorities; and c. The relocation or repatriation is from the country where the injury, disease, sick- ness, or death occurred to a destination in another country.
