PROFESSIONAL SERVICES AGREEMENT
THIS AGREEMENT, made on the 121h day of April, 2017, by and between the CITY of OSHKOSH,
hereinafter referred to as CITY, and TIERNEY BROTHERS INC., 1771 ENERGY PARK DRIVE, SUITE
100, ST. PAUL, MN 55108, hereinafter referred to as the CONSULTANT.
WITNESSETH:
That the CITY and the CONSULTANT, for the consideration hereinafter named, enter into the
following Agreement.
COMPONENT PARTS OF THE AGREEMENT
This Agreement consists of the following component parts, all of which are as fully a part of this
Agreement as if herein set out verbatim, or if not attached, as if hereto attached:

2. Consultant's Professional Services Proposal dated April 3, 2017 and attached hereto.
In the event that any provision in any of the above component parts of this Agreement conflicts with
any provision in any other of the component parts, the provision in the component part first
enumerated above shall govern over any other component part which follows it numerically except as
may be otherwise specifically stated.
CITY REPRESENTATIVE
The CITY shall assign the following individual to manage this Agreement:

SCOPE OF WORK
The CONSULTANT shall provide the services described in the CONSULTANT's attached Professional
Services Proposal. CITY may make or approve changes within the general Scope of Services contained
within the Professional Services Proposal and in this AGREEMENT. If such changes affect
CONSULTANT's cost or time required for performance of the services, an equitable adjustment will be
made through an amendment to this AGREEMENT.

RECORDS AND INSTRUMENTS OF SERVICE
All reports, drawings, software, data, computer files, and other materials, documents and instruments
prepared by the CONSULTANT as instruments of service shall remain the property of the CITY. Any
document related to this agreement, whether in electronic or paper form, is considered a public record
and shall be provided to the City upon request. The contractor may provide the City with an
explanation of why they believe any document should not be released to the public. The City shall
make all final determinations regarding the existence or release of any document related to this
agreement.
TERM AND TERMINATION
A. Term. This Agreement shall commence upon the date indicated above and shall terminate one
year from City's acceptance of the completed system, unless terminated earlier by one of the parties as
provided below.
B. Termination.
1. For Cause. If either party shall fail to fulfill in timely and proper manner any of the obligations
under this Agreement, the other party shall have the right to terminate this Agreement by written
notice. In this event, the CONSULTANT shall be entitled to compensation to the date of delivery of the
Notice.
2. For Convenience. The CITY may terminate this Agreement at any time by giving written notice to
the CONSULTANT no later than 30 calendar days before the termination date.
TIME OF COMPLETION
The CONSULTANT shall perform the services under this Agreement with reasonable diligence and
expediency consistent with sound professional practices. The CITY agrees that the CONSULTANT is
not responsible for damages arising directly or indirectly from any delays for causes beyond the
CONSULTANT's control. For the purposes of this Agreement, such causes include, but are not limited
to, strikes or other labor disputes, severe weather disruptions or other natural disasters, or failure of
performance by the CITY. If the delays resulting from any such causes increase the time required by
the CONSULTANT to perform its services in an orderly and efficient manner, the CONSULTANT shall
be entitled to an equitable adjustment in schedule. CONSULTANT has agreed to perform the services
within the following timeframes set aside within the Oshkosh Convention Center renovation schedule:
May 22 -June 1 (ballrooms/breakout areas)
July 17-20 (completion of any AN work, system testing, training)
SUSPENSION, DELAY, OR INTERRUPTION OF WORK
CITY may suspend, delay, or interrupt the Services of CONSULTANT for the convenience of CITY. In
such event, CONSULTANT's contract price and schedule shall be equitably adjusted.
ASSIGNMENT
Contractor shall not have the right to assign this Agreement without the written prior consent of the
City.
INDEPENDENT CONTRACTOR
CONSULTANT is an independent contractor and is not an employee of the CITY.
COOPERATION IN LITIGATION AND AUDITS
Contractor shall fully and completely cooperate with the City, the City's insurer, the City's attorneys,
the City's Auditors or other representative of the City (collectively, the "City" for purposes of this
Article) in connection with (a) any internal or governmental investigation or administrative, regulatory,
arbitral or judicial proceeding (collectively "Litigation") or internal or governmental Audit, with
respect to matters relating to this Agreement; other than a third party proceeding in which Contractor
is a named party and Contractor and the City have not entered into a mutually acceptable joint defense
agreement.
Such cooperation may include, but shall not be limited to, responding to requests for documents and/or
other records, and making Contractor's employees available to the City (or their respective insurers,
attorneys or auditors) upon reasonable notice for: (i) interviews, factual investigations, and providing
declarations or affidavits that provide truthful information in connection with any Litigation or Audit;
(ii) appearing at the request of the City to give testimony without requiring service of a subpoena or
other legal process; (iii) volunteering to the City all pertinent information related to any Litigation or
Audit; and (iv) providing information and legal representations to auditors in a form and within a
timeframe requested.
City shall reimburse Contractor for reasonable direct expenses incurred in connection with providing
documents and records required under this paragraph and may require, at the City's sole discretion,
such expenses to be documented by receipts or other appropriate documentation. Reasonable direct
expenses include costs, such as copying, postage and similar costs; but do not include wages, salaries,
benefits and other employee compensation. Contractor shall not be entitled to additional
compensation for employee services provided under this paragraph.
STANDARD OF CARE
The standard of care applicable to CONSULTANT's Services will be the degree of skill and diligence
normally employed by professional CONSULTANTS or consultants performing the same or similar
Services at the time said services are performed. CONSULTANT will re -perform any services not
meeting this standard without additional compensation.
CITY RESPONSIBILITIES
The CITY shall furnish, at the CONSULTANT's request, such information as is needed by the
CONSULTANT to aid in the progress of the project, providing it is reasonably obtainable from City
records.
CONSULTANT may reasonably rely upon the accuracy, timeliness, and completeness of the
information provided by CITY.
To prevent any unreasonable delay in the CONSULTANT's work, the CITY will examine all reports
and other documents and will make any authorizations necessary to proceed with work within a
reasonable time period.
PAYMENT
A. The Agreement Sum. The CITY shall pay to the CONSULTANT for the performance of the
Agreement the NOT TO EXCEED amount of $186,108.63 as outlined in the Cost portion of the
Consultant's Professional Services Proposal.
B. Method of Payment. The CONSULTANT shall submit itemized monthly statements for services.
The CITY shall pay the CONSULTANT within 30 calendar days after receipt of such statement. If any
statement amount is disputed, the CITY may withhold payment of such amount and shall provide to
CONSULTANT a statement as to the reason(s) for withholding payment.
C. Additional Costs. Costs for additional services shall be negotiated and set forth in a written
amendment to this Agreement executed by both parties prior to proceeding with the work covered
under the subject amendment.
HOLD HARMLESS
The CONSULTANT covenants and agrees to protect and hold the City of Oshkosh harmless against all
actions, claims, and demands which may be to the proportionate extent caused by or result from the
intentional or negligent acts of the CONSULTANT, its agents or assigns, its employees, or its
subcontractors related to the performance of this Agreement or be caused or result from any violation
of any law or administrative regulation, and shall indemnify or refund to the CITY all sums including
court costs, attorney fees, and punitive damages which the CITY may be obliged or adjudged to pay on
any such claims or demands within thirty (30) days of the date of the CITY's written demand for
indemnification or refund for those actions, claim, and demands caused by or resulting from
intentional or negligent acts as specified in this paragraph.
Subject to any limitations contained in Sec. 893.80 and any similar statute, of the Wisconsin Statutes,
the City further agrees to hold CONTRACTOR harmless from any and all liability, including claims,
demands, losses, costs, damages, and expenses of every kind and description (including death), which
may be to the proportionate extent caused by or result from the intentional or negligent acts of the
CITY, its agents or assigns, its employees, or its subcontractors related to the performance of this
Agreement or be caused or result from any violation of any law or administrative regulation, where
such liability is founded upon or grows out of the acts or omission of any of the officers, employees or
agents of the City of Oshkosh while acting within the scope of their employment.
It is the intention of the parties to this Agreement that each party shall be solely responsible for its own
actions and activities and the actions and activities of its own officers, employees and agents while
acting within the scope of their employment
INSURANCE
The CONSULTANT agrees to abide by the City of Oshkosh Insurance Requirements as specified in the
CITY'S Request for Proposal for this project.
WHOLE AGREEMENT / AMENDMENT
This document and any specified attachments contain all terms and conditions of the Agreement and
any alteration thereto shall be invalid unless made in writing, signed by both parties and incorporated
as an amendment to this Agreement.
NO THIRD -PARTY BENEFICIARIES
This AGREEMENT gives no rights or benefits to anyone other than CITY and CONSULTANT and has
no third -party beneficiaries.
AGREEMENT NOT TO BE CONSTRUED AGAINST ANY PARTY
This Agreement is the product of negotiation between the parties hereto and no term, covenant or
provision herein or the failure to include a term, covenant or provision shall be construed against any
party hereto solely on the basis that one party or the other drafted this Agreement or any term,
covenant or condition contained herein.
NO WAIVER
Failure of either party to insist upon the strict performance of terms and provisions of this agreement,
or any of them, shall not constitute or be construed as a waiver or relinquishment of that party's right
to thereafter enforce such term or provision, and that term of the provisions shall continue in full force
and effect.
NON-DISCRIMINATION
The Operator agrees not to discriminate in its operations under this Agreement on the basis of race,
color, creed, age, and gender, or as otherwise prohibited by law. A breach of this covenant may be
regarded as a material breach of this Agreement
SEVERABILITY
If any term, covenant, condition or provision of this agreement shall be invalid or enforceable, the
remainder of this agreement shall not be affected thereby the remainder of the agreement shall be valid
and enforceable to the fullest extent permitted by law.
CHOICE OF LAW AND VENUE
The laws of the State of Wisconsin shall govern the interpretation and construction of this Agreement.
Winnebago County shall be the venue for all disputes arising under this Agreement.
IN WITNESS WHEREOF, the City of Oshkosh, Wisconsin, has caused this contract to be sealed
with its corporate seal and to be subscribed to by its City Manager and City Clerk and countersigned
by the Comptroller of said City, and CONSULTANT hereunto set its hand and seal the day and year
first above written.

Scope of Integration Services
Summary of Work to be completed by Tierney Brothers, Inc. at 2 North Main St, Oshkosh, WI 54901.

Tierney has provided quotes based on the City of Oshkosh
Request for Proposal: Audio Visual Upgrades Oshkosh Convention Center.
The quotes have been designed to provide for all of the items listed in the RFP while also resulting in a system
that is uniform, easy to use, expandable, and upgradeable.
Tierney has also considered which of the existing Owner Furnished Equipment (OFE) to retain and which to
remove. It was determined that all of the existing AMX product would be removed from the system in order to
provide up to date and current product that will be easier to use and support.
The quotes have also been revised to reflect changes requested by the owner as per the phone interview on
March 24, 2017. The alternate Quotes from the original and first revision submittals have been removed for
clarity purposes.
The owner shall be responsible for any needed electrical outlets and electrical connections to screen housings.
Tierney has provided the needed lifts in the quotes for the anticipated work in the Hall.
Quote A - (94275): Large Exhibition Hall - Laser Projectors
Tierney will remove and replace the two existing projectors and motorized screens in the large ballroom. The
removed product will be given to the owner (or disposed of by Tierney). The new projectors shall be WUXGA
(full HD) Laser Light source with 12,000 ANSI Lumens and 4K enhancement. The new electric screens shall be in
a wide format 16:10 aspect ratio and 110" x 176" or 208" diagonal in size. The new screens shall be switched
utilizing the existing in wall rough -ins.
The existing Extron Crosspoint switcher, MTP Receivers/Transmitters, AMX Control System, and Kramer scalers
will be removed from the rack and given to the owner (or disposed of by Tierney). A new Extron XTP card based
matrix switcher will be installed in the owner's existing rack. The new switcher has been selected as it has a 50
GBps digital backplane that supports up to an 8K video resolution which exceeds the data -rate requirements of
the highest resolution video formats, including 4K/60 with 4:4:4 Chroma-sampling at 16 bits per color. The unit
ensures switching and distribution of video signals without degradation, offering the performance required to
maintain signal integrity even with the most demanding 4K video requirements. The unit supports the new
HDMI 2.Ob specification which features include data rates up to 18 GBps, HDR, and Deep Color up to 12 -bit, 3D,
and HD lossless audio formats. The unit is also HDCP 2.2 compliant.
All AV cabling to and from the rack area shall be new shielded plenum rated CAT6 Extron cable that has been
certified to 475 MHz bandwidth at distances up to 330 feet (100 m).
The inputs to this new switcher shall be the wall plates from the Hall and the adjoining Breakout rooms, OFE
cable boxes (HDMI), and the OFE Tightrope Carousel unit (VGA/Audi or HDMI). There are additional open inputs
should the owner wish to integrate the existing DVD unit or add other devices in the future.
In each room in the Hall, a new wall interface in the front will replace the existing one and will be a white 4 -gang
plate with HDMI, VGA/Audio, XLR (microphone), RJ45 (OFE LAN), and RF (OFE Cable TV). Note: The new
switcher has open inputs should the owner wish to add inputs at the back of either or both of the rooms.
The system has been designed so any source can be sent to either of the projectors. They shall be able to
duplicate screens as well as display separate images when the hall is divided.
To provide the best audio in the room, the new quote includes 30 new JBL pendant speakers. The speakers are
high output, full range, two-way pendant -type loudspeakers that provide superb sound reproduction and very
consistent, narrow coverage for rooms with open architecture ceilings and other locations where a pendant
form factor is desired. The well-controlled narrow coverage is ideal for improved voice intelligibility and musical
clarity in high -ceiling venues or in rooms with difficult acoustics such as convention centers.
The speakers will be powered by the existing Biamp amplifiers which will be reused in the rack. The Biamp audio
processor shall be retained and reprogrammed as needed. The sound systems in these areas shall replicate the
divide /combine scenarios that the video system does.
The audio system will be configured to provide inputs for a new OFE phased array hearing loop system located
within each hall (2 zones).
The control of the system shall be done in three manners. The first shall be from a new 10" color touchscreen
mounted in the rack. This new touchscreen shall have full control of the divide/combine functions, the
projector(s) on/off, the screen(s) up/down, the assignment of which microphone is active in which room, the
source selection for each room, and the audio level in each room. The second manner shall be from a new 10"
color touchscreen mounted in each side of the hall to replace the existing AMX button panels. Each of these
touch panels will be programmed to control the corresponding projector on/off, the corresponding screen
up/down, the input selection from the wall plate of the corresponding room, the overall audio level of the
corresponding side, and the input selection from any of the common sources (signage, cable box, DVD) in the
main rack. The third manner will be wirelessly. Two new wireless access points will be installed to create a
wireless AV control network. The network can setup to control who is allowed to operate the controls and what
they are allowed to control. An Wad Air and Wad Air Docking Station will be included with the system. In
addition, the system can be controlled with a Smartphone or similar wireless device with Extron's free control
software. The same security settings and restrictions will apply to any device using the control software.
Quote B - (94277): Breakout Rooms with Electric Screens and Laser Projectors
Tierney shall remove the existing flat panel displays, the mounts, the wall interfaces, and the controllers located
in rooms 134 Evelyn, 136 B.F. Carter, 142 John Lynch, 144 Dixie and in 135. Tierney will then provide and install
new Epson 6000 WUXGA (full HD) Laser Light Source with 4k enhancement projectors located in rooms 134
Evelyn, 136 B.F. Carter, 142 John Lynch, and 144 Dixie. (Room 135 will no longer have any AV equipment other
than the speakers). Each projector shall be ceiling mounted utilizing a drop in ceiling mount into the existing
ceiling grid. The power will be provided by the electrical contractor above the ceiling.
In each room, Tierney shall provide and install a new ceiling recessed electric screen. The new screens shall be
tensioned in a 16:10 aspect ratio and 60" x 96" or 113" diagonal in size. The screen material shall HD
Progressive 1.1 to provide the best image in the rooms, even if all of the room lights are on.
New wall interfaces in the front of each room will replace the existing ones and will be white 4 -gang plates with
HDMI, VGA/Audio, XLR (microphone), RJ45 (OFE LAN), and RF (OFE Cable TV). These interfaces will be
connected to the main matrix switcher which allows the new projectors to be able to duplicate the displays
being shown on the large exhibition hall projectors as well as break off into individual systems.
The speakers shall be reused in the rooms and will be run through the main audio system to replicate the video
system switching.
The control of the system in each room shall be from new 10" Color Touch Panels mounted in each room to
replace the existing AMX button panels. Each of these touch panels will be programmed to control the
corresponding projector on/off, the screen up/down, the input selection from the front of the corresponding
room, the overall audio level of the corresponding room, and the input selection from any of the designated
common sources (signage, cable boxes) in the main rack.
Quote D — (92500): Microphone System Upgrade
During the site survey it was determined that the location of the antennae's in the rack was limiting the range
and operability of the microphones. This quote includes the products needed to combine and extend the
antennae to the center of the exhibition hall which will greatly improve the microphone system performance.
The owner has also requested that the wireless microphones be replaced. Tierney has chosen the Shure ULXD
Digital Wireless system which offers extremely efficient RF performance, networked control, Dante digital audio
connectivity, and AES -256 encryption for professional sound reinforcement. There shall be three (3) new Shure
ULXD4Q Quad Channel Digital Wireless Receivers installed in the rack. Each receiver offers four channels of
audio, RF signal stability, and advanced setup features in a space -efficient single rack unit. Each 1RU all -metal
chassis houses four independent receivers, each with its own audio and RF meters, gain control, and
independent XLR outputs. They also support Dante connectivity for compatibility with most new networked
audio systems in the future.
The will be four (4) Shure wireless hand held microphones, four (4) Shure lapel worn microphones (Omni-
directional for the user who attaches the microphone to their clothing only to have it aimed away from their
mouth), and four (4) Shure Ear set head worn microphones.

Tierney shall provide 2 each, 4 -Hour On -Site Training Sessions on AV system operation.
Quote G — (92678): Extended Service Plan
This quote includes a one year Extended Service Plan with 24hr. response time.
Quote H — (95585): TBI Bonds
This quote includes performance bonds based on customer's requirements listed on page 15 section H2
"Payment and Performance Bonds".

Please inspect product upon delivery. All claims for defective merchandise or errors in shipping must be made within five days after receipt of goods. Clients using their own
carriers will be responsible for fling their own freight claims if product is damaged in transit. Returns require an authorization number and must be made within 30 days.
Custom orders and "Consumables", such as projector lamps, may not be returned. Returns are subject to restocking fees with the exception of out of box failures and
replacements under warranty. Restocking fees varying depending on the product line, expect a minimum charge of 25%.

One Year Premium Warranty
Terms and Conditions
Tierney Brothers, Inc. offers a Premium Warranty on the installation you have purchased. Tierney Brothers, Inc. will provide all
labor needed to correct any defects in the system. All manufacturer warranties will be honored under this warranty and if
equipment is out of warranty customer will receive a discount on parts. Also included in the Premium Warranty the customer
will receive:
• Unlimited Lifeline Support
• On-site service
• Discounts on Lamps and Accessories
• Preventative Maintenance Check
Preventative Maintenance Check will be completed toward the end of the Premium warranty period. The warranty period
commences at the end of the original installation warranty.
During the warranty period, Tierney Brothers, Inc. will first work to resolve any problems by troubleshooting over the phone.
If Tierney Brothers, Inc. Support Specialists determine that the issue cannot be resolved over the phone, a Technician will be
dispatched to your location(s) within 24 hours (if necessary) of the original call (Monday through Friday 8:00am — 5:00pm,
excluding national holidays). Customers outside of a 150 mile radius of Tierney Brothers, Inc. are subject to mileage and trip
charges. If service is required after the Premium warranty period has expired, the customer will be billed at Tierney Brothers,
Inc. current labor rates.
Obtaining Warranty Service
To obtain warranty service, please use your custom support portal (support.tiemeybrothers.com) and contact us via chat, phone,
or email. Click here for a short video explaining how to log in to your support portal your first time. If you have any questions,
please email supportretierneybrothers.com or call us at 800-933-7337. You can also call our advanced support line, 855-612-
7762.
Obtaining Your Preventative Maintenance Check
Tierney Brothers, Inc. will send out an email 60 days prior to the completion of each year requesting the customer to contact a
Support Specialist at 612-331-5500 or by email at techservice@tierneybrothers.com to schedule a Preventative Maintenance
Check. Customer may call to schedule Preventative Maintenance Check prior to the 60 day period if they require it done at an
earlier date. Preventative Maintenance Checks are done Monday through Friday 8:00am — 5:00pm. Customer is responsible
for providing access for up to 2 hours per room for Preventative Maintenance Check.
Limitations of coverage
The following items are excluded from coverage under the warranty:
a. Equipment that has been removed or reinstalled in a different location
b. Damage or other equipment failure due to causes beyond our control including, but not limited to, operator negligence, the
failure to maintain the equipment according to the owner's manual instructions, abuse, vandalism, theft, fire, flood, wind,
freezing, power failure, inadequate power supply, acts of war or acts of God.
C. Any utilization of equipment that is inconsistent with either the design of the equipment or the way the manufacturer intended
the equipment to be used.
d. Premium Warranty covers all hardware related failures. Network or software related failures are not covered under Tierney Brothers, Inc.
Premium Warranty.
e. Operational or mechanical failure which is not reported prior to expiration of this contract.
f. If programming is needed and Tierney doesn't have access to the program then customer will be billed current programming rates.
g. Programming changes or updates are not covered under maintenance agreement, all requested changes will be billed at current
programming rates.
h. Equipment where the serial plate attached to the equipment is removed, defaced or made illegible.
i. Damage resulting from unauthorized repair, software virus, improper electrical wiring and connections.
j. Existing Owner Fumished equipment.
k. Lift and Scaffolding rental is not included.

WHEREAS, the Principal has submitted a bid for

NOW, THEREFORE, if the Obligee shall accept the bid of the Principal and the Principal shall enter into a contract with
the Obligee in accordance with the terms of such bid, and give such bond or bonds as may be specified in the bidding or
contract documents with good and sufficient surety for the faithful performance of such contract and for the prompt
payment of labor and material furnished in the prosecution thereof, or in the event of the failure of the Principal to enter
such contract and give such bond or bonds, if the Principal shall pay to the Obligee the difference not to exceed the
penalty hereof between the amount specified in said bid and such larger amount for which the Obligee may in good faith
contract with another party to perform the work covered by said bid, then this obligation shall be null and void, otherwise
to remain in full force and effect.
