AGREEMENT
This agreement is between Oshkosh Area School District, 215 S. Eagle Street,
Oshkosh, Wisconsin 54902, and the City of Oshkosh, 215 Church Avenue, Oshkosh,
Wisconsin 54901. Each party agrees that good and sufficient consideration as described
or referenced in this document has been given to, and received from the other as part of
this agreement.
The City of Oshkosh, through Common Council Resolution 16-482, which was
passed on October 11, 2016, has granted to Oshkosh Area School District a privilege
within the City's right-of-way for the following purpose:
Installation of fiber optic cable along east side of Oregon Street.
Wisconsin state law provides that by its acceptance of this privilege the
undersigned shall become primarily responsible for damages to person or property by
reason of the granting of the privilege. Oshkosh Area School District, by virtue of its
signature below, specifically affirms that it understands the extent of its responsibility and
liabilities and accepts all such legal obligations.
Subject to Section 66.0425 of the Wisconsin Statutes and the terms and conditions
listed below, the City grants permission to Oshkosh Area School District ("Grantee") to
place an obstruction within the public right-of-way consisting of fiber optic cable ("the
facilities") as generally described in Exhibit A (Application for Privilege). Other terms and
conditions are identified in Exhibit B (Resolution 16-482 approved October 11, 2016) to
this Agreement. Exhibits A and B are attached hereto and are incorporated into this
Agreement by reference as if fully set forth herein.
1. The City's grant of the privilege in street is contingent upon the initial, and
continuing, compliance with all applicable local, state, and federal codes and
rules.
2. Grantee's facilities shall be installed in a manner that is approved by the
Department of Public Works. Any modifications or changes to the installation
or construction procedures shall not be permitted without prior approval of the
Department of Public Works.
3. Grantee's facilities shall be properly abandoned and removed in a manner
approved by the Department of Public Works when no longer needed.
4. Grantee shall notify and properly document its facilities with the Digger's
Hotline System.
5. Grantee's facilities shall be removed upon 10 days written notice from the City
requiring removal.

6. Grantee agrees that it is solely responsible for all of its activities under this
agreement, including but not limited to, the installation and maintenance of its
facilities and any action or inaction of Grantee, its employees, contractors, and
agents pertaining thereto, and that it is solely responsible for any and all
personal or property damage caused by any of its activities done under the
terms of this agreement and grant of privilege.
7. Grantee acknowledges and agrees that public utilities and facilities, and the
street and sidewalk, in the right-of-way are subject to maintenance, repair or
replacement. In the event that maintenance, repair, or replacement of public
utilities or facilities in the right-of-way will need to occur, the City agrees to make
reasonable efforts to notify Grantee of these activities so that Owner may
remove or otherwise protect its facilities if affected. Grantee shall be
responsible for all costs pertaining to the protection or removal of its facilities,
including any costs incurred by the City of Oshkosh to protect or remove its
facilities and Grantee shall reimburse City of Oshkosh for any such costs within
30 days after written request for such reimbursement.
8. Grantee releases the City of Oshkosh, its employees, agents, elected officials,
and authorized volunteers from all debt, claims, demands, damages, actions
and causes of action whatsoever which may result from Grantee's actions or
inactions related to the granting of this privilege. Owner shall protect and hold
the City of Oshkosh harmless against all actions, claims and demands of any
kind or character whatsoever which are related to the granting or use of this
privilege.
9. Both parties understand and agree that accidents and incidents occurring on
City rights-of-way may result in lawsuits or threats of lawsuits against the City.
Therefore, Grantee agrees to indemnify and pay to the City all amounts that
the City may be required, obligated, or adjudged as responsible to pay, for any
dispute or action related to Grantee's installation of facilities within the City
rights-of-way under this privilege. This indemnification is broad, and shall
include damages, attorney's fees and costs, and defense costs. The payments
required of Owner by this paragraph are due no later than 30 days after written
request for such indemnification. Owner agrees that this paragraph shall be
liberally construed in favor of the City of Oshkosh, in consideration of the
privilege granted by the City under this Agreement.
10. At all times during which Grantee is performing work or has facilities within the
right-of-way under this privilege, Grantee shall provide liability insurance which
shall cover all potential liabilities related to the privilege granted hereunder.
Grantee's insurance shall provide reasonable coverage for potential damages
to persons and property cause wholly, or in part, by Grantee's actions or
inaction or related in any way to the installation of Grantee's facilities within the
right-of way under this privilege. Minimum insurance coverage shall be

$200,000 for each occurrence for bodily injury and property damage liability
and $500,000 general aggregate. Grantee shall include the City of Oshkosh as
an additional insured on its policy for claims, liabilities, and damages pertaining
to this privilege. Grantee shall annually provide the City with proof of continued
insurance as required under this Agreement.
11. The City's permission is personal to Grantee and cannot be transferred or
assigned to any other person or entity, whether voluntarily or involuntarily
except as may be identified or described in this Agreement.
12. Grantee's responsibilities pursuant to this Agreement extend to its employee,
contractors, agents and any other persons performing work on Grantee's
behalf.
13. The election to enforce or not enforce any term of this Agreement, or any
statute, code, or rule, as well as the timing of such enforcement, shall be at the
City's sole discretion and shall not act as a waiver of any rights to exercise any
right in the future.
14. This Agreement shall incorporate all immunities and limitations provided to
municipalities within the Wisconsin Statutes, regardless of whether a claim is
based upon contract, tort, or other theory.
15. This Agreement may be recorded in the Office of the Registrar of Deeds for
Winnebago County, Wisconsin solely at the City's discretion.

PLAN COMMISSION RECOMMENDATION: Approved�v/conditions
WHEREAS, Section 66.0425, Wis. Stats., provides for the granting of a privilege in
a right-of-way; and
WHEREAS,the Plan Commission has approved of this request with conditions.
NOW, THEREFORE, BE IT RESOLVED by the Common Council of the City of
Oshkosh that the proper City officials are hereby authorized and directed to grant
Multimedia Communications &Engineering,Inc. and its contractors, a privilege in street
for installation of a Fiber Optic Cable along the east side of Oregon Street, per the
attached, with the following conditions:
1) The fiber optic cable be installed in a manner that is approved by the Department
of Public Works with no modifications or changes in construction procedure
without prior approval by the Department of Public Works.
2) If no longer needed, the fiber optic cable be properly abandoned and removed in
accordance with City standards and under the direction of the Department of
Public Works.
3) Any problem that may arise as a result of the placement of the fiber optic cable be
the responsibility of the petitioner/owner to correct in coordination with the
Department of Public Works.
4) All appropriate permits are obtained prior to the start of placement of the fiber
optic cable.

5) The fiber optic cable be modified or removed immediately upon the request of the
City.
6) The petitioner/owner secures and submits to the City Clerk a separate insurance
policy which names the City of Oshkosh, and its officers, Council members,
agents, employees and authorized volunteers as additional insured's with a
minimum commercial general liability coverage of $200,000 per occurrence and
$500,000 in general aggregate.
7) It is the responsibility of the petitioner/owner to file in a timely manner a new
insurance certificate with the City Clerk upon expiration of an existing certificate.
Failure to do so will result in the revocation of the privilege in street within ten
(10) days of notice.
8) The petitioner/owner execute a hold harmless agreement with the City.
9) The facility is part of and documented with Digger's Hotline system.

RE: Privilege in the Right of Way Narrative—Lakeside Elementary School Connection

Oshkosh Area School District (District) is planning a fiber optic connection to their Lakeside Elementary r
School Site via a fiber optic cable placed upon WPS-owned Utility poles and inside a 2" HDPE duct placed
underground, within the City of Oshkosh Right of Way and extending beyond. Please see the attached j
map for route details.
All planned routes have been shared with the City Department of Public Works. The final route has taken {
into consideration any input from the Department regarding existing utilities, planned activities in the
i
area, and future adjustments to streets,sidewalks,and other City Owned utilities.
The construction method used to place the underground duct and fiber optic cable within the City's Right
of Way will be Directional Bore. This method creates minimal noise and vibration levels that do not exceed
the limits established in the municipal code. The benefit to the Directional Bore method is that it
minimizes the amount of surface excavation necessary for installation. Operation of this equipment
would be limited to normal working hours of 7:00 AM to S:OOPM and will take into consideration any
hours of work restrictions placed by the City. At no time would the construction activities extend outside
the boundaries of the City ROW or County-owned properties.
Once approved, this connection will likely be installed early November of 2016. Once construction is k
completed and restoration has finished there will be no evidence of the work having taken place.
