The agreement isasfollows: Johnson's Cycle Center, Inc. d/b/a Open Road Harley Davidson (the"dealership") and the City of Oshkosh agree tothe following: * The dealership will provide the Oshkosh Police Department with at least one Police model Harley-Davidson motorcycle. * Motorcycles shall be titled in the name of the City of Oshkosh so that each motorcycle can be insured for damages to the motorcycle and for liability by the City of Oshkosh. ° Each motorcycle shall be transferred to the City of Oshkosh for$1 in consideration and each motorcycle shall be transferred back to the dealership for$1 in consideration when it is to be exchanged for a new motorcycle and/or returned to the dealership. * The dealership agrees to replace the motorcycle after said motorcycle has been used for at least 2 years, based upon mutual agreement between the parties, however,the dealership has sole discretion astowhen motorcycle is ordered, sold,delivered and returned to or from the dealership, except that the City may choose to return the motorcycle at any time if the City should determine to discontinue its motorcycle program. ifthe City nfOshkosh decides tureturn one ormore motorcycles tothe dealership midterm, it shall not be entitled to a full or partial refund of its annual$2,750 annual payment. w The dealership may also discontinue the program at any time, at its discretion,and any � motorcycles in the possession of the City of Oshkosh or the Oshkosh Police Department | shall be returned to the dealership promptly and in good condition, less normal wear � and tear. � ° The City ofOshkosh agrees tothe following: � ° Agrees to pay an annual payment of$2,750 per motorcycle per year under this program � due upon clehvery of any motorcycle and due on the same day each year thereafter. � � w Agrees ioproperly maintain all moto \nits possession underthispro8om. * Agrees to provide and pay for routine/scheduled maintenance through Open Road � Harley-Davidson, unless circumstances require immediate service and the ' motorcycle(s)is/are unable to return on its/theirovvn power orbetransported back to the dealership. * Agrees to provide any and all licensing, insurance coverage and rider training costs. � * Agrees toprovide all police equipment and non-standard accessories for the � motorcycle. � * Agrees to provide all markings and decals associated with the police department. w Agrees to pay standard labor rate to the dealership to have the police equipment � installed and/or removed. • Agrees that any and all damage to the motorcycle is the responsibility of the City of Oshkosh and/or the Oshkosh Police Department. Repairs shall promptly bemade or, in the event of irreparable damage,at the dealership's option,the City of Oshkosh may pay the dealership for a replacement. • Subject to any limitations contained in Secs.893.80,893.83,345.05, and any similar statute, of the Wisconsin Statutes,the City of Oshkosh agrees to indemnify,defend,and hold Johnson's Cycle Center, Inc. (d/b/a Open Road Harley Davidson), its officers, employees and agents harmless from any and all liability, including claims, demands, losses, costs,damages, and expenses of every kind and description (including death), or damages to person or property arising out of the terms of this Agreement where such liability is founded upon or grows out of the acts or omission of any of the City's officers, employees,volunteers or agents while acting within the scope of their employment. Nothing contained within this agreement is intended to be a waiver or estoppel of the ability of the contracting municipality or its insurer to rely upon the limitations, defenses, and immunities contained within Wisconsin law, including those contained within Wisconsin Statutes§§893.80, 895.52, and 345.05 and that such damage limits, caps and immunities shall be used to govern all disputes, contractual or otherwise,as they apply to the parties,their agents,officers and employees.
