PARAMEDIC AMBULANCE STAND-BY

i THIS AGREEMENT made and entered into this day of November, 2016, by and
between, Board of regents of the University.of WI system on the behalf of the University of WI
i Oshkosh hereinafter called "UWO",and the City of Oshkosh,a iluinicipal corporatiolk,hereinafter
called"CITU'%
# WHEREAS, UWO has requested the CI'T'Y provide a dedicated paramedic ambulance for
stand-by, during specified hours for Football Gaines at Titan Stadium,and
WHEREAS, the Common Council fbr the City of Oshkosh has authorized the appropriate
City officials to enter into such an agreenient.
NOW,THI;REIiORR,it is agreed by and between the patties to this agreement thatthe CITY
shall provide one (1) two-person paramedic ambulance, to be present at Titan Stadium during the
Football Gaines. The paramedic. wilt shall be. primarily responsible for providing first aid and
response to medioal emergencies.

1 IT IS FURTHER AGREED that UWO shall pay$124.25 per hour for the ambulance.Billed
time will corn mence 30 minutes prior to the strut of stand-by and end 30 minutes after the
C termination of stand-by with a mininitmi of 3 hours.Any additional hours requested or required to
provide adequate service in the sole opinion of the Duty Chir£for the City of Oshkosh hire
Departmeent,shall be added to the prescheduled stand-by hours and billed at the same hourly rate.If
for any reason the event is cancelled, a three(3) hour mininiurn will be charged if the event is not
cancelled at least twelve(12)hours before the scheduled start time,
I'rc-event cancellations shall be made by calling(920)236-5210 between 8;00 a.m.and,1:30
p.m. Monday through Friday or(920)236-5211 at other bines.
The CITY shall invoice UWO Stadium Bridget, c/o Susie Gustko, 800 Algoma Blvd,,
Oshkosh, WI 51901 foilowing each event, with payment to be made within 30 days of receipt of
invoice. Failure.to timely pay an invoice shall be a breach of this agreement.
All patients requiring transport by the Oshkosh Fire Department ambulance will be billed for
services rendered according to the CITY's usual and customary procedures and rates for service..
Consistent with the Statutes of the State of Wisconsin,each patty to this contract agrees to
assume liability for the wrongful .acts or omissions of its employees or agents while they are
functioning within the scope of their employment or agency,and hold the other harmless for such
liability,
The Board of Regents for the University of Wisconsin System agrees to provide liability
protection for its officers,etnplayees and agents while actingwithin the scope of their etnployntent.

The Board of Regents further agrees to hold harmless the City of Oshkosh,its officers,agents and
i employees from any and all liability, including claims, demands, losses, costs, damages, and
expenses of every kind and description(including death), or damages to persons or property arising
l out of of in connection with or occurring during the course of this agreement where such liability is
founded upon or grows out of the acts or omissions of atry of the officers,employees or agents of the

Similarly,the City of Oshkosh agrees to hold harmless the University,and all its officers,employees
! and agents fiom any and all liability,including claims,demands,losses,costs,damages and expenses
! of every kind ttnd description or damages to persons or property arlsing out of or in connection with
or occurring during the course of'this agreement,where such liability is founded upon or grows out
of the acts or omissions of employees,officers,or agents of the City of Oshkosh while acting within
! the scope of their employment where protection is afforded by ss, 893,80 and 895,46(1)Wis.Stats.
!� UWO and the CITY shall have the right to terminate this agreement without cause upon 10
days prior written notice to the other party,
