TX178 AGREBMENT made and entered into this day of November, 2016, by and
between;Boiuxi of Regents of tKe University of M system ori the behalf of tlie:Tjiversity of WI
Oshkosh h6ioinafter called 'QW'0",and the City of Oshkosh,a municipal corporation,hereinafter
called "CITY",
WIX-P AS, UWO has requested the CITY provide.a dedicated paramedio ambulanoe for
stared-by, during specified hours for Football Games at Titan Stadium,and
Wf-IERBAS, the Common Council for the City ofOSM'osh has authorized the appropriato
City offlcials to enter into such art agreement,
NOW,T1413rUFORE,it is agreed by and betwoort the parties to this agreementthat the CTT "
shall provide one(1) two-person paramedic ambulance, to be present at Titan Stadium during the
Football games. The paramedic unit shalt be primarily responsible for providing first E<(d_And
respoase to nlediod enictgerioies.

IT IS FURTREIt AGREE])that U WO shall pay 5124.25 per hour for the ambulance,,Rifled
time will contMcnce 30 minutes prior to 1116 start of stand-by and end 30 minutes after the
termination of stand-by with a minimum of 3 bouts,Any additional hours requested orxequlred to
provide adequate serviec in the sole opinion, of the Duty Chief for the City of Oshkosh hire
Department,shall be added to the pre$Oheduled stand-by hours and billed at the same hourly-rate. _,....__-

The CITY shall invoice UWO Stadium Dpdget, c/o Susie C�ustke, 800 Algoma Blvd.,
Oshkosh, Wf 5001 following ertoh event,with payment to be made within 30 days ofrecefpt of
invoice. Failure to timely pity allin'veice shall be a breaoh ofthls agreoinant,
All patients requiring traatspo•t by the Oshkosh Fire Depaa•#ment 4mWInnt o W111 be billed for
services rendered according to the CITY's usual and customary proecduros and rates for service.
Consistent with the Statutes of the State of Wiscotnslta,each parry to this contract agrees to
assume liability for the wronghtl acts or onxissions of its employees or agents while they are
functioning within The scopa of their employment or agenoy, and hold the other harmless for sueh
liability. .
The Board of Regents for the University of Wisconsin Systern agrees to provide liability
Protection for its officers,employces and agents while acting within the scope of theiremployment.

The Board of Regents ftii'ther agrees to hold harmless the City of Oshkosh,its officers, agents and
employees frorn any and all liability, including claims, demands, losses, costs, damages, and
oxpcnscs of every kind and description(inctuding death),ordamages to persons or property arising,
out of or in comiectlon with or occurring duriiig the course of Ods agreement where such liability is
founded upon or grows out of the acts or omissions of any of the officers,employees or agents of the
University of Wisconsin System while acting within the scope df their employmentNvhereprotection
is afforded by ss. 893.82 and 895,46(])Wis.Stats,
Similarly,the CRY of Oshkosh agrees 10 hold harmless the University,and all its ofi'icois,crnployees
and agents from any and all liability,including clatins,demands,losses,costs,damages and expenses
of every kind and description or damages to persons orproperty arising out ofor in connection wish;
or occurring daring the course of this agreement,where such liability is founded upon or grows otrt

U'SY,rO and the CITY shall have the right to teininate this agreement without cause upon 10
