HomeMy WebLinkAboutGO-HNI-CB&E agreement 2017 1A65 Z_ AGREEMENT This agreement is between the City of Oshkosh, hereinafter the "City" and the Greater Oshkosh Healthy Neighborhoods Incorporated, hereinafter the "GO-HNI". In accordance with this agreement, GO-HNI agrees to provide neighborhood development activities in the City,to coordinate this assistance with designated City staff and City Council, and to implement the activities set forth herein. PURPOSE The purpose of the agreement is to further the overall goals of the ONE Oshkosh Initiative as set forth in EXHIBIT A by facilitating neighborhood development activities through interagency cooperation and services provided by GO-HNI to strengthen neighborhoods in Oshkosh. AGREEMENT GO-HNI agrees to provide direct neighborhood development assistance in the City in accordance with ONE Oshkosh Initiative as set forth in EXHIBIT A and herein. GO-HNI will advocate for neighborhood development within the City. GO-HNI will expend its best efforts to promote neighborhood development services including community building and engagement, real estate development and asset management activities within Oshkosh. The neighborhood development services to be provided by GO-HNI will consist of the following: Community Building& Engagement(CB&£) 1. GO-HNI will conduct on-going neighborhood organizing. GO-HNI will support the organization of six(6) new neighborhood associations by the Term of this Agreement. GO-HNI will contact the appropriate City staff when new neighborhoods begin the organizing process.City staff will provide technical assistance to the neighborhood organization, as feasible, upon request by GO- HNI.The neighborhood organizing efforts will be done in coordination with the Neighborhood Association Recognition Policy in place with the City. GO-HNI will be responsible for notifying recognized neighborhood associations and the City when a recognized neighborhood association meets or fails to meet the requirements set forth by the Neighborhood Association Recognition Policy in place with the City. GO-HNI will also supply a list of two (2) neighborhood resident contacts from each recognized neighborhood association to the City annually, 2. GO-HNI will assist existing neighborhood associations upon direct contact or referral from the City Council and/or City staff and report findings and resolution to the respective party, 3. GO-HNI will organize and provide staff support for eleven (11) Oshkosh Healthy Neighborhood Alliance (OHNA) meetings annually. GO-HNI will be responsible for maintaining a membership roster and a record of meeting agendas, materials, and minutes. 4. GO-HNI will promote and administer a Community Building and Engagement program in the City. GO-HNI and the City will review the program annually to ensure it is achieving the outcomes and production targets established by the terms of this Agreement.The City will be recognized as a funder and/or sponsor on all program promotional materials. S. GO-HNI will establish six(6) unique neighborhood brands as set forth by the ONE Oshkosh brand criteria established by the City and GO-HNI by the Term of this Agreement. 6. GO-HNI will work with residents to develop six(6) neighborhood-specific marketing materials that promote Oshkosh neighborhoods as places of choice as set forth by the ONE Oshkosh Initiative brand criteria established by the City and GO-HNI by the Term of this Agreement. 7. GO-HNI will be responsible for supporting, sponsoring,or organizing a minimum of one (1)event per recognized neighborhood association annually. 8. GO-HNI will organize, sponsor, and promote a minimum of one (1) resident leadership training or educational workshop opportunity annually for recognized neighborhood associations. 9. GO-HNI and the City will coordinate to collect, an and report on data that measures the impacts of Community Building and Engagement activities on resident confidence within an agreed upon geography by the Term of this Agreement. Real Estate Development 10. GO-HNI will develop a written residential real estate development investment criteria and construction/rehabilitation standards intended to strengthen the residential real estate market and competitiveness of neighborhoods in Oshkosh and are consistent with City goals and objectives.The written residential real estate development investment strategy must be completed in 2016 prior to the first acquisition of real estate. GO-HNI will establish a set of written construction/rehabilitation standards by the end of 2016. 11. GO-HNI will attract private capital investment to neighborhoods with the goal of creating$2 of private investment for every$1 of public funding spent by the Term of this Agreement. 12. GO-HNI will purchase, rehab, and sell a total of six(6)affordable housing units to qualified owner occupants by the Term of this Agreement. Asset Management 13. GO-HNI will develop a written residential/commercial rental real estate investment criteria and construction/rehabilitation standards that is consistent with City goals and objectives.The City expects that GO-HNI's results will be based on a thorough analysis of the existing residential rental market in Oshkosh to identify the target market for all residential rental real estate investments prior to acquisition of residential rental/commercial real estate. Marketing Activities 14. Within the first year of the Term of this Agreement,GO-HNI will develop and implement a written marketing plan that utilizes media and public relations relationships designed to increase the awareness of GO-HMI's services and to reflect a positive image of neighborhoods in Oshkosh. 15. Within the first year of the Term of this Agreement, GO-HNI will develop targeted communication and outreach tools to reach stakeholders to garner on-going support for neighborhood development activities in Oshkosh. Activities,and frequency of such,will include: t Annually; • Presentations to Civic Clubs • Neighborhood Association Meetings and/or Appropriate Events • CITY Council/Town Board/County Board Briefings • One (1) City-wide event to promote neighborhood development activities of GO-HNI and the City. Quarterly: • Neighborhood Newsletter • Report on progress towards identified production targets identified within this Agreement. As Appropriate: • Social Media • Press Releases 16. Within the first year of the Term of this Agreement,GO-HNI will develop and ensure that its website is both a reflection of the collaborative and high quality organization, as well as be a client-centered resource containing quality information. 17. Annually GO-HN1 will secure earned media placements at least once per quarter in local news media outlets to showcase Oshkosh neighborhoods or citizens, framed in a positive light. 18. When meeting with local residents, investors, realtors, or lending institutions, GO-HNI will provide information and referrals on existing local,state and federal neighborhood assistance programs. These programs include but are not limited to housing loan and grant programs, neighborhood capital improvement programs and homebuyer assistance programs offered by the City. GO-HNI staff will also provide information and referrals to other organizations that can meet the needs of residents, investors, realtors, and lending institutions. 19. GO-HNI will pursue opportunities to inform and educate area service providers(i.e. realtors, lenders, employers) about the services provided by GO-HNI and the City to encourage client and employee referrals. 20. GO-HNI will provide written quarterly and annual reports to the City Manager and Director of Community Development.This activity will include a summary of the activities conducted during the reporting period as they related to the identified production targets within this Agreement. Capacity Building 21. GO-HNI staff will meet bi-weekly and as needed with City staff to review neighborhood development needs and discuss implementation of appropriate community or location-specific tools, as well as to provide support for neighborhood development endeavors. 22. GO-HNI will support and prioritize neighborhood-based development and redevelopment initiatives that concentrate resources into recognized neighborhood association areas. 23. GO-HNI will build the capacity of the organization to proactively respond to neighborhood-based opportunities or concerns originated by residents. 24. GO-HNI will support the City in identifying one (1) recognized neighborhood association to complete a neighborhood action plan annually. GO-HNI will also assist the City with identifying and training resident leaders to support a resident-led survey within the identified neighborhood. Additional Support Activities 25. GO-HNI will complete a benchmark analysis of similar communities. 26. GO-HNI will work with City staff to establish a scorecard relevant to identified metrics related to neighborhood development activities.This will be focused on measureable outcomes as well as provide results-oriented data to private investors. 27. GO-HNI will implement systems and tools in order to conduct an impact analysis for all investment-related decisions. 28. GO-HNI will track key measurements to garner an overall sense of how the greater Oshkosh area is doing. Such measurements may include, but are not limited to: • Number and value (in dollars) of resident volunteer hours invested by neighborhood • Number of event participants • Value (in dollars) of in-kind donations • Number of resident events held and/or sponsored • Number of projects completed and/or sponsored • Dollars leveraged as a result of the City's investment 29. GO-HNI will maintain an inventory of their available properties in Oshkosh and make that information available via the GO-HNI website. Additionally, GO-HNI will implement a system for providing this information to interested parties. GO-HNI will work with the City to develop marketing materials for available properties and investment opportunities. TERM This Agreement shall commence on June 1, 2016 and shall terminate on December 31, 2018 unless terminated earlier by one of the parties as provided in this Agreement. The Agreement may be renewed if necessary for two additional one year periods if the City and GO-HNI affirmatively, mutually agree upon a starting date for such agreement,goals and expectations, as well as additional compensation, unless terminated by one of the parties by giving written notice to the other party no later than 90 days of the preceding year for the following one year extension. TERMINATION This agreement may be terminated by either party with or without cause upon thirty(30) days written notice in the event of default by the other party of any material provision hereof which remains unremedied for thirty (30) days following written notice of such default. COMPENSATION The City shall pay to GO-HNI a lump sum annually as indicated within Exhibit B.The City has the ability to withhold funding should GO-HNI fail to meet annual production targets as indicated within this Agreement. Up to $25,000 of GO-HNI annual contract amount can be used for CB&E activities identified within this Agreement.The remaining annual contract funds must be used for affordable housing activities identified within this Agreement and no more than 15%can be used towards administrative costs. In the event this Agreement is terminated for any reason during the course of the year after payment has been made, GO-HNI will be entitled to retain payment for documented work completed,with the remainder of the lump sum returned to the City. ADDITIONAL SERVICES FOR MANAGEMENT AND ADMINISTRATION OF NEIGHBORHOOD DEVELOPMENT ACTIVITIES At the City's discretion the City may request additional marketing, sales, projects and other management and administrative tasks or services related to the City's neighborhood development activities. If additional services are requested, the City and GO-HNI shall mutually determine a starting date for such assignment,goals and expectations, as well as additional compensation for such functions, if necessary. INDEPENDENT CONTRACTOR GO-HNI shall be an independent contractor of the City. Neither GO-HNI nor any of its officers, employees,or agents shall be considered to be an employee of the City as a result of the obligations undertaken pursuant to this agreement.The projects funded and undertaken shall not be considered to be joint ventures or indicative of any partnership, and both such relationships are disavowed. GO-HNI's officers,employees and agents shall make no commitments or representation on behalf of the City to third parties without prior approval of the City. In addition, GO-HNI hereby holds harmless the City and its departments, officers, employees and agents from and against all claims, demands and liability for damages to third persons of any type whatever arising out of the actions of GO-HNI under this agreement. CONFIDENTIALITY GO-HNI Board members and staff will receive information on a regular basis which has been designated by GO- HNI or a third party as confidential. GO-HNI has determined it is vitally important to maintain confidentiality of information. GO-HNI requires all of its Board members and staff to agree to protect the confidential information that they have access to or use during their time with GO-HNI.This requirement is important to the credibility of the organization and to instilling confidence in GO-HNI for client companies and investors. GO-HNI is committed to open dialogue with City staff and City Council. However,there may be those occasions where confidentiality requirements restrict the sharing of such confidential information. GO-HNI agrees to assist the City with all of the City's efforts to comply with open records laws as those laws apply to the City's funding of GO-HNI and its projects. LIABILITY INSURANCE GO-HNI agrees to abide by the attached City of Oshkosh Insurance Requirements for Professional Services. NOTICES All communications or notices required or permitted by this Agreement shall be in writing and shall be deemed to have been given: (i) upon delivery to an officer or the person entitled to such notice, if hand delivered, or(ii) two business days following deposit in the United States Mail, postage prepaid, or with a nationally recognized overnight commercial carrier that will certify as to the date and time of delivery, air bill prepaid, or(iii) upon transmission if by facsimile, any such communication or notice shall be addressed as follows, unless and until any such party notifies the other in accordance with this section of any change of address: If to theCity:- City of Oshkosh Community Development Director 215 Church Avenue Post Office Box 1130 Oshkosh,WI, 54903-1130 If to GO-HNI: Greater Oshkosh Healthy Neighborhoods Incorporated 230 Ohio Street,Suite 100 Oshkosh,WI 54902 Attn: Chairman of the Board ASSIGNMENT GO-HNI agrees that it will not assign this agreement or any portion thereof, or any of its responsibilities hereunder,to any other party without first obtaining the written permission of the City.
