AGREEMENT
This AGREEMENT, made on the day of ` GVr1 , 2016, by and
between the CITY OF OSHKOSH, party of the first part, hereinafter referred to as CITY,
and CH2M HILL ENGINEERS, INC., 135 South 84th Street, Suite 400, party of the second
part, hereinafter referred to as the CONSULTANT,
WITNESSETH:
That the CITY and the CONSULTANT, for the consideration hereinafter named,
enter into the following AGREEMENT for WATER FILTRATION PLANT ELECTRICAL
STUDY.
ARTICLE 1, PROJECT MANAGER
A. Assignment of Project Manager. The CONSULTANT shall assign the following
individual to manage the PROJECT described in this AGREEMENT:
Linda Mohr, P.E. --Senior Project Manager
B. Changes in Project Manager. The CITY shall have the right to approve or
disapprove of any proposed change from the individual named above as Project Manager.
The CITY shall be provided with a resume or other information for any proposed substitute
and shall be given the opportunity to interview that person prior to any proposed change.
ARTICLE 11. CITY REPRESENTATIVE
The CITY shall assign the following individual to manage the PROJECT described in
this AGREEMENT:

ARTICLE Ill. SCOPE OF WORK
The CONSULTANT shall provide the services described in the CONSULTANT's
Scope of Services. CITY may make or approve changes within the general Scope of
Services in this AGREEMENT. If such changes affect CONSULTANT's cost of or time
required for performance of the services, an equitable adjustment will be made through an
amendment to this AGREEMENT.
All reports, drawings, specifications, computer files, field data, notes, and other
documents and instruments prepared by the CONSULTANT as instruments of service shall
remain the property of the CITY.

ARTICLE IV. STANDARD OF CARE
The standard of care applicable to CONSULTANT's services will be the degree of
skill and diligence normally employed by professional consultants or consultants performing
the same or similar services at the time said services are performed. CONSULTANT will re-
perform any services not meeting this standard without additional compensation.
ARTICLE V. OPINIONS OF COST,_FINANCIAL CONSIDERATIONS, AND SCHEDULES
In providing opinions of cost, financial analyses, economic feasibility projections, and
schedules for the PROJECT, CONSULTANT has no control over cost or price of labor and
materials; unknown or latent conditions of existing equipment or structures that may affect
operation or maintenance costs; competitive bidding procedures and market conditions;
time or quality of performance by operating personnel or third parties; and other economic
and operational factors that may materially affect the ultimate project cost or schedule.
Therefore, it is understood between the parties that the CONSULTANT makes no warranty
that the CITY's actual project costs, financial aspects, economic feasibility, or schedules will
not vary from CONSULTANT's opinions, analyses, projections, or estimates.
ARTICLE V1. RECORD DRAWINGS
Record drawings, if required, will be prepared, in part, on the basis of information
compiled and furnished by others. CONSULTANT is not responsible for any errors or
omissions in the information from others that the CONSULTANT reasonably relied upon
and that are incorporated into the record drawings.
ARTICLE VII. CITY RESPONSIBILITIES
The CITY shall furnish, at the CONSULTANT's request, such information as is
needed by the CONSULTANT to aid in the progress of the PROJECT, providing it is
reasonably obtainable from City records.
To prevent any unreasonable delay in the CONSULTANT's work, the CITY will
examine all reports and other documents and will make any authorizations necessary to
proceed with work within a reasonable time period.
ARTICLE VIII. ASBESTOS OR HAZARDOUS SUBSTANCES
If asbestos or hazardous substances in any form are encountered or suspected,
CONSULTANT will stop its own work in the affected portions of the PROJECT to permit
testing and evaluation.
If asbestos is suspected, CONSULTANT will, if requested, manage the asbestos
remediation activities using a qualified subcontractor at an additional fee and contract terms
to be negotiated.

If hazardous substances other than asbestos are suspected, CONSULTANT will, if
requested, conduct tests to determine the extent of the problem and will perform the
necessary studies and recommend the necessary remedial measures at an additional fee
and contract terms to be negotiated.
CITY recognizes that CONSULTANT assumes no risk and/or liability for a waste or
hazardous waste site originated by other than the CONSULTANT.
ARTICLE IX. CITY'S INSURANCE
CITY will maintain property insurance on all pre-existing physical facilities associated
in any way with the PROJECT.
CITY will provide (or have the construction contractor(s) provide) a Builders Risk All
Risk insurance policy for the full replacement value of all project work including the value of
all onsite CITY-furnished equipment and/or materials associated with CONSULTANT's
services. Upon request, CITY will provide CONSULTANT a copy of such policy.
ARTICLE X. TIME OF COMPLETION
The work to be performed under this AGREEMENT shall be commenced and the
work completed within the time limits as agreed upon in the CONSULTANT's Scope of
Services
The CONSULTANT shall perform the services under this AGREEMENT with
reasonable diligence and expediency consistent with sound professional practices. The
CITY agrees that the CONSULTANT is not responsible for damages arising directly or
indirectly from any delays for causes beyond the CONSULTANT's control. For the
purposes of this AGREEMENT, such causes include, but are not limited to, strikes or other
labor disputes, severe weather disruptions or other natural disasters, failure of performance
by the CITY, or discovery of any hazardous substances or differing site conditions. If the
delays resulting from any such causes increase the time required by the CONSULTANT to
perform its services in an orderly and efficient manner, the CONSULTANT shall be entitled
to an equitable adjustment in schedule.
ARTICLE XI. COMPONENT PARTS OF THE AGREEMENT
This AGREEMENT consists of the following component parts, all of which are as
fully a part of this AGREEMENT as if herein set out verbatim, or if not attached, as if hereto
attached:

In the event that any provision in any of the above component parts of this
AGREEMENT conflicts with any provision in any other of the component parts, the provision
in the component part first enumerated above shall govern over any other component part
which follows it numerically except as may be otherwise specifically stated.
ARTICLE XII. PAYMENT
A. The Agreement Sum. The CITY shall pay to the CONSULTANT for the
performance of the AGREEMENT the total sum as set forth below, adjusted by any
changes hereafter mutually agreed upon in writing by the parties hereto:
• Time and Materials Not to Exceed $86,800 (Eighty Six Thousand Eight
Hundred Dollars).
• Attached fee schedule shall be firm for the duration of this AGREEMENT.
B. Method of Payment. The CONSULTANT shall submit itemized monthly
statements for services. The CITY shall pay the CONSULTANT within thirty (30) calendar
days after receipt of such statement. If any statement amount is disputed, the CITY may
withhold payment of such amount and shall provide to CONSULTANT a statement as to the
reason(s)for withholding payment.
C. Additional Costs. Costs for additional services shall be negotiated and set
forth in a written amendment to this AGREEMENT executed by both parties prior to
proceeding with the work covered under the subject amendment.
D. Indirect Costs. Indirect costs such as computer time, printing, copying, cell
phone charges, telephone charges, and equipment rental shall be considered overhead and
shall not be invoiced separately to the PROJECT.
E. Expenses. Expenses may be billed with up to a maximum of 10% mark-up.
All invoices with expenses shall include supporting documentation of the expense, Failure
to include the supporting documentation will result in the reduction of payments by the
amount of those expense(s) not including documentation.
ARTICLE XIII. HOLD HARMLESS
The CONSULTANT covenants and agrees to protect and hold the City of Oshkosh
harmless against all actions, claims, and demands which may be to the proportionate extent
caused by or result from the intentional or negligent acts of the CONSULTANT, his/her
agents or assigns, his/her employees, or his/her subcontractors related however remotely to
the performance of this AGREEMENT or be caused or result from any violation of any law
or administrative regulation, and shall indemnify or refund to the CITY all sums including
court costs, attorney fees, and punitive damages which the CITY may be obliged or
adjudged to pay on any such claims or demands within thirty (30) days of the date of the
CITY's written demand for indemnification or refund for those actions, claim, and demands
caused by or resulting from intentional or negligent acts as specified in this paragraph.

Subject to any limitations contained in Sec. 893.80 and any similar statute of the
Wisconsin Statutes, the CITY further agrees to hold CONSULTANT harmless from any and
all liability, including claims, demands, losses, costs, damages, and expenses of every kind
and description (including death), or damages to person or property arising out of reuse of
the documents without consent where such liability is founded upon or grows out of the acts
or omission of any of the officers, employees or agents of the City of Oshkosh while acting
within the scope of their employment.
ARTICLE XIV. INSURANCE
The CONSULTANT agrees to abide by the attached Cily of Oshkosh Insurance
Requirements
ARTICLE XV. TERMINATION
A. For Cause. If the CONSULTANT shall fail to fulfill in timely and proper
manner any of the obligations under this AGREEMENT, the CITY shall have the right to
terminate this AGREEMENT by written notice to the CONSULTANT. In this event, the
CONSULTANT shall be entitled to compensation for any satisfactory, usable work
completed.
B. For Convenience. The CITY may terminate this AGREEMENT at any time by
giving written notice to the CONSULTANT no later than ten (10) calendar days before the
termination date. If the CITY terminates under this paragraph, then the CONSULTANT shall
be entitled to compensation for any satisfactory work performed to the date of termination.
This document and any specified attachments contain all terms and conditions of the
AGREEMENT and any alteration thereto shall be invalid unless made in writing, signed by
both parties and incorporated as an amendment to this AGREEMENT.
ARTICLE XVI. RE-USE OF PROJECT DOCUMENTS
All reports, drawings, specifications, documents, and other deliverables of
CONSULTANT, whether in hard copy or in electronic form, are instruments of service for
this PROJECT, whether the PROJECT is completed or not. CITY agrees to indemnify
CONSULTANT and CONSULTANT's officers, employees, subcontractors, and affiliated
corporations from all claims, damages, losses, and costs, including, but not limited to,
litigation expenses and attorney's fees arising out of or related to the unauthorized re-use,
change, or alteration of these project documents.
ARTICLE XVII. SUSPENSION, DELAY, OR INTERRUPTION OF WORK
CITY may suspend, delay, or interrupt the services of CONSULTANT for the
convenience of CITY. In such event, CONSULTANT's contract price and schedule shall be
equitably adjusted.

ARTICLE XVIII. NO THIRD-PARTY BENEFICIARIES
This AGREEMENT gives no rights or benefits to anyone other than CITY and
CONSULTANT and has no third-party beneficiaries.

Purpose °sHh
The City of Oshkosh (City) is planning a major upgrade to the Water Filtration Plant(WFP) to correct a
deficiency cited by the Wisconsin Department of Natural Resources (WDNR).The deficiency–the
operation of buried finished water storage tanks (clearwells)—will be corrected by demolition of the
existing clearwells and construction of new above ground clearwells. To operate above ground
clearwells, the City needs to construct a new intermediate lift station to fill the clearweils and a new
high lift pump station to pump finished, or potable,water to the City's customers.The structural
changes will drive major changes to the WFP electrical system.The purpose of this study is to define the
status of the exiting WFP electrical system and what improvements will be needed to support the
clearwells replacement project.
The study will result in computerized modeling studies of the electrical system, including load flow, short
circuit and device coordination analysis, and arc flash hazard evaluation.The study will include
preliminary definition of electrical improvements needed for the clearwells project,cost estimates,and
recommendations for implementation to maintain continuous reliable WFP operation during
construction.
To meet the goals of the WFP Electrical Study, CH2M will complete the following engineering services:
• Task 1—Data collection
• Task 2—Electrical system modeling and engineering analyses
• Task 3—Study report
• Task 4—Project management and quality assurance/quality control
CH21VI HILL, Inc. (CH21M)will provide professional engineering services to conduct modeling analyses,
perform calculations, and produce deliverables based upon the 2015 National Fire Protection
Association 70E Standard for Electrical Safety in the Workplace and 2014 National Electric Code
requirements.
Task 1—Data Collection
To evaluate the existing electrical system and potential WFP electrical needs, CH2M will review existing
documentation from the 1997 WFP construction and from the 1985 high lift/low lift pump station
construction.CH2M will also review recorded information about the incoming electrical utility service
from Wisconsin Public Service (WPS), electrical transformers owned by WPS or the City, WFP switchgear,
motor control centers, emergency generators, panels, and motors.
With the assistance of City personnel,CH2M will verify records and fill data gaps by field data collection.
CH2M will prepare general device forms with fields for required information to be used in data
collection as follows:
• Site observations to verify and develop accurate single-line diagram.
• Power distribution equipment make and model; panel, motor control center, switchgear, etc.
• Motor nameplate data: type, horsepower,voltage,full load amp, revolutions per minute, efficiency,
power factor, etc.
• Transformer nameplate data: percentage impedance, kilovolt amperes, reactance versus resistance
ratio, phases, number of wires, etc.
• Feeder and branch circuit conductor type and size (copper or aluminum cable, bus duct,American
wire gauge,single or parallel runs), conduit routing and material (metal or non-metallic), and
approximate conductor lengths.
• Standby generator data, including ratings and reactance (transient and sub-transient).
• Protective devices make and model, current and ampere interrupting capacity ratings, actual
settings for existing equipment, and initial settings for new equipment associated with the
clearwells project.
• Utility meter number and/or service address.
CH2M will contact WPS on behalf of the City to request information required for the modeling studies,
including WPS transformer ratings;WPS primary service configuration, protective device type, and
settings or ratings; electrical service peak demand; and available fault current(high and low level).
CH2M will also review WFP operating records from the last 3 years to develop an estimate for total
operating electrical load during normal and peak summer demand conditions for use in the modeling
studies. CH2M will also identify with the City potential future WFP projects--beyond the clearwell
replacement---that could potentially impact facility electrical needs.
Collected data will be documented for inclusion in the Electrical Study Report. CH2M will submit the
draft data summary to the City for review. CH2M will facilitate one meeting with the City to discuss the
data and potential future facility electrical planning assumptions.
Deliverables
• Electrical equipment field observations summary; data set for modeling studies
• Data review meeting minutes
Task 2—Modeling and Engineering Analyses
CH2M will utilize the data collected to perform computerized modeling and analysis of the electrical
systems.The computerized modeling and analysis will use SKM System Analysis Inc.'s software Power
Tools for Windows.Simplified single line diagrams will be generated using field collected and WPS data.
The following computerized analysis will be performed:
Short-circuit and Coordination Study.A short-circuit and coordination study is an analysis of an
electrical system that determines the magnitude of the currents that flow during an electrical fault.
Comparing the calculated values against the equipment ratings is the first step to ensuring that the
power system is safely protected.
Performing the short-circuit study before the clearwells project design will allow the design team to
specify the proper ampere interrupting capacity rating for all electrical equipment and estimate breaker
settings.The construction contractor will still be responsible for coordination, but the study of
calculated settings will be available for comparison to the contractor's proposed settings and facilitate
collaboration during startup.
CH2M will use the modeling results to prepare simplified reports for submission to the City. The reports
will contain the following:
• Single-line diagrams generated by the computerized modeling. Available short-circuit current will be
indicated on the single-line diagrams.
• Analysis and tabulation of installed equipment.
• Ampere interrupting capacity ratings,with associated required ratings determined from calculated
short-circuit currents.
• Protective device time current coordination curves.
• Tabulation of device settings or fuse ratings with commentary on selections.
• Tabulation of fault current with definition of terms and guide for interpretation,
CH2M will facilitate a meeting with the City to discuss the results of the short-circuit and coordination
studies.
Arc-flash Study.An arc-flash study is an analysis that uses the input data from the SKM short-circuit and
coordination study to categorize the hazard as specific equipment based on the incident energy, as well
as identify the limited, restricted, and prohibited Shock Hazard and Arc Flash Hazard Boundaries.
Performing the arc-flash study prior to electrical design will allow the engineer to design a system with
lower incident energies and lower personal protective equipment requirements.The study will also
allow the engineer to provide recommendations to lower incident energies on existing equipment, and
the changes could be incorporated into the clearwells project.
CH2M will provide Arc-flash and Shock Hazard Warning Labels (4-x 6-inch) for each piece of equipment
and location analyzed. CH2M will provide protective device setting adjustments as determined by the
modeling studies. Labels will be provided for the as-found conditions,The City will install labels and
make setting adjustments.CH2M recommends that,when settings are changed on overcurrent devices,
that the devices be tested for satisfactory performance in accordance to the manufacturers'
recommendations.The warning labels will comply with the American National Standards Institute
Z535.4-Product Safety Signs and Labels and National Fire Protection Association 70E-2015 requirements.
In addition to the field marking required by National Electrical Code Article 110.16, the labels will display
the following information:
• Flash hazard boundary—threshold at which burn level exceeds 1.2 calories per square centimeter
• Flash hazard distance--calculated incident energy at indicated distance
• Hazard risk category--personal protective equipment requirements
• Equipment rated voltage
• Required electrical glove class
• Shock hazard boundaries--limited approach, restricted approach, and prohibited approach
• Effective date
In addition to the Arc-flash and Shock Hazard Warning Labels, CH2M will provide the City a single-line
diagram in the most current version of AutoCAD.
It is anticipated that limited adjustments may be possible at existing protective devices in order to
achieve better protective device coordination. However,when adjustments can be made, they.will be
recommended in an attempt to minimize the arc flash hazards in lieu of protective device coordination.
If reviewed equipment is found underrated for expected fault current, recommendations will be
provided to the City as part of the report.
Load Flow Study. CH2M will provide a load flow study using the SKM Systems Analysis program.The
load flow study will calculate the power and current flow through each bus and cable.The load flow
study will indicate whether or not any existing switchgear, motor control centers, transformers, cables,
or generators are overloaded. The load flow study will also be able to determine voltage drop in each
cable.
A load flow study will be performed on the existing distribution system and also on the power
distribution system, including the anticipated loads for the clearwells project.
Emergency Electrical Generators Evaluation. CH2M will investigate the condition and operational
reliability of the existing WFP emergency generators and generators control system. CH2M will evaluate
the emergency power generation system on the basis of the existing connected load, historical
operating and maintenance experience, and the pending electrical system needs with the clearwells and
potential future WFP capital projects. CH2M will evaluate the existing emergency power distribution
system and determine if upgrades to the system are required to accommodate the clearwells project
loads. The evaluation of the emergency generators will consider type of fuel source and existing air
emission permit requirements. CH2M will document its evaluation and recommendations about the
continued use or replacement of the existing generators.
Electrical System Continuity during Construction. CH2M will recommend an implementation plan for
identified electrical system improvements.Where appropriate to maintain continuous reliable WFP
operation, the implementation plan will be coordinated with the sequence of critical clearwells project
construction activities. CH2M will prepare a preliminary single line diagram of the electrical system that
includes the implementation of the clearwells project.
CH2M will facilitate two meetings with the City to discuss the findings and recommendations associated
with the Task 1 work.
Deliverables
• Short-circuit and coordination study results and results review meeting minutes
• Single-line diagrams of the existing and the post-clearwells replacement project for WFP
• Arc-flash study results, results review meeting minutes,Arc-flash and Shock Hazard Warning labels
• toad flow study results and associated recommendations for the power distribution system
• Emergency generators evaluation and revaluation review meeting minutes
• Electrical system continuity evaluation findings and review meeting minutes
Task 3—Study Report
CH2M will compile the Task 1 and 2 evaluation and findings in a study report to support the City's
annual budgeting process and fulfill the construction permit requirements for the WDNR and the Public
Service Commission of Wisconsin. CH2M will deliver the draft Electrical Study Report to the City for
review. CH21VI will meet with the City to discuss the draft report and gather City input.The City's review
comments will be incorporated in the final Electrical Study Report.Ten hard and PDF copies of the final
report will be submitted to the City.

• Draft and final copies of WFP Electrical Study Report
Task 4—Project Management and Quality Assurance/Quality
Control
CH2M will manage the delivery of the professional technical services and work products to meet the
City's schedule and budget. Project management duties include project instructions, which address
team communication, quality assurance/quality control, and cost control. Instructions to the project
delivery team will guide performance by defining the following:
• Detailed scope of services and project deliverables
• Task assignments and work plan
• Project schedule
• Project communication
• Project budget and performance monitoring
• Potential change management
• Quality management
Project team communication will be maintained through regular team meetings, teleconferences, and e-
mail. During project meetings and workshops,CH2M will provide project status information. CH2M will
submit a brief description of project activities and track budget status with each monthly invoice.
CH2M will perform a quality assurance/quality control review of completed work and project progress
prior to submission of work products to the City.

• Monthly progress reports
Schedule
A detailed project schedule will be prepared following notice-to-proceed. Project milestones are
anticipated as follows;
• Notice-to-Proceed:April 2016
• Data Collection: May 2016
• Models and Analysis:June to August 2016
• Reports and Deliverables; September 2016
Level of Effort and Compensation
The estimated level of effort is 622 hours and the proposed compensation for professional services is
$86,800. A task breakdown is shown in Table 1.

List of Assumptions
This scope of services is based on the following assumptions:
• Site investigation work will be performed by both City and CH2M personnel.Site investigation
services provided by CH2M will be by an Energized Electrical Trained Worker. CH2M will be
responsible for the safety of CH2M personnel only.The City will be responsible for providing safety
oversight and instructions for City personnel.
0 Available record or construction drawings and/or Operations and Maintenance Manuals will be
provided.
• Excluding the service.entrance sections or main disconnect enclosures, electrical equipment will be
de-energized where de-energization does not impact critical plant operations, and verified by City
personnel qualified to operate electrical equipment prior to access by CH2M, at all times while doing
data collection inside of the equipment.Access to live electrical equipment by a CH2M Energized
Electrical Trained Worker will be obtained in the company of qualified City personnel.
• Condition of existing system: Existing electrical equipment may be physically or electrically
inadequate. Physical problems include corrosion, physical damage, overloaded equipment, and
worn components. Equipment may be obsolete for which no replacement parts can be obtained.
Condition of the system that may be observed during the data collection phase will be documented
in the report. However, a thorough condition assessment is not a part of the scope of the work and
no electrical testing or thermographic survey will be conducted.
• Code Compliance: This scope of work does not include a survey of the system to determine National
Electrical Code compliance.
• If the Utility Company cannot provide short-circuit current data the following will be assumed: high
level short-circuit assumes infinite bus on the primary side of the serving transformer; low level
short-circuit will assume 50 percent of the high value.
