ARTICLE I. PROJECT MANAGER A. Assignment of Project Manager, The CONSULTANT shall assign the following individual to manage the PROJECT described in this AGREEMENT: Linda Mohr, P.E. ---Senior Project Manager B. Changes in Project Manager. The CITY shall have the right to approve or disapprove of any proposed change from the individual named above as Project Manager. The CITY shall be provided with a resume or other information for any proposed substitute and shall be given the opportunity to interview that person prior to any proposed change. ARTICLE II. CITY REPRESENTATIVE The CITY shall assign the following individual to manage the PROJECT described in this AGREEMENT; Pete Gulbronson, P.E., C.D.T. —Civil Engineering Supervisor ARTICLE Ill. SCOPE OF WORK The CONSULTANT shall provide the services described in the CONSULTANT's Scope ofServicos. CITY may make or approve changes within the general Scope of Services in this AGREEMENT. If such changes affect CONSULTANT's cost of or time required for performance of the services, an equitable adjustment will be made through an amendment to this AGREEMENT. All reports, drawings, specifications, computer files, field data, notes, and other documents and instruments prepared by the CONSULTANT as instruments of service shall remain the property of the CITY. STANDARD OF CARE The standard of care applicable to CONSULTANT's services will be the degree of skill and diligence normally employed by professional consultants or consultants performing the same or similar services at the time said services are performed. CONSULTANT will re- perform any services not meeting this standard without additional compensation. ARTICLE V. OPINIONS OF COST FINANCIAL CONSIDERATIONS AND SCHEDULES In providing opinions of cost, financial analyses, economic feasibility projections, and schedules for the PROJECT, CONSULTANT has no control over cost or price of labor and materials; unknown or latent conditions of existing equipment or structures that may affect operation or maintenance costs; competitive bidding procedures and market conditions; time or quality of performance by operating personnel or third parties; and other economic and operational factors that may materially affect the ultimate project cost or schedule. Therefore, it is understood between the parties the CONSULTANT makes no warranty the CITY's actual project costs, financial aspects, economic feasibility, or schedules will not vary from CONSULTANT's opinions, analyses, projections, or estimates. ARTICLE VI. RECORD DRAWINGS Record drawings, if required, will be prepared, in part, on the basis of information compiled and furnished by others. CONSULTANT is not responsible for any errors or omissions in the information from others the CONSULTANT reasonably relied upon and are incorporated into the record drawings. ARTICLE VII. CITY RESPONSIBILITIES The CITY shall furnish, at the CONSULTANT's request, such information as is needed by the CONSULTANT to aid in the progress of the PROJECT, providing it is reasonably obtainable from City records. To prevent any unreasonable delay in the CONSULTANT's work, the CITY will examine all reports and other documents and will make any authorizations necessary to proceed with work within a reasonable time period. ARTICLE VIII. ASBESTOS OR HAZARDOUS SUBSTANCES If asbestos or hazardous substances in any form are encountered or suspected, CONSULTANT will stop its own work in the affected portions of the PROJECT to permit testing and evaluation. If asbestos is suspected, CONSULTANT will, if requested, manage the asbestos remediation activities using a qualified subcontractor at an additional fee and contract terms to be negotiated. 1:Tng1neodn9}Tracy Ta0oACH2M H11 Agrees SldeSwr Study_4-15.16.docx Page 2 of 6 If hazardous substances other than asbestos are suspected, CONSULTANT will, if requested, conduct tests to determine the extent of the problem and will perform the necessary studies and recommend the necessary remedial measures at an additional fee and contract terms to be negotiated. CITY recognizes CONSULTANT assumes no risk and/or liability for a waste or hazardous waste site originated by other than the CONSULTANT. ARTICLE IX. CITY'S INSURANCE CITY will maintain property insurance on all pre-existing physical facilities associated in any way with the PROJECT. CITY will provide (or have the construction contractor(s) provide) a Builders Risk All Risk insurance policy for the full replacement value of all project work including the value of all onsite CITY-furnished equipment and/or materials associated with CONSULTANT's services. Upon request, CITY will provide CONSULTANT a copy of such policy. ARTICLE X. TIME OF COMPLETION The work to be performed under this AGREEMENT shall be commenced and the work completed within the time limits as agreed upon in the CONSULTANT's Scope ofSelvicos. The CONSULTANT shall perform the services under this AGREEMENT with reasonable diligence and expediency consistent with sound professional practices. The CITY agrees the CONSULTANT is not responsible for damages arising directly or indirectly from any delays for causes beyond the CONSULTANT's control. For the purposes of this AGREEMENT, such causes include, but are not limited to, strikes or other labor disputes, severe weather disruptions or other natural disasters, failure of performance by the CITY, or discovery of any hazardous substances or differing site conditions. If the delays resulting from any such causes increase the time required by the CONSULTANT to perform its services in an orderly and efficient manner, the CONSULTANT shall be entitled to an equitable adjustment in schedule. ARTICLE XI. COMPONENT PARTS OF THE AGREEMENT This AGREEMENT consists of the following component parts, all of which are as fully a part of this AGREEMENT as if herein set out verbatim, or if not attached, as if hereto attached; 1. ARTICLE XII. PAYMENT A. The Agreement Sum. The CITY shall pay to the CONSULTANT for the performance of the AGREEMENT the total sum as set forth below, adjusted by any changes hereafter mutually agreed upon in writing by the parties hereto: • Time and Materials Not to Exceed $209,640 (Two Hundred Nine Six Hundred Forty Dollars). Attached fee schedule shall be firm for the duration of this AGREEMENT. B. Method of Payment, The CONSULTANT shall submit itemized monthly statements for services. The CITY shall pay the CONSULTANT within thirty (30) calendar days after receipt of such statement. If any statement amount is disputed, the CITY may withhold payment of such amount and shall provide to CONSULTANT a statement as to the reason(s) for withholding payment. C. Additional Costs. Costs for additional services shall be negotiated and set forth in a written amendment to this AGREEMENT executed by both parties prior to proceeding with the work covered under the subject amendment. D. Indirect Costs. Indirect costs such as computer time, printing, copying, cell phone charges, telephone charges, and equipment rental shall be considered overhead and shall not be invoiced separately to the PROJECT. E. Expenses. Expenses may be billed with up to a maximum of 90% mark-up. All invoices with expenses shall include supporting documentation of the expense. Failure to include the supporting documentation will result in the reduction of payments by the amount of those expense(s) not including documentation. ARTICLE XIII. HOLD HARMLESS The CONSULTANT covenants and agrees to protect and hold the City of Oshkosh harmless against all actions, claims, and demands which may be to the proportionate extent caused by or result from the intentional or negligent acts of the CONSULTANT, his/her agents or assigns, his/her employees, or his/her subcontractors related however remotely to the performance of this AGREEMENT or be caused or result from any violation of any law or administrative regulation, and shall indemnify or refund to the CITY all sums including court costs, attorney fees, and punitive damages which the CITY may be obliged or adjudged to pay on any such claims or demands within thirty (30) days of the date of the CITY's written demand for indemnification or refund for those actions, claim, and demands caused by or resulting from intentional or negligent acts as specified in this paragraph. 1AEng1nee6n9lTra0yTa}1oACH2A1MAgreeS61deSwT6tudy__4.15-16.docx Page 4 of 6 Subject to any limitations contained in Sec. 893.80 and any similar statute of the Wisconsin Statutes, the CITY further agrees to hold CONSULTANT harmless from any and all liability, including claims, demands, losses, costs, damages, and expenses of every kind and description (including death), or damages to person or property arising out of re-use of the documents without consent where such liability is founded upon or grows out of the acts or omission of any of the officers, employees or agents of the City of Oshkosh while acting within the scope of their employment. ARTICLE XIV. INSURANCE The CONSULTANT agrees to abide by the attached City of Oshkosh Insurance Requirements ARTICLE XV. TERMINATION A. For Cause. If the CONSULTANT shall fail to fulfill in timely and proper manner any of the obligations under this AGREEMENT, the CITY shall have the right to terminate this AGREEMENT by written notice to the CONSULTANT. In this event, the CONSULTANT shall be entitled to compensation for any satisfactory, usable work completed. B. For Convenience. The CITY may terminate this AGREEMENT at any time by giving written notice to the CONSULTANT no later than ten (10) calendar days before the termination date. If the CITY terminates under this paragraph, then the CONSULTANT shall be entitled to compensation for any satisfactory work performed to the date of termination. This document and any specified attachments contain ail terms and conditions of the AGREEMENT and any alteration thereto shall be invalid unless made in writing, signed by both parties and incorporated as an amendment to this AGREEMENT. ARTICLE XVI. RE-USE OF PROJECT DOCUMENTS All reports, drawings, specifications, documents, and other deliverables of CONSULTANT, whether in hard copy or in electronic form, are instruments of service for this PROJECT, whether the PROJECT is completed or not. CITY agrees to indemnify CONSULTANT and CONSULTANT's officers, employees, subcontractors, and affiliated corporations from all claims, damages, losses, and costs, including, but not limited to, litigation expenses and attorney's fees arising out of or related to the unauthorized re-use, change, or alteration of these project documents. ARTICLE XVII, SUSPENSION DELAY OR INTERRUPTION OF WORK CITY may suspend, delay, or interrupt the services of CONSULTANT for the convenience of CITY. NO THIRD-PARTY BENEFICIARIES This AGREEMENT gives no rights or benefits to anyone other than CITY and CONSULTANT and has no third-party beneficiaries. G+t A orney V ity Comp roller lAEnglnee0ng}Ttacy TaylortCMM Hill Agrees SIdeSw Study_4•15•1s.d=x Page 6 of 6 SCOPE OF SERVICES 7APRll.1S100fiVFD Southside Sanitary Sewer Study APR 15 2016 DEPT OF PUBLIC WORKS Purpose OSHKOSH, WISCONSIN The City of Oshkosh (City)sanitary sewer collection system is comprised of approximately 330 miles of sanitary sewer gravity mains, 10 miles of force mains, 17 lift stations, and approximately 6,100 manholes.All collection system flows are treated at the City of Oshkosh Wastewater Treatment Plant. The City last completed a study of a portion of the sewer system south of the Fox River in 2002 to address wastewater collection needs associated with the then current and future growth in and around the City.The plan provided an evaluation of the collection system and recommended alternatives for servicing the planning area in the future.The purpose of this Southside Sewer System Study includes the following: • Prepare updated wastewater flow projections through 2035 (20-year planning horizon) and through estimated ultimate buildout condition for the entire City sewer service area (SSA) • Use the City's hydraulic collection system model to simulate system performance with projected wastewater flows, including areas adjacent and outside the current SSA • Identify existing and potential future capacity problems in the system south of the Fox River(the study area) • Identify improvement projects, including costs and implementation recommendations,to guide expansion and extension of the system to serve future growth • Leverage findings from the City's recent Sewer Evaluation Capacity Assurance Plan (SECAP) • Provide information that supports the City's future comprehensive wastewater utility plan • Prepare a study that helps the City meet the State of Wisconsin Clean Water Fund Program Fiscal Sustainability Plan Certification requirements Task 1—Study Area Characterization Kick-off Meeting CH2M will facilitate a project kick-off meeting with the City to review the project work plan;team assignments; and schedule for work progress, meetings, and deliverables. At this meeting, the data collection task will be discussed and any outstanding data sources identified. Data Collection CH2M will gather and summarize best available planning information about the study area and the study planning horizons of 20 years and service area ultimate buildout, including the following: • Updated population projections from the East Central Wisconsin Regional Planning Commission (ECWRPC) • Current land use planning information from the City and Winnebago County • City Comprehensive Plan (2010) • Oshkosh SSA Plan(2007) • Southwest Area Sanitary Sewer Study(2002) • Capacity, Management, Operations, and Maintenance Plan and Updates (2013-2014) SOUTHSIDE SEWER SYSTEM STUDY SCOPE OF SERVICES • SECAP Updates (2013, 2014, and 2015) • City Department of Community Development reports + City Capital Improvement Plan (2016-2020) • Wisconsin Administrative Code Chapter NR 110—Sewerage Systems • City and Winnebago County soils information and mapping • Hydrologic and flow monitoring information Sewer service agreements CH2M will document a description of the current and planned future southside collection system, incorporating the available planning information and long-range planning assumptions.The long-range (20-year and ultimate buildout) planning assumptions will include, for example, the anticipated timing of future new development. CH2M will conduct a meeting with the City to discuss the characterization of the study area and gain consensus on planning assumptions and criteria. Deliverables Meeting minutes Description of current and planned future study area and planning assumptions Task 2—Wastewater Flow Projections Given the Task 1 findings, CH2M will use updated SSA population projections from the ECWRPC; land use plans; and appropriate wastewater contribution factors for residential, commercial, and industrial customers to prepare 20-year and ultimate buildout wastewater flow projections for the southside collection system. Projections will be developed for average day base flow, maximum dry day flow, peak dry hour flow, peak wet day flow, and peak wet hour flow.The projections will conform to Wisconsin Administrative Code requirements and professional judgment of realistic wet weather conditions. CH2M will also review the projections with ECWRPC for consistency with its current Oshkosh SSA planning practices. The sewer system model used in the analysis will be one that has been updated to include 2015 sewer improvement projects and recent collection system flow monitoring data. Deliverables Meeting minutes Description of wastewater flow projections development dnd allocation across the study area Task 3—Sewer System Analysis Under Task 3, CH2M will further characterize the southside system by conducting a limited desktop assessment of sewer condition and a physical assessment of the southside lift stations.Then using this information, along with the findings from Tasks 1 and 2, CH2M will evaluate the ability of the southside sewer system to meet current and projected future needs.The evaluation will be performed primarily through system simulation using with the hydraulic model.The purpose of this task is to identify system needs and potential improvements under current and future projected conditions. Sewer and Lift Station Condition Assessment Physical condition assessment of the southside sewers and force mains is beyond the scope of this project. However,CH2M will use the City's GIS and experiential information to quickly summarize available information, including sewer age and repair history, to be considered in the evaluation of improvement projects. 2 SOUTHSIDE SEWER SYSTEM STUDY SCOPE OF SERVICES A general physical condition assessment of southside lift stations will be conducted so that baseline facility information, beyond station hydraulic capacity, can be considered in conjunction with other study recommendations.The assessment will be conducted by licensed structural, electrical, mechanical professional engineers for code compliance, areas of deterioration, equipment remaining useful life, and other facility concerns that present potential hazards to employees or the public.CH2M will summarize the condition assessment findings and appropriate lift station design standards that will be assumed for the evaluation of future lift stations or improvements to existing lift stations. CH2M will conduct a meeting with the City to discuss the lift station condition assessment findings and proposed standards for potential new or improved lift stations. System Modeling Analysis CH2M will create versions of the model with collection system infrastructure needed to provide service for projected future flows and areas.The model of the potential future system will be used to analyze performance during the 5-and 10-year, 24-hour storm events. Model output will be reviewed to identify sewer system hydraulic deficiencies and alternative solutions to address them. CH2M will conduct a workshop with the City to review model results and conceptual ideas for improvement projects. Improvements,which may include infrastructure or operational changes needed to meet future conditions will be defined. During this meeting CH2M will facilitate improvement prioritization on the basis of basement backup history, planned roadway reconstruction, planned development, and near-term annual budget targets. Improvements may range from a simple limited length of replace sewer to a complex network or sewers and/or lift stations. Up to ten(10) improvements will be re-analyzed with the collection system model. Maps depicting the prioritized improvements will be prepared for discussion and inclusion in the Study Report.CH2M will meet with the City to review model results of system performance with future projects in place. During this meeting, the list of projects to be included in the implementation plan will be decided. For larger scale improvements, cost estimates will be prepared for implementation in phases.The estimates will be prepared on the basis of engineering information in a manner consistent with the City's current practices for estimating the cost of similar projects. Implementation Schedule Southside improvement projects will be phased to meet current and future system needs defined by service area capacity demands, infrastructure condition, and the anticipated timing of new development over the planning period. CH2M will prepare a draft implementation plan including project cost information to review and discuss with the City.The City's review comments and needed revisions will be incorporated in the final implementation plan. The report will present a 10-year plan of prioritized capital projects and operational recommendations. It will also include potential improvements in the 20-year planning horizon, each tied to a recommended capacity expansion trigger(e.g., average dry weather flow depth exceed 50 percent depth in sewer). Five copies of the draft report will be submitted for City review.After the City has reviewed the report, CH21VI will meet with the City to discuss comments and revisions. CH2M will incorporate the City's comments in the final study report. Ten paper copies of the final Sewer System Study Report and one copy of the report will be submitted. CH2M will present a PowerPoint®summary of the study to the City Common Council. Deliverables: Draft Southside Sewer System Study Report Final Southside Sewer System Study Report Common Council presentation Task 6---Project Management and Quality Assurance/Quality Control CH2M will manage the delivery of the professional technical services and work products to meet the City's schedule and budget. Project management duties include project instructions,which address team communication, quality assurance/quality control (QA/QC), and cost control. Instructions to the project delivery team will guide performance by defining the following: • Detailed scope of services and project deliverables • Task assignments and work plan • Project schedule . • Project communication + Project budget and performance monitoring • Managing potential change • Quality management Project team communication will be maintained through regular team meetings, teleconferences, and e- mail. During project meetings and workshops, CH2M will provide project status information. CH2M will submit a brief description of project activities and track budget status with each monthly invoice. CH2M will perform a QA/QC review of completed work and project progress prior to submission of work products to the City. Deliverables Monthly progress reports.
