Dear Mr. Collins:
I appreciated the opportunity to discuss with you the City's desire to move forward with
the recommendations we recently outlined in the Downtown Oshkosh Parking Study
dated January 26, 2016.Walker is pleased to submit for your consideration our proposed
scope of services to assist with the design and implementation of the parking policies
specific to developing your downtown parking program. The following outlines our
understanding of this project, menu of specific tasks with specific scope of work, and
proposed schedule.
PROJECT UNDERSTANDING
Walker Parking recently completed a comprehensive review of the City of Oshkosh
downtown parking assets and programs.Specific to this review, Walker evaluated public
and private parking inventory to determine adequacy for current parking demand and
future parking demand conditions. Operational strengths and weaknesses were
identified and areas for improvement were addressed with a series of recommendations
ranging from immediate opportunities to intermediate actions requiring additional
community participation and discussion.
With next steps in mind, the City has asked Walker Parking Consultants to assist with the
design, implementation,and marketing of parking policies specific to both on-street and
off-street program development. Prior to any consideration for a paid parking initiative,
the City has prioritized the need to realign parking areas in order to batter serve the short
and long term parking needs of employees, merchants and visitors of downtown
Oshkosh.

The following scope of services is provided for consideration in assisting the City.
SCOPE OF SERVICES
TASK I- PARKING PROGRAM POLICY DESIGN
1. Review and verify existing permit parking program policies.
a. Reconcile current permit spaces to Oshkosh map inventory;
b. Verify list of active permit holders and associated business or merchant
relationship;
c. Reconcile annual permit revenue to annual permits sold; and
d. Verify quantity of permits sold by permit types (daily, monthly, annual,
reserved).
2. Establish short-term, long-term, parking policies.
a. Develop appropriate permit types to meet the needs of the merchants,
building residents, downtown employees and visitors;
b. Develop permit allocation policies;
c. Design and assign duration and user types within available off-street inventory
d. Identify maximum permit quantities to be sold by permit type and location;
e. Graphically represent existing parking inventory in map form showing where
short-term and permit parking should exist along with permit parking policies
and supporting parking information; and
f. Design on-street parking program to include locations for paid, short- and
long-term parking areas as well as free, short-and long-term parking areas.
TASK 11- PARKING PROGRAM BRANDING
1. Provide the City with direction and guidelines on the development of off-street
public parking branding concepts and marketing efforts;
2. Recommend new signage placement and information content for public off-
street parking lots. This task does not include the development of sign
specifications; and
3. Review the City's parking website and recommend content and guidelines for
promoting offered services. This task does not include web site design services.
SCHEDULE
We estimate the total time to provide a draft plan including all tasks is four to six weeks
from the project award and authorization date. The draft plan can be finalized within
five working days of discussing and receiving comments from city representatives and
key stakeholders. If no comments are received on the draft plan within 30 days,the draft
plan will be considered the final plan.

PROFESSIONAL FEE
Walker proposes to perform the above scope of services on a lump sum basis in
accordance with the attached General Conditions of Agreement. Our lump sum fee is
Twenty Three Thousand, Three Hundred and Thirty Dollars ($23,330). In addition to this
lump sum fee,we recommend budgeting up to $3,400 for reimbursable expenses.
Three trips to Oshkosh are included in this fee for 1) the presentation of the draft policies
and parking program parameters at the initial stakeholder meetings, 2) the presentation
of the revised draft policies and parking program parameters to staff and community
stakeholders, and 3) the final presentation of the recommended parking program
parameters to staff and community stakeholders. Interim progress meetings will be
conducted by teleconference. Any additional on-site meetings requested by the Client
will be billed at our hourly rates and associated expenses.

SERVICES
Walker Parking Consultants ("WALKER")will provide the CLIENT professional services that are limited to the
work described in the attached letter("the services"). Any additional services requested will be provided
at our standard hourly rates or for a mutually agreed lump sum fee. The services are provided solely in
accordance with written information and documents supplied by the CLIENT, and are limited to and
furnished solely for the specific use disclosed to us in writing by the CLIENT. No third-party beneficiary is
contemplated. All documents prepared or provided by WALKER are its instruments of service, and any
use for modifications or extensions of this work,for new projects,or for completion of this project by others
without WALKER's specific written consent will be at CLIENT's sole risk.
PAYMENT FOR SERVICES
WALKER will submit monthly invoices based on work completed plus reimbursable expenses.
Reimbursable expenses will be billed at 1.15 times the cost of travel and living expenses, purchase or
rental of specialized equipment, photographs and renderings, document reproduction, postage and
delivery costs, long distance telephone and facsimile charges, additional service consultants, and other
project related expenses. Payment is due upon receipt of invoice. If for any reason the CLIENT does not
deliver payment to WALKER within thirty (30) days of date of invoice,WALKER may, at its option,suspend
orwiihhold services.The CLIENT agrees to pay WALKER a monthly late charge of one and one half percent
(1 Y2%) per month of any unpaid balance of the invoice.
STANDARD OF CARE
WALKER will perform the services in accordance with generally accepted standards of the profession
using applicable building codes in effect at time of execution of this Agreement. WALKER's liability
caused by its acts, errors or omissions shall be limited to the fee or$10,000,whichever is greater.
Any estimates or projections provided by WALKER will be premised in part upon assumptions provided by
the CLIENT. WALKER will not independently investigate the accuracy of the assumptions. Because of the
inherent uncertainty and probable variation of the assumptions, actual results will vary from estimated or
projected results and such variations may be material. As such, WALKER makes no warranty or
representation, express or implied, as to the accuracy of the estimates or projections.
PERIOD OF SERVICE
Services shall be complete the earlier of (1) the date when final documents are accepted by the CLIENT
or (2) thirty (30) days after final documents are delivered to the CLIENT.
