PURPOSE: ACCEPT DONATION AND APPROVE AGREEMENTS WITH THE
JOHN E. KUENZL FOUNDATION AND LAIB RESTORATION,
INC., FOR RIVERSIDE CEMETERY CHAPEL INTERIOR
RESTORATION
INITIATED BY: PARKS DEPARTMENT
WHEREAS,Riverside Cemetery and its Chapel have been identified in the National
Registry of Historic Places and;
WHEREAS,A Donor has come forward through the John E. Kuenzl Foundation Inc.
to make a contribution to the City of Oshkosh in an amount equal to a proposal submitted
by Laib Restoration, Inc. to make repairs to interior paint and plaster; and
WHEREAS, the Donor has requested that the repairs be completed by Laib
Restoration, Inc. who is qualified to make repairs to this historic structure; and
WHEREAS, the gift of the Riverside Cemetery Chapel Interior Restoration is
consistent with the following guidelines established by City of Oshkosh Gifts and
Donations policy, in that this donation:
➢ is consistent with the mission,policies and master plans governing the City of
Oshkosh and the Parks Department
➢ helps to promote preservation of our historic resources
➢ is suitable for the purpose proposed
➢ is harmonious in keeping with the historic integrity of the Riverside Cemetery
Chapel
➢ is suitable to the technical requirements or design standards for installation of
improvements in public places
➢ complies with all applicable codes including building codes

WHEREAS, it is appropriate for the Common Council to acknowledge and accept
such donations and all future contributions to this project; and
WHEREAS, §62.15 of the Wisconsin Statutes allows municipalities to accept the
donation of materials and/or labor for public construction as an exception to the
requirements of the public bidding statute; and
WHEREAS, the Donor through the John E. Kuenzl Foundation is donating all labor
and material costs for the public construction.
NOW, THEREFORE, BE IT RESOLVED by the Common Council of the City of
Oshkosh that, on behalf of the residents of this community, the City acknowledges with
deep gratitude and appreciation the generous donation through the John E. Kuenzl
Foundation and that the proper City officials are authorized and directed to take all
appropriate actions to accept and utilize this donation and acknowledge these
philanthropic activities.
BE IT FURTHER RESOLVED that Agreements for this purpose with the John E.
Kuenzl Foundation, Inc. and Laib Restoration, Inc., for the Riverside Cemetery Chapel
Interior Restoration are hereby approved and the proper City officials are authorized to
execute and deliver the Agreements in substantially the same form as attached hereto,with
any changes in the final copy being deemed approved upon their respective signatures,and
said City officials are authorized and directed to take those steps necessary to implement
the terms and conditions of the Agreements.

CEMETERY CHAPEL INTERIOR RESTORATION
BACKGROUND
The Riverside Cemetery Chapel was constructed in 1920 and has had limited interior updates
since that time. Plaster and paint have degraded in several areas due to some previous water
damage and requires restoration. This project will repair the damaged plaster and paint the
entire interior of the chapel.
ANALYSIS
The need for interior repairs was noted in a prior architectural review of the chapel structure
in 2006 and identified to be accomplished following replacement of the tile roof and flat roof
portion of the structure. All roofing replacement has been accomplished to date with tuck
pointing of the exterior masonry completed as well. No further water damage has occurred
following the roof replacements. Laib Restoration Inc. has guided the restoration plan over the
years and has provided expert opinion on how to proceed from the initial analysis to
prioritization of work needing to be accomplished.
FISCAL IMPACT
The interior restoration work estimate was submitted by Laib Restoration Inc. and presented
to the John E. Kuenzl Foundation Inc. for funding. The Kuenzl Foundation has agreed to fund
the entire cost of the project in the amount of $31,418.00.

RECOMMENDATION
Staff recommends acceptance of the gift from the John E. Kuenzl Foundation Inc. for purposes
of interior restoration work at the chapel and recommends that Laib Restoration Inc. be
awarded the restoration contract due to their expertise in the restoration of historic structures.

AGREEMENT FOR REPAIR AND RESTORATION OF RIVERSIDE CEMETERY CHAPEL
This Agreement is between the City of Oshkosh ("City") and the John E. Kuenzl
Foundation, Inc. ("Keunzl Foundation"). The purpose of this Agreement is to effectuate a gift
through the Keunzl Foundation for repair and restoration of the Chapel located at Riverside
Cemetery in the City of Oshkosh, the City's acceptance of such gift subject to the conditions
described in this Agreement, and the City's agreement to contract with Laib Restoration for the
repair and restoration work.
RECITALS
A. The Chapel building at Riverside Cemetery, a historic building located within the public
cemetery owned and operated by the City of Oshkosh, is in need of repair and restoration
however no funding is currently available to complete this work.
B. The Foundation through an underlying donor wishes to fund the necessary repair and
restoration to preserve the Chapel and to prevent further deterioration to the historic
building. The Foundation through its underlying donor will donate funds sufficient to cover
all materials and labor for this project.
C. The Foundation wishes such work to be completed by Laib Restoration, Inc., 410 East
Murdock Avenue, Oshkosh, WI, in order to assure that the work completed is consistent
with the historic character of the building.
D. The repair of public buildings is considered a public works project by Wisconsin Statutes.
However, §62.15 of the Wisconsin Statutes allows municipalities to accept donations of
materials and/or labor for public construction as an exception to the requirements of the
public bidding statute.
THEREFORE, in consideration of the mutual covenants of each of the parties as described in
this document, the parties do hereby agree to the following terms and conditions:

Article 1 — Contract
This Agreement consists of the following component parts, all of which are as fully a part of this
Agreement as if herein set out verbatim, or if not attached, as if hereto attached:
1. This Instrument
2. Agreement with Laib Restoration, Inc. (Exhibit A attached hereto)
3. Laib Restoration's Proposal for Interior Work at Riverside Chapel (Exhibit B
attached hereto)
This Agreement and the Agreement with Laib Restoration, Inc. may be modified through written
amendment. Amendments include change orders or other methods provided they are in writing
and agreed to by all parties. Other documents, such as emails, may constitute approved changes
without signatures to the extent these writings clearly reflect an Agreement of the parties, do not
conflict with the Agreements enumerated above and do not require additional compensation.
Article 2 — Contract Amount and Project Fundinq
Kuenzl Foundation agrees to pay to the City of Oshkosh Thirty One Thousand Four Hundred
Eighteen and NO/100 Dollars ($31,418.00) upon execution of this Agreement for the repair and
restoration of the Riverside Cemetery Chapel as generally described in the proposal of Laib
Restoration, Inc. attached hereto as Exhibit B.
Article 3 — City's Responsibilities
The City of Oshkosh accepts the donation and as permitted by Wisconsin Statute §62.15 agrees
to enter into an Agreement with Laib Restoration, Inc. substantially in the form of attached Exhibit
A, incorporating the proposal from Laib Restoration, Inc. (Exhibit B) for the repair and restoration
of the Riverside Cemetery Chapel and perform all requirements of the City per that Agreement.
Article 14 — Miscellaneous Provisions
This Agreement shall be governed by the laws of the State of Wisconsin. Disputes shall be
resolved in the venue of Winnebago County, Wisconsin.
This Agreement represents the entire Agreement between the parties and supersedes any and
all prior negotiations, representations, or agreements, either written or oral. This Agreement may
only be amended by written instrument signed by all parties, except in those circumstances
described in this document where a signature is not required.

AGREEMENT
THIS AGREEMENT, made on the day of July, 2017, by and between the
CITY OF OSHKOSH, hereinafter referred to as CITY, and Laib Restoration, Inc., 410 East
Murdock Avenue, Oshkosh, Wisconsin, hereinafter referred to as the (CONTRACTOR),
WITNESSETH:
That the City and the Contractor, for the consideration hereinafter named, enter into
the following Agreement.
ARTICLE I. COMPONENT PARTS OF THE CONTRACT
This Agreement consists of the following component parts, all of which are as fully a part of
this Agreement as if herein set out verbatim, or if not attached, as if hereto attached:

2. Contractor/Consultant's Proposal
In the event that any provision in any of the above component parts of this Agreement
conflicts with any provision in any other of the component parts, the provision in the
component part first enumerated above shall govern over any other component part which
follows it numerically except as may be otherwise specifically stated.
ARTICLE II. CONTRACTOR'S REPRESENTATIVE
A. Assignment of Contractor's Representative. The Contractor shall assign the following
individual to perform the services described in this Agreement and be the main point of
contact between the City and Contractor:

B. Changes in Contractor's Representative. The City shall have the right to approve or
disapprove of any proposed change from the individual named. The City shall be provided
with a resume or other information for any proposed substitute and shall be given the
opportunity to interview that person prior to any proposed change.
ARTICLE III. CITY REPRESENTATIVE
The City shall assign the following individual to manage the project described in this
Agreement:

ARTICLE IV. SCOPE OF WORK
The Contractor shall provide the services described in the attached Contractor's submittal.
City may make or approve changes in the general scope of services contained in this

Agreement and/or the Contractor's submittal. Such changes shall be made by written
amendment to this Agreement or other written direction to the Contractor which shall be
acknowledged and accepted by the Contractor. If such changes affect Contractor's cost or
time required for performance of services, an equitable adjustment will be made through a
written amendment to this Agreement.
ARTICLE V. CITY REPONSIBILITIES
The City shall furnish at Contractor's request such information as is needed by the
Contractor to aid in the progress of the project, providing it is reasonably obtainable from
City records and shall render such decisions as are necessary to aid in the completion of
the work in a timely manner.
ARTICLE VI. STANDARD OF CARE
The Standard of Care applicable to Contractor's Services will be the degree of skill and
diligence normally employed by professional Contractor's or consultants performing the
same or similar services at the time said services are performed. Contractor will re -perform
any services not meeting this standard without additional compensation.
ARTICLE VII. RECORDS AND INSTRUMENTS OF SERVICE
All reports, drawings, specifications, computer files, email or other correspondence, field
data, and other documents and instruments prepared by the Contractor as instruments of
service shall be retained by Contractor and shall be and remain the property of the City.
Contractor acknowledges and understands that City is a governmental entity and subject to
Wisconsin's Public Records Law and that Contractor's written documents collected and
prepared under this Agreement are subject to the Wisconsin Public Records law through
Contractor's entry into this agreement. Contractor agrees that it will fully and completely
cooperate with the City to provide all documents related to this Agreement to the City to
allow the City to evaluate the documents and respond to any records requests. Contractor
may provide the City with an explanation of why the Contractor believes any document
should not be released to the public however, City shall make all final determinations
regarding the existence or release of any document related to this Agreement according to
the Public Records law.
ARTICLE VIII. TIME OF COMPLETION
A. All work to be performed under this Agreement shall be completed on or before
October 31, 2017 unless the parties agree in writing to extend this date.
The Contractor shall perform the services under this Agreement with reasonable diligence
and expediency consistent with sound professional practices. The City agrees that the
Contractor is not responsible for damages arising directly or indirectly from any delays for
causes beyond the Contractor's control. For the purposes of this Agreement, such causes
include, but are not limited to, severe weather disruptions or other natural disasters, or
failure of performance by the City. If the delays resulting from any such causes increase
the time required by the Contractor to perform its services in an orderly and efficient
manner, the Contractor shall be entitled to an equitable adjustment in schedule.

B. City may suspend, delay or interrupt the services of Contractor for the convenience of
the City. In such event, Contractor's contract price and/or schedule shall be equitably
adjusted if necessary.
ARTICLE IX. TERMINATION
Either party to this Agreement may terminate this contract at any time by giving written
notice to the other party no later than 30 calendar days before the termination date. If the
Agreement is terminated, then the Contractor shall be entitled to compensation for any
satisfactory work performed to the date of termination. Contractor's duties and
responsibilities regarding submission of materials, cooperation, and hold harmless shall
survive the termination of this Agreement.
ARTICLE X. PAYMENT
A. The Contract Sum. The City shall pay to the Contractor thirty one thousand four
hundred eighteen dollars ($31,418.00).
B. Method of Payment. The Contractor/Consultant shall submit itemized monthly
statements for services. The City shall pay the Consultant within 30 calendar days after
receipt of such statement. If any statement amount is disputed, the City may withhold
payment of such amount and shall provide to Contractor/Consultant a statement as to the
reason(s) for withholding payment.
C. Additional Costs. Costs for additional services shall be negotiated and set forth in a
written amendment to this Agreement executed by both parties priorto proceeding with the
work subject to additional costs covered under the subject amendment.
ARTICLE XI. INSURANCE
The Contractor shall carry insurance to cover its negligence and other obligations related to
this Agreement which includes the City and its employees and agents as additional
insureds for work required by this Agreement. The Contractor's insurance must be primary
insurance. The type of insurance and coverages must conform to the attached City of
Oshkosh Insurance Requirements.
ARTICLE XII. CONTRACTOR TO HOLD CITY HARMLESS
The Contractor/Consultant covenants and agrees to protect and hold the City of Oshkosh
harmless against all actions, claims and demands of any kind or character whatsoever
which may in any way be caused by or result from the intentional or negligent acts of the
Contractor/Consultant, its agents or assigns, employees or subcontractors related however
remotely to the performance of this Agreement or be caused or result from any violation of
any law or administrative regulation, and shall indemnify or refund to the City all sums
including court costs, attorney fees and punitive damages which the City may be obliged or
adjudged to pay on any such claims or demands within thirty (30) days of the date of the
City's written demand for indemnification or refund.
ARTICLE XIII. COOPERATION IN LITIGATION AND AUDITS
Contractor shall fully and completely cooperate with the City, the City's insurer, the
City's attorneys, the City's Auditors or other representative of the City (collectively, the
"City" for purposes of this Article) in connection with (a) any internal or governmental
investigation or administrative, regulatory, arbitral or judicial proceeding (collectively
"Litigation") or internal or governmental Audit, with respect to matters relating to this
Agreement; other than a third party proceeding in which Contractor is a named party
and Contractor and the City have not entered into a mutually acceptable joint defense
agreement.
Such cooperation may include, but shall not be limited to, responding to requests for
documents and/or other records and making Contractor's employees available to the
City (or their respective insurers, attorneys or auditors) upon reasonable notice for: (i)
interviews, factual investigations, and providing declarations or affidavits that provide
truthful information in connection with any Litigation or Audit; (ii) appearing at the
request of the City to give testimony without requiring service of a subpoena or other
legal process; (iii) volunteering to the City all pertinent information related to any
Litigation or Audit; and (iv) providing information and legal representations to auditors in
a form and within a timeframe requested.
City shall reimburse Contractor for reasonable direct expenses incurred in connection
with providing documents and records required under this paragraph and may require,
at the City's sole discretion, such expenses to be documented by receipts or other
appropriate documentation. Reasonable direct expenses include costs, such as
copying, postage and similar costs; but does not include wages, salaries, benefits and
other employee compensation. Contractor shall not be entitled to additional
compensation for employee services provided under this paragraph.
ARTICLE XIV. ASSIGNMENT
Contractor shall not have the right to assign this Agreement without the prior written
consent of the City.
ARTICLE XV. NO WAIVER
Failure of either party to insist upon the strict performance of terms and provisions of this
Agreement, or any of them, shall not constitute or be construed as a waiver or
relinquishment of that party's right to thereafter enforce such term or provision, and that
tem or provision shall continue in full force and effect.
ARTICLE XVI. NO THIRD PARTY BENEFICIARIES
This Agreement gives no rights or benefits to anyone other than City and Contractor and
has no third party beneficiaries with rights created hereunder.
ARTICLE XVII. AGREEMENT NOT TO BE CONSTRUED AGAINST ANY PARTY
This Agreement is the product of negotiation between the parties hereto and no term,
covenant or provision or the failure to include a term, covenant or provisions shall be
construed against any party hereto solely on the basis that one party or the other drafted
this Agreement or any term, covenant or provision contained herein.
ARTICLE XVIII. WHOLE AGREEMENT
This document and any specified attachments contain all terms and conditions of the
Agreement and any alteration thereto shall be invalid unless made in writing, signed by
both parties and incorporated as an amendment to this Agreement.
If any term, covenant, condition or provision of this Agreement shall be invalid or
unenforceable, the remainder of this Agreement shall not be affected thereby and the
remainder of the Agreement shall remain valid and enforceable to the fullest extent
permitted by law.
ARTICLE XX. CHOICE OF LAW AND VENUE
The laws of the State of Wisconsin shall govern the interpretation and construction of this
Agreement. Winnebago County shall be the venue for all disputes arising under this
Agreement.
