CONSTRUCTION CONTRACT
THIS AGREEMENT, made on the 13�h day of January, 2016, by and between the
CITY OF OSHKOSH, party ofthe first part, hereinafter referred to as CITY, and MAGUIRE
IRON, INC., PO BOX 1446, SIOUX FALLS, SD, 57101, party of the second part,
hereinafter referred to as the CONTRACTOR,
WITNESSETH:
That the CITY and the CONTRACTOR, for the consideration hereinafter named,
agree as follows:
ARTICLE I. SCOPE OF WORK
The CONTRACTOR hereby agrees to furnish all of the materials and all of the
equipment and labor necessary, and to perform all of the work shown on the plans and
described in the specifications for the project entitled or described as follows:
Public Works Contract No. 16-10
for the southwest water tower interior painting, for the Public Works Department,
pursuant to Resolution 16-OS adopted by the Common Council of the City of Oshkosh on
the 12th day of January, 2016,
all in accordance and in strictcompliancewith the CONTRACTOR's Proposal and the other
Contract Documents referred to in ARTICLE V of this Contract.
ARTICLE II. TIME OF COMPLETION
The work to be performed under this contract shall be commenced and the work
completed within the time limits specified in the Special Conditions and/or
CONTRACTOR's proposal.
ARTICLE III. PAYMENT
(a) The Contract Sum.
The CITY shall pay to the CONTRACTOR for the performance of the Contract the sum of
Two Hundred - Twenty One Thousand - Seven Hundred - Ninety One Dollars and 00/100
($221,790.00), adjusted by any changes as provided in the Specifications, orany changes
hereafter mutually agreed upon in writing by the parties hereto, provided, however, in the
event the Proposal and Contract Documents are on a"Unit Price" basis, the above
mentioned figure is an estimated figure, and the CITY shall, in such cases, pay to the
CONTRACTOR for the performance of the Contract the amounts determined for the total
number of each of the units of work as set forth in the CONTRACTOR's proposal; the
number of units therein contained is approximate only, and the final payment shall be
made for the actual number of units that are incorporated in or made necessary by the

work covered by the Contract.
(b) Progress Payments.
In the event the time necessary to complete this Contract is such that progress payments
are required, they shall be made according to the provisions set forth in the Specifications.
ARTICLE IV. CONTRACTOR TO HOLD CITY HARMLESS
The CONTRACTOR covenants and agrees to protect and hold the CITY harmless
against all actions, claims and demands of any kind or characterwhatsoeverwhich may in
any way be caused by or result from the intentional or negligent acts of the
CONTRACTOR, his agents or assigns, his employees or his subcontractors related
however remotely to the performance of this Contrect or be caused or result from any
violation of any law or administrative regulation, and shall indemnify or refund to the CITY
all sums including court costs, attorney fees, and punitive damages which the CITY may be
obliged or adjudged to pay on any such claims or demands within thirty (30) days of the
date of the CITY's written demand for indemnification or refund.
ARTICLE V. INSURANCE
The Insurance required by the City of Oshkosh as specified in the CITY's
specifications, including addenda, or plans, or instructions, or advertisements, shall be
primarv coveraqe and that any insurance or self insurance maintained by the City of
Oshkosh, its officers, council members, agents, employees or authorized volunteers will
not contribute to a loss. All insurance shall be based upon the occurrence of an event, and
not based on claims made. All insurance shall be in full force prior to commencing work
and remain in force until the entirejob is completed and the length of time that is specifed,
if any, in this Contract, the Specifications, whichever is longer.
ARTICLE VI. COMPONENT PARTS OF THE CONTRACT
This Contract consists of the following component parts, all of which are as fully a
part of this contract as if herein set out verbatim, or if not attached, as if hereto attached:
1. This Instrument
2. The City's Plans and Specifications, including all Addenda's
3. City of Oshkosh Standard Specifications
4. Instructions to Bidders
5. Advertisement for Bids
6. Contractor's Proposal
The Contract Documents are complementary; what is required by one is as binding
as if required by all. Before undertaking each part of the work, the CONTRACTOR shall
carefully study and compare the Contract Documents and check and verify all pertinent
figures and measurements required therein. CONTRACTOR shall promptly report in
writing to the Engineer any conflict, error, ambiguity or discrepancy which CONTRACTOR
may discover and shall obtain written clarifcation from the Engineer before proceeding with
any work affected thereby.

In the event that any provision in any of the above component parts ofthis Contract
conflicts with any provision in any other of the component parts, the provision in the
component part first en umerated above shall govern over any other component part which
follows it numerically except as may be otherwise specifically stated.
IT IS HEREBY DECLARED, UNDERSTOOD AND AGREED that the word
"CONTRACTOR" wherever used in this Contract means the party of the second part and
its/his/their legal representatives, successors, and assigns.
IN WITNESS WHEREOF, the City of Oshkosh, Wisconsin, has caused this contract
to be sealed with its corporate seal and to be subscribed to by its City Manager and City
Clerk and countersigned by the Comptroller of said City, and the party of the second part
hereunto set its, his or their hand and seal the day and year first above written.

1 The Contractor and Surety, joinlly antl severally, bind
themselves, iheir heirs, execulors, administralors,
successors and assigns to the Owner for Ihe performance
of ihe Constmction Contract, which is incorporated herein
byreference.
2 If the Contrac[or performs the Construction Contract
the Surery and the Contrector shall have no obligation
untler Ihis Bond, except when applicable to participate in a
conference as pmvided in Section 3.
3 If there is no Owner Default untler lhe Constmction
Contrec[, ihe Surety's obligation under Ihis Bond shall

3.1 �he Owner first provitles nolice to �he Contrector
and lhe Surety that ihe Owner is consitlering declaring
a Contractor DefaulL Such notice shall intlicate whether
t�e Owner is reQUesting a conference among l�e
Owner, Contracror and Surery to tliswss the
ConlractoYS performance. If the Owner tloes not
request a conference, lhe Surety may, within five (5)
business days after receipt of the Owner's notice,
requesl such a wnference. If the Surery timely
requests a conference, the Owner shall attentl. Unless
the Owner agrees olherv+ise, any conference requestetl
under Ihis Sedion 3.1 shall be held within ten (10)
business tlays of Ihe Surelys receipt of Ihe Owner's
notice. If the Owner, the Contractor antl the Surety
agree, the Contrector shall be allowed a reasonable
time to perform ihe Constmction Contrac�, bul such an
agreement shall wl waive the Owners right, if any,
subsequently to dedare a Contractor Defaulf,

4 FaiWre on lhe part of the Owner to comply with the
notice �equiremenl in Section 3.1 shall not constitute a
faiWre ro comply with a condition precedent to ihe Surety's
obligations, or release lhe Surety fmm its oCligations,
except lo the euten� lhe Surety demonstrates acfual
prelutlice.
5 When the Owner has salisfied the wntli�ions of Section
3, the SureTi shall promplly and at Ihe Surely's expense
lake one of ihe following ac�ions:
5.1 Arrange for the Contractar, with the consent of the
Owner, to perform and complete lhe Consiruclion
Contrect,
5.2 Undertake to perform and complete lhe
Conslmction Contract itself, lhrough its agents or
indepentlent wntreclors;
5.3 Obtain bitls or negolialed pmposals fmm qualified
contractors acceptable lo Ihe Owner for a contract for
performance antl completion of lhe Constmclion
Contract, arrange for a contract to be prepared for
execution by �he Owner and a conUactor selectetl with
the Ownefs concurrence, to be seared wilh
pertormance and paymenl bontls executetl by a
qualifietl surery equivalent lo Ihe bontls issued on the
Cons�ruclion Contrect, and pay to the Owner lhe
amount of damages as described in Section 7 in
excess of the Balance of lhe Contraci Price inwrred by
the Owner as a reSNt of the Contractor DefaWf, or
5.4 Waive its right to perform and wmplete, arrange
for completion, or obtain a new contractor antl with
reasonable promptness under Ihe circumstances:
.1 Aker imestigation, determine the amount for
whic� it may be liable lo the Owner and, as
soon as practicable afler the amowt is
determined, make payment to the Owner, or
.2 Deny liabiliry in whole or in part and nolify [he
Owner, citing the reasons for denial.
6 If the Surery does not pmceed as provitled in Section 5
with reasonable prompiness, fhe Surery shall be deemed to
be in default on Ihis Bond seven tlays aRer receipt of an
adtlitional writlen notice fmm the Owner b the Surery
demanding that the Surety pertorm its obligations under
this Bond, and lhe Owner shall be enti0ed m enforce any
remetly available lo lhe Owner. if the Surety proceeds as
providetl in Section 5.4, and Ihe Owner refuses the
payment or Ihe Surery has tlenied liability, in whole or in
part, withoul further notice the Owner shall Ee entitletl to
enforce any remetly available ro lhe Owner.
7 If [he Surety elects [o act under Section 5.1, 52 or 5.3,
then the responsibilities of the Surety to the Owner shall
not be greater l�an lhose of Ihe Contractor under Ihe
Conslmction Contrad, antl �he responsibilities of the
Owner to lhe Surery shall not be greater than lhose of the
Owner under lhe Consimction ContracL Subjecl lo the
wmmitmenl by lhe Owner to pay ihe Balance of Ihe
Contract Price, lhe Surety is obligated, withouf duplication,
for

8 If the Surety elects to act under Section 5.1, 5.3 or 54,
the Surety's liability is limited to lhe amount of Ihis Bond.
9 The Surety shall not be liable lo Ihe Owner or others for
obligalions of the Contractor that are unrelated to the
Constmction Conlract, and the Balance of the Contract
Price shall nol be retlucetl or set oH on acwunt o( any
such unrelated obligations. No right of adion shall accme
on lhis Bontl to any person or entity other than the Owner
or its heirs, exewmrs, atlministrators, successors and
assigns
10 The Surety hereby waives notice of any change,
induding changes of time, to the Constmction Contracl ot
to relaletl subcontrac4s, pumhase ortlers and other
obligations.
t1 Any pmceeding, legal or equitable, under Ihis Bond
may be instituted in any court of competent juristliction in
the localion in which the work or part of the work is localed
and shall be instituled within hvo years after a declaration
of Contrector Default or within lwo years after lhe
Contractor ceasetl working or within hvo years after the
Surery refuses or fails to perfortn its obligations untler lhis
Bond, whichever occurs firs�. If the provisions of this
Paragraph are void or prohibited by law, lhe minimum
period of limitation available lo sureties as a defense in ihe
jurisdiction of the suit shall be applicable.

12 Notice to ihe Surery, the Owner or the Contracror shall
be mailetl or tleliveretl to the atltlress shown on the page
on which their signature appears.
73 When this Bond has been furnished to comply with a
staWtory or other legal requiremenl in ihe location where
ihe constmction was to be performed, any provision in �his
Bond conflicting with said staturory or legal requirement
shall be tleemetl tleleletl herehom antl provisions
conforming to such staWtory or other legal requiremen�
shall be deemed incorporaletl herein. When so fumished,
Ihe intent is Ihat Ihis Bontl shall be constmed as a
SfaNtory bond and not as a common law bond.
14 De£nitions
74.7 Balance of Ne Contrecl Price. The total
amount payable by the Owner to Ihe Contrector under
ihe Constmction Contract aker all pmper adjustmenis
have been matle, including allowance to the
Contrector of any amounts received or to be receivetl
by the Owner in settlement of insurance or other
claims for damages to which the Contractor is entitled,
reduced by all valid and proper paymen�s made to or
on behalf of ihe Contraclor untler the ConsUUCtion
Contrect.
14.2 Construction ContncL The agreement behveen
the Owner and Conlractor itlentifetl on lhe cover page,
including all Coniract Documenls antl changes matle lo
ihe agreement and the Con(ract Documents.
14.3 Conlractor Default. Failure of ihe Contreclor,
which has not been remetlietl or waiveQ to pertorm or
otherwise lo comply with a material term of lhe
Construction Contrac[.
14.4 Own¢r D¢faWt Failure o( the Owner, which has
not been remedietl or waivetl, to pay the Coniractor as
required under the Construction Coniract or to perform
and complete or comply with ihe other material terms of
the Constmction Contracl.
14.5 Coniracl Documenls. All the tlocumwls that
comprise the agreement between the Owner antl
Contractor.
15 If ihis Bond is issued for an agreement between a
Contractor and subwntrecror, the term Contractor in this
Bontl shall be tleemed to be Subcontractor antl the term
Owner shall be deemed to be Contractor.

Coniract and �endered defense of such claims, demands,
liens or suits to Ihe Con�ractor antl ihe Surery.
4 When the Owner has satisfied Ihe wntlitions in Section
3, ihe Surety shall promptly and at ihe Surery's expense
tlefentl, indemniry and hold harmless the Owner against a
duly tendered claim, tlemanQ lien or suit.
5 The Surety's obligalions to a Claimant under this Bontl
shallarise atterihefollowing:
5.1 Claimants, who tlo not have a direct contractwith
the ConVacbr,
.� have fumishetl a written notice of
non-payment to the Contrac[or, stating with
substantial acaracy the amount claimed and
Ihe name of the party ro whom �he materials
were, or equipment was, fumished or supplied
or for whom Ihe labor was done or per(ormed,
within ninety (90) days after having last
performed labor or last fumished materials or
equipment included in the Claim; and
.2 have sent a Claim to the Surety (at the
atltlress described in Section �3).
5.2 Claimanls, who are employed by or have a tlirect
conVar.t with ihe ConUactor, have sent a Claim to the
Surety (at the address describetl in Section 13).
6 If a notic_ o( non-payment required by Section 5.1.� is
given by lhe Owner to [he ConVactor, lhat is sufficient to
satisf; a ClalmanPS obligation to fumish a written notice of
non-payment under Sec�ion 5. i. i.
7 When a Claimant has satisfied the conGitions of
Sections 5.1 or 52, whichever is applicable, the Surety
shall pmmpHy and at Ihe Surety's ezpense take the
following ac�ions'
7.7 Send an answer to the Claimant, wi�h a copy to lhe
Owner, wi�hin sixty (60) days aRer receipt of the Claim,
stating the amounts that are undisputed antl the basis
for challenging any amounts that are dispu�ed; and
72 Pay or arrenge for payment o( any undisputed
amounis.
7.3 The Surety's failure to discharge its obligalions
under Section 7.1 or Section 72 shall not be tleemed to
constitute a waiver of defenses Ihe Surety or Contrac�or
may have o� acquire as to a Claim, except as to
undisputed amounts for which the Surety and Claimant
have reachetl agreement It, however, the Surety hils
�o discharge its obligations under Section 7.1 or Seclion
Z2, �he Surety shall intlemnify the Claimant (or ihe
reasonable attorney's fees �he Claimant incurs
thereaker to recover any sums found to be tlue ana
owing ro the Claimant.
8 The Surety's total obligation shall not exceetl the amount
of this Bond, plus ihe amount of reasonable attomey's fees
pmvitletl untler Section 7.3, and the amount of this Bond
shall be credited for any payments made in good faith by
the Surery.
9 Amounts owed by the Owner to Ihe Coniraclor under the
Constmction Controct shall be used for the peAormance of
the Constmction Contract antl to satisfy claims, if any,
under any construction performance bontl. By the
Contrac�or fumishing antl the Owner accep�ing Ihis Bontl,
they agrea that all funds eamed by Ihe ConUacror in ihe
performance oflhe Construction Coniract are dedicated to
satisfy obligations of the Contractor and Surery under Ihis
Bond, subjecl to the Owner's prioriry [o use the funtls for
the completion of ihe work.
10 The Surery shall not be liable to the Owner, Claimants
orothers Porobligations of Ihe Contractor ihat are unrelated
to the Constmction Coniract. The Owner shall not be liable
for the payment of any cos�s or expenses of any Claimant
under ihis Bond, antl shall have untler this Bond no
obligation to make paymenis tq or give notice on behalf of,
Claimants or otheiwise have any obligations to Claimanis
under this Bontl.
77 The Surety hereby waives notice of any change,
including changes of time, to the Cons�mc�ion Coniract or
to relatetl subcontracts, purchase orders and other
obligations.
72 No suit or action shall be commenced by a Claimant
unGer this Bontl olher than in a court of competent
junsdiction in the state in which lhe projec[ Ihat is �he
subject of the Constmc[ion Con�ract is locatetl or after the
expiration of one year from the date (�) on which the
Claimant sent a Claim to ihe Surety pursuant to Section
5.1 2 or 52, or (2) on which �he last labor or senice was
pertormed by anyone or the last materials or equipment
were furnished by anyone untler the Consimction Coniract,
whichever of (1) ar (2) first ocwrs. If the provisions o( Ihis
Paragraph are void or pmhibited by law, the minimum
periotl of limitation available lo sureties as a de(ense in the
jurisdiction olthe sui� shall be applicable.
13 Notice and Claims to the Surety, the Owner or Ihe
Contrector shall be mailed or delivered to the atldress
shown on the page on which their signature appears.
Actual receipt of notice or Claims, however accomplished,
shall be suffcient compliance as of the tlate received.
