Goveming Body's assurance [hat the storm water drainage issues relating ro the property
can be more easily achieved throu� this Av.�eement

The Properry must always comply with the grading and drainage plan appmved by the City. The approved grading and drainage plan may
be amended or modified Gom time [o [ime after consWta[ion wi[h the Properry owner. Compliance will be evalua[ed according [o [he
mos[ current approved plan. A small scale version ofthe current grnding and drainage plan is attached u E�ibit'B" or identifica[ion and
reference purposes. The full scale grading and drninage plan is on file for review with the Ciry Depar[ment of Public Works, and will be
used to provide grading and dwinage criteria and to govem compliance and any disputes.
PURPOSE
The [hree (3) primary puryoses of [his Agreement
I) Notify the Proper[y oumeq as well as anyone interested in or comecred ro the Prope�ty iha[ the Proper[y is subject [o Ihis Agreement
and Chapter 14 of the Oshkosh Municipal Code, as amendeQ and [ha[ any owner of the Property assumes lhese obligations; and,
2) Identify specific stortn watec facilities that currently exist on lhe Proper[y, or may be cons[ruc[ed or installed in the future; and,
3) Describe [he minimum responsibilities for main[aining the Proper[y's approved stortn water managemen[ facilities and grading and
dreinage plan.
RESTRICTIONS
The Property mus[ always conform to its mos[ curren[ grading and drainage plan approved by the Ciry. The Property is also subject [o all
aspects of[he Municipal Code, induding storm wa[er management requirements, as may be amended, which are currenHy loca[ed in
Chapter 14 of[he Municipal Code. The s[orm water management requiremen[s of the Municipal Code change fi'om [ime to time, with the
Pmperty owner receiving public notice u required by law. Changes may be made to the gradino and drainage plan Por the Pmperty if
requested by [he Property owner and aRer review of any changed cirwmstances on the Proper[y. The approved grading and drainage plan

Each owner of the Property, joinNy and severally, as well as therz heirs, successors, and assigns, is responsible for maintairiing [he
Proper[y in [he manner described in [his Agreemw[. The Property owner's responsibilities include main[aining approved vege[a[ion,
P{nding, drainage, and srorm water facilities on the Property.
STORM WATER FACI WTIES
The Pmperty's s[ortn water Cacili[ies consist of.
L Storm W ater basin; and
2. Infihretion Basin; and
3. S[orm Sewer; and
4. Inle[ and manhole covers.
INSPECTION AMD MAINTENANCE
All storm water fecilities and componen[s of [he storm water system shall be i�spected at least semiannuallg with one inspection occurring
in early spring and one inspection oaurring in early au[umn. The Proper[y's smrm warer drainage sysrem mus[ also be inspec[ed after
major s[orm events. The smrm water facilities and,grading and drninage scheme must be maintained ac designed in order to achieve the
des'ved stortn warer drainage objectives. Therefore, main[enance and repairs must be performed eepeditiously when rystem deficiencies
are identified. The existence of soil erosion, dogged or dama�ed inle[s anNor pipes, sedimenta[ion of the buin and/or biofilter, rilling of
side slopes, and other damaged features of the stoanwater system are examples of items requinng maintenance or repair work. Matenal
removed from [he basin or biofilrer may require special handling dependeut upon cucren[ Wisconsin Department ofNaturnl Resources
disposal practices.
If an Infiltra[ion Basin is installed�wns[rucred, [hen main[enance activities indude: remove coarse and gravel sediment that has
accumulated; inspecting surface and repair eroded areas; inspec[ energy dissipamr rock or grass inle[ areu; inspec[ overflow structures;
remove litter and debris; and replace ve�etation when necessary. Infilhation Basin inspection and main[enance requirements applicable to
the Pmper[y will change as the rules enforced by the Goveming Body change.
If a wet basin is installeNconstructed, theu dredging operatious are required to remove the excess sediment when the depth of water in the
wet derention basin diminishes below three feet causing the e�ciency of the deten[ion basin to decrease. The srorm water detention
basin(s) must retain the safery shelf after dredgin�. Damage to the safery shelf or detention buin liner must be repaired to preserve the
safeTy and operation ofthe facilities.
If a dry buin ancllor swale is installeNconswcted, then dry basin and swale mainrenance includes removal of Vash and debris, repairing
erosion, maintaining vegetatioq and dredging when necessary.
The examples of maincenance activities that are identified above are not intended [o be complete. The minimum information required to
be viewed as a guideline for potential main[enance or repair activities is identified in the inspec[ion and Maintenance Logs attached as
E�ibi[ C. The Proper[y owner shall, upon request, make available for inspection all maintenance records to [he City's Departrnent of
Public Works, or any agen[ of[he City, during the life of[he sys[em.
PROHIBITIONS
Mowing in buffer areas, detention basin banks and drainage ways shalt be minimized in order to maximize fil[ration of runoff. If
occasional mowing is necessary, lhe mowing height mus[ no[ be less [han six inches. Applications of fertilizers, herbicides, peslicide or
uther chemical applications are prohibiced in buffer areas, on detention basin banks and along draina�e ways.

COMPLIANCE

event the Property owner fails [o perform any obtigation relaced to [his Agreement, the CiTy of Oshkosh shall have the authonty to enter
Ihe priva[e Property ro inspec[, maintairi, repair, reconstruct, and/or modify any component of the approved gradin� and drainage plan or
storm warer facility. The City haz no dury [o [ake such action but may do so a[ its discretioa The abiliTy to enter the Property and take
such action is not an exdusive remedy, and [he City may take any lawful action [o enforce this Agreemen[ anNOr the Municipal Code.
The Property owner grants [o [he City ofOshkosh a limited, nonexclusive easemen[ in perpe[uity over the Property for Ihe purpose of
addressing grading and drainage deficiencies, az well as providing reasonable and necessary access to any storm water faciliry Ihat is
bcated on or within the Properry. The City ofOshkosh shall use only that patl ofthe Property reasonably neressary to allow the
inspec[ioq main[enance, and/or repaa of the approved grading and drainage plan or any s[orm water facility. If the CiTy elects to perfortn
maintenance or repairs on the Property, then all associated costs for perFOrmin� ihis work and enforcing [his Agreemrnt anNor stortn
wa[er management requiremenb of Chapter 14 of the Municipal Code, as may be amended from time ro time, are subject to
reimbursement from Property owners,jointly and severally, or Ihrough encumbrances on the Pmper[y i[self. Reimbursemen[ remedies
include placing an encumbrance against [he Property u a Special Charge for Curtent Services pursuant to Sec. 66.0627 Wisconsin
Statures, as amended, or [hrough other methods m collect directly Rom [he Pmperty owner as allowed by law a[ [he City's discre[ion. My
Special Chazge for Curtent Services shall be a lien on [he Pmperty and shall be collected wi[h the real eslare taces. The Property owner
afirmatively waives notice requuements for Special Charges, and this provision shall constitute the Property owner's, and any respective
IoVparcel owner(s) ifapplicable, waiver ofno[ice ofheating otherwise required by Sections 66.0627 or 66.0703 ofthe Wisconsin Stamres.
The s[orm wa[er management facilities shall be for Ihe beneFit of the City of Oslilcosh and the Pmper[y as described in this Agreement.
This Agreemen[ is m[ intended to benefit third parties and there shall be no third party beneficiaries.
RECORDING
This a� eemen[ shall be remrded wi[h [he land rewrds of[he Winnebago County, Wismnsiq Regis[er of Deeds. FQ Washbum, LLC
shall bear [he wst ofrecording [his documen[.
AMENDMENTS
This Agreemen[ may be amended in whole or in patt at any time by the oxmer of the Proper[y, provided l) [he amendment(s) are
approved in writing by the owners of a majority of the lots withiri the Pmperty as recorded with the Register of Deeds, W innebago County,
Wismnsiq and, 2) [he amendmen[(s) are approved in writing by the Ciry ofOshkosh Board of Public Wo�ks. 'Chis Agreement shail be a
permanent covenant [ha[ shall, as provided by law, run with the land and any amendment to this Agreement shall be subject to [he prior
approval by [he City of Oshkosh.
