November 21, 2015 UWO TITAN FOOTBALL CHAMPIONSHIP GAME �- ��d THIS AGREEMENT made and entered into this �� day of At�gnsc 2015, by a�d between, Boazd of Regents of the University of WI system on the behalf of the University of WI Oshkosh hereinafter called "UWO", and the City of Oskilcosh, a municipal corporation, hereinafter called "CITY". WHEREAS, UWO has requested the CITY provide a dedicated pazamedic ambulance for stand-by, during specified hours for a Football Scdmmage at Titan Stadium, and WHEREAS, the Common Council for the City of Oshkosh has authorized the appropriate Ciry officials to enter into such an ageement. NO W, THEREFORE, it is ag�eed by and between the parties to this agreement that the CITY shall provide ooe (1) two-person paramedic ambulance to be present at Titan Stadium duri�g the Football Scrunmage. The pazamedic unit shall be primarily responsible for providing first aid and response to medical emergencies � Date of Service: Sa[urday, November 21, Time to be Determined IT IS FURTHER AGREED that UWO shall pay $110.54 per hour for the ambulance. Billed time will comme�ce 30 minutes prior to the starf of stand-by and end 30 minutes after [he tevnination of stand-by with a minimum of 3 hours. My additional hours requested or required to provide adequate service in [he sole opinion of the Dury Chief for the CiTy of Oshkosh Fire Departrnent, shall be added to the prescheduled stand-by hours and billed at [he same hourly rate. If for any reason the event is cancelled, a tluee (3) hour minimum will be chazged if the event is not cancelled at leas[ rivelve (12) hours before the scheduled start time. Pi�event cancellations shall be made by calling (920) 236-5240 between 8:00 am. and 4:30 p.m. Monday through Friday or (920) 236-5271 at other times. � The CITY shall invoice UNO Stadium Budget, c/o Susie Gustke, 800 Algoma Blvd., Oshkosh, WI 54901 following each eveat, with payment to be made within 30 days of receipt of invoice. Failure to timely pay an invoice st�all be a breach of this agreement. All patients requiring transport by the Oshkosh Fire Department ambulance wil] be billed for services rendered according to [he CITY's usual and customary procedures and rates for service. Consiste�t with the Statutes of the State of Wisconsin, each party to this contract agrees to assume liability for the wrongful acts or omissions of its employees or agents while they aze functioning within the scope of their employment or agency, and hold the other hazmless for such liabi]iry. The Boazd of Regents for the University of Wisconsin System agrees to provide liabiliTy pmtection foc its officecs, employees and agents while acting within the scope of their employment. Stats. Similazly, the Ciry of Oshkosh agrees tu hold kiamiless the University, and all its officers, employees and agents &om any and al] liabiliry, including claims, demands, losses, costs, damages and expenses of every kind and description or damages to persous or property arisi�g out of or in connection with or ocwrring during the course of this agreement, where such liability is founded upon or grows out ofthe acts or omissions of employees, officers, or agents ofthe CiTy of Oshkosh while acting within the scope of their employment where protection is afforded by ss. 893.80 and 895.46(1) Wis. Stats. UWO and the CITY shall have the right to terminate this agieement without cause upon 10 days prior writte� notice [o the other party.
