# 15 RESOLliTION
AUTHORIZING HIRING OF CITY MANAGER
BE IT RESOLVED by the Common Caurici7� of the City �f Oshkosri
that the proper City officials are hereby au_thorizeci �nd direc�ed
to enter into an appropriate agreement wi�th WILLIAM D. FRUEH,
hereinafter ref�rred to as "Cit� Manager" ��r the �mplc�yment of
said WILLIAM D. FRUEH as City Pyianager of fihe City �f Oshkosh
commencing August l, 1976 at a salary rat� of Twenty-Nine Thousa.nd
Dollars ($25,000.00) per year, to be paid upon the faithful pexfar-
m.ance of the duties and responsib�.lities of the position af City
?�ianager. The annual salary shall be paya:ble in installments ir�
accordance with the policies of the City of Oshkosh.
The Employr�ent Agreement shall include the folZowing conditi�ris:
The City Manager hereby accepts such employment and aqrees to
faithfully perform the duties and resgonsibilities of that affice
ias outl.ined in tirzicle lV ot the Os�nkosh Municipal Code and Cnapter
64 of the Wisconsin Statutes) and to devote his entire time and
attention and his best talents exclusive"ly to the benefit of the
City during the term of his employment; provided, however, that he
nay undertake lecturing and other professional activities which are
not inconsistent with his said duties and responsibilities. �
It is further understood that the City Manager will consult
with the Council prior to making �ppointments to City Boards and
Commissions .
It is further agreed that the City will reimburse �Lhe Manager

up to budgeted limits for all actual ex�enses requir�d in the
nerformance of his official duties including board, lodging,
automobile allowance, and transgortation (wzth personal automobile
mi�eage at the then prevail�ng City rate} wh�n on aut.horized

business-outside of the City and when zncurred in his attendance
at appropriat� Council approved state and national conventions and
�eetings.
Tt is further agreed that the Manager shall receive 3 weeks o£
vacation annually, plus tl�e same holidays that are enjoyed by City
Hall personnel, and sha11 receive 100� of the following: health
insuranr�, State group life insurance and Wisconsin Retirement Fund
benefits. The Ci�y Manager shall be entitled to accumulation anc�
use of sick leave on the same basis as other Ciiy Hall employees.
It is further agreed that within 60 days from the �beginning date
of August 1, 1976, - the Council ar.d the Manag�r shall meet
and determine the performance objectives that are to be achieved
by the Cit� Manager duri.ng the ensL:ing 1raaY' �r�? ±�?:�t- at ? eaUt
annually thereafter, they shall review per�ormance and redetermine
such objectives.
It is further agreed that said employment agreement is terminable
by eitr.er party thereto by furnishing the a-�h�r party notice of said
termination 45 days prior to the effective date of said termination.
