The Alarm Company agrees as follo;is: a. To install a manitor in the Osh�cosh Police Uepartment capable o� �ni�oring at least 50 subscribers and be expandable to at least 250 � , «. subscribers, b. That the control cabinet together arith ihe alarm annunciator nust be one that visually sho�•rs the subscriber number or name and mea- s�res not more than 24" 1ong by 18" deep by 12�� high. c. Any malfunction or reporting of an intrusion in one alarm is not to effect the performance of otF�er subscribers being serviced.. d� The equipment must be capable of interfacing t�rith alarm equipment.manufactured by various companies. 0 e. The Alarm Company agrees to maintain the nonitor and all - equiprr,eni placed in the Oshkosh Police Departrrent in serviceable con-- dition and ��rith 2��hour maintenance capabilities. f, 7he Alarm Company agrees to hold the City of Oshkosh harm� less from any and all c7aims and ar causes of action r�rhich may result because of malfunctioning or improper� ins�al7aiion of the eqi�ipment insia7led in the Oshkosh Palice Department, 2. Tbe City of Oshkosh agrees as follows: a. To allaw the faregoing Alarm Company to install iis monitoring equi�ment in the Oshkosh Police Department in a space provided for it by the Oshkosn Police Department. b. To monitor the alarms received over this monitoring equipment at no cost to the a7arm co�npany for such monitoring service, 3� Termination Clause. This agreement shall be for a period of one (1} year from and after its acceptance by both i.he City of Qshkosh and the Alar� Con�any. It shall continue for 7ike periods of one-year unless eiiher party gives b0-day ��rri�ten notice to the other party prior to the annual rene��a1 date, -2- :� . � 0 Th� Ci4y r..ay terninate this agreemQnt if a particular subscriber on the roni�oring equipr;ent has repeated false alarms after notice to the Alarm Co-pany o� ti�e false alarns an� giving the A1arm Company 30-days to correct the ca�se of such false alarms. . The A1ar�n CoTpany may terminate ihis agreemeni at any �:ime ti•�ithin the firsi year oT opera�ion upon giving 10 days.wr�tten noiice to the Ci�y of its desire �o terminate. Y �---- By : - 3 - March 3, 1977 Dear Sir: At the City Council Meeting of March 3, 1977, the City Council passed a resolution which authorized the agreement with your firm for a Remote A1arm Monitor in our Oshkosh Police Department. The only change in the new agreement form and the agreement form I sent on February 18, 1977, is the wording of the 4th "WHEREAS" in that "security sys� tem" has been changed to alarm companies. Prior to your actually installing the alarm in the Police Depart- ment dispatcher's area, you, of course, will present the agreement to this office and I will have the proper city officials execute it. I look forward to workinq with you as a pr�.vate enter- campany a.nd to encouraging more intrusion alarms installed in our city. The City of Cshkosh agrees as follows: a. T� a]1ow the foregoing Alarm Company to install its monitoring equipment �n the Oshkosh Police Department in a space provided for it by the Oshkosh Po3ice Department. b� To monitor the a7arms received over this moniioring equinment at no cast to the alarm company for such monitoring service. 3. Terminat�on Clause.
