ATTE�CHi�Ii�IV`�': RESOi,UTION rr.32-77 I�DOP`1'ED E3Y THE OSHKOSH HOUSIIVG Z�UTHORI7`Y - 31 �: - --____ .____..____,__�.w_.__�__.._....�.,,_, ` �'- `' � i _ , ,... . . ., ._. _ ... ...__. _. n.._. . ; i � ; ; ; s " � h� ���'�: � � L.._.� ATTACHMENT TO RES. #31 OF MARCH 17, _ ' 1977 CITY COUNCIL AGENDA RESOLUTION #32-77 ADOPTED BY THE OSHKOSH HOUSING AUTHORITY WHEREAS, the Oshkosh Housing Authority desires to provide housing for the elderly upon the property known as 517 Boyd Street in the City of Oshkosh, and WHEREAS, the most feasible manner in providing said housing is through the aus�ices of the Wisconsin Housing Finance Authority, and WHEREAS, prior to final approval from the Wisconsin Housing Finance Authority, working drawings and plans must be prepared by an architect, and WHEREAS, the Oshkosh Hcusing Authority wishes to engage the services of Irion, Reinke and Associates for architectural services for the Section 8 Housing for Elderly Project, and WHEREAS, the bulk of said services must be completed prior �o final approval of the Wisconsin Hou�ing Finance Authority, NOW, THEREFORE, BE IT RESOLVED by the Oshkosh Housing Authority that the proper Housing Authority officials are hereby authorized and directed to enter into the attached agreement with Irian, Reinke and Associates for architectural services for the Section 8 Housing for Elderly Project to be located at 517 Boyd Street in the City of Oshkosh. BE IT FURTHER RESOLVED that this authorization is contingent upon the receipt of final approval and financing from the Wiseonsin Housing Finance Authority for said project and approval of said architectural agreement. BE IT FURTH�R RESOLVED that should the Wisconsin Housing Finance Authority for any reason not finance this project, then the Oshkosh Housing Authority and thz City of Oshkosh shall assume no liability for services rendered by Irion, Reinke and Associates. BE IT FURTFiE� RESOLVr,D that should said 4aisconsin nousing r`inance Authority not approve said project, then the Oshkosh Housing Authority shall attempt to obtain other financing and approval for a similar housing for the eZderly project on this site and if said alternate financing becomes available� then in that event the proper officials of the Oshkosh Housing Authority are authorized and directed to enter into the attached agreement with Irion, Reinke and Associates. BE IT FURTHER RESOLVED that should the Wisconsin Housing Finance Authority iail to fund the project and further should the Oshkosh Housing Authority be unable to fund the project through either HUD or other sources, then in that event the Housing Authority will recommend to the City of Oshkosh that for a period of 18-manths from the date of disapproval from the Wisconsin Housing Finance Authority to hold the property kriown as 517 Boyd Street for a housing for the elderly project which ma_y be financed through private efforts on behalf of Irion, Reinke and Associates. - 31B - . . , . , /�C� C' � A. � y �a'%3�' AGREEMENT TO PURCHASE T. PARTIES 1.01 P�ERCY MEDICAL CENTER OF OSHKOSFf, It�C., a 6disconsin n�n-profit corporaiion, hereinafter called Mercy, and 1.02 CITY OF OSHKOSH, a municipal corparation, hereinafter called C�ity. II. RECITALS 2.01 htercy is the owner of the demised premises, which is the site of the former Mercy Extended Care Facility� 2.02 Mercy has heretofore granted an option to purchase the demised premises, which option has been extended and renewed and the last such option dated December 27, 1976, expires on March 31, 1977. 2.03 �ity has given notice to Mercy of its exercise of the optian, by which the City has agreed to purchase the demised premises for the sum of One Hundred Seventy-five Thousand Dollars ($175,000.00) in accordance with the terms of the option. 2.04 The parties wish to set forth the terms of the Figreement ta {'urchase in addition ta those terms resulting from the exercise of the option. 2.05 The demised premises are the following real estate located in the Citv of Oshkosh, County of Winnebago, and State of Wisconsin, to-wit: Lois 1, 2, 3, 4, 5, 6, 7, 8, a, 10, 27, 29, 30, 31 and the South Two (2) feet of Lot 28, all in Block 57, FORD ADDITION in the Fourth Ward, City of Oshkosh, lrlinnebago County, Wisconsina (Also known as 577 Boyd Street, Oshkosh, �lisconsin.) i III. AGREEMEPdT NOW, THEREFORE, in consideration of the mutual promises herein contained, the parties agree as follows: 3.Oi RECITALS INCLUDED� The recitals are part of this Agreement. 3.02 PURCNASE OF REAL ESTATE. City sha11 purchase the demised premises from Mercy for a total consideration of One Hundred Seventy-five Thausand Dollars ($175,000.00) payable Five Thousand Dollars ($5,000.00) on the date of execution of this Agreement, and the balance on the Glosing date as hereinafter provided. 3.Q2 DEED. On the date of closing Mercy will deliver its warranty deed to the demised premises, free and clear of all liens and encumbrances excepting easements of record. 3.04 CERTAIN FIXTURES AND EQUIPMENT EXCEPTED. The following fixtures or equipment are excepted and shall not be transferred ta the City: Kitchen equipment, stained-glass windows in chapel, compressors in the cooler, two-piece air condition units, wall clocks, cubicle curtain tracks, selected light fixtures, window shades, water coolers, plu�nbing fixtures excluding those plumbing fixtures located in the lavatories, 3.05 EVIDENCE OF TITLE. Mercy shall furnish to City within thirty (30) days from the date of this Agreement, abstracts of title by Schmitt Abstract and Title Company extended to date showing title of record in Mercy and as called for in this agreement, or at the option of the City, to deduct from the purchase price an amount equivalent to the cost of extending the abstract, which money will be used by the City for the purchase of title insurance. _ 2 .. . , L 3.06 CLOSIt�G. Closing shall be held at the office of the City Attorney at the convenience of the parties but no later than August 31, 1977, In the event that City shall secure certain funding thraugh the Wisconsin Nausing Finance Authority that said closing shall be held as soon as practicable after the receipt of such funding, but in all events prior to August 31, 1977. 3.07 INTERIM POSSESSION. The parties acknow1edge that prior to closing it would be to the convenience to City if the demised premises were available for its inspection and also for exam�nation by architects, engineers and other representatives of City. Mercy shall make the premises available for such purpases on or before May 1, 1977, 3.08 AUTNORITY. Each of the parties represents that it has been duly authorized io execute this Agreement by the officer whose signature has been affixed below, IV. MISCELL�`!E�US 4.01 This Agreement shall be binding upon and inure ta the benefit of the parties hereto, and their respective successors or assigns.
