CONSTRUCTION CONTRACT THIS AGREEi�1ENT, made on the _ day of , 19 , by and between the CITY OF OSHKOSH, party of the first part, hereinafter referred to as the CITY, and CII�'I�L PAVING CORP., of 1925 Irish �ad, Route 2, Neenah, Wisconsin party of the second part, hereinafier referred to as the CONTRACTOR, WITNESSETH: That the City and the Contractor, for the considerations hereinafter named, agree as follows: ARTICLE I. SCOPE_OF WORK The Contractor hereby agrees to furnish all of the materials and all of the eQuipment and labor necessary, and to perform all of the work shown on the plans and described in the specifications for the project entitled or described as follows: PLTBLIC WORKS CONTRACT 7 7- 0 4- SECI'I�.�IS I 2, I I I, AND IV Asphalt paving and appu.rtenant work As approved by resolution #23 of July 25, 1977 of the Oshkosh Co�ron Council all in accordance and in strict compliance with the contractor's proposal and the other contract documents referred to in ARTICLE V of this contract. ARTICLE II. TIME OF COAIPLETION The work to be performed under this contract shall be commenced and the work completed within the time limits specified in the General Conditions and/or Contractor's proposal. ARTICLE III. '°PAYi�1E\7T. . . � (a) The Contract Sum. The City shall pay to the Contractor for the performance of the contract the sum of $ 155,753.00----- , adjusted by any changes as provide ln t e enera on itlons, or any changes hereafter mutually agreed upon in writing by the parties hereto, provided, hoiaever, in the event the proposal and contract documents are on a"Unit Price" basis, the above mentioned figure is an estimated figure, and the City shall, in such cases, pay to the Contractor for the performance of the Contract the m , i _ ,,, anounts d�termined for the total number of each of the units of work as seL forth in the Contractor's proposal; the number of units therein contained is approximate only, and the final payment shall be made for the actual numb2r of units that are incorporated in or made necessary by the work covered by the contract. (b) Progress Payments. In the event the time necessary to cor�plete this Contract is such that progress payments are required, they shall be made according to the provisions set forth in the General Conditions. ARTICLE IV. CONTRACTOR TO HOLD CITY HARMLESS The Contractor covenants and agrees to protect and hold the Ciey of Oshkash harmless against all actions, claims and demands of any kind or character whatsoever cahich may in any way be caused by the negligent digging up of streets, alleys or public grounds or which may resnit from the faulty, carelessness or aeglect of said Contractor, his agents, employees or workmen in the performance of said work or caused by the violation of any City ordinance, and shall refund to the City all sums which it may be obliged or adjudged to pay on any such claims or demands within a reasonable time afteT demand thereof. ARTICLE V. CO2-iPONENT PARTS OF THE CONTRACT This contract consists of the folZowing component parts, all af which are as £ully a part of this contract as if herein set out verbatim, or if not attached, as i£ hereto attached: 1. This Instrument In the event that any provision in any of the above component parts of this contract conflicts with any provision in any other af the component parts, the provision in the component part first enumerated above shall govern over any other component part which follows it numerically except as may be otherwise specifically stated. Apprentices will be permitted to work at less than the prede- termined rate for the work they performed when they are em- ployed and individually registered in a, bona fide apprentice- ship program registered with the U, S. Depariment of Labor, _ ManpowQr Ad.ministration, Btu�eau of Apprenticeship and Training, or with a State Apprenticeship Agency recognized by the Bureau, or if a person is employed in his first 90 days of probatianary enrployment as an apprentice in such an apprenticeship pragram, who is not individually re�istered in the program, but who has becn certified by the Bureau of Apprenticeship and Training or a State Apprenticeship Agency (where appropriate� to be eligible for probationaxy employment as an apprentice. In the event the interested parties cannot.agree on the proper classification or reclassification of a particulax class of laborers and mechanics to be used, the question accompanied by the recommendation of the Local Public Agency or Public Boc3,y shall be referred, through the Secretary of Housing and IIrban Development, to the Secretary of Labor for final determination. 10.
