CONSTRUCTION CONTRACT
THIS AGREEi�1ENT, made on the _ day of

by and between the CITY OF OSHKOSH, party of the first part, hereinafter
referred to as the CITY, and CII�'I�L PAVING CORP.,
of 1925 Irish �ad, Route 2, Neenah, Wisconsin
party of the second part, hereinafier referred to as the CONTRACTOR,
WITNESSETH: That the City and the Contractor, for the
considerations hereinafter named, agree as follows:
ARTICLE I. SCOPE_OF WORK
The Contractor hereby agrees to furnish all of the materials
and all of the eQuipment and labor necessary, and to perform all of
the work shown on the plans and described in the specifications for
the project entitled or described as follows:
PLTBLIC WORKS CONTRACT 7 7- 0 4- SECI'I�.�IS I 2, I I I, AND IV
Asphalt paving and appu.rtenant work
As approved by resolution #23 of July 25, 1977 of the Oshkosh Co�ron Council
all in accordance and in strict compliance with the contractor's
proposal and the other contract documents referred to in ARTICLE V
of this contract.
ARTICLE II. TIME OF COAIPLETION
The work to be performed under this contract shall be commenced
and the work completed within the time limits specified in the General
Conditions and/or Contractor's proposal.
ARTICLE III. '°PAYi�1E\7T. . .

(a) The Contract Sum.
The City shall pay to the Contractor for the performance of the
contract the sum of $ 155,753.00----- , adjusted by
any changes as provide ln t e enera on itlons, or any
changes hereafter mutually agreed upon in writing by the parties
hereto, provided, hoiaever, in the event the proposal and contract
documents are on a"Unit Price" basis, the above mentioned figure
is an estimated figure, and the City shall, in such cases, pay
to the Contractor for the performance of the Contract the

anounts d�termined for the total number of each of the units
of work as seL forth in the Contractor's proposal; the number
of units therein contained is approximate only, and the final
payment shall be made for the actual numb2r of units that are
incorporated in or made necessary by the work covered by the
contract.
(b) Progress Payments.
In the event the time necessary to cor�plete this Contract is
such that progress payments are required, they shall be made
according to the provisions set forth in the General Conditions.
ARTICLE IV. CONTRACTOR TO HOLD CITY HARMLESS
The Contractor covenants and agrees to protect and hold the
Ciey of Oshkash harmless against all actions, claims and demands of
any kind or character whatsoever cahich may in any way be caused by
the negligent digging up of streets, alleys or public grounds or
which may resnit from the faulty, carelessness or aeglect of said
Contractor, his agents, employees or workmen in the performance of
said work or caused by the violation of any City ordinance, and
shall refund to the City all sums which it may be obliged or adjudged
to pay on any such claims or demands within a reasonable time afteT
demand thereof.
ARTICLE V. CO2-iPONENT PARTS OF THE CONTRACT
This contract consists of the folZowing component parts, all af
which are as £ully a part of this contract as if herein set out
verbatim, or if not attached, as i£ hereto attached:

2. Advertisement for Bids
3. Instructions to Bidders
4. Specifications, including any addenda
5. Plans
6. Contractor's Proposal . '
7'. This Instrument
In the event that any provision in any of the above component
parts of this contract conflicts with any provision in any other af
the component parts, the provision in the component part first
enumerated above shall govern over any other component part which
follows it numerically except as may be otherwise specifically stated.
IT IS HEREBY BECLARED, UNDERSTOOA AND AGREED that the word
''Contractor" wherever used in this contract means the party of the
second part and its/his/their legal representatives, successors and
assigns.

ance. •
2. J�ffrizr•TUI�I 47AGE RATES FOR LABORERS AND ?,�:CHANICS
All laborers and mechanics employed upon the work covered by this
Contract shall be paid unconditiona•lly and not less often than cmce
each week, and without subsequent deduction or rebate on ar�y account
(except such payroll deductions as are made ma.ndatory by law and such
other payroll deductions as are permitted by the applicable reg�la-
tions issued by the Secretary of I,abor, IIriited States Depastment of
Labor, pursuant to the Anti-Kickback Act hereinafter identified�, the
£ull amount due at time of payment computed at wage rates not less
than ihose contained in the wa,g�e determination decision of said
Secretary of Labor (a copy of which is attached and herein incorporated
by reference�, regardless o£ any contractual relationship which ma.y be
alle �d to exist between the Contractor or any subcontractor and such
laborers �nd mechanics. All laborers and mechanics employed upon such
work shall be paid in cash, except that payment may be by check if the
enployer provides or secures satisfactory facilities approved by ihe
Local Public Agency or Public Body for the cashing of the same without
cost or expense to the employee. For the purpose of this clause,
contributions ma,de or costs reasonably anticipated under Section 1�b�
(2� of the �avis-Bacon Act on behalf of laborers or mechanics are
considered wa,ges paid to such laborers or mechanics, subject to the
provisions of Section 5.5(a�(1�(iv� of Title 29, Code of Federal
Regulations. Also for the put�ose of this clause, regular contribu-
tions made or costs incurred for more than a weekly period under plans�
funds, or prog-rams, but covering the particular weekly period, are
dee�ed to be constructively made or incurred during such weekly
period.
3• ���kYP'IEbTTS OF WAGES OR SALARIES
In case of underpayment of wa,ges by the Contractor or by any
subcontractor to laborers or mechanics employed by the Contractor or
subcontractor upon the work covered by this Contract, the Local Public
A�ncy or Fublic Body in addition to such other rights as ma,y be afford-
ed it under this Contract shall withhold from the Contractor, out of

If the Con�ractor does not make payments to a trustee or other
third person, he �aa.y consider as part of the wag�es of any laborer or

i:fe :;�--e dete�ination decision of the Secretary of Labor which is a
�ar� of this Contract: Provided� however, the Secretaiy of Labor has

�d� Subcontracts. The Contractor shall a.nsert in any subcontracts
the clauses set forth in para,g�raphs (a�, (b�, �nd (c� of this Section
and also a clause requiring the subcontractors to include these clauses
in any lower tier subcontracts which they ma.y enter into, together with
a clause requiring this insertion in ar�y iurther subcontracts that ma.y
in turn be ma.de .
6. �II�'�LO��lII�IT OF APPRENTrICES�1^RAINFES
a. Apprentices will be permitted to work at less than the prede-
termined rate for the work they performed when they are em-
ployed and individually registered in a, bona fide apprentice-
ship program registered with the U, S. Depariment of Labor,
_ ManpowQr Ad.ministration, Btu�eau of Apprenticeship and Training,
or with a State Apprenticeship Agency recognized by the Bureau,
or if a person is employed in his first 90 days of probatianary
enrployment as an apprentice in such an apprenticeship pragram,
who is not individually re�istered in the program, but who has
becn certified by the Bureau of Apprenticeship and Training or
a State Apprenticeship Agency (where appropriate� to be
eligible for probationaxy employment as an apprentice. The
allowable ratio of apprentices to journeymen in any craft classi-
fication shall not be greater than the ratio permitted to the
contractox as to his entire work force under the registered
program. Any employee listed on a pay-roll at an apprentice
wag�e rate, who is not a trainee as defined in subdivision (b�
of this subpara,g-raph or is not registered or otherwise employed
as stated above, shall be paid the wa.ge rate determined by the
Secretary of Labor for the classification of work he actually
performed. The contractor or subcontractor will be required to

the�so-called "Anti-Kickback Act" of June 13, 1934 (48 Stat. 948; 62

provisions to be inserted in subcontracts to insure corRpliance therewi-th

for the submission of copies of payrolls of alZ subcontractbrs. EacYi
such payroll shall coniain the "We�kly Statement of Compliance" set
forth in Section j.3 of Title 29, Code of Federal Regulations. The
payrolls and bzsic payroll records of the Contractor and each subcon-
tractor covering all laborer.s �nd mecha_nics enployed upon the work
covered by this Con�;ract shall be maintained during the colirse of the
work and preserved for a period of 3 years thereafter. Such payzol�s
and basic payroll records sha.11 contain the name and addresa af each
such employee, his correct classification, rate of pay �including rates
of contributions or costs anticipated of the types described in Section
1(b�(2� of the Davis-Bacon Act�, daily and weekly number of hours worked,
deductions made, and actl�al wa�es paid. In addition, whenever the
Secretary of Labor has found under Section 5.5�a��1��iv� of Title 29,
Code of Federal Regulations, tha.t the wages of ar�y laborer or mechanic
include the amount of any costs reasonably anticipated in providing
benefits under a plan or program described in Section 1�b��2��8� of the
Davis-Bacon Act, the Contract�r or subcontractor sha.11 ma.intain records
which show that the commitment to provide such benefits is enforceable,
tha.t the plan or program is fina..ncially responsible, and that -Ehe plan
or program ha.s been communicated in writing to the.laborers or mecranics
affected, and records which show the costs anticipated or the actual
cost incurred in providing such benefits. The Contractor and each
subcontractor shall make his employment records with respect to.persons
employed by him upon the work covered by this Contract available for
inspection by authorized representatives oi the Secretary af Housing and
IIrban Development, the Local Public Agency or Public Body, and the IInited
States Department of Labor. Such representatives shall be permitted to
interview employees of the Contractor or of az�y subcontractor during
working hours on the job.
16. SPECIF'IC COVERAGE OF CERTkaT TYPES OF WORK BY II�IPLOYEES
The transpor�ing of materials and supplies to or from the site of
the Project or Program to which this Contract pertai.ns by the employees
of the Contractar or of ar�,y subcon-tractor, and the manufacturing or
f�rnishing of ma.terials, articles, supplies, or equipment on the site
of the Project or Program to which this Contract pertains by persons
employed by the Contrac-Eor or by ar�y subcontrac-tor, shall, for the
purposes of this Contract, and without limitin.g the generality of the
foregoing provisions of this Contract, be deemed tio be work to which
these Federal Labor Standards Provisions are applicable. �
