to the City of Oshkosh for property located at the northeast corner of Jackson
�treet and West Irving Avenue in the City of Oshkosh; and
WFiF',REAS prior to the sale of the property to Wiliiam D. Shepherd, various
permits and approvals from various boclies may have ta be given and made;
NOW TI-IERE�'ORE, BE IT RESOLVED by the Cormx�n Cc�uncil of the City of Oshkosh
tr.at the pro?�er City o.fficials are hereby authorized and directed to exercise the
attached proposal upon the approval of all necessary bodies and boards, and
subs�uent to a.pproval issue a Warranty I�ed to William D. Shepherd upon his
g�y�r�nt of the purchase price.

Gener�l taxes for the ye�r oi closin� shall be pror��ed
at the date o� closing inclusive o� said d�te on the baszs of
estzmated annual taxes using the purchase price as the equalized
assessed valuation.
Seller shall upon payrilent of the purchase price� convey I
the property by �ood and sifficient warranty deed free and c�ear
o� all liens and encumbrances.
The Seller shall furnish and deliver to the Buyer for e�amination at least fifteen (15) daps prior to the date set
closing, Seller's choice Qf either:
1. A complzte abstract of title made by an abstract company, extended to within ttiventp (20). days of the closing, F
abstract to show the Seller's title to be marketable and in the condition called for by this agreement. The Buyer s]
notify the Seller in writing of any vaZid objection to the title within ten (lU) days after the receipt af said abstract :

Should the undersigned purchaser fail to carry out

exclusive remedy, be foxfeited as liquidated damages a.nd shall
.be retaine� by seller. Should seller be unable to carry out
