WHEREAS, the City of Oshkosh has operated efficiently and effectiveZy under
the Council-Manager form of gov�rnme.nt since 1957; and
inlfiERE',AS, the n�er of cities in Wisconsin operating under the Cnuncil-
Manager plan has remained relatively laa cor�ared to the rnm�ber of cities ,,
operating under the Cotmcil-Manager plan in neighboring states; and
WHEREAS, the Stat� of Wisconsin is the only State in the United States
operating with the CoLmcil-Manager system which calls its chief elected official
the Council President instead of Mayor; and ;
Wf��RE',AS, the Oshkosh City Council is seriously interested in. determinirig "
whether the Council-Manager plan in Oshkosh wauld benefit from having the
option of a Mayor as a chief elected official, with essentially the same
duties and responsibilities as the present chief elected official, the Council
President;
NOW Tf�REFOR�, RE IT RESOLUED by the Cai�t3non Council of the City of Oshkosh
that the City of Oshkosh fully endorses and s�ports an application to the
Depart�nt of IACal Affairs and Develop�nt for a Com�rnuzity Development Grant
to assist the City, in close working cooperation with the Wisconsin City
Management Association, to fund a study to determin� whether Wiso�nsin Council-

I. This A;reement is entered into on the �--�^ day of ��'���',�_/_•��.�f/� 1978
by and between the State of Wisconsin, actin� by arid throuah the
Depart�en.t of Local Affairs and Development (hereinafter reierred
to as th� "negar.tment") and City of Osnkosh (hereinafter referred
te as the "Grantee.")
tdITP3ESSETH T:i�T:
��'HEtZF.AS, the Department has been appro�riated a Cormunity Develop�ent
Fund for grants to local governments for the p�srposes s�ecified ia
Wisconsin Statutes, s. 20.545 (I)(b); and
�rTfiEP.EAS, the State of Wisconsin, throu�h the Department, has agreed,
subject to certain coaditions, to participate financially in carr3-
in� out the Community De�;elopment Fund prograr.�, and
���HE�EAS, the Grantee has agreed to suppozt the Cor.�unity Devel.opmen.t
Funcl project as stated in the resolution from its governi.ng body,
NOtd, T�REFORE, in consideration of the mutual covenants and a�ree-
nients as �iereinafter set forth, the parties to this contract mutually
agree as foZlows.
II. Scoge of �•lork to be Undertaken by Grai�tee
The project is to study and possibly deternine �vhether jdisconsin
Cosncil-ir.anager cities would benefit frora having the option of mayor
�:s chiei elected of ficial.
The project �aill be conducted with Ch� use of a private consu3tant
in coiijunction with a Project Review Co�nittee. The project wzll
utilize a"decision agenda" whereby those invclved raitti the study
srould make the decisions and not the outsidQ �onsultant.
The ?disconsin Form of Governnent Co., _ittee of the tdisconsin City
Mana�erent Association will be e�panded to fora the Project P,evi.eca
Conmittee. 'lhe preseat menbers of the Form of Government Committee
�.rould be supplemented by a3ding one ���ber of the Oshkosh City
Council, a m?mb2r appointed by the Lea�ue of �•:isconsin Municipalities,
artia citizen representative appointed by the State League of Edomen Voters.

The followinb topics will be examined durin� the course of the project:
1. The legislative history �ahich allowed tne present Iegislation to
become enacted.
2. The role of the Leaoue of Municipalities and governtnental study
groups in the past 30 years relating to changes in the Council-
Manager plan.
3. Wisconsin cities abandonment of the plan and an examination of
referenda on the continuation of the p1an.
4. Council-Ma.nager cities operations and operations under the provisions
of the existing statutes including the variations, azd appointment
procedures for corr�nittees.
5. The legal implications of the existing practices, possible changes
under home rule authority, and the perceptions of the City Attorneys
in Coun�il-Manager communities.
6. The findings and reco�mmendations of the National Form of GQVernment
Committee of ICMA.
7. Th� perceptions af elected and appointed officials as to the opera-
tion of the present form of governnent as oppose� to some possible
alternati.ves.
8. Legislator's feelings about the present form of government as opposed
to some possible alternatives.
9. T�e puUlicts perception of the operation of the plan as opnosed to
possible alternatives.
10. The alternatives to the existing situation.

IIZ. Time Schedule
This project shall be undertaken duri�g the 9-rsonth period beginning
January 1, 1978 and ending Septembe:. 30, 1978 unless such contract
period is extended by mutual �aritten agreement bet���een the parties
of this contract.
The Grantee shall prepare quarterly (every three rsonths) financial
and narrative progress reports to be submitted to the Depaztment
within ten days after the ead of each calendar quarter. The narra-
tive report must identify the progress of each work element and
percent comgletion by work elemeat, a statement of expenditures
to date and an estimate of additional ti�z and costs to complete the
progra� elenents. Any con3ition affecting the timely completion of
the program elements should be identi�ied. The Secretary of the
Departnent reserves the right to withhold grant funds if the progress
reports are not submitted or do not indicate adequate progress on
the pro�ram, or, if the Grantee fails to corzply to the action state-
nent leading to a balance of �aork force (see Article VII, 3.}.
IV. Financial Participation
1. It is understood and agreed that the carrying out of the Contract
is dependent upon final approval of the work progra�. and guarantee
of financial support by the Depart�ent, which is e�;pected to pro-
vide $6,4Q0 representing not more than 80 percent of the cash
outlay project costs.
2. The Grantee shall designate at least $1,600 as l�cal share for
the program.
3. Prooress payments will be made upon receipt of the standard
bu�get form, and narrative progress reports sho��ing the per-
centage Qf work completed. Such prog,ress payments shall be
�ade only after approval of such reports by the Chie� of the
CoIImaunity Assistance Section of the Deparcment. The aznount
of interim payments shall be pro�ortional to the percentage of
work co�pleted or as supported by invoices. Any budget changes
instituted after formal approval of the initial budget proposal
shall require written approval of the Department prior to such
change, e_�cept that 25 percent of any line may be iaoved to
ar.other line item without such aDproval. Final pa5-ment will be
r�ade upon completion of the contracted work prograr� and suo-
mission of the project guides, manuals and other instructional
ma.terials.
V. Supervision and Resgonsibilities o� the Department

2. Terrsination of Contract for Cause. If, through any cause, the
Grantee shall fail to fulfill in ti.mely and proper manner the
obligatiores under this Contract, or if the Grantee shail violate
any of the covenants, agreements or stipulations of this Contract,
the Department sha11 thereupon have the rioht to terminate this
Contract by giving written notice to the Grantee of such termi-
nation, specifying the effective date thereof, at least five
days before the effecti.ve date of such terminatian.
3. None of the services specif ied by this Contract shall be sub-.
contracted by the Grantee without the Grantee calling for at
least three (3) subcor_tracting proposals. All proposals must be
subaitted to the Department along with a statement as to which
subcontractor was chosen and why. When such proposal is required
the recuest for proposals nust be submitted to the Department for
review a�.d comment prior to advertising.
�?. Records
1. 1i?e Grz.:�.Lee agrees to keep adequate records. Quarterly financial
a:�� �a�a�ive progress reports are due no laL-ex than ten days
aft�� L�e end of each quarter. The Grantee must follota generally
acce�tad accounting principles and procedures which are consistent
wit�► state la•a and local practices and a1T accounts are subject
to �tate audit. The grant funds are to be properly disbursed,
a3ec{uar`Zy controll,ed and accounted for in a separate account.
2. Audit Review. The Grantee agrees that the Department will have
acc2ss to and the right to examine, audit, excerpt, and trans-
cribe a�3� directly pertinent books, documents, papers, and records
of �he Grantee, involving transactions relating to the agreement.
VII. ?4iscellar_eous
1. The scope of services to be performed and the total amaunt payable
unc3er this contract, includir..g any iricrease or decrease in the
Grantae's or any subcontractor's compensation under this Contract,
may be anended or supple�ented by unanimous writter aar.eem�nt by
the par.ties ta the Contract.
2. Th2 Grantee shall deliver to ti�e Department within the contract
peri�d two copie5 of a1Z reports, guides, utanuals or instructional
material unless the Department a�rees to 2ccept a�aller number.
The Department shall be res�onsible for distributing published
reports as required by the Cor�anunity Development Fund Guidelit�es.
3. The Grantee shall deliver a final report detailing the z�ork
activitizs of the entire project period; the grohlems ettcoun-
tered; and the end results.
4. Publishing. The Grantee may publis'� materials produced under
this agreement subject to the following conditions:
a. The Department reserves the right to reproduce, publish
and other��ise use the �aork produced under this agreement.
b. A notation indicating the participation of the Department
and that funds for this project have been made available
through a grant f rom the State of ��isconsin, Department
of Loeal Affairs and Develogment must be carried on all
reports produced as a result of this aoreement.
S. Equal Employment Opportunity. In connection with the performance
of work under this contract, the contractor agrees not to dis-
criminate against any employee or applicant for employment because
of age, race, religion, color, handicap, sex, physical condition,
developmental disability as defined in s. 51.01 (5), or national
origin. This provision shaZ� include, but not be limited to,
the following: employment, uporading, demotion or transfer,
recruitment or recruitment advertising, lay-off or termination,
rates of pay or other forms of compensatian, and selectio�i for
training, including apprenticesnLp. The contractor further
agrees to take affirmative action to insu;.e equal employcnent
opportunities for persons with disabilities. The contractor
agrees to post in conspicuous places available for employees
and applicants for emplo}nnent notices to be provided by the
contracting officer setting forth the provisions of the non-
discr.imination clause.
