INTTIATED BY: CITY ADMINISTRATION
BE IT RESOLVED by the Common Council of the City of Oshkosh
that the proper City officials execute the attached agreement with
Chamco, Inc.

The following are the 1978 recommended prices of land for industrial park
development purposes for both the City of Oshkosh to Chamco, Inc., and
Chamco, Inc. to a prospective buyer, as recommended by the Oshkosh Industrial
Development Committee. Please note that these prices deviate from the past
pricing schedules.

�ti'HEREA.S, the City of Oshkosh owns ceztain lands within the corporate
limits of the City of Oshkosh and desires to sell such lands for indus�rial
dev�lo�nt; and
G�RF�S, CHAViCO, INC. is a non-profit Wisconsin corporation interested in
the industsial develor�ment of the City of Oshkosh and having thz means and
aoility to work toward the developirent of land industrially�
N�1, THEREFiO�tE, the City of Oshkosh, hereinafter referred to as the "City",
and CHAMCO, in order to work tavards the industrial. develon*�nt of the
follaaing described property, viz:

B. NORZ'�i INDUSTRIAL PARK
C. SOU'I�iWEST INDUSTRI�L PARK
agree as follows:

l. That by these presents, for and in consideration of Ten Dollars ($lO.OQ}
in hand paid, receipt of which is hereby acknawledged from CE��O, has aureed
and does agree to hold until the thirty--first (31st) day of Dece.�nber, 1979, at
12:00 P.M., time being of the essence of this ac�'eemP�ltr a,i1 Opt.ioll� subject to
the order of C�-LAMCO to purchase all of the premises owned by �Ehe City of Oshkosh
kncf�n as and consisti.ng of the following:
A. SOLJTH Ii�DUSTRIAL PARK
B . NOFfiH INDUSTRTAL PARK
C. SOtJ`Ir'tiG�7EST INDUSTRIAL PARK
and the City of Oshkosh covenants to convey by Warranty Deed any portion o� said
prop�.xty thereof at any tim� within the above time prescribed, to CE3A.�C0 or
suc.h persan or �ersons as �CO may direct for and at the price of Schedule
A, B, C and price thereof, payable on delivery of a Warrantv Deed by the City,

the City of Osh;�osh.
2. CFiANiCO, a non-profit organization, agrees_
1. Zb atte�t to cvork toward the industrial developrcp_.nt ot th�
land �;�ich is the subject matter of this ac�-�-�nt.
2. Zb sell land for use permitted in the N�-Zones of the City of
Oshkosh Zoning Ordinance, and as limited by protective �ovenants.
3. To ado�t protective covenants for lands sold hereunder_ lhe
coven��:ts for the Southwest Industsial Park sh�l, prior to
adoption by C�iAMCO, be submitted to the Ci-ty o� Oshkosh for
revieca. CFiAMCO shall� monitor the enforcEment of these covenants
and if a breach occurs which r�a�zires repurchase, -Ehen in that
event, C�I�MCO shall assign its right to repurchase to the City
of Oshkosh. �
3. This agreer�nt shall be terminable by either party by giving to the
other party 5ix (6) rrbnths written notice of its desixe to term.inate.

The City of Oshkosh reserves the right to recuce the prices herein established
for individual parcels for good and suffici�-�� reasons as determi.ned by said City.
Charr�co, Inc. shall have the right to sell th� properties which are the subject
n�tter of this Agreement for the option pric� plus ten (l00) per cent plus
$200.00 per acre for incidential expenses.
Should the City determine to sell land for less than the scheduled price, then
Chamco's ten (l00) per cent shall be determi_rrd by the actual selling price.
The above schedule shall be in effect for ca?endar year 1978. For calendar
year 1979, said schedule shall be set by mutual �greement.
