This AGREEMENT entered into on this day of March, 1978 by and between Community Research and Management, Inc., hereinafter called CRM, Inc., and the City of Oshkosh, hereinafter called the City. WITNESSETH THAT: WHEREAS, the City has received a grant from the Department of Local Affairs and Development for the purpose of hiring a private consultant in conjunction with a Project Review Committee to study and possibly determine whether Wisconsin Council-Manager cities would benefit €rom having the option of a mayor as chief elected official and iJHEREAS, CRM, Inc., has submitted a detailed proposal to the City and has been selected to conduct the work outlined in the proposal by a Project Review Committee appointed by the City, NOW, THEREFORE, in consideration of the mutual covenants and agreements as hereinafter set forth, the parties to this contract mutually agree as fo�lows: II. Scope of Work to be Undertaken by CRM, Inc. A. CRM, Inc., will examine the following topics during the course of the study: 1. The legislative history which ailowed the present legislation to become enacted. � 2. The role of the League of Municipalities and governmental study groups in the past 30 years relating to changes in the Council-Manager plan. 3. Wisconsin cities abandonment of the plan and an examination of referenda on the continuation of the plan. 4. Council-Manager cities operations and operations under the provisions of the existing statutes including the variations, and appointment procedures for comr�ittees. 5. The legal imol�.cations of the existing practices; possible changes under home rule authority, and the perceptions of the City Attorneys in Council-Manager communities. 6. The findings and recommendations of the National, form of Government Committee of ICMA. 7. The perceptions of elected and appointed officials as to the operation of the present form of government as opposed to some possible alternatives. . 8. Legislator's feQiings about the present form of government as apposed to some possible alternatives. 9. The public's perception of the operation of the plan as opposed to possible alternatives. -'� � �- 10. The alternatives to the existing situation. 11. Roles of Wisconsin Mayors compared to City Managers in Council- Manager cities. , 12. The experience of the Council-Manager plan in neighboring states. 13. An explanation of why have there been so few cities adopting the Council-Manager plan in Wisconsin. 14. The specific history in Oshkosh relating to the operation of the plan. 15.' The role of a Mayor in a typical Wisconsin Council-Manager city. 16. The impact of possible changes on Wisconsin villages. 17. The implications associated with the recent growth in the number of cities in Wisconsin that have adopted a plan reflecting the position of a Chief Administratos. 18. The significance of the size of governing bodies and the method of selection in Wisconsin municipalities. B. CRM, Inc., will, working with the project review committee and others, carryout the following work phases: " Week One Community Research and Management, Inc., will meet with the committee to review the objectives of the project, questions to be answered and the methadology for collecting the data. The con- sultant will present a list of the data to be collected and a summary of the methodology proposed for gathering the data to � the cammittee for their reaction and approval. Week O,ne, Two, Three, Four and Five Comtr,unity Research and Management, Inc., will conduct surveys, interviews, research documents, and assemble data which is directly related and pertinent to the issues and questions raised by the committee. Any survey instruments or interview documents prepared for distribution or use wi�l be made available to the committee prior to final application. Weeks Six and Seven The consultant will analyze the data and prepare a draft document presenting the preliminary data and findings. In addition, the con- sultant will prepare draft alternatives uaing a"decision agenda" approach for review and discussion by the committee. The documents will be distribuLed tc th2 c�;nmittee in ad:%ance of a mceting for their review. Week Bight The consultant will meet with the committee to receive reactions to the draft data and findings report and, most importantly, to review the committee's decisions or the alternatives to be developed. The goal of the co�aittee meeting will, be to review and approve or modify the re��ort on data and findings and to develop a draft document which reflects the committee's preliminary recommendations for alternatives. Weeks Nine, Ten and Eleven The preliminary recommended alternatives will be widely circulated for reaction, feed-back, and general comments. The comments will be solicited from elected and appointed local officials, public and private, non-profit agencies, and any oCher group or individuals suggested by the committee. The consultant will collect and record all comments received and attempC to summarize them for the committee. . � �° ��� / Week Twelve The consultant will meet with the committee to review the alternatives and the input from others on these. Decisi�ons will be made to modify or change the draft alternatives. After the committee has adopted the final version of the alternatives, they will develop, with sta£f help from the consultant, the criteria they want utilized in an objective evaluation of the alternatives by the consultant. Weeic Thirteen 0 The consultant will prepare an ob�ective analysis of the alternatives using criteria recommended by the committee. This document will be distributed to the committee prior to their next meeting. . . Weeks Fourteen and Fifteen The committee, meeting with the consultant� will decide which alternatives they want to recommend. ?'he consultant will then prepare a draft p�an for.implementing the alternatives developed by_the committee. The final component will be an evaluation plan. Week Sixteen The committee, meeting with the consultant, will review and comment on the draft implementation plans and evaluation and instruct the consultant to make the appropriate changes and modifications. Weeks Seventeen, Eighteen, Nineteen, and TwentY The cor.su:tant will prepare the.final repor�. which wi12 include � three parts. It will contain data and findings, recommended alternatives, and a p?an for implementation and evaluation. During this final stage of the process the committee will meet once to review the final imple- mentation and pvaluation plans. III. Time Schedule This project shall official2y begin on March 15, 1978 and be completed by August 15, 197$ unless such contract period is extended by mutual written agreement between the parties to this contract. IV. Schedule of Fees The toal cost of this project is eight thousand dollars, ($8,000.00). The payment schedule will be as follows: l. Upon satisiactory complerion of a document presenting the preliminary data and findings and draft alternatives - Week six and seven - payment of $3,OQ0.00. 2. Upon satisfactory completion of a document which summarizes the reactions and comments of groups and individuals to the preliminary reco�ended alternatives - Week ten - payment of $2,000.00. 3. Upon satisfactorily preparing a document which sets forth a draft plan for implementing the alternatives developed by the committee - Week sixteen - payment of $2,000.00. 4. Upon satisfactorily preparing the final report - Week Twenty - payment of $1,OE?0.00. V. Records and Revorts CRM, Inc., will assist the City in meeting all of the periodic raporting requirements mandated by the Wisconsin Department of Local Affairs and Develo����4nt. 0 VI. Miscellaneous � � ,� 1. Termination of Contract for Cause. If, through any cause, C1tM, Inc., shall fail to fulfill in timely and proper manner the obligations under this Contract, or if CRM, Inc., shall violate any of the covenants, agreements or stipulations of this Contract, the City shall thereupon have the right to terminate this Contract by giving written notice to CRM, Inc., of such termination, specifying the effective date thereof, at least five days before the effective date of such tennination. � 2. The scope of services to be performed and the total amount payable under this contract, including any increase or decrease in CRM, Inc., compensation under this Contract, may be amended or supplemented by unanimous written agreement by the parties to the Contract. 3. CRM, Inc., shall provide 25 copies of the completed report to the City. Additional c�pies will be available at cost. 4. CRM, Inc., shall assist the City in preparing a final report detailing the work activitj.es of the entire project period; the problems encoun- tered; and the end results for DLAD. 5. CRM, InG•, will utilize a notation indicating the participatian of the Department of Local Affairs and Development and that funds for the project were made available�through a grant from the State of Wisconsin, Department of Local Affairs and Development. 6. Equal Employr.ient Opportunity. In connection with the performance of work under this contract, CRM, Inc., agrees not to discriminate against any emplayee or applicant for employment because of age, race, religio.n, color, handicap, sex, physical condition, developmentai disability as defined�in s._51.01 (S), or national origin. This provision shall include, but not be limited to, the following: employment, upgrading, demotion or transfer, recruitment or recruitment advertizing, lay-of€ or termination, rates of pay or other forms of compensation, and selection for training, including apprenticeship. CRM, Inc., further agrees to take affirmative action to insure equal employment opportunities for persons with disabilities. CRM, Inc., agrees to post in conspicuous places available for employees and applicants for employment notices to be provided by the contracting officer setting forth the provisions of the non-discrimination clause.
