AGREEMENT
This AGREEMENT, made on the day of , 2015, by
and between the CITY OF OSHKOSH, party of the first part, hereinafter referred to as
CITY, and CH2M HILL ENGINEERS, INC., 135 South 84'" Street, Suite 400,
Milwaukee, WI 53214, party of the second part, hereinafter referred to as the
CONSULTANT,
WITNESSETH:
That the CITY and the CONSULTANT, for the consideration hereinafter named,
enter into the following AGREEMENT for WASTEWATER PRETREATMENT
PROGRAM UPDATE.
ARTICLE I. PROJECT MANAGER
A. Assignment of Project Manager. The CONSULTANT shall assign the
following individual to manage the PROJECT described in this AGREEMENT:

B. Changes in Project Manager. The CITY shall have the right to approve or
disapprove of any proposed change from the individual named above as Project
Manager. The CITY shall be provided with a resume or other information for any
proposed substitute and shall be given the opportunity to interview that person prior to
any proposed change.
ARTICLE II. CITY REPRESENTATIVE
The CITY shall assign the following individual to manage the PROJECT
described in this AGREEMENT:

ARTICLE III. SCOPE OF WORK
The CONSULTANT shall provide the services described in the CONSULTANT's
Scope of Services. CITY may make or approve changes within the general Scope of
Services in this AGREEMENT. If such changes affect CONSULTANT's cost of or time
required for performance of the services, an equitable adjustment will be made through
an amendment to this AGREEMENT.
All reports, drawings, specifications, computer files, field data, notes, and other
documents and instruments prepared by the CONSULTANT as instruments of service
shall remain the property of the CITY.

ARTICLE IV. STANDARD OF CARE
The standard of care applicable to CONSULTANT's services will be the degree
of skill and diligence normally employed by professional consultants or consultants
performing the same or similar services at the time said services are perFormed.
CONSULTANT will re-perform any services not meeting this standard without additional
compensation.
ARTICLE V. OPINIONS (JF COST, FINANCIAL CONSIDERATIONS AND
SCHEDULES
In providing opinions of cost, financial analyses, economic feasibility projections,
and schedules for the PROJECT, CONSULTANT has no control over cost or price of
labor and materials; unknown or latent conditions of existing equipment or structures
that may affect operation or maintenance costs; competitive bidding procedures and
market conditions; time or quality of performance by operating personnel or third
parties; and other economic and operational factors that may materially affect the
ultimate project cost or schedule. Therefore, it is understood between the parties that
the CONSULTANT makes no warranty that the CITY's actual project costs, financial
aspects, economic feasibility, or schedules will not vary from CONSULTANT's opinions,
analyses, projections, or estimates.
ARTICLE VI. RECORD DRAWINGS
Record drawings, if required, will be prepared, in part, on the basis of information
compiled and furnished by others. CONSULTANT is not responsible for any errors or
omissions in the information from others that the CONSULTANT reasonably relied upon
and that are incorporated into the record drawings.
ARTICLE VII. CITY RESPONSIBILITIES
The CITY shall furnish, at the CONSULTANT's request, such information as is
needed by the CONSULTANT to aid in the progress of the PROJECT, providing it is
reasonably obtainable from City records.
To prevent any unreasonable delay in the CONSULTANT's work, the CITY will
examine all reports and other documents and will make any authorizations necessary to
proceed with work within a reasonable time period.
ARTICLE VIII. ASBESTOS OR HAZARDOUS SUBSTANCES
If asbestos or hazardous substances in any form are encountered or suspected,
CONSULTANT will stop its own work in the affected portions of the PROJECT to permit
testing and evaluation.

If asbestos is suspected, CONSULTANT will, if requested, manage the asbestos
remediation activities using a qualified subcontractor at an additional fee and contract
terms to be negotiated.
If hazardous substances other than asbestos are suspected, CONSULTANT will,
if requested, conduct tests to determine the extent of the problem and will perform the
necessary studies and recommend the necessary remedial measures at an additional
fee and contract terms to be negotiated.
CITY recognizes that CONSULTANT assumes no risk and/or liability for a waste
or hazardous waste site originated by other than the CONSULTANT.
ARTICLE IX. CITY'S INSURANCE
CITY will maintain property insurance on all pre-existing physical facilities
associated in any way with the PROJECT_
CITY will provide (or have the construction contractor(s) provide) a Builders Risk
All Risk insurance policy for the full replacement value of all project work including the
value of all onsite CITY-furnished equipment and/or materials associated with
CONSULTANT's services. Upon request, CITY will provide CONSULTANT a copy of
such policy.
ARTICLE X. TIME OF COMPLETION
The work to be performed under this AGREEMENT shall be commenced and the
work completed within the time limits as agreed upon in the CONSULTANT's Scope of
Services.
The CONSULTANT shall perform the services under this AGREEMENT with
reasonable diligence and expediency consistent with sound professional practices. The
CITY agrees that the CONSULTANT is not responsible for damages arising directly or
indirectly from any delays for causes beyond the CONSULTANT's control_ For the
purposes of this AGREEMENT, such causes include, but are not limited to, strikes or
other labor disputes, severe weather disruptions or other natural disasters, failure of
performance by the CITY, or discovery of any hazardous substances or differing site
conditions. If the delays resulting from any such causes increase the time required by
the CONSULTANT to perform its services in an orderly and efficient manner, the
CONSULTANT shall be entitled to an equitable adjustment in schedule.
ARTICLE XI. COMPONENT PARTS OF THE AGREEMENT
This AGREEMENT consists of the following component parts, all of which are as
fully a part of this AGREEMENT as if herein set out verbatim, or if not attached, as if
hereto attached:

In the event that any provision in any of the above component parts of this
AGREEMENT conflicts with any provision in any other of the component parts, the
provision in the component part first enumerated above shall govern over any other
component part which follows it numerically except as may be otherwise specifically
stated.
ARTICLE XII. PAYMENT
A. The Agreement Sum. The CITY shall pay to the CONSULTANT for the
performance of the AGREEMENT the total sum as set forth below, adjusted by any
changes hereafter mutually agreed upon in writing by the parties hereto:
� Time and Materials Not to Exceed $103,000 (One Hundred Three
Thousand Dollars).
• Attached fee schedule shall be firm for the duration of this AGREEMENT.
B. Method of Payment. The CONSULTANT shall submit itemized monthly
statements for services. The CITY shall pay the CONSULTANT within thirty (30)
calendar days after receipt of such statement. If any statement amount is disputed, the
CITY may withhold payment of such amount and shall provide to CONSULTANT a
statement as to the reason(s) for withholding payment_
C. Additional Costs. Costs for additional services shall be negotiated and set
forth in a written amendment to this AGREEMENT executed by both parties prior to
proceeding with the work covered under the subject amendment.
ARTICLE XIII. HOLD HARMLESS
The CONSULTANT covenants and agrees to protect and hold the City of
Oshkosh harmless against all actions, claims, and demands which may be to the
proportionate extent caused by or result from the intentional or negligent acts of the
CONSULTANT, his/her agents or assigns, his/her employees, or his/her subcontractors
related however remotely to the performance of this AGREEMENT or be caused or
result from any violation of any law or administrative regulation, and shall indemnify or
refund to the CITY all sums including court costs, attorney fees, and punitive damages
which the CITY may be obliged or adjudged to pay on any such claims or demands
within thirty (30) days of the date of the CITY's written demand for indemnification or
refund for those actions, claim, and demands caused by or resulting from intentional or
negligent acts as specified in this paragraph.
Subject to any limitations contained in Sec. 893.80 and any similar statute, of the
Wisconsin Statutes, the CITY further agrees to hold CONSULTANT harmless from any

and all liability, including claims, demands, losses, costs, damages, and expenses of
every kind and description (including death), or damages to person or property arising
out of re-use of the documents without consent where such liability is founded upon or
grows out of the acts or omission of any of the officers, employees or agents of the City
of Oshkosh while acting within the scope of their employment.
ARTICLE XIV. INSURANCE
The CONSULTANT agrees to abide by the attached City of Oshkosh /nsurance
Requirements.
ARTICLE XV. TERMINATION
A. For Cause. If the CONSULTANT shall fail to fulfill in timely and proper
manner any of the obligations under this AGREEMENT, the CITY shall have the right to
terminate this AGREEMENT by written notice to the CONSULTANT. In this event, the
CONSULTANT shall be entitled to compensation for any satisfactory, usable work
completed.
B. For Convenience. The CITY may terminate this AGREEMENT at any time
by giving written notice to the CONSULTANT no later than ten (1Q) calendar days
before the termination date. If the CITY terminates under this paragraph, then the
CONSULTANT shall be entitled to compensation for any satisfactory work performed to
the date of termination.
This document and any specified attachments contain all terms and conditions of
the AGREEMENT and any alteration thereto shall be invalid unless made in writing,
signed by both parties and incorporated as an amendment to this AGREEMENT.
ARTICLE XVI. RE-USE OF PROJECT DOCUMENTS
All reports, drawings, specifications, documents, and other deliverables of
CONSULTANT, whether in hard copy or in electronic form, are instruments of service
for this PROJECT, whether the PROJECT is completed or not. CITY agrees to
indemnify CONSULTANT and CONSULTANT's officers, employees, subcontractors,
and affiliated corporations from all claims, damages, losses, and costs, including, but
not limited to, litigation expenses and attorney's fees arising out of or related to the
unauthorized re-use, change, or alteration of these project documents.
ARTICLE XVII. SUSPENSION. DELAY. OR INTERRUPTION OF WORK
CITY may suspend, delay, or interrupt the services of CONSULTANT for the
convenience of CITY. In such event, CONSULTANT's contract price and schedule shall
be equitably adjusted.

ARTICLE XVIII. NO THIRD-PARTY BENEFICIARIES
This AGREEMENT gives no rights or benefits to anyone other than CITY and
CONSULTANT and has no third-party beneficiaries.

7he City of Oshkosh (City) has a wastewater pretreatment program to prevent discharge of regulated
pollutants to the City sanitary sewer system that could pass through or interfere with the wastewater
treatment plant (WWTP} process andJar violate the City's Wiscansin Pollutant pischarge Eliminatian System
(WDPESj permit. 7he City's pretreatment program, including lacal industria( wastewater limits, was
implemented in 1992.
The purpose af the Wastewater Pretreatment Program Update Project is ta review the existing program and
confirm the sound technical basis for pretreatment local limits fn light of current and pending future
regulatory standards and criteria. The project will alsa develop a fats, oils, and greases (FOG) Program and a
�OG Confirol and Abatement Policy to support and imp{ement the Sewer Use Ordinance, City of Oshkosh
Municipal Code: Chapter 24 (SUO� requirements. As discussed below, CH2M HILI Engineers, Inc. (CH2M
HILL) wili perform the following engineering and consulting services:
• Review and summarize relevant regulatflry requirements
• Develop a wastewater sampling and analysfs plan
• Review existing local limits and recaiculate technically based local limits using regulatory standards
and criteria for identifying pollutants of concern
• Prepare FOG Control and Abatement Policy and Ft7G Program Plan, impiementation tools and
strategies for customer compliance with the City' SUO requirements
Task 1- Project Management and QA/QC
CH2M HILI, will mat�age the delivery of the professional technical services and work products to meet the
City's schedule and budget. Praject management duties include projecC instructions, which address team
communication, quafity assurance/quality cantrol (QA/QC), and cost control. Instructions ta the project
delivery team will guide performance by defining the fo{lowing:
• Detailed scape of services and project deliverables
• Task assignments and work plan
• Project schedule
• Project budget and performance monitaring
• Health and safety considerations
Project team communication will be maintained through regular team meeiings, teleconferences, and e-
maii. During project meetings and workshops, CH2M HILL wiil provide proJect status information. CH2M Hltl
wiil submit a brief description of project activities and track budget status with each monthly invoice.
CH2M HILL witl perform a QA/QC review of completed work and project progress prior to suiamission of
work products to the City.
CH2M HICf� will facffitate a project kick-off ineeting to review the project scape and schedule. In addition,
preliminary draft Task 2 materials — list of pollutants of concern (POC) and sampling and analysis plan —will
be reviewed.

Task 2-- Sample Gollection and Data Analysis
To prepare a complete plan far wastewater sample col{ection and laboratary analysis, CH2M HILL will
identify a preliminary list POCs foI}owing review of federal, state and local requirements, including the
proposed new limits in the Gity's draft WDPES permit and potential future Fox River and lake Winnebaga
receiving waterbody water quality criteria. CH2M HILL will review available pretreatment pragram records
for current industrial dischargers and discuss with the City any forecasted changes amang industrial
customers. -
CH2M HILL will draft a sampling plan to ensure efficient use of sampling resources while meeting the
requirements of 40 CFR §403.5�c)(1j and EPA guidance, 7he sampling plan needs to include the results of
three priority pollutant scans of the headworks influent and scans af samples from select locations of the
collection system subject to industrial discharges. CH2M HILL will incorporate the City's input in the
sampling and analysis plan. Sampling and laboratory analytical methads will m�et all applicabfe EPA
quantification levels and accreditation requirements. Research grade methods wiil be used to determine
actual measurements of rnetals being tested.
The City will retain the samp{e collection and iaboratory services contractor. CH2M HILL will discuss
implementatian the sampling analysis plan with #Me contractar. CH2M HIi.L review and summarize the
resultant sampling data.
Task 2 Deliverables
CH2M HILI. will provide progress meeting minutes, summary af regulatory requirements, list of POCs,
sampling and analysis plan, and sample results summary.
Task 3- Calcu(ate Technically Based Local Limits
Using Task 2 findings, CH2M HILL wlll develop technical(y based local limits {TBlls} to protect the 1NWTP
against pass through, fnterference, and canditions detrimental to the cafiection system infrastructure or
dangerous to workers. The fimits wifl be based on the failawing site-specific conditions:
• Polluta�t removal efficiencies through WWTP processes
• Compliance history wifih WPDES permit limits
� Conditions of the Fox River �and Lake Winnebaga)
• Applicable water quality standards
• Applicable air emission standards
• Dispasal of WWTP sludge
• Warker health and safety concerns
The EPA recommends that local limits be developed from the maximum allowable headwork's loading
calculated for each pollutant of cancern. The local limits development process may also include the adaption
af best management practices (BMPs) or other numeric standards far non-significant industrial users, if
determined to be necessary. The develapment of loca) limits via an open and transparent process for the
regulated community will ensure the limits are calculated in a defensible manner.
For the City, the TBlls will be calculated to be protective of the WWTP processes, sludge disposal, receiving
water quality and WPD�S permit limits. 7he 7BLLs will be developed using a spreadsheet taol acceptable to
EPA Region 5. CH2M HILL will prepare a comprehensive iBLLs develapment package following the outline
below.

Task 4- FC�G Control and Abatement Policy; FtJG Program
Plan
CH2M H1LL will assist the City with the development of a fOG Contral and Abatement Policy and a�OG
Program Plan that will help mitigate FOG related collection system and WWTA performance problems. An
example of an existing collection system problem is the need to inspect and/or clean every 6 weeks several
areas ofi the collection system where FOG accumulates. These "maintenance hot spats" are located near
food service esta�lishments (FSEs} and rather that prevent FOG from entering the sewers, the City rautinely
cleans the accumulated �OG, ffushing it ta the WWTP. An example of a WWTP performance issue is sludge
digesters' nuisance faaming problem that periadically accurs because of high FOG loadings and inefficient
digester mixing. FOG in the collectian system can alsa be a contributing fiactor to sanitary sewer overflows.
FOG related problems may have environrnental impacts and increase the cost of wastewater utility
operations and main#enance.
7he FOG Control and Abatement polity and the FOG Program Plan wiil be impiemented by the City
Pretreatment Coordinator with the City's existing Pretreatment Program. As a part of this task, CH2M Hlll
wilf prepare a budgetary cost estimate for phased implementation of the policy and pEan,
Task 4.1 F4G Contro! and Abatement Poficy
The City desires to develop a FOG Cantral and Abatement Policy to support its St1t3 but that does not unduly
burden commercial and residential dischargers nor require excessive resources to administer. The FC?G
Control and Abatement Po(icy will cleariy define the gaals of the FOG Program Plan, who will be monitared
by the program, compliance requirements and program enfarcement. The FOG Control and Abatement
Policy wiU be referenced in the SUO but will remain a separate document, similar to the City's Contaminated
Groundwa#er Policy and Pollutant Minimizatian Program for Mercury Policy.
CH2M HILL wil( assist the City in development af a FOG Contral and Abatement Policy that is modeled after
other working City policies and effective FOG management programs in other cammunities. 7he City has
prepared an annotated outiine for the policy follawing the topics below. This will be follawed and modifled
as needed to clearly interface with the SUO and the �OG Pragram Plan.

CH2M H1LL facilitate two meetings for this task — a policy development kick-off ineettng and a draft policy
review meeting. The kick-off ineeting will inciude discussion of the draft outline, the palicy review and
approval process, and how the team will work together to develop finaf policy text. Some collaboration on
policy wording will take place throu$h email and conference calls.
Task 4.1 Deliverables
Meeting minutes, draft and final versions of the FOG Control and Abatement Policy.
Task 4.2 FOG Program Plan
Under this task, CH2M HIf.L wiff assist the City in the development of a FOG Program plan ta im�lement and
enforce the SUO and the fOG Contra) and Abatement Paficy. The FOG Program Plan set forth a portfolio of
program measures and resources to help mitigate the negative impacts of F06. The program strategy wili
support phased implementation af ineasures, including those already cancefved by the City: educate
customers, identify and enact remedies and monitor'tng practices, and enforce the SUO and FOG Contral artd
Abatement Policy.
CH2M HILI will compiete the foi(owing activities in the development of a FOG Program Plan:
• Provide FOG program implementation experience from other cities for City consideration in the
development its resources. CM2M HILI. will assist the City in coordination efforts needed to inform and
engage the Winnebago Couniy Health Department and City ]nspection Services, including participation
in meetings during development of F0� Pragram Plan if desired by the City.
Review and provide suggestions for the City's draft FOG informationa! residential and F5E brachures and
FSE survey. CH2M Hll.l. wiil provide graphic art assEstance for final published outreach materials. The City
will launch the survey and campile survey results. CH2M HILL wil( assist the City in caardinating with the
City Communicatipns Coordinator and the City IT Department postfig public education materials to the
City's website. CH2M NILL will provide recommendations for future education activities ta maintain
public awareness.
• Deflne lmplementation and enforcement actions for installation and maintenance requirements set
forth in the FOG Control and Abatement Policy.
• Investigate FOG haulers and define how beneficial FOG recycling could be integrated with in the City's
program.
• Identify the FOG pragram data streams and propose, a plan for managing that infarmation.
• Prepare budgetary cost estimates for annual FOG program administration requirements and resources,
including acquisit►on of LinkaFC?G software and training.
• Developed schedule for enforcement penalties for future implementation
• Prepare a draft FOG Program Plan far City review. The draft F�G Program Plan will include
recommendations and prajected costs for the flrst five (5) years of implementation. fteview comments
on the draft plan will be gathered in a meeting with the City, the Winnebago County Health Departmen#
and City lnspection Ssrvices.
