PROJECT MANAGER A. Assignment of Project Manager. The CONSULTANT shall assign the following individual to manage the PROJECT described in this AGREEMENT: Jim Bachhuber — Midwest Area Stormwater Practice Leader B. Changes in Project Manager. The CITY shall have the right to approve or disapprove of any proposed change from the individual named above as Project Manager. The CITY shall be provided with a resume or other information for any proposed substitute and shall be given the opportunity to interview that person prior to any proposed change. ARTICLE II. CITY REPRESENTATIVE The CITY shall assign the following individual to manage the PROJECT described in this AGREEMENT: James Rabe, P.E., CPESC — Civil Engineering Supervisor ARTICLE III. SCOPE OF WORK The CONSULTANT shall provide the services described in the CONSULTANT's Scope of Work. CITY may make or approve changes within the general Scope of Services in this AGREEMENT. If such changes affect CONSULTANT's cost of or time required for perFormance of the services, an equitable adjustment will be made through an amendment to this AGREEMENT. All reports, drawings, specifications, computer files, field data, notes, and other documents and instruments prepared by the CONSULTANT as instruments of service shall become property of the CITY upon payment for those documents by the CITY to the CONSULTANT, and shall remain the property of the CITY. ARTICLE IV. STANDARD OF CARE The standard of care applicable to CONSULTANT's services will be the degree of skill and diligence normally employed by professional consultants or consultants perForming the same or similar services at the time said services are performed. CONSULTANT will re-perform any services not meeting this standard without additional compensation. OPINIONS OF COST, FINANCIAL CONSIDERATIONS, AND SCHEDULES In providing opinions of cost, financial analyses, economic feasibility projections, and schedules for the PROJECT, CONSULTANT has no controi over cost or price of labor and materials; unknown or latent conditions of existing equipment or structures that may affect operation or maintenance costs; competitive bidding procedures and market conditions; time or quality of perFormance by operating personnel or third parties; and other economic and operational factors that may materially affect the ultimate project cost or schedule. Therefore, it is understood between the parties that the CONSULTANT makes no warranty that the CITY's actual project costs, financial aspects, economic feasibility, or schedules will not vary from CONSULTANT's opinions, analyses, projections, or estimates. ARTICLE VI. RECORD DRAWINGS Record drawings, if required, will be prepared, in part, on the basis of information compiled and furnished by others. CONSULTANT is not responsible for any errors or omissions in the information from others that the CONSULTANT reasonably relied upon and that are incorporated into the record drawings. ARTICL� VII. CITY RESPONSIBILITIES The CITY shall furnish, at the CONSULTANT's request, such information as is needed by the CONSULTANT to aid in the progress of the PROJECT, providing it is reasonably obtainable from City records. To prevent any unreasonable delay in the CONSULTANT's work, the CITY will examine all reports and other documents and will make any authorizations necessary to proceed with work within a reasonable time period. ARTICLE VIII. CITY'S INSURANCE CITY will maintain property insurance on all pre-existing physical facilities associated in any way with the PROJECT. CITY will provide (or have the construction contractor(s) provide) a Builders Risk All Risk insurance policy for the full replacement value of all project work including the value of all onsite CITY-furnished equipment and/or materials associated with CONSULTANT's services. Upon request, CITY will provide CONSULTANT a copy of such policy. ARTICLE IX. TIME OF COMPLETION The work to be performed under this AGREEMENT shall be commenced and the work completed within the time limits as agreed upon in the CONSULTANT's Scope of Work. The CONSULTANT shall perform the services under this AGREEMENT with reasonable diligence and expediency consistent with sound professional practices. The CITY agrees that the CONSULTANT is not responsible for damages arising directly or indirectly from any delays for causes beyond the CONSULTANT's control. For the purposes of this AGREEMENT, such causes include, but are not limited to, strikes or other labor disputes, severe weather disruptions or other natural disasters, failure of performance by the CITY, or discovery of any hazardous substances or differing site conditions. If the delays resulting from any such causes increase the time required by the CONSULTANT to perform its services in an orderly and efficient manner, the CONSULTANT shall be entitled to an equitable adjustment in schedule. COMPONENT PARTS OF THE AGREEMENT This AGREEMENT consists of the foilowing component parts, all of which are as fully a part of this AGREEMENT as if herein set out verbatim, or if not attached, as if hereto attached: 1. CONSULTANT's Scope of Work dated August 27, 2015 and attached hereto In the event that any provision in any of the above component parts of this AGREEMENT conflicts with any provision in any other of the component parts, the provision in the component part first enumerated above shall govern over any other component part which follows it numerically except as may be otherwise specifically stated. ARTICLE XI. PAYMENT A. The Agreement Sum. The CITY shall pay to the CONSULTANT for the performance of the AGREEMENT the total sum as set forth below, adjusted by any changes hereafter mutually agreed upon in writing by the parties hereto: Time and Materials Not to Exceed $54,075 (Fifty Four Thousand Seventy Five Dollars). Attached fee schedule shall be firm for the duration of this AGREEMENT. B. Method of Payment. The CONSULTANT shall submit itemized monthly statements for services. The CITY shall pay the CONSULTANT within 30 calendar days after receipt of such statement. If any statement amount is disputed, the CITY may withhold payment of such amount and shall provide to CONSULTANT a statement as to the reason(s) for withholding payment. C. Additional Costs. Costs for additional services shall be negotiated and set forth in a written amendment to this AGREEMENT executed by both parties prior to proceeding with the work covered under the subject amendment. D. Indirect Costs. Indirect costs such as computer time, printing, copying, cell phone charges, telephone charges, and equipment rental shall be considered overhead and shall not be invoiced separately to the PROJECT. E. Expenses. Expenses may be billed with up to a maximum of 10% mark-up. All invoices with expenses shall include supporting documentation of the expense. Failure to include the supporting documentation will result in the reduction of payments by the amount of those expense(s) not including documentation. ARTICLE XII. HOLD HARMLESS The CONSULTANT covenants and agrees to protect and hold the City of Oshkosh harmless against all actions, claims, and demands to the proportionate extent caused by or resulting from the intentionally wrongful or negligent acts of the CONSULTANT, his/her agents or assigns, his/her employees, or his/her subcontractors related to the performance of this AGREEMENT or be caused or result from any violation of any law or administrative regulation, and shall indemnify to the CITY for all sums including court costs, attorney fees, and damages of any kind which the CITY may be obliged or adjudged to pay on any such claims or demands upon the CITY's written demand for indemnification or refund for those actions, claim, and demands caused by or resulting from intentional or negligent acts as specified in this paragraph. I:\Engineering\Tracy Taylor\James' Agreements\Brown & Caldwell\B&C Steven's Park Neighborhood Page 3 of 5 Storm Swr Syst Model for St Reconst Proj Agreement_8-27-15.docx Subject to any limitations contained in Sec. 893.80 and any similar statute, of the Wisconsin Statutes, the CITY further agrees to hold CONSULTANT harmless from any and all liability, including claims, demands, losses, costs, damages, and expenses of every kind and description (including death), or damages to person or property arising out of re-use of the documents without consent where such liability is founded upon or grows out of the acts or omission of any of the officers, employees or agents of the City of Oshkosh while acting within the scope of their employment. ARTICLE XIII. INSURANCE The CONSULTANT agrees to abide by the attached City of Oshkosh Insurance Requirements. ARTICLE XIV. TERMINATION A. For Cause. If the CONSULTANT shall fail to fulfill in timely and proper manner any of the obligations under this AGREEMENT, the CITY shall have the right to terminate this AGREEMENT by written notice to the CONSULTANT. In this event, the CONSULTANT shall be entitled to compensation for any satisfactory, usable work completed. B. For Convenience. The CITY may terminate this AGREEMENT at any time by giving written notice to the CONSULTANT no later than 10 calendar days before the termination date. If the CITY terminates under this paragraph, then the CONSULTANT shall be entitled to compensation for any satisfactory work performed to the date of termination. This document and any specified attachments contain all terms and conditions of the AGREEMENT and any alteration thereto shall be invalid unless made in writing, signed by both parties and incorporated as an amendment to this AGREEMENT. ARTICLE XV. RE-USE OF PROJECT DOCUMENTS All reports, drawings, specifications, documents, and other deliverables of CONSULTANT, whether in hard copy or in electronic form, are instruments of service for this PROJECT, whether the PROJECT is completed or not. CITY agrees to indemnify CONSULTANT and CONSULTANT's officers, employees, subcontractors, and affiliated corporations from all claims, damages, losses, and costs, including, but not limited to, litigation expenses and attorney's fees arising out of or related to the unauthorized re-use, change, or alteration of these project documents. ARTICLE XVI. SUSPENSION, DELAY, OR INTERRUPTION OF WORK CITY may suspend, delay, or interrupt the services of CONSULTANT for the convenience of CITY. In such event, CONSULTANT's contract price and schedule shall be equitably adjusted. The hydrologic/ hydraulic modeling will be conducted using XPSWMMTrn The initial analysis of managemenf options will be conducted in the 1 D version, and 2D will be used to show existing flooding conditions and the final results af selected management options. The areas to be analyzed under this scope of work are shown on the attached figure and listed belaw. Utilize existing models generated during fhe City Wide Storm Water Management Plan (December, 2008) and/or previous Capital Improvemenf Plan (CIP} sfudies as a starfing point where appropriate and ava[lable. 2. Construct conveyance network model. A. Modef all storm sewer maEnline segments. i. Unless noted otherwise, "mainline segments" are all publically owned skorm sewer segments, between manholes, and does not include inlet leads. ii. Open channels and road difches are also included as a°mainline segment" for purposes of these evaluations. 9ii. Utilize G1S data provided by the City for storm sewer and storm sewer manholes. lv. Catch Basin and Inlet Leads are not included. v. All final determination segments included in the model will be reviewed and coniirmed by the City. e. Generally all storm manholes are included in #he model. i. Utilize G!S data for storm manholes. ii. _ Inlets and cafch basins will not be included. iii. Inlet Manholes may be incfuded. iv. All final determ€nations on manholes included in the modefing wi[I be reviewed and confirmed by the City. C. The tailwater elevation to be utilized will be 747.56 per previous modeling efforts. 3. Construct Watershed Characteristics. A, Utilize land use GIS data provided by City. B. Utilize impervious area GES data for City parcels. C. Utilize drainage basin delineafions from G15 dafa. D. Review existing watershed boundaries, and revise and update as needed based on: , i. Previous hydrologic / hydraulic studies ii. LiDAR data iii. Generaf area information #or public right-of-ways shafl account for complete ROW impervious and pervious areas considering the road surface and sidewalks. 4. Construct 2D overland flow model. A. Utilize building GIS data provided by Cify to create inactive areas within fhe 2D model. B. Utilize land use GIS data provided by CiEy fo create surface roughness data. C. Utilize LiDAR data provided by City to create surface model incorporated in 2D model. 5. Execute existing conditions Hydrologic and Hydraulic Model. A, Utilize Huff & Angel (Midwest Climate Center Bulletin 71) rainfall depths and '[5� quarfile ra'tn dEstributions, B. NoBe hydrology shall be based on SWMM hydrology methods {not Curve Number hydrology) C. Perform sensitivity analysis to determine which duratian storm is fhe most crifical for conveyance system capacities. Duration analysis will be limited to: i. 3Q-minute duration ii. 1-hour duration iii. 2-hour duration iv. 3-hour duration D. Run model at the critical duration for fhe following design storm events: i. 10-year ii. 25-year iii. 100-year E. Run the model for the June 12-13, 26�8 rainfall evenf. Rainfall data provided by the City will be utilized, saturated soil conditions will be included in the model inputs, and the tailwater elevation will correspond to the Lake Winnebago elevation reported by the USACE on June 92, 2008 for the Oshkosh gauging station. F. Prepat-e figure showing the maximum extent and depth of flooding for the 10-year storm event. 6. Analyze Conveyance System Upgrades A, The primary goal is to prevent the maximum water surface elevation from a�f0-year storm event at the critical duration from surcharging above manhole rim elevations. B. A secondary goal is to contain fhe 25 year rain event within khe ROW such that the road is passable (deffned as less than 6 inches of maximum depth above the manhole rim elevations}. C. A tertiary goal is, to ihe maximum extent practicable, to contain the 100 year rain event within the ROW. D. Qevelop up to four (4) conveyance system upgrade alternatives for each area (a total of 24 alternatives for the entire contract) which may inciude: i. Increasing starm sewer sizes wifhin existing alignments ii. Construction of relief storm sewers in new alignments iii. Canstruction of no more than iwo detention basins at locations to be selected by the City iv. Liff Stations are no# included as an alternative within this scope and may be added as an amendment at the request of the City. E. Conveyance system upgrades will be evaluated based on the improvement in flooding depths during the 10-year storm event. Alternatives meeting the 10-year design storm goal will be further evaluated as described befow. F. Conveyance system upgrades wifl be discusssd with Cify Staff and up to two {2) selected alternatives for each watershed may be selected for furfher consideraiion. G. To furfher evafuate fhe selected alternafives the following tasks will be conducted: i. Conduct planning level cosf estimates to include storm sewer, storm sewer strucfures, and defention basins. City Staff will provide unif costs to be used in cost estimates. ii. Run model for the following storm evenfs: a. 25-year b, 100-year c. June 12, 2008 H. The following considerations will be made when evaluating conveyance sysfem upgrades. i. Maintain adequate cover over conveyance system, so that structure fids and casfings can be installed. ii. When system replacement slarts at an outfall, there may be opporfunities to lower the invert elevations to provide better cover over the collection sysfem, iii. Confiicts with existing sanitary sewer elevations (as provided on ihe City's GIS da#a), shall be taken into account when proposing modifications to the storm sewer system. Changes in sanitary sewer or other underground utility elevations may change during the reconstruction of streels, but cannot be anticipated during fhe modeIing effort. iv. Confficts with existing water main elevations shall be taken inko account for large diameter (16" or larger) distribution mains (as provided on the Cify's GIS data). For modeling purposes, BC assumes that the large diameter water main eleva#ions cannot be changed. v. BC will review fhe age of sfreet pavemen# as a consideration when recommending alternatives. 7. Prep�re deliverable materiafs. A. Memo describing analysis me#hodoiogy and results. A single memo wif] cover aff six watersheds idenfified under Section 9. B. Figures consisting of: i. Figure 1: showing watershed area wifh locations of recommended storm sewer upgrades, sewer identification numbers and detention facility foofprints shown. ii. Figures 2— 8: existing condition and selected alfernative condition 2D mode! results for the projec# area (all six watershads on a single 11" x 17" sheet}, for the 10-, 25- 10Q- year events, and the June 2008 event. C. Table of storm sewer data. i. Existing pipe size. ii. Existing pipe invert elevations, length, material and slope. iii. Proposed pipe size. iv. Proposed pipe invert elevations, length, material and slope. D. Table showing the following estimated data for each wet or dry detention basin proposed: i. Bottom elevation ii. Estimated total land requirement 8. Project Meetings. A. BC i�as budgeted a total of four (4) "web-based" meetings and three (3) face to face meeting for the watershads identified in Section 1. Section 3 Assumptions The scope of work and budge# are based on the fol�owing assumptions: 1. No fie[d survey, weflands delineation, or o#her field investigations will be conducted. 2. Information on the storm sewer, sanitary sewer, and water main systems including, but not limited to elevations, pipe sizes, materials, and locations will be based on the GIS data provide by the City. No independent verification of tha accuracy of the GIS data will be conducted. 3. There are no exis#ing detention basins within the project area to be incorporated into fhe model. 4. Stormwater pollution modeling is not a component of the scope of work. 5. No CAD plan or profile sheets wifl be produced under this scope of work. 6. Project meetings are limited to a total of 4"web-based" meetings and 3 face to face meefings.
