CITY OF OSHKOSH AND UW-OSHKOSH
PARAMED[C AMBULANCE STAND-BY

TH1S AGitEEMENT made and entered into this � day of August, 2015, by and between,
Board of Regenls of the Unlversit}� of Wl system on the behalf of the University of WI Oshkosh
nereinafrer called "UWO", and the Ciry of Oshkosh, a municipal corporation, hereinafter called
"CiTY".
WHEREAS, UWO has requested the CITY provide a dedicated paramedic ambulence for
siand-by, during specified hours for Football Games at Titan Stadium; and
WHEI2EAS, the Common Council for the Ciry of Oshkosh has authori2ed the appcopnate
City officials to enter into such an agreement
NOW, THEREFORE, it is agreed by and between the pazties to ttus ag�eement that the CITY
shall provide one (1) two-person puamedic ambulancc to bc presen[ at Titan Stadium during thc
Football Games. The paramedic unit shall be primerily responsible for providing first aid and
response to medical emergencics.
IT IS FURTHER AGREED that i1W0 shall pay $ l 10.54 per hour for the ambulance. Billed
time will commcnce 30 minutes prior to the start of stand-by and end 30 minutes after the
termination of sttuid-by widi a minimum of 3 hours. Any addiUOnal houzs requested or cequiied to
provide adequate service in the sole opinion of the Duty Chief for th� Ciry of Oshkosh Fire
Deparement, shsll be added to the preschzduled stand-by hours and billed et the same hourly rate. If
for any reason the event is cnncelled, e ttvee (3) hour minimum will be chuged if the event is not
cancelled at least twelve (12) hours before the scheduled start time.
Pre-evem cancellations shall be made by caUing (920) 236-5240 between 8:00 a.m. and 4:30
p.m. Monday ttuougn Friday or (920) 231i-52"/1 at other times.
Tne CITY shall invoice UWO Stadium Budget, c/o Susie Gustke, 800 Algoma Blvd.,
Ushkosh, WI 54901 foltowi�g each event, with payment to bc made within 30 days of receipt of
invoice. Failure to timely pay an invoicc shall be a breach of this agreement.
All patienis requiring transpo�t by the Oshkosh Fire Departmen[ ambulance will be billed for
services rendered according to the CI I'Y's usual and customary procedures and ratcs for scrvice.
Consistent with the Statutes of the State of l�'isconsin; each party to this contract agrees to
assume liability for ;he wrongful acts or omissions of its employccs or agents while they arc
functioning within the scope of their employmrnt or agency, and hold the other harmless for such
liabifity.

I'he Soazd of Regenis for the Universiry of Wisconsin 5ystem egrees to provide liability
protection for its officcrs, employccs and agents whilc acting within thc scopc of thcir cmploymcnt.
The Board of Regents further agrees to hold harmless the City of Oshkosh, its ofFcers, agents nnd
employees from any and all liability, including claims, demands, fosses, costs, damnges, end
expenses of every kind and description (including dcath), or damagcs to persons or property arising
out of or in connection with or occurring during the course of this egreement where such liability is
founded upon or grows out of the acts or omissions of any of the officers, employees or agents of the
University of Wisconsin System while acting within the scope of their emplayment whero protection
is afforded by ss. 893.82 and 895.46(1) Wis. SYats.
Similady, the City of Oshkosh agrces to hold haimless the University, and all its officers, employees
and agents fi•om any and all ]iability, including claims, demands, losses, costs, damages and expenses
of every kind and description or damages to persons or property arising out of or in connection with
or occurring during the course of this agreement, where such liability is faunded upon or grows out
ofthe acts or omissions of employees, officers, or agents of the Ciry of Oshkosh while acting within
the scope of their employment where protection is nfforded by ss. 893.80 and 895.46(1) Wis. Stats
li WO and the CTTY shzll have the right to tcrminate th�s agreemeni without cause upon 10
dnys prior wrinen notice to the other party.
