NOW� TNEREFORE, in consideraCion of the mutual covenants eon[ained l�crein, the Covnty and City agree as follows: SECTION I. COUNTY/CITY SAFETY RUTLDI.NG 90ARD] CREATION; FUNCTIOVS. A. Board The operation and maintenance of. Che Safety Building shall be under the jurisdiction of a SoinG Coaaty/CS[y Safety Building Board, herein- aftei called "Board" whieh shall be compbsed of seven (7) members vho shall be appointed as follovs: - 3 members to be appolnted by [he Covn[y F.xecu[ive and confirmed by the County Aoa;d. - 3 members to be appoin[ed by the H:�yaz of the City and confirmed by the City Council. - 1 meraber to Ae appointed hy the other me m F c r s�. ae,t1.C�+f�.� All memAers of the Goard ehall be'%�o`ficlal, of thc � � CounCy or City. l;. R. Func[ions The functiona of the Board shall be as follova: 1. To enact, anend and repeal rulea and regulations, not ineonsiscent wlth lav, for the tegulations of the BoaYd's meeCin�s and deliberations and for the operation and. main- [enance of the Safety Buildi�g and the Board's employe.es therein. 2. To employ pErsonnel to perfozm duties which are the �oint responsibility of the Councy and City. Any such enployment shall be in aecordance uich ihe procedurea, rolea and regulat?ona as estab]ished for the hirSnP, of: personnel by [he Co�n[y including compensation. 3. To contrac[ For, purchase, or hire all supplies and services necess.ary for the proper oyeraCion and �aintenance of the Safety Build�ng including the adminls[ration and audiC of funds under [he jurisdiction of che Board. For purposes of this Agreenent, funds of the Board shall Ae maintained by the County in a fund entiCled "Public Safety Buildinr Operating Fund". � 4. To avdSt all accounts and claima aga�nst the Safety Euilding or agains[ the Aoard as are or may be payab�le fron funds budgeted by the County and City for Che operation and main[�enance of the Safe[y Building. 5. To prepare a budget of i[s anticipa[ed teceipts and expendltures �or the ensuing calendar year and determine the propor[ionate cose to the County and Ci[y pursuant to Sectlon III of this Agreement. The said budget shall be dellveted.to the County�Er.ecutive and City Manager in suff?.cient tSne Pe: ::;ciusion in their respective 6udgets nnder sec. 65.90, S[ats. The County and C1ty aill consider-such budget and determine the amoun[ Co be funded by each. 6. To make such studi.es and recommendations Co the County and City relating to the operation and main[enance of Yhe Safety Suilding or.Che aequisition of land or�building of facilities therefor as the Roard may deem advisable or as [he�County or City may requesc. 7. To subr�it such repor[s of its aceivities to the County and the Ci-ty annually or as either the Coun[y or City may require. 8. To�condnct such meetings from time to time ae the Baard deens necessary. The Roard shall meet during [he nonth of tlay [o otganize, including the -2- election of officers,�and transact such business as may�be necessary. All such mee[inRg-ahall be subyect to the provision� of Chapter 19, Sub- Chapter IV, F`is. Stats.,� entitled "Opea Mcetings of Covernmencal Bodies". � � SECTION II. TERMS; SUCCESSORS• YACANCIES• OFFICF.RS; COMPENS 7C. �eim ' Except as hereina£ter provfded, tise term of offiee of each member of the Board shall fie for ivo (2) years. The terms of Chofie membera initially appointed shall be as €ollo::�: � 1. County tcrms: Two (2) members shall be appointed for a term commencing witfi the date of appoint- ment and ending Maq 1, 1980. One (1) member shall be appointed for a term commencing with the daie of appointment and ending May 1., 1981. 2. CitY.tetms• . Two (2) membcrs shall be appointed for a term commencing with the date of appointment and endinR May 1, 1981. 3. Successors; VacancSes � Tne successors of County and City members ' ahall be appointed and confirmed in like�mannex. � All appointees shall serve until thelr aucce&sors are appointed and qualified. If a member of ihe� Roard ceases to hold a County or CiCy office� membership on [he Board. shall terminat�e effee[ive the date of �ermination as a County ot Ci[y olficial. Offlcers � � The officers of the Board Qhall consist� of the Preaident, Vice—President and Secretary. Oificers shall be elected from BoarA. membership,. each to hold o4fice for one (1) year. D. Compensation � Members of the Board aha1S teceive compensa— tion as may be de[ermined by l-heiz respective governing.bodies and shall 6e reimburaed theLr actual and necessary expenses for their serviceA from the Public Safety B�uilding Operating Fund. SECTION III. PROPORTIONATF. COSTS(SIIABE. r A. Land and Auildings . � The Coun[y and Cicg agree�that the initial propurtiunate share of ownership of the land and buildings eoe�prising the Safety Building is 83.2Q2$ County and 16.798% City as indicated on EXHISIT "A" sitached hereto. Warranty Deede ahall 6e executed by Che Coonty and City reflecCing such ownetship as.tenants in common. B. Cost of Kaintenance and Operatien � The cosC of maSntenance and operati-on of the � Safety Building s�hall be shared in such proportion as is deternined by the Board and approved bp the County and City.
