AGREEMENT FOR LAKESHORE MUNICIPAL
GOLF COURSE CONCESSION
THIS AGREEMENT, made and entered into this
day of
1979, by and between MR. GERALD W. McEVOY, of 1405 Graham Avenue, Oshkosh,
Wi;consin, party of the first part, hereinafter called "Concessionaire," and the
City of Oshkosh, a municipal corporation located in Winnebago County, Wisconsin,
hereinafter referred to as "City," party of the second part,
WITNESSETN:
WHEREAS, thz Common Council of the City of Oshkosh, by resolution duly
adopted on thz 5*_h day of April, 7979, accepted the bid of the first party,
Gerald W. McEvoy, and authorized and directed the proper City officials to enter
into an appropriate agreement with the party of the first part for a food/bev-
erage concession at the Lakeshore Municipal Golf Course Clu6house in the City of
Oshkosh in return for the City receiving seven and one-half percent (7'�0) pf the
gross sales from the food/beverage concession at the Lakeshore Municipal Golf
Course Clubhouse during the 7g79 season.
NOW, THEREFORE, pursuant to said resolution of the Common Council of the
City of Oshkosh, the parties agree as foltows:
1. That Exhibit "A", attached hereto and including ten (10) pages, is
incorporated herein by reference as though set forth fully herein, and is a part
of this agreement, and that all the provisions of the attachment, including all
paragraphs up to and including XXXI and the five (5) pages of diagrams and
schedules are specificatly agreed to by eath party.
2. That Gerald W. McEvoy, in addition to the indemnifications and guaran-
tees contained in Exhibit A attached hereto, specifically agrees to indemnify
and forever save and keep harmtess the City of Oshkosh and the individual
employees thereof and their agents, from and againsC any damages, penalties,
fines, judgments, expenses, charge;, imposed, assessed, or incurred in any way,
or for any violation or for any breach of any law, ordinance, rules, order or
regulation occasioned by any act, neglect or omission of the Concessionaire or
of any employee of the Concessionaire.
3. That Gerald W. McEvoy agrees that should the City or any of its repre-
sentatives or agents deem any conduct on the part of the Concessionaire, or of
any person employed by the Concessionaire or of any agent of the Concessionaire,
to be objectionable or improper, the City, at its sole discretion or at the sole
discretion of any of its representatives or agents, shall have the right and

power, and the City is hereby authorized and it is agreed to by the Concession-
aire, to at once declare the concession agreement to be terminated without
notice previous or other�aise to the Concessionaire, and the Concessionaire
agrees to reimburse the City for a�y damages whatever resulting from such object-
ionable or improper conduct; and that the determination of what is objectionable
or improper conduct shall be made solely by the City, its representatives or
agents.
4. That Gerald W. McEvoy a9rees that he is solely responsible for his on-
site personal property, materials, merchandise, foodstuffs, and liquids; that
Gerald W. McEvoy agrees that he is solely responsibte for payment and any other
obligations to any person, partnership, corporation, or other entity from whon
or which he purchases or obtains his materials, merchandise, food and drink; and
that Gerald W. McEvoy agrees to indemnify and forever save and keep harmless the
City and its employees and agents from and against any damages, penalties,
fines, judgments, expenses, charges, imposed, assessed, or incurred in any way,
occasioned by any actions or omissions of Mr. McEvoy or his agents or employees
with his suppliers of whatever type.
5. That Gerald W. McEvoy agrees that should the City, for whatever reason,
terminate this agreement, that Gerald W. McEvoy shall, within 24 hours of such
notice, cause to be removed from the Lakeshore Municipal Golf Course Clubhouse
and Golf Course property any and all of his on-site materials, including per-
sonal property and any merchandise.
6. That this agreement shall terminate on November 27, 1979, or as soon
thereafter as determined by the Golf Pro-Manager.

II. FOODSTUFFS
7he concession t�ill include foodstu`fs includiny but not limited to pre-prepared
sand�viches, hot dogs, hamburgers, potato chip5, candy, dispenser soft drinks,
dispenser--ferrznted malt beverages and tobacco items at the a�ove descri6ed loca-
tion. It is ti�e responsibility of the successful Concessionaire to apply for and
receive a Class "B" fermented malt license.
tti. NW RS OF OPERATION
Concession �aill be operated daily from one-half (z) hour before t2e time in the
mornin9 until dusk or during such hours as may mutuaiiy agreed on between the
Concessionaire and the golf pro-manayer as to coincide ��iith the op2ration of the
golf course. The primary objective is to serve the public whenever the cpurse is
open.
IV. R[VENU[ DUE CITY
l"he Concessionaire agrees to pay the City as cenpensation fo; this riyht and for
the exclusive privilege of operating the bu,iness for Lakesh�re Golf Course the
percentaye of gross sales after �educting any and all sales taxes the a:°�iount
stated on the proposal form.
V. PAY"1ENT5
All paymAnt due the City sh�il be paid monLhly on or- before the 20th day of cach
month fpr the receipts of the previous calendar mnnth, and shall be accompanyed
by a staternen[ showing detaiied receipts.

The Conces;ionaire's gross salt;s sha;l be evider.ced by cish rsgister readings and

Vfll. NOTICES
All Pdotices and Orders given to the Concessionaire may be served by mailing
Yhe same to the Concessionaire at tF-� address hereinbefore set forth or by
deliveriny a copy thereof to the Conc2ssionaire in person.
iX. t1A.D1;�GER
Unless personaily operated by tne Cercessionaire only, the Concessionaire
agrees to employ a Manager who i5 satisfactory to the City, and who wi)1 be
available at the Clubhouse at ali tir.�es during operation of the Agreement.
If at anytir��e the City notifies the Concessionaire that the tdanager is un-
satisfactory, the Concessionaire shall, ��ithin 48 hours, replace him with a
satisfactory one. The Concessionaire will have, at all times, sufficient
attendants on duty to render adequat� service to the public.

The Concessionaire will agree, at the rec,uest of the City or iCs authorized
representative, and with the making of specific charges, forthwith to ter-
minate the employment of any ernployea rohom the City or such representative
considers detrimental to the best interests of the Galf Course or public
using same.
INSURANCE
The Concessior.aire shall procure, at his o�m cost and expense, worker's com-
pensation and such public liability and property dainage insurance as required
to protect the Concessionaire, the City and its officers and employees from
any claims for damaye to property and for personal injuries, including death,
which may arise from the operation o` this concession oy the Concessionaire.
The insurance coverage lir,�its shall be as follo�:�s: Bodily injury $100,000.00,
each person each occurrence; property $50,000.00 each occurrence, $300,000.00
aggregate; product liaoility $100,000.00. A duplicate copy o� all insurance
policies, or certificates of insurarce, must be furnished the City with full
premiums paid, before thz start of ar.y operations by [he Concessionair'e. All
policies shall contain an endorsen:en; providing for Turnishing the City ten
days' �rritten notice ef terr,�ination e` +nsurano� fo: any cause.
RISK
The Concessionaire assumzs ail risk in the operation and shall be solely re-
sponsible and ans�derable in damages �'or all accident or injuries to person os
property and hereby coverants and a�rees to indemnify and keep harmless the
City, its officers and employees, frcm any and ail claims, suits, losses,
damage or injury to person or proper=y of whatever kind and nature, whether
direct or indirect, arising out of the operation of this Agreement or [he care-
lessness, neyligence, er in:proper ce,duct of the Concessionaire or any s�rvan*_,
agent, or eirploy�� ,�:rnicL resy:onsibi'ity sLall �;ot 6� iimited to th� ins±ra.�ce

!t is expressly stated that no bililding, parcel, structure, equipment or space is
leased to the Concessionaire; thaC he is a Concessior,aire and not a Le�see; and that
the Concessionaire's rignt to �ccupy the same and to operate under an agreement shall
continue only so lon9 as each and every stipulation and condition in this concession
specification and subsequznY agreement contained on the concessionaire's part to be
performed is strietly and promptly to �e eomplied �aith.

XVII, fEDERAL, STATE AND MllNlCl?AL LAWS
The Concessionsire will rot use nor pe-mit any pzrson to use in any mann•�r whatsoever,
the said premises or any part Yhereof or any building for any illegal purpose, or
fvr any purpose in vio)ation of any F2•:er'al, St:ate or Municipal Lata, ordinance,
rules, order or regulation or of any rule or reyuiation of the CiYy no:r in effect or
enacted or adopCed, and v�ill protect, indemnify and forever save and keep harmless
the City and the individuat employees rnereof and their agents, from and ag��inst
any damage, penalty, fine, judgment, e�,zenses or charge suf;`ered, imposed, assessed
or incurred for any violation or breac, of any la�.o, ordi�ance, rufe, order or regu-
lation ocasioned by any act, neglect or omission of the Concessionaire, or any
employee, person or occuy�ant for the Tine being of said proroises; and in any event
of any violation, or in c�se the City cr its representatives shall dee;n any conduct
on the part of the Ccncessienaire, er an�� person or accupa�it for the time being of
the premises (or the operation th�reofl, to b� objectionable or improp�r, tha City

The Co�cessionaire agrees to keep clean and in a sanitary condition, all premises
used 6y him as defined on the attachec maps. The Concessionaire is responsible
for disposal of food �aastes, packaging, contairers, eating utensils and o[her
�-rastes directly atYributed to the food concessions, also in the main lounge, but
is not responsiGle for other general cleanup. 'Al1 refuse and ��a,te materials shall
be stored by Che Concessionaire and shall 6e disposed of by tf�e City. A11 State
and Locai health laws and regulations shall be strictly compii�d Y�ith.
XX4. 1NSPECTIOV ! ACCESS
It is agreed that the concession premises may be inspected at anytime by authorized
representatives of the City. The f.oncassionaire agrees that, if notified by the
City or its representative, that any part of the ccncession premises or the facili-
ties thereof is unsatisfactory, he will immediately remedy the same.
XXII. REPAIRS
All equipment covered in this specification and used by the Concessionaire in the
conduct of business shall be maintained and kept ir repair by the Concessionaire
to the City at the expiraLion or other termination of tlie year in as gooci condition
as when received, reasonable 4:ear and tear and daa�age 6y the elements expected.
The maintenance of any of th2 equipc��nt covered by this specification shall be done
by and at thz expense of Yhe Concessionaire. 1n case the Concessionaire does not
make some needed repair tiiithin a re�sonable tire, the City may make the repair and
cliarge the cost to the Concessionaire. 7he Concessionaire shall rot make any
alterations in the concession premise> •::ithout the r:ritten approvat of *_he City.

Should any questions arise as to the prop=r interpretation of the terms znd con-

The Concessionaire acknowledges that tha City has not made or caused to be mad� any
representations of any nature o-�hatsoever in connection �•rith the su6ject concessions,
and in particular has made no re�iresentations dealing �aiii� such matters as anti-
cipated revetiue to the Co�cessionaire, or related issues. The Concessionaire
acknow{edges thaY he tiiill enter into a Concession P�yreement as the re5ult solely
of his own business judgment and not as the result of any representatior.s �rhatso-
ever, direct or indirect, made by the City, its agents or employees.

The Concessionaire will agree noE to di:crirninate in iis operations under the contract
on the basis of race, color, creed, age, and sex, except as other�r+se pronibited by
law. Breach of this covenant may be re;arded as a rnaterial breach.
XXX. COPICESSIONAIRF'S Et1PL0YEES
The Goncessionaire shall empioy such help and personnel as it may deem rea>onably
necessary for its operation. The Loncessionaire ayrees that lie lyill not discrim-
inate against any employee or applicani for employment, to be employed in the pzr-
formance of an agreement, ��ii[h respect to his hire, tenu�e,.terms, conditions, or
privileges of employment, or any matter directiy or indi�ecYly related to cmploy-
ment, because of his race, color, religien, national origin or ancestry. Breach of
this specificaYion may be regarded zs a ma*_erial breach.
XXXi. EQUIPMENT
The Concessionaire shall n�ake use of the equipment and as shown on the enclosed floor
plan. 1t is the responsibility of the prospective vendor to inspect the nrer.,ises te
acquaint himselP with the e:isting `acilitic;. If, fo� 2n; reason, additio��,s, de-
letions, or alt��rntions, �re desirt.� by li^ Coa��°ssio;�-ire, then c�nci�eior,° oP �=c_tion
