CONTRACT TO SPONSOR A DEFF,RRED PAYMENT LOAN PROGRAM
The Department of Local Affairs and Development, hereinafter called the
Department, grants to __t_he Citv of �shkosh , hereinafter
called the Sponsor, the amount of $�p ppp � for the purpose of mak-
ing deferred payment loans under the Wisconsin Housing and Neighborhood
Conservation Program. .
The Sponsor wiil administer the program for which this grant is awarded in
accordance with Sec. 22.42, Wis. Stats., and Chapter LAD 4, Wisconsin
Administrative Code, and as set forth in [he following appendices:

APPENDIX A - GF.NER9L CONDITIONS
'I'F:I:"1 OP CONTkACT
1. This contract wi11 become effective when the authorized represen-
tativea of both parties affix their signatures thereto.

3. Grant funds means the amount of money granted to the Sponsor for
the purpose of offering deferred payment loans under the Housing
and Neighborhood Conserva[ion Program.
4. The Sponsor will submit to the Department not later than June 29,
1979, a manual which details the ptocess by which the sponsor
will administer the loans and includes all forms to be used i❑
the program. The Department will disburse all grant funds to the
Sponsor within two weeks after the manual is approved in writing
by the Department. If the Sponsor does not obtain written
approval of their procedural manual prior to June 30, 1979, the
Department r.iay reallocate al1 or a portion of the Sponsor's grant
to another sponsoring entity. Any changes in the manual must be
approved in advance in writing by the Department. The Sponsor
agrees to administer the deferred payment loan program in accord-
ance with the provisions of the approved manual. .
5. The Sponsor will place ail grant funds in interest-bearing
nccounts or instruments. Within one week of the receipt of the
grant funds, the Sponsor will deposit all grant funds and report
to the Department the manner in which the grant funds were
invested and their location.
6. The Sponsor may only wit6draw funds from the interest-bearing
account(s) or instrument(s) for one of the following purposes:
a. To� pay adminis[rative costs not exceeding the amount
specified in Item 11 of this contract.
b. To disburse funds for deferred payment loans.
c. To return funds to the Department.
7. The Sponsor wi11 use interest earned on grant funds only for the
purpose of making additional deferred payment loans.
8. The Sponsor will establish and maintain fiscal control and
accounting procedures which assure that the grant funds are
properly disbursed, adequateLy controlled and accounted for.

9. The Department may require [he Sponsor to reimburse the Depart-
ment for any expenditure of grant funds for which the documenta-
tion is inadequate or for expenditures not expressly allowable
under this contract.
10. The Sponsor agrees to expend all grant funds by 3une 30, 1981,
and in accordance with the minimum requirements of the perfor-
mance schedule outlined in Appendix B. In the event that the
Sponsor fails to adhere to the provisions of the performance
schedule, the Department may suspend this contract and require
the Sponsor to return any remaining portion of the grant for
reallocation to another sponsoring entity.
The Department may allow the Sponsor [o continue operating a
deferred payment loan program with a portion of the remaining
funds if both the Sponsor and the Department agxee in writing to
a revised performance schedule, administrative budget, and any
other necessary contract amendments. If snch agreement is not
reached within 30 days of the date on which the contract was
suspended, the Department may terminate this contract.
ADMINISTRATIVE COSTS
11. The sponsor may not apply more than $ 14,630 of the total
grant funds toward the cost of administering the deferred payment
loan program. All other administrative ccsts will be borne by
the Sponsor. �
12. The Sponsor will. incur administrative costs in accordance with
the administraCive budget attached as Appendix C. Any deviation
of more than 10� above the amount allocated for any budget line
item must receive the prior written approval of the Department.
13. If the Department requires the Sponsor to return any portion of
the total grant funds under Item 10 of this contract, the Depart-
ment may require Che Sponsor to reimburse the Department for the
same percentage of unspent administrative costs.
14. Grant funds may be used to reimburse the Sponsor for only those
administrative costs incurred af[er the Department's written
approval of the procedures manual under Item 3 of this contract.
15. Upon termination of this contrac[, the Sponsor will reimburse [he
Departnent for any unspent portion of the administrative funds
which were provided by the Department.
REPORTS AND FORMS
lti. The Sponcor will com?1et� an AppLication Form, attache�3 as
Appendix D, For eac;; applicant for a deferred payment loan.
17. For each approved application,
a. the Sponsor will complete and have the Borrower sign the
Borrower's Certifications, attached as Appendix E.
b. an Improvements Certificate, attached as Appendix F, must
be completed and agreed upon by both the Borrower and
Contractor, if applicable.
c. each Contractor chosen to provide services financed by
the deferred payment loan must sign a Contrac[or's
Warranty, attached as Appendix G.
18. The Sponsor will submit to the Departmen[ wi[hin one week of each
loan closing two copies of the Loan Data Collec[ion Form,
attached as Appendix H.
19. The Sponsor will sabmit to the Department two copies of the
Completion Certificate, attached as Appendix I, and two copies of
the Improvement's Certificate within one week of completion and
final inspection of the rehabilitatio❑ work.
Z0. The Sponsor will submit to the Department a Quarterly Performance
Report, attached as� Appendix J, as of June�30, September 30,
December 31 and March 31 during the [erm of [his contract.
These reports will be�submitted to the Department no later than
15 days after the end of the quarter.
21. The Sponsor will retain all materials relaeing [o any individual
loan application or the operation of the deferred payment loan
program in general for three years following the audit of this
contract.
22. Any authorized representative of the Department has the r�ight to
examine, audit, excerpt or transcribe any books, documents,
papers or records of the Sponsor relating to the operation of the
deferred payment loan program.
INCOME GUIDELINES
23. The Sponsor will make loans only to eligible applicants whose
income is within the income eligibility limits For the county in
which they reside. The income eligibility limits for the county
(counties) in which the Sponsor will offer loans are attached as
Appendix K. Inco�e eligibility limits may be amended by ttte
Department.
LOANS TO IMPROVE STRUCTURES IN FLOOD PLAINS

which is located in a flood plain.
SUBCONTRACTING
25. The Sponsor will submit to the Department copies of any contracts
or subcontracts between the Sponsor and another party to perform
any portion of the program administration under this agreement.
Any contract must obligate all parties to confoxmance with the
rules, regulations and conditions of Section 22.42, Wis. Stats.,
and Chapter LAD 4 47isconsin Administrative Code, and in confor-
mance with the Sponsor's proposal as approved by the Department.
26. No action will be taken under these contracts or subcontracts
until [hey have been approved by the Department.
AUDIT
27. The Sponsor wi11 have a financial and compliance audit performed
within six months following the termination of this contract.
This audit must be performed by an independent certified public
accountant according to generally accepted auditing principles.
The audit will cover all funds granted by [he Departmen[ and
interest earned thereon.
hON-DISCRIMINATION
28. In connection wi[h the performance of work under this contract,
the Sponsor agrees not to discriminate agains[ any employee or
epplicant for employment because of age, race, religion, color,
sex, physical condition,. developmental disability or nationnl
origin. ThiS will include, but not be limited to, the following:
employment, upgrading, demotion or transfer, recruitment or
recruitment advertising, lay-off or termination, zates of pay or
other forms of compensation, and selection for training, includ-
ing apprenticeship. The Sponsor further agrees to [ake affirma-
tive action to insure equal emplayment opportunities for persons
with disabilities. The Sponsor agrees to post in conspicuous
places, available for employees and applicants for employment,
notices to be provided by the Depar[ment setting forth the
provisions of the non-discrimination clause.
ADDITIONAL SPECIFIC CONDITIONS
29. Both the Sponsor and the Department agree to the additional
conditions which are attached as Appendix L.
�ASENDMEN'PS T(1 GO�iTRAGT
3U. Any portion of this contract may be amended by written mutual
agreement of both the Sponsor and the Department.
SUSPENSION OR TERMINATION BY THE DEPARTMENT
31. The Department may terminate this agreement for cause by provid-
ing the Sponsor 30 days written notice of such termination. Upon
termination, the Department's liability will be limited to its
share of the expenses incurred as of the date of termination.
32. The Department may suspend this agreement for cause by providing
the Sponsor with five days �sritten notice of such auspension.
Upon suspension, the Department's liability wi11 be limited to
its share of the expenses incurred as of the date of suspension.
TERAlINATION BY THE SPONSOR
33. The Sponsor may terminate this agreement for cause by providing
the Department with 30 days written notice of such termination.
Upon termination the Sponsor will return to the Department any
remaining grant £unds, including funds set aside for the reim-
bursement of administrative costs under Item 11 of this contract.
ARBITRATION
34. Any disputes between the Department and the Sponsor regarding
quality, quanYity and timeliness will be subject to arbitration
as provided in Chapter 298, Wisconsin Statutes. The Sponsor must
begin proceedings in Dane County, Wisconsin, Circuit Court within
90 days of the termination date of this contract or they are
forever precluded from arbitration under Chapter 298 of the
Wisconsin Statutes.

CONTRACTOR WARRANTY

1. LIST OF IMPROVEMENTS. Each Contractor acknowledges that it has
reviewed the Improvements Certificate and that such list is
accurate and consistent as to scope of work, price, and name of
contractor with the Contractor's proposal and agreement with the
Borrower and the work that the Contractor will undertake.

3• COMPLETION CERTIFICATE. Upon the completion of the improvements,
each Contractor will note the date of completion and cost of work
on the Completion Certificate, sign and return it to (Sponsor).
4. PAYMENT FOR SERVICES. Final payment shall not be due by
(Sponsor) to the Contractor prior to the satisfactory completion
and acceptance of the work by both (Sponsor) and the Borrower.
5. CHANGES TO THE IMPROVEMENT CERTIFICATE. No changes, alterations,
additions, deletions or substitutions may be made in the Improve—
ments Certificate except by the written mutual agreement of the
Borrower, the Contractor and (sponsor).
6• HOLD HARMLESS. Each Contractor agrees to defend, indemnify and
hold harmless the Borrower, and the officers, directors and
employees of the Department of Local Affairs and Development
[DLAD] and (Sponsor) from liability and claim for damages because
of bodily injury, death, property damage, sickness, disease or
loss and expense rising from Contractor's Performance under this
agreement to install or construct home improvements to be paid
for out of the proceeds of Borrower's Deferred Payment Loan
(hereinafter referred to as Contractor's Performance). Each
Contractor is acting in the capacity of an independent Contractor
with respect to the Borrower.
7. LIEN WAIVERS. Each Contractor agrees to protect, defend and
indemnify the Borrower from any claims for unpaid work, labor, or
materials with respect to Contractor's Performance. Final
payment shall not be due until the Contractor has delivered to
the Borrower. complete release of all liens arising out of Contrac—
tor's Performance or receipt in full covering all labor and
materials for which a lien could be filed, or a bond satisfactory
to the Borrower indemnifying him against any lien.
8. PERMITS AND CODES. Each Contractor. agrees to secure and pay for
all necessary permits and licenses reqiiired for Contractor's
Performance and to perform all work in conformance with applic—
able local codes and requirements, whether or not covered by the
specifications and drawings for the work.
9. EQ?1AL OP?ORTUNITY. Each Contractor agrees not to discriminate
agalrist any employee or borrower b�cause of race, color, creed,
religion, national origin, sex, marital status, age and status
with regard to public assistance or disability.
10. UVACCF.PTABLF. RISK. F.ach Contractor represents that, at the time
of execution hereof, it is not listed on the Disbarred and
Suspendable Contractor's list of the U.S. Department of Housing
and Urban Development.
11. GEVERAL GUARANTY. � Each Contractor guarantees the �work to �Ue
performed under� this C6ntract�for a period- of one (1) year��from
the date on which the Borrower signs the Completion Certificate.
In addition, each Contractor will furnisY� the Borrower with all
manufacturers' and suppliers' written guarantees and warranties
covering materials and equipment installed or constructed under
this contract.
12. INDEMNIFICATION. Each Contractor agrees to defend, indemnify and
hold harmless, DLAD and the (Sponsor), including [he payment of
reasonable attorneys's fees, against any claim or liability for
damages or defense against the Borrower's obligation to repay the
deferred payment loan which may be maintained against DLAD or
(Sponsor) as a result of a default in the Contractor's
Performance or as a result of aav orher claica or defense whic:�
Borrower has a rigiit to maintain agalnst the Contractor.
13. SUB—CONTRACTORS. Each Contractor agrees that all the warranties
contained herein shall apply to all work performed under the
Contract, including that performed by any sub—contractors.
14. ACKNOWLEDGMENT. The above warranties are in addition to, and not
in limitation of, any and all other rights and remedies to which
the Borrower or subsequent owners may be entitled, at law or in
equity, and shall survive the conveyance of title, delivery of
possession of the property, or other final settlement made by the
Borrower and sha11 be binding on the undersigned notwithstanding
any provision to the contrary contained in any instrument hereto—
fore or hereinafter executed by the Borrower. The Contractor
hereby acknowledges that this warranty Ras been approved by DLAD
and (Sponsor).
