This AGP,EEthENT, entered into this day of
, 1979 bet��een the City of Oshkosh, a munici�al
body corporate in the State of 4lisconsin, hereinafter des.ig-
nated as the CI7Y and Noa�ard, Cjeedles, 7ammen & 8ergendoff,
a partnership, organized in accordance with the lac:s of the
StaCe of FSissouri, hereinafter de�signa[ed as COtJSUL7ANT, with
offices at b815 West Capitol Drive, Mil�raukee, Wisconsin 53216
for consulting services.

bIF4EREAS, the CITY has determined to undertake improvements to
the seweraye system, and

the State of 4lisconsin for the prevention of ra�� sewage discharges
from the�setiaerage system, and

in[erceptor, river crossing and.sanitary pumping station, herein-
after desiynated as the PROGRAM, and
k!HEREAS, the CITY is aafare of the fii9hly eomplex and technical
nature of impleme�tin9 this PROGRAM, and
WHEREAS, the Cf"fY is desirous o( en£cring into an AGREEMENT
aiith � full service consuitiny firm �rhich is qualified and
experienced to assist the CITY in implementing all phases of
conceptual planning coot'dination and direction, design, and
tonstruction monitoring of the PROGRt�t1 as will be defined in
supplemental task orders, and
WHEREF�S, the CONSULTANT represents that they are in compliance
�•rith the Wisconsin statutes relating to the registration of
professional engineers and architects, and has siynified their
willingness to fiurnish consuliing sen�ices for the CITY, as
described hereinafter and in each supplemental task order, and
WNEREAS, the CITY agrees to hereby retain the C6NSUl7AIST for
consulting services as hereinafter set forth, and agrees to
pay the COiISULTANT for such services the fees set forth in
each Flpproved Supplemental Task Order.

mutual and dependent agreements, the parties hereto agree

1.1.5 Subject to the limita[ions sei forth in supplementai
t<�sk orders, conferences shall be held upon the reques[
of either party hereto and visits to tlie site and inspec-
tion of thc arork may be made at any time by such par[ies.
1.1.6 At the request of the CITY, the CONSUL7APJT durin9 [he

portions of plans, reports, or other inforrnation from the

1.1.7 The CONSULTAN7's work will be suitabte for inspection
at 6815 W. Capitol Drive, Mil��aukee, Wisconsin 53216.
1.1.8 The COWSULTANT's services �aill 6e in accordance with
the requirements of the State of. Wisconsin Department
of Natural Resources, hereinafter designated as Yhe
DEPl1RTPfEPdT, and the United States Environmental Protec-
tion Agency, hereinafter desianated as the EPA. Thc re-
quired provisions for consulting engineering services as
set forth by the EPA under 40 CFP., Part 35, Subpart E,
Appendix C-1, as attached, and as in effect on the da[e
of this AGREEhtE1JT shall be a part thereof as if set forth.

sublct this AGREENENT, or any part or portion [hcreof
withou[ having in advancc of any such assignmen[ or
subietting the written consent of the LITY.
1.4 AMENDFIENTS
This AGREEMENT constitu[es the entire agreement behJCen
the parties, and it shall not be subject to amendment
6y parol or course of dealing or practice, 6ut shall
be amended only by a subsequer.t ayreenent i.n wri[ing
subscribed 6y the parties hereto.
1.5 {t7DEt1NITY
The CONSUL7AtlT hereby covenancs and agrees that he will
indemnify and save harrn}ess thc CIT1', against all
liability clairns, actions, judgments, costs and expenses,

�rho fails or refuses tu furnish this informa[ion, thc

1.10.5 Sanctions for Noncompliance
In the event of the COIJSULTA�!TS' �oncompliance ioith the

ACCESS TO RECOftDS
7he CONSULTAWT shall maintain all 600ks, docum^nts, papers,
accoun[irtg records and other evidence peYtaininq to costs
incurred. These materials shall be available for inspec-
tion at aii reasonable times durin9 the contract period
and �or thrce years rrom the da[e o( final payrnent under
the CONTRFlGT. Copies shall 6e furnished if requested.

All tracings, plans, speeifica[ions and a�aps prepared or
obtained under the terms of the CONTR:�CT shall be delivered
to and become the property of the C17Y, and that basic
survey notes and ske[ches, char[s, co�,putations, and o[her
data prepared or o6tained undcr such CONTRALT shall bc
modc available, upon requcst, to [he CITY �aithout restric-
tion or limitatio� on thcir use.
EXTRl� WORK
1n case it is advisable or necessary in the execution
of the work to make any altera[ion �-:hich will increase
or diminish thc quan[iCy of lahor or naterial or thc
expenses of thc work, such a4teratio:� shail no[ annul
or vitiate the contract. The CONSUL7AIIT shall furnish
the necessary labor, r.iaterial, and professional knowledge
[o complete the �aork as al[ered within the time limit
originally specified or as exie�ded by tSie CiTY.

The CITY shall review the COWSULTANT'S submi[[al �nd,
if accep[�ble, issue a lelter form change order as an
arncndmen[ to this qGREEMENT. k'ork under such ch�nye
order shall no[ proceed unless and until so authorized
by the CIIY.
1.14 EQU�L OPPORTUNITY POLICY
The CONSULTF�IIT iaill not �iscrimina[e against any employce
or applican[ ior employment because of race, treed, color,
ser., or national oriqin. The COIdSULTAtJT �aill take affirma-
tive action to ensure that applicants are empioyed, and
that employees are treated during employment; �aithout
reg�rd to their race, ereed, color, sex or na[ional
origin. Such action shall include, but not be limi[ed
to, the following: employment, upgrading, demo[ion, or
transfer; recruitment or recrui2ment adver[ising; layoff
or termination; rates of pay or other forms of compensa-
tion; and selection for traini'ng, including apprenticeship.
The COtJSULTANT agrees to pos[ in eonspicuous places,
available to employees aod applicants for employmen[,
notices to be provided by the contracting officer setting
forth the provisions of this nondiscrimination policy.
1.15 �tdSURANGE
The CONSUI7ANT shall maintairt Professional Liability
Insurance during the life of this AGP,EEMEN7.
2.0 SCOPE OF SER�!ICES
2.1 6ASIC SERVICES
The CONSULTANT agrees to perform professional services in
connection with the PROGP,AP1 includiny normal civil, hydrau-
iic, structural, nechanical and electrical engineering ser-
vices, and normal architectur.al services related there[o,
as contained in this AGREE11EPdT and as set fortfi in suppie-
mental task orders.
2.1.1 F`undi:;q Application Phese
Upon receipt of the CITY's written authorization to pro-
ceed v�ith the Funding Application Phase the CONSULTANT
shall:

Upo� receipt of the CITY's written authorization to proceed
with the Facilities Planning Phase the CONSUL7AMT shall:
2.1.2.7 Prepare a Faci)ities Planning study and report in accord-
ance with the EPA Step t regu}ations, and as further
defined in supplemental task orders.
2.1.3 Design Phase
Upon receipt of the CITY's written authorizatior. to
proceed with the Design Phase, the CONSllLTANT shall:
2,1.3•1 Prepare the required Contract forms including proposal
forms and notice to bidders, dra�rings, technical speci-
fications and other documenfis as required to complete
the Construction Contract Documents, in accordance with
the EPA Step 2 regulations, and as further defined in
supplemental task orders.

Upon receipt of the CITY's written authorization to pro-
ceed with the Construction Phase, the COtJSULTANT shall:

tion work of the Contractor, i,n accordance with the EPA
Step 3 regulations, and as further defined in supplemenTal
task orders.

streets, alleys, pavements, adjoining property, encroach-
menYS, zoniny and deed restrictions, existing buildings,
and improvements as they pertain to the PROGRAM.
3.4 Furnish to the CONSUITANT soils data available in the
CITY's files on test 6orings, test pits, probi�gs, sub-
si�rface exploration, soil bearing values, percolation
tests, qround corrosion and resistivity tests as they
pertain to the PROGRAM.
3-5 Provide legal, accounting, administrative and insurance
counseling services necessary �or the PROf,RAl1, legal
reviet� of the Construction Contract Documents, and such
auditing services as the CITY may require to account for

Direct Labor Costs is defined as the direc[ labor costs

CONSULTANT CHARGES
I�i accordance with the Terms and Conditions oF this
AGREEMFNT, the CONSULTANT shall provide professional
services for which [he C1TY shall compensate the CON-
SULTANT as follows, as defined in each of the supple-
mental task orders:
For work performed by the COMSULTANT:
On the basis of a cost plus fixed fee for Step 1, Step 2
or Step 3 work as defined by the EPA; as ihe sum of;
Direct labor costs of employees for time directly charge-
able to the PROGRAM, and
8.1.7.2 The CONSULTANT's overhead or indirect costs, and
8.1.1.3 Other direct reimbursabte casts including the services
of other professional consultants incurred in fulfilling
the terms of the supplemental task order, and
8.1.1.4 A fixed dotlar fee.
8.1.1.5 The Pinal payment of supplemental task orders on grant fundable
Pro9ram segments is subject to audit in accordance with the re-
quiremenYS of Appendi�: C-1, attached, of the CONSULTANT's recor
pertaining to the estimates used for interim payraents. For
purpose of determining the estimates of interim payments
and indirect costs to be applied to base salaries shall
be those resulting from the CONSULTAtJT's operations
currently on file and approved by the Federal Highway
Admi�iistration. Fina1 payment shall be based on actual
audited costs for the years in �ahich the �oork was per-
formed. Indirect costs not defined in the proposal and
incurred during the life of the subaqreement shall be
eli9ible for reim6ursenent if found eligible in the final
audit. Guidance for allov+able direct and indirect costs,
as applied to cost plus a net fixed fee agreements, is
published in the EPA Procurement Regulations. A supple-
mental task orcier �aill be required to make any up�aard
adjustment of the total estimated fee as set fo rth in
any supplemental task order.
£5.1.2 On the basis of a direct labor cost times a multiplier
for supplemental task orders covering work defined as
ineliyible for grant participation by Che EPA and the
DEPARTM[NT, a fee based on the surii of direct labor tintes
