AGREEMENT BETWEEN THE CITY OF OSHKOSH AND
THE VISITING NURSE ASSOCIATION OF OSHKOSH

WHEREAS, the City of Oshkosh, through the Oshkosh Housing Authority, has
applied for and has received a Title III Grant, such money to be used for a
health-screening program for the elderly; and
WHEREAS, the City, through the Oshkosh Housing AutF:ority and the Oshkosh
Seniors Center, is desirous of contracting with the Visiting Nurse Association
(VNA) of Oshkosh for the provision of screening components and for the provision
of program content, administration of services, and costs thereof; and
WHEREAS, the City, the Oshkosh Housing Authority, the Oshkosh Seniors
Center, and the Visiting Nurse Association agree that it is to the mutual
benefit of each to enter into this agreement.
NOW, TNEREFORE, it is mutualiy agreed as follows:
1. That the Visiting Nurse Association (VNA) agrees to implement a
health screening program for elderly individuals residing within the
Oshkosh urbanized area, all pursuant to the project proposal of the Area
Agency on Aging District III, Inc., attached hereto and incorporated herein
by reference.
2. That the City of Oshkosh, throu9h the Osh'�cosh Seniors Center,
agrees to pay to the VNA an amount not exceeding $3>033•50.

That this agreement will terminate on December 31, 1979-
That the Oshkosh Seniors Center and the Oshkosh Housing Authority
shall provide such physical space as is required for the conduct of this
program at Marian Manor, Oshkosh, Wisconsin.
5. That the VNA agrees to provide health-screening services for
an average of ten hours per week.
6. That the VNA agrees to insure itself against suits for profes-
sional liability arising out of the administration of this program.
7. That the VNA agrees not to use the aid or services of any
volunteer, unless the VNA provides for the volunteer insurance coverage
acceptable to the City.
8. That the City of Oshkosh, the Oshkosh Housing Authority, and the
Oshkosh SPniors Center are in no way responsible for any of the acts,
negligent or otherwise, of any employees of the VNA.

9• That the VNA hereby releases the City of Oshkosh, the Oshkosh �
Housing Authority, and the Oshkosh Seniors Center from all debts, claim�
demands, damages, actions and causes of action whatsoever which may result
from said program, and the VNA further agrees to hold the City of Oshkosh,
the Oshkosh Housing Authority, and the Oshkosh Seniors Center free and
harmless from any claim for damages which may be made by reason of damages
or injury to persons or property connected Yherewitfi.
IN WITNESS WHEREOF, the parties have hereunto set their hands and seals
