PLANNING GRANT

of Wisconsin has been authorized to administer programs defined by the National
Historic Preservation Act of 1966, through its annual granting of funds to eligible
preservation projects; and

NOi•7, THEREFORF., BE IT RESOLVED by the Common Council of the City of Oshkosh
that the proper City officials are hereby authorized and directed to enter into
the attached contract with the State Historical Soci.ety of Wisconsin to perform
actiaities required under the Aistoric Preservation Survey and Planning Grants
Program.

MEMORANDUM OF AGREEMENT
AGREEMENT
between
TAE STATE AISTORICAL SOCIETY OF WISCONSIN
by and through
THE STATE HISTORIC PRESERVATION OFFICER
and
THE CITY OF OSHKOSH, SdISCONSIN
THIS AGREEMENT between the Historic Preservation Division, State HisCorical
Society of Wisconsin, by and through the State Hfstoric Preservation
Officer, and the Cicy of Oshkosh, Wisconsin, hereinafter called the
subgrantee, relates to a survey and planning project to be undertaken by
the subgrantee, assisted by tlie State Historical Society with a matching
grant-in-aid to support the National Register of Historic Places Program
in Wisconsin established under the National Historic Preservation Act of
1966, as amended, and administered through the Heritage Conservation and
Recreation Service, U. S. Department of the Interior.
The State Historical Society and the subgrantee agree as follows:
1. Work Program
The subgrantee shall carry out projecC work as specified in the
"Work Prograa" for this project, which is hereby incorporated into
and made part of this memorandum of agreement as Attachment A. The
subgrantee shall also carry out project work in accordance with the
project "Budget" which is hereby incorporate3 into and made part of
this memoranduta of agreement as Attachment B. Any alterations or
increases in the project budget must be approved in writing at least
30 days in advance of the proposed effective date by the Grants
Coordinator of the Historic Preservetion Division.

2. Period of Performance
All wo::: carried out a� part of this graat-assisted �roject sh�Zl �e
conducCed between June 1, 1980 and March 1, 1981. Any changes or
extensions in the period of performance for this project must be
approved in writing by the Grants Coordinator of the His�-oric Preservation
Division a[ least 30 days in advance of the existing ending date and
in accordance with the requirements detailed in the project manua2
which is hereby incorporated into and made part of this �ae�aorandum
of agreement as Attachment C.

3. Coapensation
Compensation to the subgrantee shall be on a matching basis, Iimited
to a maximum of 50% of the allowable costs incurred by the subgraatee
in carrying out project work during the period of the project, or the
federal share of the project costs indicated below, whichever is less.
Subject to receipt of funds from the Heritage Conservation and Recreation
Service and to success£ul completion of all project work activities, the
tiistoric Preservation Division, State Historical Society of Wisconsin
agrees to pay the subgrantee 510,000 ar SOY< of eligible project costs,
whichever is less, on the £ollowing schedule:
a. Up to $7,500 or 75% oP the federal share in reimbursement
to be paid within 60 days of receipt, by the Historic Preservation
Division, of [wo copies of an acceptable reimbarsement request and
auditable records as specified in the oroject manual (Attachment C).
All reinbursements will be requested on "Reimbursement Request" forms
supplied by the Historic Preservation Division. The subgrantee
may elecC to phase reimbursement req�ests on a periodic basis, but
no nore frequently than once a month. If phased reimbursements are
requested, the subgrantee vay request no more than SOY, of total
eligible project expenses for that period.
b. The Historic Preservation Division will reimburse $2,500
or 25i of the federal share to the subgrantee within 60 days of the
completion date of the project if a11 completion materials and
auditable records are approved and if two copies :rf an acceptabie
final reimbursement request and expense summary ior the project are
received. The final reimbursement request shall be submitted no
later than 30 days after the completion date•for project work.
The subgrantee agrees Co roaintain all financial and administrative
doevnents and records pertaining to the full life-cycle of the grant,
for a period of not less than five years after completion of the
project. The Legislative Audit Bureau, the State Historic Preservation
Officer, the Heritage Conservation and Recreation Service, the Department
of the Interior, the Comptroller of the United States, and any of the2r
duly authorized representatives shall have access to grant records for
audit purposes.

4. Allowable Costs
Allowable costs are those costs documented to the satisfaction of the
Historic Preserva[ion Division, State Historical Society, that confocm to
the approved project budget and that are determined by the Historic
Preservation Division to:
a. meet federal requirements for the program;
b. be necessary and reasonable to the completion of project work;
c. have been incurred for project work during the period of the grant.
5. Professional Supervision
The subgrantee agrees to provide and maintain a principal investigator
whose professional qualifications have received prior approval of
the Historic Preservation Division, to ensure that the work conforms
to the approved work program, and to provide the necessary standard
of professional conduct required for this project under the federal
program regulatians. The staff of the Historic Preservation Division
will maintain regular contact with the principal investigator of this
project and will provide necessary and reasonable amounts of training,
advice or technical assistance as required for the successEul completion
of project work.
6. Interim Report
The subgrantee and/or the professional supervisor will be required to
submit an int?rim report by November i, 1980 on the form provided by the Grants
Coordinator of the Historic Preservation Division. The subgrantee
shall contact the Grants Coordinator inmediately if any situation should
arise which will effect the timely or successful completion of this
project and/or the final report or materials.
7. Project Completion Report
The subgrantee agrees to submit all the materials described in the
"Work Program" by April 1, 1981, or 30 days after the scheduled cocapletion
date for the project, to the Grants Coordinator of the Historic Preservation
Division. The Aistoric Preservation ➢ivision agrees to review all materials
within 45 days of their receipt, retuming any incomplete or inadequate materials
to the subgrantee for revision or completion. The Grants Coordinator will
approve those projects that have submitted satisfactory materials for final
reimbursement.
The subgrantee also agrees to submit a summary narrative completion
report. This report shall conform to the format specified in Section
10 of the project manual (Attachment C). The final reimbursement
request shall also be submitted by April 1, 1981. The firal
expense sumr�ary shall be detailed by esch budget category and indicate
which items were charged to each source of funding (federal or non-federal).

Acknowledgement of Federal Assistauce
Fedezal grant assistance shall be acicnowledged in any p�blic announce-
ments, news releases, articles, publications, and any pertinent
presentations that the subgrantee participates in or initiates. The
acknowledgeceent format is detailed in Section 7 of the project roanual
(Attachment C) ard shall substantially state that the project has been
funded with the assistance of a matching grant-in-aid from the Heritage
Conservation and Recreation Service, of the U. S. Department of the
Interior, through the State Historical Society of Wisconsin, under
provisions of the National Historic Preservation Act of 1966.
9. GeneraI Provisions
The subgraatee agrees to comply with all federal and state laws and
regulations concerning equal opportunity, affirnative action and fair
employment practices. The subgrantee further agrees to comply with all
applicable regulations, laws, policies, guidelines, and requirements of
this federal grant program. The subgrantee sha12 inde�¢nify and hold
harmless the State Historic Preservation Officer, the State Historical
Society of Wisconsin, and all of its officers, agents, and employees
from all. suits, actions oz claims of any character brought for or on
account of any injuries or damages received by any persons or property
resulting from the operations of the sabgrantee in executing work under
this agreement.
'PHIS AGREEMEh; may be terminated short of conclusion upon thirty's days
written notice from either the State Historic Preservation Officer or
the subgrantee. Should this agreement be terminated by the State
�Iistoric Preservation Officer, except for reasons of non-compliance by the
subgrantee, the Historic Preservation Division will reimburse the sub-
grantee for up to a ciaximum of 50% of the eligible costs incurred up to
the termination date. Should this agreement be terminated by the sub-
grantee, the Historic Preservation Division, State HistoricaZ Society,
at the discretior. cf the State Historic Preservation Officer, may reim-
burse the subgrantee fot a ma�cimum of 50% of the eligible costs incurred
to the termination date or may require the subgrantee to ret��cn any of
all federal funds transferred to the subgrantee by the termination date,
depending upon the circumstances of the termination.
10. Other Provisions
If any formal publicatious are prepared within the scope of this project,
a draft will be submitCed by February 1, 1981 or at least 30 days in advance
of the project completion dates, for preliminary review and approval
bp the Historic Preservation Division.

THIS AGREEMENT becomes effective upon signature of the parties below and
upon receipt by the subgrantee of a purchase order from the State Historical
Society of Wisconsin on behal'f of the State Ristoric Preservation Officer
for tiie contract sum.
