COOPERATIVE AGREE:fENT
This AGREEMENT is entered into on this g� day of � 1980,
by and between the State of Wisconsin, Department of Loc Affairs and
Development, hereinafter called DLAD, and the City of Oshkosh, hereinafter
called the Contractor.
WHEREAS, the Contractor desires to undertake a study of its entize
Personnel Management system;
WNEREAS, DLAD has Che professional staff and expertise to conduct such
a study;
NOW, THEREFORE, the parties hereto do mutually agree as follows:
Article I. Scope of Work to be Undertaken by DLAD
A. DLAD wi11 conduct an analysis of the Contractor's personnel management
system and identify the system's strengths and weaknesaes.
B. After detailed revievr of all available information, DLAD vrill provide a
written analysis. This analysis will include identification of the per-
sonnel management system's strengths, deficiencies and needs. This
report will also include findings and recommendations on how the de£i-
ciencies and needs of the present personnel management system can be
addressed.
C. Presentation of findings and recommendations will be made to appropriate
individuals or groups, as requested by the Contractor (noC to exceed
two).
D. The Contractor will be provided with 15 copies of the £inal written
aaalysis. Additional copies will be available at cost.
Article II. Schedule of Fees
A. The total project cost is $1,000.00.
B. The Contractor will contribute $1,000.00 in cost payment, upon receipt
of the final report.
C. The Contractor will make paymen[ upon receipt of an invoice from DLAD.

Article III. It is Mutually Agreed that:
A. Any changes in the scope of the services under this Agreement including,
but not limited to, compensation and technical assistance, which are
mutually agreed to by the parties hereto, sha11 be incorporated in
wriCten amendments to this Agreement.
B. DLAD Will complete work on this project by September 30, 1980.
C. In connection with the performance of work under this contract, the Con-
tractor agrees not to disctiminate against any employee or applicant for
employment because of age, race, religion, color, handicap, sex,
physical condition, developmental disability as defined in s. 51.01(5}
or national origin. This provision sha11 include, but not be limited
to, the following: employment, upgrading, demotion or transfer,
recruitment or recruitment advertising, lay-off or termination, rates
of pay or other forms of compensation and selection for training, in-
cluding apprenticeship. The ContracCOr furCher agrees to take affirma-
tive action to insure equal employment opportunities for persons wich
disabilities. The Contractor agrees to post in conspicuous places
available fot employees and applicants for employment notices to be pro-
vided by the contracting officer setting fortn the provisions of the
nondiscrimiation clause.
D. Services performed under this Agreement shall be under the general
supervision of the Secretary of DLAD. The Bureau of Community Manage-
ment Services will perfoxm the services outlined in this Agreement.
Liaison for DLAD will be Linda Lovejoy, Director, Bureau of CommuniCy
Management Services. The liaison will coordinate the work effort for
DLAD and the Contractor.
E. A11 disputes between ➢LAD and the Contractor regarding quality, quantity
and timeliness will be subject to arbitration as provided in Chapter 298
of the Wisconsin Statutes. The Contractor must begin proceedings in
Dane County, Wisconsin, Circuit Court within ninety (90) days of the
tex�ination date of this conttact or they are forever precluded from
arbitration under Chapter 298 of the Wisconsin Statutes.
F. Either party to this AgreemenC may terminate this Agreement for just
cause upon ten (10) days written notice of Cermination. Upon termina-
tion, liability will be Iimited to the cost of the services performed to
tne date of termination.
