THIS AGRE�KEtiT between the Historic Preservation Division, Scate lli,storical
Society of Wiscoasin, by an<t through the S[ste Historzc Preservation
Officer, and the City of Oshkosh, [disconsin, hereinaf[er called the
subgrantse, relates to a survey and plaaning project to be undertaken by
the subgrantee, assisted by the State Y.istorical Society 4�iCh a matching
grant—in—aid to support the �lational Reoister of Historic Places Program
in Wisconsin estab2i.shed under the Natinnal Kistoric ?reserva�ion L,ct o°
1966, as acaende3, and adrainistered through the Heritage Conservation and
Recreatioci Sarvice, Uo S. 7)2partMent of the Lr.teripr.
The State Historical Society and �he subgrantee agree as follocas:
1. Work Progra� '
The subgrantee shall carry ouC project wark as specified in the
"Work ?rogz>a" for thas project, which is hereby incorporated into
and nade part of this memorandura oz agreer�ent as Attachment A. 'fhe

2. Period of Performance
AZ1 work carried out as part of this grar,t—assisted project shall be
conducted between July 1, 1980 and April j, 1981. Any changes or
extensions in the period of perfor�aance for this projecC raust be
approved in writing by the Grants Coordinator of the Historic Preservation
Division at least 30 days in advance of the existing ending date and
in accordaace wfth the requireraents detailed in the project manual
which is hereby incorporated into and made part oE this mer�orandum
of agreement as Attachment C.

3. Compensation
Compensation to the subgrante2 shall be oa a matching basis, liciited
[o a maximum of 50% of the allovable costs incurred by the subgrantee
in carrying out project work during the period of the project, or the
federal share of the project costs indicated below, whichever is Iess.
Subject to receipt of funds from the Heritage Conservation and Recreation
Service and to successful completion of all project work activities, the
H?storic Preservation Division, State �Fistorical Society of Wisconsin
agrees to pay the subgrantee $12,000 or SOY, of eligible project costs,
cihichever is less, on the follouing schedule:
a. Up to $9,000 or 75% of the federal share in reinbursement
to be paid uithin 60 days of receipt, by the Historic Preservation
Division, of two copies of an acceptable reimbursement request and
auditable records as speciiied in t::e project �anual (Attachment C).
All re:abursem�nts wi11 he requested on "Reimbursenent Request" forms
supplied 6y the Aistoric Preservation Division. The subgrantee
rsay elect to phase reim�ursecent requesr_s on a periodic basis, but
no nore frequently than once a raonth. If phased reimbursements are
requested, the sabgrzn[ee ;aay request no more tnan 50% of total
eligiSle project expecses for that period.
b. The Efistoric Preservatioa Division will reim6urse $3,U00
or 2�» of the federal share to the suborantee within 60 days of the
coruple�ion date of tne project if a11 co�pletion materials and
audi'_able recor�ts are approved and if two copies of an acceptable
fina' reimbursement request and expense sumoary for the project are
received. The final reinburseoent request shall Ue submitted no
later than 30 days aiter the completion date for project work.
The subgrantee agrees Co nainCain all financial and adruinistrative
documents and records pertaining to the full life-cycle of the grant,
for a period of not less than five years after completion of the
project. The Legislative Audit Bureau, the State IIistoric Preservation
Of£icer, the Hzritage Conservation and Recreation Service, the Department
of the Interior, the Comptroller of the United States, and any of their
duly authoriz�d representatives shall have access to grane records for
audit purposes.

4. Allowable Costs
�'
Allowable costs are those costs documented to the satisfaction of the
Historic Preservation Division, State Fiistorical Society, that conform to
the approved p:ojecC budget and that are determined by the Historic
Preservation Division to:
a. meet federal requirements for the program;
b. be necessary and reasonable to the completion of project work;
c. have been incurred for project work during the period of the grant.
5. Professional Supervision
The subgrantee agrees to provide and maintain a principal investigator
whose professional qualifications hav= received prior approval of
the Historic 2reservation Division, to ensure that the work conforms
to the approved work program, and to provide the necessary standard
of professioaal conduct required for this project under the federal
program regulations• The staff of the Historic Preservation Division
will maintaia regular contact with tk:e principal investigator of this
project and will provide necessary and reasonable a�aounts of training,
advice or technical assistance as required for the successful conpletion
of project work.
b. Interia Reoort
The subgrantee and/or the professional supervisar will be required to
submit an in*_zria report by January Z, 1981 on the forr� provided by the Grants
Coordinator o� the Aistoric Preservation Division. The sub�rantee
shall contact t�e Grants Coordinator ian�diately if. any sit:saL-ian should
arise which c:i11 effec� the timely or successfuL completion o€ this
project 2nd/o: the final report or r�aterials.
7. Project Co�� �tion Report
The subgrantz� agrees to submit a11 the materials described i_n Che
"Work Progrza" by iiay 1, 1981, or 30 days after the scheduled cor�pletion -
date for the p:oject, to the Grants Coordinator of the Historic Freservation
Division. Thz Historic Preservation Division agrees to review a11 materials
within 45 days of their receipt, returning any incomplete or inadequate raaterzals
to the subgrantee fcr revision or completion. The Grants Coordinator c.rill
approve those projects that have subaitted satisfactory iaaterrals for final
reimbursement.
The subgrantee also agrees to submi.t a summary narrative completion
report. This report sha11 conform to the format specified in Section
10 of the project r.�anual (Attachment C). The final reinbursement
request sha11 also be submitted by May 1, 1901. The final
expense suc:�ary shall be detailed by each �udoet cat'egory and indicate

Federal grant assistance shall be acknowledged in any public announce-
men[s, news releases, articles, publicatioa,,, and any pertinent
presentatioas that the subgrantee participates in or initiates. The
acknowledgee_r.t forciat is detailed in Section 7 of the project c�anual
(Attachment C) ar3 sha11 substantially state that the project has been
funded uith the assistance of a matching grant-in-aid from the Heritage
Conservation and Recreation Service, of the U. S. Department of the
Interior, through the State Historical Society of [discoasin, under
provisions of the National Histor3c Preservation Act of 1966.
9. General Provisions
The subgrantee agrees to comply with all federal and state laws and
regulations concerning equal opportunity, affirraative action and fair
employment p:actices. The subgrantee further agrees to conply with alI
applicable regulations, laus, poiicies, guidelines, and requirements of
this federal grant program. The subgrantee_shall indemnify and hold
harnless the State Historic Preservation Officer, the State Historical
Society of Wisconsin, and all of its officers, agents, and e�aployees
from all suits, actions or claims o_` zny character brought for or on
account of any injuries or damagzs received hy any persons or property
resulting from the operations of the subgrantee in executing work under
this agreecaent.

the subgrantee. Should this agree�aert be terminated Uy the State

grantee for e� to a naximum of 50% of the eligiole costs incurzed up Co
the terminat=oa dute. Should this agreement be terminaCed by the sub-
grantee, the �?istoric Preservation Division, State Historical Society,
at the discretior of the State Historic Preservation Officer, may reim-
burse the subgrantee for a maximum of 50`/> of the eligible costs incuned
to the ternination date or ciay require the subgrantee to return any of
all federal funds transferred to the subgrantee by the termination date,
dependino upon the circuristances of the termination.
10. Other Provisions
If any forcial publications are prepared caithin the scope of this project,
a draft will be submitted by March 1, 1981 or at least 30 days in advance
of the project completion dates, for preliminary review and approval
by the Historic Preservation Division.

The Historic Preservation Division, State Historical Society of Wisconsin and
the subgrantee agree to the followin� work activities and project conditions
for the conduct of an intensive survey and National Register nominations
project in Oshkosh, Wisconsin to be assisted with an historic preservation
matching grant-in-aid.
1. Personnzl S>lection. Selecr appropriate project persoanel, with the
assistance and approval of the Historic Preservation Division. Project
personnel shall have qualifications�appropriate to the major work eZements
of the project, and may include subgrantee staff inenbers, private
consultant�, or universi[y students and non-paid volunteers, if under
the supervision of a qualified principal investigator(s). The principal
investigator(s) for this project must include professionals with quali-
fications i� the areas of archicectuzal history and history, preferab2y with
historic preservation experience.
2. Contracts. The subgrantee shall sub�ait any contracts being

3. Recon�a=ssazce Survey. Update aa3 supplement the existing reconnaissance
survey o� t'r.is area, on file at the H±storic Preservation Division_ fihe
principal investigator shoul3 visit the Historic Preservation Division
early in thz project to xerox existing survey caaterials and to becoae
faoiliar c=�n the Division staff, resources, and the state inventory,.
The subgrar�ee can borrow the Division's negatives of the existing
reconnaissaace survey, if the subgrantee desires actual prints of these
photos for their records. Products of this phase of the survey to be
submitted to the Division are:
a. Historic Preservation Division inventory cards, co�¢pleted and
typed, for properties not covered in the previous reconnaissance survey.
b. 3 1/2" X 5" black and white photographs, contact sheets and negatives
for ali properties that were not photographed in the previous reconnaissance
survey or that need new pho[ographs. The 3 1/2" X 5"-'prints and coatact
sheets of the fi13 rolls shall be printed on NO,I-zesin coated paper and
the prfnts sha11 be dry-nounted by the subgrantee onto tha inventory
cards. The contact prints will be dry-muunted by the subgrantee onto
the survey forms which are to be prepared during the intensive survey
phase of the project, and are to be submitted to the Historic Preservation
Division at the conclusion of the project. Neca photographs shall be
taker of properties currently existing in the state inventory if the
property has changed since the photo was taken ia the previous survey.
The existing inventory cards for these properties shall be updated
and [he new photog�apn sha11 be dry-mounted by the subgrantee onto a
continuation card. Negatives will 6e coded and organized by the subgrantee
in the manner specified by the kiistoric Preservation Division_ The
subrantee should order extra prints if actUal photographs are desired
instead of xerox copies oE the photos for the su*�grantee's use.

Xerox copies of the state inventory cards that have bee❑ updated by
the subgrantee during this survey shall 6e provided to the Fiistocic
Preservation Division witn notes indicating any new infor�ation.
Survey naps, approved and coded as specified by the Historic Preser-
vation Division, shall be prepared by the subgrantee shoving any
new sites surveyed.
4. Intensive Survey. This phase of the survey contains four basic work
elecients: research, identification of sites an3 districts, pregaration
of "intensive survey forms," and deCerr�ining uhich sites and districts
are eligible for listing in the National Register of Historic Places_

a. Research. Conduct historical research on the following r.�ajor
historic Chemes, and any others that may be inFortant to this
area, crith the intention of locating associated sites and
structures that are estant. Upon corspletion of the hi.storic
research, suamaries of each theae should be prepared, along wittc
an anaotated bibliography of resources consuLted for each thene.
The suamaries and bibliographies will be included in the final
intensive survey report. Histo:ic themes to be researched include:

b. Identi=ication of sites and districCS. identify those sites assoeiated
with the history of Che city and those of architectural significance.
Conduct site specific research on each of thesa buildings. Detetmine
areas of the city that are hisCOric districCS, where groups of struc-
tures retain their architectural 3ntegrity. Maps that ident3fy in--
divi�ual sites and supplementary maps defining historic districts
should be orep�red. The district maps should indicate the classi£i-
cation o£ the sites in the district as either pivotal, contributing,
or non-contribu[ing. Reconnaissance survey map codea should be used
on these maps also-

c. Preparation of "intensive survey forms_" Intensive survey £orr�s will
be provided by the Historic Preservation Division for the subgrantee
to use to consolidate site specific information on each buildin�
identiffed as being potentially eligible for listing in the National
Regis*_er of Historic Places. One form must be completed for each
site identified and submitted to the Historic Preservation Division
at the end of this project. The classification of each site located
in a historic district must be indica[ed on the survey foras. The
contac� prints of the photos of each site must be dry—mounted by the
subgrantee onto the intensive survey form. This includes hoth the new
photograohs taken by the subgrantee during this project, as well as contact
prin:s provided to the subgrantee by the Historic Yreservation Division from
the �isting state reconnaissance survey. The subgrantee nay serox
[he survey forms for their use, but should order an additional set of
contact sheets if contact prints dry—mounted onto suUgtanCee copies of
survey forns are desired. For each site identified in the intensive survey
that aas not previously identified in the reconnaissance survey, and
therefore does not have a state inventory card, one should be pre—
pared by the subgrantee. As ia iten 3, above, the property should be
photo�raphed and 3 1/2" X 5" photographs should be dry—mounted by
the subgrantee onto the back of the inventory cards and the sites should
be mapped.
d. Dete =iaations of eliRibility. In consultation with the Historic
Preservation Division, deter�inations of eligibility for listing
in the Nat3onal Register of Iiistoric Places wi11 Ue made Uy the principai
investigator. The deterrainations will be indicated on the intensive
survey fores and these for.ns will be initialed by the Historic
Preservation Division staff person and the principal investigator
making the detersination.
5. National R=_�ister No�ir.ations. The subgrantee will prepare a ninimum of
six individual nominations to the National Register of Ristoric Places,
or a compa:able coiabination of multiple property and individual nominations,
using the rzsults of thz intensive survey. lill nominations will be selected
in consultatioa with and approved by the Aistoric Preservation Division
prior to th=ir preparation. A draft copy of each nominatio� shall be
subaitted to tha Historic Preservation Division for review and approval
at least one nonth prior to the scheduled project completion date-
The nominations must be prepared according to the format suggested by
the Historic Preservation Division and according to the guidelines
provided by the Aeritage Conservation and F,ecreation Service. If a
district nomination is prepared, the district boundaries will he
approved �y the Histocic Preservation Division prior to the preparation
of the no�aination by the subgrantee. The following products �ust be
submitted, as part of each National Register nomination:

Places noaination forn (8-300), typed and ready for duplication_
b. t4aps. Maps appropriate to the selection of the nominations. The
Histor:c Preservation Division will specify the oaps that are needed
for each type of no�.inatior. and will infora the subgrantee of the type
of inforriation needed on each map.
c. USGS 0�_adrangles. Original USGS qua�rangles for each nomination,
co�pl�te3 as required by the National Register of Historic Places,
inciL::;ng computed UTi4 coordinates and appropriate labels.
d. Photcaraohs. Three 8" X 10" black—and—white glossy photographs of
vievs of nominated buildings and districts as suggested by the Historic
Preservation Division, dependin� oa the nominations prepared_ The
photo�raphs must be labeled as specified by the Historic Preservation
Division ia the inforr�ation sheet included in tne Appendix to the
project manual. Nega[ives must be retained by the Ftistoric Preservation
Divisinn and must be coded and organized as any other photographs
taken in this project. Contact sheets for each film roll cnzst be
provided for any National Register photographs Chat axe takeae
e. Color Siides. Conplete 35 IIII color slide coverage of the nominated
properties or areas. The Historic Preservation Division will
specify the slides necessary, depending oa the selection of nominations.
6. Intensive Survey Report. Prepare an intensive survey report accord3ng
to the cuni�ua guidelines detailed in Section 10 oE the project manual.
This report shall be sabr�itted to the Historic Preservation Division
in dra°t fo� prior to fiaal typiag and printing, no Iater thaa one
mnnth prior to the schaduled project completion date. The subgrantee
shall sub�i*_ at Ieast three copies of the final report to the iiistaric
Preserva:ion Division at the conclusion of this ptoject.
7. Interim Pro�ress Report. Prepare an interim progress report and s¢bmit
it to the Historic Preservation Division by November 1, 14II0, detailing
progress to date, on the form provided by the Historic Preservatioxc
Division and included in the Appendix to the project manual..
8. The subgrantee shall conform to and Eolloca all neeessary program re—
quirements and �uidelines detailed in the project manual fo`r this project.
9. The Historic Preservation Division, Sta[e Historical Society of TJisconsin,
will provide the subgrantee with a12 necessary forms, including but not
limited to state inventory cards, intensive survey forms, interim report
form, reimburse�aent reques[ forms, and National Register o£ liistoric
Places nociination forms.
10. The Historic Preservation Division will monitor progress of this groject
and wi21 review and, as necessary and appropriate, comceent upon the
progress and work activities of this project and the interim and draft
intensive survey reports. _
