WHEREAS, the Historic Preservation Division of the State Historical Society
of T�'isconsin has ceea aa�horiced to aacainis�ai programs defined oy the Nationai
Historic Preservation Act of 1966, through its annual granting of funds to
eligible preservation projects; and -
WHEREAS, the application of the City of Oshkosh has heen selected by the State
Historical Society of [Jisconsin to receive a grant under the Historic Preserva-
tion Survey & Planning Grants Program; and
WHEREAS, the requirements for receiving said grant include the retaining of
an historic preservation consultant;
NOW, THEREFORE, BE IT RESOLVED by the Common Council of the City of Oshkosh
that the proper City Officials are hereby authorized and directed to enter into
the attached contract with Howard Needles Taffinen and Bergendoff to perform
activities requi:ed under the Historic Preservation Survey and Planning Grants
Program.
BE IT FURTHER RESOLVED thaY funds for the survey in the amount of $24,000
shall be appropriated from the Historic Survey Account, No. 321-752.

This AGREEMENT, entered into this day of , 19$0,
between the City of Oshkosh, a municipal body corporate in the
State of Wisconsin, here'_n designated as tY,e City, and Howard
Needles Tammen and Bergendoff, a partnership, organized in
accordance with the laws of the State of Missouri, herein
designated as Consultant, with offices at 6815 West Capitol
Drive, Milwaukee, Wisconsin 53216 for consulting services.
WITNESSETH
WHEREAS, the City is in need of professional assistance in
conducting an Intensive Historic Resource Survey within its
corporate boundary, and
WHEREAS, the consulting firm of Y.oward Needles Tammen &
Bergendoff is capable of providing the professional assistance
required and is willing to make those services available.
NOW, THEREFORE, for and in consideration of certain amounts
hereinafter specified to be paid by the City to the Consultant,
the Consultant agrees to do all of the professional services as
hereinafter specified under the terms of this Agreement.
IN WZTNESS THEREOF, the parties hereto have caused this Agreement
to be executed the year and day belox written by their proper
officers and representatives.

1. GE�=RAL
A. The work under this Agreement shall consist of performing
those phases or portions of the study necessary or
incidental to accomplish the description of work, which
is elsewhere herein specified.
B. Except for those items which are hereinafter designated
to be furnished by the City, the Consultant shall furnish
all services and labor necessary to conduct and complete
the work and shall furnish all necessary materials,
equipment, supplies, and incidentals.
C. The Consultant shall from time to time during the
progress of the work confer with the City. They shall
prepare and present such information as may be pertinent
and necessary or as may be requested by the City to
enable it to pass critical judgment on features of the
work.
D. As many as six conferences or meetings shall be held upon
the request of either party hereto.
E. At the request of the City, the Consultant during the
progress of the work shall furnish information from the
study to enable the City to carry out or to proceed with
related phases of the study not covered by this Agree—
ment, or which may be necessary to enable the City to
furnish information necessary so that the Consultant may
proceed with further work.
F. The Consultant's work will be available for inspection at
6815 West Capitol Drive, Milwaukee, Wisconsin 53216.
G. Compliance with all of the foregoing shall be considered
to be within the purview of this Agreement and shall not
constitute a basis for additional or extra compensation,
except as otherwise noted.
2. DESCRIPTION OF WORK
The City of Oshkosh and the Consultant agree to the following
Work activities and project conditions for the conduct of an
intensive survey and National Register nominations project
within the corporate boundaries of the City of Oshkosh,
Wisc�nsin to be assisted with an historic preservation match—
ing grant—in—aid from the Historic' Preservation Division,
Stat= Historical Society of Wisconsin,

Task 1 Project Initiation
A. Project Team Organization
The Consultant will meet with the City and the Historic
Preservation Division to generally discuss the project,
refine the study schedule, and set dates for progress
reports and submission of project products.
B. Identify Local Resources
The Consult�nt will contact personnel at the Public
Library and Museum, the Winnebago County Historical
Society, and the Oshkosh Historic Preservation Committee
as well as the State Historical Society in Madison and
the Area Resource Center at UW—Oshkosh to identify the
primary and secondary printed materials, archival
materials, and individuals available for the study.
Task 2 Reconnaissance Survey
The Consultant will update and supplement the existing
reconnaissance survey of this area, on file at the Historic
Preservation Division. The principal investigator will visit
the Historic Preservation Division early in the project to
xerox existing survey materials and to become familiar with
the Division staff, resources, and the state inventory. The
Consultant can borrow the Division's negatives of the
existing reconnaissance survey, if the Consultant desires
actual prints of these photos for his records. Products of
this phase of the survey to be submitted to the Division are:
A. Historic Preservation Division inventory cards, completed
and typed, for properties not covered in the previous
reconnaissance survey.
B• 3 1/2" x 5" black and white photographs, contact sheets
and negatives for all properties that were not photo—
graphed in the previous reconnaissance survey or that
need new photographs. The 3 1/2" x 5" prints and contact
sheets of the film rolls shall be printed on NON—resin
coated paper and the prints shall be dry—mounted by the
Consultant onto the inventory cards. The contact prints
will be dry—mounted by the Consultant onto the intensive
survey forms Nhich are to be prepared during the inten—
sive survey phase of the project, and are to be submitted
t'o the Historic Preservation Division at the conclusion
of the project. Nex photographs shall be taken of
properties currently existing in the state inventory if
the property has changed since the photo was taken in the

previous survey. The existing inventory cards for these
properties shall be updated and the ❑ew photograph shall
be dry—mounted by the Consultant onto a continuation
card. Negatives will be coded and organized by the
Consultant in the manner specified by the Historic
Preservation Division.
C. Xerox copies of the state inventory cards that have been
updated by the Consultant during this survey shall be
provided to the Historic Preservation Division with notes
indicating any new information.
D. Survey maps, approved and coded as specified by the
Historic Preservation Division, shall be prepared by the
Consultant showing any new sites surveyed.
E. All recommaissance survey products will be submitted at
least one month prior to the project completion date.
F. The City will receive copies of all products that are
submitted to the Historic Preservation Division.
Task 3 Intensive Survey
This phase of the survey contains four basic work elements:
research, identification of sites and districts, preparation
of "intensive survey forms," and determining which sites and
districts are eligible for listing in the National Register
of Historic Places. Each work element is discussed below:
A. Research. The Consultant will conduct historical
research on the following major historic themes with the
intention of locating associated sites and structures
that are still existing. Upon completion of the historic
research, summaries of each theme will be prepared, along
with an annotated bibliography of resources consulted for
each theme. The summaries and bibliographies will be
included in the final intensive survey report. Historic
themes to be researched include but are not limited to:

B, Zdentification of sites and districts. The Consultant
xill identify those sites associated With the history of
the City and those of architectural significance and
conduct site specific research on each. The Consult�nt
will determine areas of the City that are historic
districts, where groups of structures retain their
architectural integrity. Intensive survey forms and
inventory cards must be completed for all buildings in
the district, except intrusions. Maps that ident'_fy
individual sites and supplementary maps defining historic
districts and specifying the classification of e�ch
building as pivotal, contributing or non-contributing
will be prepared. The district maps will indicate the
classification of the sites in the district as either
pivotal, contributing, or non-contributing. Reconnais-
sance survey map codes will be used on these maps also.
C. Preparation of "intensive survey forms". Intensive
survey forms will be provided by the Historic Preserva-
tion Division for the Consultant to use to consolidate
site specific information on each building identified as
being potentially eligible for listing in the National
Register of Historic Places and identified in the
reconnaissance survey. One form will be completed for
each site identified and submitted to the Historic
Preservation Division at the end of this project. The
classification of each site located in a historic
district will be indicated on the survey forms. The
contact prints of the photos of each site will be dry-
mounted by the Consultant onto the intensive survey form.
This includes both the new photographs taken by the
Consultant during this project, as well as contact prints
provided to the Consultant by the Historic Preservation
Division from the existing state reconnaissance survey.
For each site identified in the intensive survey that xas
not previously identified in the reconnaissance survey,
and therefore does not have a state inventory card, one
will be prepared by the Consultant. As in item 2-B
above, the property should be photographed and 3 1/2" x
5" photographs will be dry-mounted by the Consultant onto
the back of the inventory cards and the sites will be
mapped and coded appropriately.
D. Determinations of eligibility. In consultation with the
Historic Preservation Division, opinions of eligibility
for listing in the National Register of Historic Places
will be made by the principal investigator. The opinions
will be indicated on the intensive survey forms and these
forms will be initialed by the principal investigator
making the determination.

E. The City will receive copies of all products that are
submitted to the Historic Preservation Division.
Task 4 National Register Nominations
A. The Consultant will prepare a minimum of six individual
nominations to the National Register of Historic Places,
or a comparable combination of multiple property and
individual nominations, using the results of the inten—
sive survey. All nominations will be selected in consul—
tation with and approved by the Historic Preservation
Division prior to their preparation. A draft copy of
each nomination shall be submitted to the Historic Pre—
servation Division for review and approval at least one
month prior to the scheduled project completion date.
The nominations will be prepared according to the format
suggested by the Historic Preservation Division and ac—
cording to the guidelines provided by the Heritage
Conservation and Recreation Service. If a district nomi—
nation is prepared, the district boundaries xill be ap—
proved by the Historic Preservation Division prior to the
preparation of the nomination by the Consultant. Under
the scope of this Agreement, it is estimated that no more
than ten individual nominations will be required. The
following products must be submitted, as part of each
National Register nomination:
o Nomination Form. A completed original National Register
of Historic Places nomination form (8-300), typed and
ready for duplication,
o Maps. Maps appropriate to the selection of the nomina—
tions. The Historic Preservation division will specify
the maps that are needed for each type of nomination and
will inform the Consultant of the type of information
needed on each map.
o USGS Quadrangles. Original USGS quadrangles for each
nomination, completed as required by the National
Register of Historic Places, including computed UTM
coordinates and appropriate labels.
o Photographs. Three 8" x 10" black—and—white glossy
photographs of views of nominated buildings and districts
as suggested by the Historic Preservation Division,
depending on the nominations prepared. The photographs
will be labeled as specified by the Historic Preservation
Division. Negatives will be retained by the Historic
Preservation Division and will be coded and organized as
any other photographs taken in this project. Contact
sheets for eaeh film roll will be submitted to the
Historic Preservation Division for any National Register
photographs that are taken.

o Color Slides. Complete 35 om color slide coverage of the
nominated properties or areas. The Historic Preservation
Division will specify the slides necessary, depending on
the selection of nominations.
B. The City will receive copies of the completed nomination
forms.
Task 5 Intensive Survey Report
A. The Consultant will prepare an intensive survey report
according to the minimum guidelines detailed in the
following paragraphs. This report shall be submitted Lo
the Historic Preservation Division in draft form prior to
final typing and printing, no later than one month prior
to the scheduled project conpletion date. The Consultant
shall submit three copies of the final report to the
Historic Preservation Division at the conclusion of this
project.
The items listed below are the minimum requirements that
will be included in the intensive survey report.
Additional information may be added to the report, if the
Consultant desires, with the approval of the Historic
Preservation Division.
o Title Page. The title page will include the title of
the project, including the nature and location of the
survey, the author of the report, the principal investi—
gator(s), the project supervisor, the sponsoring institu—
tion, association, or agency, and the date the report was
prepared.
o Acknowledgment. On the title page or on the page
immediately following the title page, acknowledgment of
federal assistance in the project will be stated,
including the standard acknowledgment paragraph provided
by the Historic Preservation Division.
o Abstract. The abstract will include a clear summary
indicating the purpose, location, results, and recommen—
dations of the report. It will include enough informa—
tion so that it could be quoted as a summary statement by
the contracting agency or the Historic Preservation
Division,
o Table of Contents. The table of contents will provide
page locations for report subdivisions, as well as for
figures, tables, and the bibliography.
o Introduction. The introduction will summarize the
purpose of the investigation, the scope of work, and the
agencies involved. A map showing the location of the
project will be included.

o Background_Research. A general discussion of the
historical settlement and development of the project area
uill be discussed. A summary of the documentary and
literature search and oral history research will be
included. Each of the theme summaries and annotated
bibliographies done during the historical research phase
will 6e included. Special emphasis should be placed on
the discussion of architects and architectural trends in
the project area.
o Surve� Methodolo��. An explicit statement of the
procedures used to collect and evaluate data and a
rationale for these procedures will be included. It is
important to document the assumptions that guided the
application of the methods, the results of applying
the methods, and any deficiencies in these results that
may have arisen from the application or misapplication of
the methods. Items that will be discussed include who
surveyed the area and how they did their survey; the
intensity of the inspection and research; phases of the
survey, including a description of geographic or politi—
cal areas that contributed to the phasing; and types of
sites surveyed and the criteria for coverage.
o Survey Results. Surveyed sites will be indicated on a
clear map., by the map identification codes assigned. An
additional map will delineate historic districts and
provide the classification of each building. A discus—
sion of each of the districts will follow that includes a
description and statement of significance. Since commu—
nity survey forms for each individual site will be
submitted as part of the project, a description of each
individual site need not be repeated in the narrative
here.
o ImPact_and AnticiPated Future Uses of the Surve�.

Immediate threats to key areas of the survey will be
discussed, Possible education uses of the survey will be
suggested, particularly to government officials, histori—
cal societies and schools.
o Recommendations. Recommendations will be directed toward
the preservation of historical resources. Where possi—
ble, multiple alternatives will be discussed and the
implications of each alternative clearly specified.
o Biblio�raE�. References used for this publication
will be listed in an acceptable bibliographic format.
Community survey forms specify the resources that were
consulted for individual properties. Also, the thematic
historical research summaries contain annotated biblio—
graphies and are included under "Background Research."

Task 6 Interim Progress Report
The Consultant will prepare an interim progress report and
submit it to the Historic Preservation Division by November
1, 1980, detailing progress to date, on the form provided by
the Historic Preservation Division.
In addition:
o The Consultant shall conform to and follow necessary
program requirements and guidelines detailed in the
project manual for this project.
o The Historic Preservation Division, State Historical
Society of Wisconsin, will provide the Consultant with
all necessary forms, including but not limited to state
inventory cards, intensive survey forms, interim report
form, reimbursement request forms, and National Register
of Historic Places nomination forms.
o The Historic Preservatio❑ Division will monitor progress
of this project and will review and, as necessary and
appropriate, comment upon the progress and work activi—
ties of this project and the interim and draft intensive
survey reports.
o Draft documents will be presented to the Historic
Preservation Division and the City For review no later
than March 1, 1981 with all final documents completed by
April 1, 1981.
3. THE CITY'S RESPONSIBILITIES
To the extent available, the City shall furnish without
charge to the Consultant the following:
A. Existing reports, maps, sketches, cost estimates and
other data pertaining to the proposed project.
B. Existing maps of the project area and street maps.
C. The City shall examine documents submitted by the
Consultant and shall render decisions pertaining thereto
promptly, to avoid unreasonable delay in the progress of
the Consultant's service.
D. The City shall furnish information required of it as
expeditiously as necessary for the orderly progress of
the work.

PROGRESS REPORTS
The Consultant shall submit monthly progress reports, which
shall present in acceptable form a record of the work by
phase accomplished by the Consultant. The report shall also
compare actual progress to that scheduled and shall explain
what work is planned for the next reporting period.
PROGRESS PAYMENTS
As the work progresses, progress payments shall be payable
monthly, all in accordance with progress reports submitted to
and approved by the City. Invoices are due and payable upon
receipt. Any amount unpaid sixty days from the date of the
invoice shall be increased at the rate of 1% per month for
each month or part of the month the amount remains unpaid.
The City shall withhold payment of the final invoice until
final approval by the State Historical Society of the survey
product.

Reimbursable Expenses are in addition to compensation to the

made by the Consultant, his employees or his subconsultants
in the interest of the project. Reimbursable Expenses
include but are not limited to:
A. Expense of transportation, subsistence and lodging when
traveling in connection with the project.
B. Expense of all reproduction, postage and handling of
Drawings, Specifications, reports or other project—
related work product of the Consultant.
C. Expense of computer time including charges for proprie—
tary programs.
SUBCONSULTANT
The Consultant will engage the services of the firm of
Johnson, Johnson and Roy, 303 North Main Street, Ann Arbor,
Michigan, or another approved architectural historian, as
Subconsultants on this project. The architectural historian
must participate in the survey project in conducting the
following activities:

A. Determine sites to include in the reconnaissance survey.
B. Conduct thematic research pertaining to architecture,
architects, buildings, and related topics.
C. Evaluate and discuss the architectural significance of
properties and intensive survey forms.
D. Render opinions of National Register Eligibility based on
architectural significance.
E. Write architectural descriptions and statements of
significance for National Register nominations.
F. Contribute to the interim progress report and intensive
survey report as specified by the Consultant, but
particularly as relates to architectural components of
the project.
G. Perform other tasks pertinent to the project that the
consultant may require.
8. AMENDMENTS
This Agreement constitutes the entire agreement between the
parties, and it shall not be subject to amendment by word of
mouth or course of dealing or practice, but shall be amended
only by a subsequent agreement in writing subscribed by the
parties hereto.
9. INDEMNITY
The Consultant hereby convenants and agrees that he will
indemnify and save harmless the City against all liability
claims, actions, judgments, costs and expenses, which may in
anyways come against them in consequence of the execution and
performance of this Agreement as a result of the negligence
of the Consultant and his employees.
10. WORKMEN'S COMPENSATION, SOCIAL SECURITY, AND UNEMPLOYMENT
TAXES
As between the City and the Consultant, this is intended as,
and is an independent contract. No partner or employee of
the Consultant shall, by reason of this Agreement, become an
employee of the City and the Consultant hereby expressly
agrees to carry Workmen's Compensation Insurance for the
benefit of his employees engaged in work under this contract,
in an insurance company duly licensed to transact the
business of Workmen's Compensation in the State of Wisconsin.
The Consultant shall pay, when due and payable, the Social
Security and unemployment taxes imposed by law.

11. DEATH OF PARTNER
In the event of the death or incapacity or inability for any
other reason of any of the Partners to participate Sn the
performance of the work, the surviving Partners shall
complete the work as required under this Agreecent.
12. TERMINATION
The City reserves the right to terminate this Agreement at
any time by giving the Consultant thirty (30) days' written
notice of such termination, addressed to his Milwaukee
office. In the event of said termination, the City shall be
liable only for the "reasonable value of the services
rendered to the date of termination and bzsed upon fees
described herein." "Reasonable value of services rendered"
means dollar value of the percentage of compensation as set
forth in Section 8. In the event of termination or comple—
tion of this contract, all the original docu�ents shall be
surrendered to the City by the Consultant.
13• FINAL SETTLEMENT
Unless the Agreement has been terminated prior to the
completion of the work as hereinbefore provided, the Agree—
ment shall be considered terminated upon completion and
acceptance of the work, or upon final payment therefor.
The City shall have the right and power to adjust and
determine, finally, all questions as to the proper perform—
ance of this Agreement. Should the parties hereto fail to
reach agreement on any questions, whatever they may be, not
included under the terms of the preceding paragraph, any
controversy or claim arising out of or relating to this
Agreement, or breach thereof, shall be settled by arbitra—
tion.
The procedure in any arbitration proceeding or proceedings
shall be governed by the applicable provisions of Chapter 298
of the Wisconsin Statutes and acts and laws amendatory
thereof and supplemental thereto, and such arbitration
provisions of the Wisconsin Arbitration Statutes.
All expenses incident to any arbitration proceeding or
proceedings shall be paid in equal shares by the parties.
1A. NONDISCRIMINATION IN EMPLOYMENT
During the performance of this Agreement, the Consultant, for
itself, its assignees, and successors in interest, agrees as
follows:

A. Compliance rrith Regulati�ns
The Consultant aill com�ly with any Regulations relative
to nondiscrimination in :ederally—assisted programs ofthe
Department of the Interi�r, which are herein incorporated
by reference and made a�art of this Agreement.
g. Nondiscrimination
The Consultant, xith reg=_rd to the work performed by them
after award and prior tc completion of the work, will not
discriminate on the gro_nds of race, color, or national
origin in the selection and retention of subcontractors,
including procurements of materials and leases of
equipment. The Consultant will not participate either
directly or indirectly :n the discrimination prohibited
by the Regulations, incl::ding employment practices.
C. Solicitations for Subcon�racts, Including Procurements of
Materials and Equipment
In all solicitations, either by competitive bidding or
negotiation made by tne Consultant for work to be
performed under a subcor.tract, including procurements of
materials or equipment, each potential subcontractor or
supplier shall be noti?ied by the Consultant of the
Consultant's obligations under this Agreement relative to
nondiscrimination on tte grounds of race, color, or
national origin.
D. Information and Reports
The Consultant will pro�ide all information and reports
required by the Regulat'sons, or orders and instructions
issued pursuant thereto, and will permit access to its
books, records, accounts, other sources of information,
and its facilities as ma� be determined by the City to be
pertinent to ascertain compliance with such Regulations,
orders and instructions. Where any information required
of the Consultant is '_n the exclusive possession of
another consultant who fails or refuses to furnish this
information, the Consultznt shall so certify to the City
as appropriate, and shall set forth what efforts it has
made to obtain the inforcation.
E. Sanctions for Noncomplia�ce
In the event of the Consultant's noncompliance with the
nondiscrimination provis'_ons of this Agreement, the City
shall impose such sanct:ons as it may determine to be
appropriate, including, tut not limited to:

7) Withholding of payments to the Consultant under the
Agreement until the Consultant's compliance and/or
2) Cancellation, termination, or suspension of the
Agreement in whole or in part.
15. ACCESS TO RECORDS
The Consultant shall maintain all books, documents, papers,
accounting records and other evidence pertaining to costs
incurred. These materials shall be available for inspection
at all reasonable times during the contract period and for
three years from the date of final payment under the con—
tract. Copies shall be furnished if requested.
16, EXTRA WORK
In case it is advisable or necessary in the execution of the
uork to make any alteration which will increase or diminish
the quantity of labor or material or the expenses of the
work, such alteration shall not annul or vitiate the con—
tract. The Consultant shall furnish the necessary labor,
material, and knowledge to complete the uork as altered
within the time limit originally specified or as extended by
the City.
Alteration in the work under the contract shall be authorized
by a written order from the City. When, in the opinion of
the Consultant, such order involves extra work for which the
Consultant in his opinion will require added compensation,
the Consultant shall submit a request in writing to the City
requesting payment for such work. The City shall review the
Consultant's submittal and, if aceeptable, issue a letter
form change order as an amendment to this Agreement. Work
under such change order shall not proceed unless and until so
authorized by the City. The basis of payment or credit
resulting from such altered uork shall be made on a lump sum
fee basis.
17. EQUAL OPPORTUNITY POLICY
The firm will not discriminate against any employee or

or national origin. The firm will take affirmative action to
ensure that applicants are employed, and that employees are
treated during employment, without regard to their race,
creed, color, sex or national origin. Such action shall
include, but not be limited to, the following: employment,

apprentfceship. The firm agrees to post in conspicuous

18. PROJECT REPRESENTATION BY THE CITY
The City shall appoint a Project Coordinator who shall be the
City's representative for the term of this Agreement. When a
Project Coordinator is appointed, the City shall inform the
Consultant in writing of the Coordinator's name, address and
telephone number. The Project Coordinator shall have
complete authority to transmit instructions, receive infor—
mation, interpret and define City's policies and decisions
with respect to materials, equipment elements and systems
pertinent to the work covered by this Agreement.
