AGREEMENT
2. PARTIES.
The parties to this Agreement are:

1.01 MERCY MEDICAL CENTER OF OSHKOSH, INC., (DIERCY), a Wisconsin
non-profit corporation, 631 Hazel Street, Oshkosh, Wisconsin,
and
1.02 CITY OF OSHKOSH, (CITY), a municioal corooration, 215 Church
Avenue, Oshkosh, Wisconsin.
IZ. RECITALS.
2.01 The date of this Agreement is October , 1980.
2.02 CITY and MERCY are authorized under Section 146.35(3) to
conduct a program utilizing emergency medical technicians,
subject to approval of a plan acceptable to the State of
Wisconsin/Department of Health and Social Services.
2.03 MERCY and CITY, toqether with Fox Valley Technical Institute,
have heretofore cooperated in furnishing a course of instruc-
tion to provide training in order that persons enrolled may
qualify as medical technicians-advanced (Paramedics.)
2.04 The �dfL1ES wis� to conduct a prog-ram ntilizing Paranedics
as described and authorized in Section 146.35(3) of the
Wisconsin Statutes, and in furtherance thereof have entered
into this Agreement.
III. AGREEMENT.
NOW, THEREFORE, the parties agree as follows:
3.01 Recitals. The Recitals are part of this Agreement.
3.02 MERCY agrees to: '

3.02I Designate a licensed medical doctor as me8ical direc-
tor experienced and competent in emergency medicine,
as provided in the Addendum attached.
3.022 Accept the appointment under Section 146�5 (3) as the
hospital to participate in the Emergency Medical Ser-
vice Program for the service area presently served by
the City of Oshkosh Fire Department consisting of the
Town of Oshkosh, a portion of the Town of C�inland,
and the geographical area inciuded in the City of
Oshkosh, Winnebago County, [4isconsin, and to act as
the Medical Information Center as required by Section
H21.02(7) of the Wisconsin Administrative Code.
3.023 Provide necessary facilities to a1Zow for a didactic
and continuing clinical training of advanced life-
suoport personnel and participate in continued train-
ina of Paramedics, and to further desiqnate an employee
of MERCY as clinical coordinator.
3.024 Provide adequate and suitable space for any necessary
radio corununications, recording, or bio-medical
teler�try equiomer.t.
3.025 Restock CZTY mobile units with drugs, medications,
and supplies or equipment used in any medical emer-
gency transporting patients to MERCY by CITY, and
make appropriate charge to the patient.
3.026 Provide continuous response to radio or telephone
requests by Paramedics and relay such requests for
medical auidance, assistance, and advice to the
anpropriate physician.

3.027 Designate a Medical Director to provide reqular audit,
review and critique of cases handled by Paramedics
and other personnel involved in the P1an.
3.03 CITY agrees to:
3.031 Provide and maintain necessary ambulances properly
equioped to perform the services and functions con-
templated by the proqram.
3.032 Employ an adequate number of trained Paramedics to
service the program contemplated by the Plan, and to
make such emoloyees available for continuing train-
ing, education and review audits, and to pay the costs
and expenses of such proqrams.
3.033 Consider the recommendations and ooinions of the
Medical Director or the designee concerning the com-
netence and performance of the Paramedics.
3.04 CITY and MERCY aqree:
3.041 That each have entered into this program to better
ser�re the residents of the area encompassed by the
program as it relates to emergency medical care and
advanced life-support services. That neither party
nor its employees are agents of the other. That
neither MERCY nor CITY shall be responsible or liable
for the acts of the other in carrying ou*_ this program.
Each party agrees to provide the equipment and per-
sonnel contemplated by this Aqreement, but neither
party sha11 be responsible for the adequacy and
condition of the other's equipment nor the competency,
ability or performance of the other party's personnel.
3.042 That this Agreement shall be for a period of one (1)

year from date, and sha11 renew itself from year to
year unless terminated by written notification to the
other party at least sixty (60) days prior to the end
of each year. The parties further reserve the right to
terminate this Agreement on thirty (30) days written
notice at any time that a party shall determine that
it is unable to adequately provide the equipment,
personnel or services contemplated by this Agreement.
3.043 CITY shali designace a representative as a Director
of Paramedics, who shall be the CITY'S representative
in any grievances or problems of administration aris-
ing under this Agreement, and MERCY shall designate an
officer or employee as its representative. The repre-
sentatives shall meet from time to time, or as required,
to discuss any problems arising under this program or
this Agreement, and shall confer with the PAedical Direc-
tor or others in order to facilitate the resolution
of any disagreement and to assure the continuing
performance contemplated herein.
3.04a MERCY sha11 coopera*_e with ar.y future training of
additional Parac^edics, but Mercy shall not be obligated
to provide such training at its expense.
3.045 This Agreement may be amended from time to time by an
amendment in writing signed by authorized representa-
tives of both parties.
IN WITNESS WHEREOF, this Aqreement has been executed by the

ADDENDUM TO AGREEMENT

APPOINTMENT OF MEDICAL DIRECTOR AND ACCEPTANCE

Pursuant to Paraqraph 3.021 and Paragraph 3.027 of the
attached Agreement between h1ERCY MEDICAL CENTER OF OSHKOSH, INC.
and CITY OF OSHKOSH relatinq to a proqram utilizing emergency
medical technicians, the undersigned MERCY MEDICAL CENTER OF
OSHKOSH, INC. does hereby appoint THOMAS M. LOESCHER, M.D. as
the Medical Director as required in the attached Agreement, and
in consideration thereof said Thomas M. Loescher, M. D. does
hereby accept the appointment as Medical Director.
