The Common Council of the City of Oshkosh do ordain as follows:

SECTION 1. That Division 7, Section 2-92.01 of the Oshkosh M�nicipal Code
pertaining to establishing the Oshkosh Grand Opera House Board is hereby created
to read as follows:

SECTION 2-92.01 COMPOSITION; TERM
The Oshkosh 6rand Opera House Board sha11 consist of eleVen (11} ��er'S who
shall be appointed by the �fayor and confirmed by the City Council for a
tenn of three years commencing on �fay 1; initially fol�' members shall be
appointe.d for a tera of three years, fotu' appoint°d for a tezm of tao
years and three appointed for a term of one year, and thereafter each
member shall be appointed for a three year term and ur.til his successor is
appointed and quallfied. The City Council or the Board may from time to
time establish Cort�tittees for specific purposes as detarmined by the City
Council or Board. The initial me�abers of �uch Corr�mi_tfees sha11 be anpotnted
by ttia :;ayor and coafizmed 'oy the City Council. Subsequ2ut caamit[ee
appointees sha11 be appointed by the Prasideat of the Board and conficmed
by the Board.
SECTION 2-92.02 MGETINGS
The Board shall hold regular meetings at least once a month at a re�ular
time and place, to be fi�ced by the Board. Such meetings shall be opea to
the public. Special meetings ±nap be called by the President of the Board
upon writte❑ notice nailed to each Board ciember. At all reoular and spe.cial
meetings, six (6) Board meabers shall cunstitute a quorum for the transaction
af business.

SECTION 2-92.03 PftESIDING OFFZCERS
The Board shall elect from its members a President, Vice-President and
Secretary. The President sha11 preside at all ueetings and shall have the
usual powers of President in such case. In the absence or disability of
the Prasident, the Vice-President sha11 exercise the powers of the President.
The Secretary shall exercise the usual functions of secretaries an3 shall
keep the minutes of the Board's meetings.
SECTION 2-92.04 EMPLOYEES
The Soard shall have power to e,n loy a Director to be in active charge of
the oshkosh Grand Opera Housea �ter securir� approval of City Council. 'ine

Cocrmion Council at the time and in the manner prescribed for the fixing of
salaries for bther officers and employees. The Board shall have flzrther
oower to employ additional parsons as it shall deem necessary for the proper
operation, nana�ement, and functionin� of the Oshkosh Grand Opera House,
provided, however, that compensati,on for the services of additional employees
shall be lncluded in the budget and submi*ted to the Correnon Council for approval.
SECTION 2-92.5 ACCOUNTS
All bills and expensesincurred under the direction and authority of said
Board shall be approved by the Board. A proper City voucher shall be
prepared therefor, executed by an officer of said Board, and thereafter
filed with the City Clerk and allowed in accordance with Section 61.12,
Subsection (8)(1), of the Wisconsin Statutes. The Board and its employees
shall comply crith the purchasing and accouating procedures established by
the City for regular City budgetary iiems. A budget shall be ptepared
annually by the Board for consi3eration and inclusion in the Annual C12y
Budget adopted by the City Council. AL1 receipts of the Board shall be
credited to the budgeted fund for that purpose and all expenditures of [he
Board sha11 be charoed to the speclfic budo��t line it�;m establisned for
that purpose.
SECTION 2-96.06 TRUST FUNDS, GIFTS, CO;ITP.IBUTIONS
The City Trzasurer shall set up an account oa his books, known as "The
Oshkosh Grand Opera House Trust Fund." All gifts or contributions, oi the
procee3s therefrom in the fora of money, shall be depositzd by the Oshkosh
Grand Opera House Board with the City Treasurer, all such deposits to be
credited to said Oshkosh Grand Opera Hoase T*ust Fund. A11 expenditures
fran said fund shall be solely for tne purpose of adding to or improving
the Grand Opera House, and shall be spent solely at the discretion of said
oshkosh Grand Opera House Board3 except single expenditures in amounts over
$10,000, subject to approval of Oshkosh City Council. L1rai'ts against this
fluzd in the hands of the City Treasurer sha11 be made on vouchers approved
by the Doard as other accounts are paid.

SECTION 2-92.07 ACQUISITION OF PROPERTY
The Board sha11 have power to accept a11 oifts, donations, bequests,
grants, and devises of property, both real and personal, for the enrichment
and improvement of the Grand Opera House properties, provided, however,
that, before accepting orants, devises, or gifts of real estate, such
grant, devise, or gift must be approved by the Common Council. The Boatd
shall have further power to derive revenues in proper legal ways which the
members sha11 from time to time agree upon, to be expended for Grand Opera
House purposes.
SECTION 2-92.08 GENERAL POWERS

Grand Opera House and to do a11 aroper and 1ega1 acts for carrying out the
powers and duties imposed upon said Board by this ordinance.
SECTION 2. This ordinance sha11 be in fu11 force and effect from and after
its passage and date of publication.

SECTION 2-92.01 CON�CCSITION: TERM
The Oshkash Grand Opera House Board shall mnsist of

be appointed by the N�vor and mnfirr.ed by the City Coimcil. Subsequent
appoi.ntees shall be ap��inted by tY:e President of the Board and cOnfiitred
by the Board.
SECTION 2-92.02 MEETINC;S
The Board sha11 hold regular �etings at least once a tronth at a x�gular
ticc� and place, tc� be fixed by the Board. Such �etings shall be open tn
the public. Special irnetings may be called by the President of the Board
upon written notice mai.led to each Board irember. At all regular and special
�etings, five (5) Board rremL-ers shall constitute a qix>nsn for the
transaction of business.

SEGTION 2-92.03 PRESIDING OFETCEFS
The Board shall elect from its irns�ers a President, Vice-President and
Secretary. The President shall pxesiZe at all meetings and shall have the
usual paaers o£ President in such case. In the absencz of disability of t3�e
Pxesident, the Vi�-President shall e�rcise the powers of the Piesident.
The Secretary shall e�rcise the usual functions of secretari.es and shall
keep the minutes of the Soard's ireetings.
SECTION 2-92.04 II�IAYEES
The Boani shall have power to es�loy a Dirnctor to be in active charge of the
Oshk�h Grand OpPSa House Baazd. 'ihe Director shall rmt L^e a City official.
His conpensation shalJ. be fia�d by the Corm�n Coimcil at the time and in
the manner prescribed �or the fixing o£ salaries for other officers and
employees. The Boa*.d sha11 have further pa.ver to erg�loy additional gexs�s
as it shall de��n necessar� for �h� nromr �aeration, :nanag�+nt, 3-�i
fimctioning of the Oshkosh Grand OGera xouse, pmvic'ed, haaever, that
cx�npensation for t'�e services of additional enployees shal.l be inclisled in
the budc�t and submitted to the Conaron Cotmcil for approvat.
SECTION 2-92.05 ACCOLIDITS

with the Caty Clerk and allaved in accnrdance with Section 6'1.12, Subsection
(8) (1) , of the Wiscunsin Statutes. The Board and its e�loyees sha1L w�ly
wi.th the purchasing and acmtmting pxviceciures established by the Gity for
regaLar City budc,�tary itecrs. A budc,�t shall be annvally orepaied by the Board
for considerati.on for inclusion in the 1�ruluat City Budc,et adopted by the
City Cotmci.l. All xeceipts of the Board shall be credited to the budget�d
Lzmd for that ouxpose and a11 expendituzes of the Board shall be charged
to the specific buclget line item established for that pur�se. '

Oshkash Grand �esa House Txwt F�m.d". A71 gifts or c mtributions, or the
proc�eds therefrom in the £orm of icnney, shall be deposited by the Oshkosh
Grand Opera House Board wi*h the City Treasurer, all such deposits to be
credited to said Oshkosh Grand Opera House TxUSt r'tuid. A11 ex�enditures
from said fund sha11 be solely £or the piupose os" adding to or ic�mving the
Grand Opera House, and shall be spent solely at the discretion of said
Oshkosh Grand Ooera House Board. Drafts against this fvnd in the hands
of the City T=easurer shall be made on wuchers approved by the Board
as other accz�unts are paid.
