This Agreement, hereinafter named the CO*7TRACT, made and entered
into by and between the City o£ Oshkosh, hereinafter named the
MUNICIPALITY, and Wiibur Smith and Associates, hereinafter named
the CONSULTANT, a Delaware Corporation, provides for those ser-
vices described in detail elsewhere in this document.
The MUNICIPALITY proposes a highway imorovement, nerei.naf`.er
nanted the PROJECT, and which is described as follows: Provide
engineering services for the optimization o£ signal timings,
a Main Street striping plzn, and recommendations reaarding non-
signalized intersections within the Central 5usiness District.
The MUNICIPALITY deems it advisable to engage the services of a
CONSIILTANT to provide certain engineering services in cor.junction
with the PROSECT and has autliority to contract £or these services.
The CONSULTANT represents that they are in compliance with the
Wisconsin Statutes relating to the practice of engineering and
signi£ies their willingness to provide the desired services.
Therefore, in consideration.o£ these premises and o£ their
mutal and dependent agreements, the parties hereto agree as set
forth on the following pages ( 19 ). Which are annexed and made
a part hereo£.
In witness whereof, the parties hereto have caused this Agreement
to be executed and approved on the date written by their
authorized of£icers or representatives.

(1) The CO:ISULTAt7T shall assesa [he probable enviromental impact of the
project by pxeparin6 and analyziag a Screeniag Worksheet in accordance
vith the requir�ents of the .1AA`UAL. The appropxiate awrber of copies of
[his document sha11 be furnished to the Pf[lA'ICIPALIT4 by rhe COhSULTANT
along with his xeco�eadation as to the proper actions necessary to fulfill
State and Federal envirowaentsl pro[ection lavs. This recomaendatio¢ shall
be subjeet to approval by the NL'fIICIPAI.iTY, the DEPARTt4£NT and ehe FtIIlA
before proceediag vith [he completion of this actioa.
(2) Whea the analysis of the screening worksheet indicates that a Negacive
Declaration, or a statemen[ of Noa-significaa[ Lmpac:, will satisfy the
xequireceats for an environaea[al assesssent, draf[ aad :inal versions of
[his document, as required, shall be prepared 6y the CONS;2TaNT. Rhe
appropriate nua6e[ of copies, as specified in [he MANUAL, shall be subaitted

SPECIAL PROVISIONS � ��
1. SCOPE OF WORK
A. GENERAL
The work will consist of Preliminary Investigations, Reports
and Preparation of Plans. More particulaily the CONSULTANT
agrees to:
(1) Collect and Assemble all data.
(2) Prepare input data £or the Transyt Signal
Calculation Progzam.
(3) Prepare Data Base Forms for each intersection.
One form wi11 be comoleted £or each timing
pattern to be calculated. Timing patterns will
be provided for tnree periods of the day,
namely A.M. peak, oP£-peak and P.M. peak.
(4) Preoare Tine-Space Diagrams, along with siqnal
timing patterns and o£fsets for implementation.
Develop dial nin location diaqrams and cam break-
out charts for all signals under study.-
(S) Supervise City in making timing and offset changes.
(6) Observe, adjust, and monitor timing scheme-
(7) -Prepare as-built-plans-based�on final-�implemented--=�
ti.ming . patterns.
(8) Prepare striping plan for Main Street.
(9) Make recommendations for other CBD intersections.
B. The City will:
(1) Furnish data relative to signal timings, such as
existing signal timings, cam charts, network
geometrics, and intersection diagrams.
(2) Make changes to existing signals as supervised
�by the CONSULTANT.
(3) Make available to the CONSULTANT the existing
curb-to-curb distances along with the various
pavement� markings along Main Street within the
study area.
C. The Department wi11 prepare a Concept De£inition
Report.
2. PROSECUTION AND PROGR£SS
A. This Project wi11 be completed in 18 calendar weeks.

3. BASIS OF PAYMENT
Payment for a11 work under this contract shall be on the
basis of a lump sum o` 527,940.00.
4. MISCELLANEOUS
A. The maximum number of ineetings required under this con-
tract will 6e four.
H. The CONSULTANT'S work will be available for inspection
at the CONSULTArT'�S Columbia O£fice or during any of
the scheduled meetings in Oshkosh.
C. Close cooperation bet:ueen the MUNICIPALITY and CON-
SULTANT will be reauired at all times. Mr. Robert
E. Whiteside will be� the of°icial represeatative o£
the CONSULTANT and sha11 sepre-
sent the MUNICIPALITY. .
5. FEDERAL REQUZREMENTS FOR MBE PROGRP.M
A. Policy
(1) It is the policy of the U.S. Department of Trans-
portation that minority busiress enterprises as
defined in 49 CFR Part 23 shall have the maximvm
opportunity to participate in the per£ormance o£
conttacts financed in whole or in part with Federal
fmds under-this-Agreem=nt.-�COnseguently, the-MBE —
reguirements of 49 CFR Part 23 apply to this
CONTRACT.
B. MSE Obligation
(1) The CONSULTANT agrees to ensure that minority
business enterprises as defiaed in 49 CFP. Part 23
have the maxim�im opportunity to participate in the
performance o£ any subcontracts financed in whole
or in part with Federal funds provided under this
Agreement. In this regard the CONSULTANT shall �
take all necessary and reasonable steps in
accordance with 49 CFR Part 23 to ensure that
minority business enterprises have �the maximum
opportunity to compete for and perform subcontracts.
The CONSULTANT shall not discriminate on the basis
of race, color, national origin, or sex in the
award and performance of DOT-assisted contracts.
