THIS AGREEMENT made and entered into this �.S day o 2015, by and
between Winnebago Counry Fair Association, Tom Egan, 3017 State Rd 1 6, Omro WI 54963,
hereinafter called "WCFA", and the City of Oshkosh, a municipal corporation, hereinafter called
"City".
WHEREAS, WCFA has rec�nested the City provide a dedicated paramedic amhulance fnr
stand-by during specified hours of the 2015 Winnebago County Fair, and
WHER:;AS, the Cain:.�c;, Con,.c:I fvr thc �ity of Oshkosh has authorized the appxopriate
City officials to enter into such an agreement.
IT IS AGREED by and between the parties that the City shall provide one (1) two-person
paramedic ambulance to be present at the Fair Grounds on Wednesday, August 5, Friday, August 7,
and Saturday, August 8, between the hours of 7:00 p.m. & 10:00 p.m.
The role of this unit shall be tu provide Basic Life Support (BLS) and Advance Life Suppoi-t
(AL,S) for emergencies, if they occw�. Minor first ai� and re-hvdration will not be a primvy 1�uncti�,n
of this unit. Emergencies requirinb a respo�.ise h�yond the capabilities of the unit on sce��e ur
emergencies occurring while the on-scene unit is busy on any emergency will be supplemented by a
respunse oi on-dut� resou�ce,.
IT 1S FUR1'HER AGREED, WCFA shall pay as cost reimbursement the actual cost
associated with providing personnel, vehicles: equipment and other supplies. The hourly cost for a
paramedic unit v°�ll be $110.54 per hour fcr Yhc �^hulance. Billed time will commence 30 r-�inutes
prior to the start of the standby and end 30 minutes after termination of the standby. Any additiona]
hours or additional units requested or required in the sole opinion of the Duty Chief to provide
adequate service shall be billed to WCFA at the same hourly rate.
A three hour minimum will be charged if the event is not cancelled at least 12 (twelve) hours
prior to the scheduled start time. Pre-event cancellation shall be made by calling 920-236-5240
during normal business hours (M-F, 8-430) or 920-236-5271.
The City shall invoice WCFA following the event, with payment to be made within 30 days
of receipt of invoice.
All patients requiring transport by the Oshkosh Fire Department ambulance will be billed for
services rendered according to the City's usual and customary procedures and rates for service.
WCFA shall indemnify and save harmless the Ciry from and against any and all losses,
claims, demands, penalties, fines, causes of action, costs, damages, expenses and liabiliry, including
without limitation any attorney or consultant fees, investigation fees, court costs and lirigation
eYpenses, and other costs of defense arising out of or in any manner related to WCFA operation of
the Event, including but not limited to:
A. Any personal injury or bodily injury (including wrongiul death) or property damage
(real or personal);
B. Any lawsuit brought or threatened, settlement reached, or local, state, or federal
government or agency order, including, but not limited to claims, costs, liabilities, or
expenses arising under federal, state, or local law;

Any violation of laws, orders, regulations, requirements, or demands of any
governmental authorities; and,
Any breach or violation ofany contractual provision of whatever kind with any third
party.
