The purpose of this Agreement is to ensure adequate storm water drainage facilities for the Property described in this Agreement in co�nection with the surrounding public stortn water facilities. The consideration for this Agreeme�t includes the City's approval of proposed development on the Proper[y. Additional consideration includes the Property owner's clearer understanding of storm water drainage obli�ations for the Proper[y, and the Goveming Body's assurance that [he storm water drainage issues relating to the property can be more easily achieved through this Agreement. The approved grading and drainage plan may be ame�ded or modified from time to time after co�sultation with the Properry owner. Compliance will be evaluated according to the most curcent approved plan. A small scale version of the current grading and drainage plan is attached as Exhibit "B" for identification and reference purposes. The full scale grading and drai�a�e plan is on file for review with the City Department of Public Works, and will be used [o provide grading and drainage criteria and to govem compliance and any disputes. PURPOSE The three (4) primary purposes of this Agreement: 1) Notify [he Property owner, as well as anyone interested in or connected to the Proper[y that the Property is subject [o this Agreement and Chapter 14 of the Oshkosh Municipal Code, as amended, and that any owner of the Property assumes these obligations; and, 2) Ide�tify specific storm water facilities that curre�tly exist on the Property, or may be constructed or installed in the future; and, 3) Describe the minimum responsibilities for maintaining the Property's approved storm water management facilities and grading and drainage plan. 4) Acknowled�e that the Property owner has granted the Ciry public drainage Easements that will be more fully described througtt other documents that reflect the fact that storm water will drain into and through these facilities in addition to storm water drainage from the Property itself. � June I5, 2015 � � CITY OF OSHKOSH STORI4I�VATER MAYAGEhIE�T FACILITY MAINTENANCE AGREE�[ENT The Properry must ahvays confonn to its most current grading and drainage plan approved by tlie City. The Property is also subject to all aspects of the Municipal Code, including stomi water management requirements, as may be amended, which are currentiy located in Chapter 14 of �he Municipa] Code. The srorm water management requirements of the Municipal Code change from time to timc, with the Property o�mer receiving public notice as required by la�v. Changes may be made to Ihe grading and drainage plan for the Property if requested by ihe Property owner and after review of any changed circumstances on the Property. The approved grading and drainage plan for the Property will be ou file in the City of Oshkosh DepaRmen[ of Public Works and is fully incorporated by reference in Ihis Agreement. RESPONSIBLC PARTIES Each o�vner of tlie Property,jointly and severally, as well ns their heirs, successors, and assigns, is responsible for mnintaining the � Property in the manner described in this AgreemenL The Property owner's responsibilities include mnintaining approved vegetation, grading drninage, and stomt �vater facililies on the Propeity. STORM �VATER FACILTT[ES The Property's stonn water facilities consist oF. 1. Storm �Vater basin; and 2. Stonn Sewar, 3. Swales; and 4. Inlet and manhote covers. EASEM EIVTS The Property o�mer GrTnls, and the City accepls, drainage Enseme��ts over and ihrough cerlain pipes, swales, ponds, and similar facilities to allow public stonn water drainnge over, upon, and through tlie Proper[y. These Fasements will be more fiilly described in separate documents to be recorded with the Winnebago County Register of Deeds. INSPECTION AND MA[NTEM1ANCE All stonn �valer facilities anct components of the stonn �vater system shail be inspected nt least semiammally, with one inspection occurriug in early spring and one inspeclion occutting in early autumn. The Property's stom� water drainage system must also be inspected aRer major sronn events. TLe stonn water facilities and grading and drainage scheme must be maintaineA as designed in order ro achieve the desired storm water drninage objectives. Therefore, maintennnce and replus must be performed espeditiously when system deficiencies are identified. The existence of soil erosion, cbgged or dlmaged inlets 1ncVor pipes, sedimentatiott of the basin and/or biofilter, rilling of side slopes, and other damaged features of the stonnwater system are examples of items requiring maintenance or repnir wwk. Material removed from tlie bnsin or biofilter may require special handling dependent upon current Wisconsin Departmenl of Natural Resources disposal prnctices. if n biofilter is instnllecUconstmcted, then biofilter maintenance activities include: remove coarse and gravel sediment Ihat has accumulnted; maintaining proper level of mulch; vispecting surface mid repair eroded areas; inspect filter strip rip-rap and repair as needed; inspect energy dissipator rock or grnss inlet areas; inspeet overflow stivch�res; replace filter bed; inspect perforated pipe under drnin; remove litter �nd debris; wa�er pl�nts; raplace dying plants; and replace vegetation when necessary. Biofilter inspection anA maintenauce requirements applicable to the Property �vill change as the rules enforced by the Governin� BoAy change. If 1 wet bTSin is installecllcons[ructed, then dredging operntions �re required to remove the excess sedune��t �vhen the depth of water in the wet detention bnsin diminislies below tliree feet causing the etiiciency of the detention basin to decrease. The srorm ivater detention basin(s) must retain the safety shelf after dredging. Damage to tBe s�fety shelf or detention basin liner must be repnired to preserve the safery m�d operation of die facilities. The examples of maintenance activities that are identified above are no[ intended to be complete. The muiimum infonnation required to be viewed as a guideline for potential maintenance or repair activities is identified in the Inspection and Maintenance Logs attached ns Exhibit C. The Property owner shall, upon requast, make available for inspeclion all maintenance records to ihe City's Department of Public Works, or any agen[ of the City, during tl�e life of the syslem. Mowing in buffer �reas, detention basin banks aiid dr�inage ways shall be minimized in order to maximize filtration of runoff. If occasionnl mowing is necessary, the mowing height must not be less fhan six inches. Applications of fertilizers, Lerbicides, pesticide or other chemical applications nre prohibited in buffer areas, on detention basin banks nnd along drainage ways. COMPLIANCE The Property benefits &om a properly maintnined grading and drainage plan ns tvell as properly maintained stonn water £acilities. in Ihe event the Prope�Ty owner fails [o perfortn any obligation relateA to this Agreement, the City of Oshkosli shall have the nuthority �o enter the private Property to inspect, maintain, repair, reconstruct, and/or modify any component of the approved grading znd drainaae pinn or stonn water facility. The City hTS no duty to take such action but may do so nt its discretion. The ability to enter the Property �nd take such action is not an esclusive remedy, and the City may take any lawful action to enforce this Agreement ancl/or the Ntunicipal Code. The Prope�Ty o�mer grnnts to the City of Oshkosh a limited, nonesclusive easeme�t in perpetuity over the Prope�Ty for the purpose of addressing grading end dr:tinage deficiencies, as well as providing reasonable nnd necessary access to any stonn �va[er facility thnt is located on or within the Property. The City of Oshkosh sLall use only ih�t p�rt of the PropeiTy reasonably necessary to allow Ihe inspection, maintenance, and/or repair of [he approved grading and drainage plan or any storm wnter facility. If the City elects to perfonn maintenance or repairs on the PropeiTy, then ell associnted cosis for perfonning this work and enforcing this Agreement mxVor stonn water management requiremen[s of Chapter t4 of the Municipal Code, as may be amended from time to time, are subject to reimbursemenl &om Property o�vners, jointly a��d severalty, or through enc�mbrances on the Property itsel('. Reimbursement remedies include pl�cing an encnmbrance against the Properry as a Special Charge for Current Services pursuant to Sec. 6G9627 Wisconsin S�atutes, as amended, or Ihrough other melhods �o collect directly from the Property owner ns nllowed by I�w at the City's discretion. Any Special Charge for Current Services shall be a lien on �he Property and shall be coliected with the real estate taxes. The Property owner affinnTtively waives notice requirements for Special Charges, and this provision shall constimte the Properq� owner's, nnd any respec[ive IoUparcel owner(s) if npplic�ble, �vaiver of notice of hearing othenvise required by Sections 6G.0627 or GG.0703 of the Wisconsin Stntutes. The stonn wnter management facilities si�all be for the benefit of the City of Oshkosh and the Property as described in ihis Agreement. This Agreement is not in[ended to benefit third parties and ihere shall be no third party beneficiaries. . RCCORD I NG This agreement shall be recorded �vith the land records of tlie Winnebago County, Wisconsin, Register of Deeds. Premier Soda Creek, LLC, shall bear the cost of recording this document. AMENDMENTS This Agreement may be amended '¢� �vhole or in part at any time by the o�mer of the Property, provided: 1) the nmendment(s) are approved in writing by tlie o�vners of a majority of the lots within the PropeiTy as recorded �vitli the Register of Deeds, Winnebago County, 1Uisconsin; and, 2) tlie amenclment(s) are �pproved in �vriting by tlie City of Osltkosh Board of Public Works. This Agreement shall be a pennanent covennnt that shall, as provided by law, nm with the land and any amendment to this Agreemenl shall be subject to the prior npproval by the City of Ostilcosh.
