The Developer seeks to develop the Property described in Attachment A
as an apaRment complex. In order to develop the Property according
to its plans, the Developer will need to enter into a several easeme�ts
with the City, as well as easements with other utilities. A map of new
easements for the apartment complex is attached as Exhibit B.

The Utility / Developer Easement Proper[y is located in the City ofOshkosh, Winnebago County, Wisconsin, and
particularly described as follows (Easement Property):
The 12.00 feet adjacent to and parallel to the South right-of-way of the new
Soda Creek Road dedicated to the public by the recording of the Certified Survey
Map No. 6984, recorded on July 29, 2015 in Volume I of Certified Survey
Maps, Page 6984, as Document No. 1693496, recorded in the Register of
Deeds O�ce, in and for, Winnebago County, Wisconsin;
The Developer and the City have entered into other easements that cross or otherwise encroach upon the
12' Utility Easement as part of the development process. Specifically, the City's 20' Storm Water Easement and
the 40' Pedestrian Drainage Easement are, or would be, affected by the easement between the City and the Utility.
Because the City's storm water drainage facilities rely on gravity, and because pedestrian access relies on full
and complete access by pedestrians, it is critical that such facilities are able to function in a manner consistent with
intended purpose, and remain free of obstructions and diversion. Because these features are part of the City's ov
public system, they may need to be changed, altered, or redesigned over the years to adapt to changing circumstai
For value received and as an inducement for the City to approve a pending development, the Developer agrees
and unconditionally agrees that all easements, liens, rights and interests within the "12' Utility EasemenP' are and
will be subject and subordinate to the City's interests and warrants that tlte City will have the superior right to
locate and operated its storm water facilities, as well as the superior right to ensure public pedestrian access within
the l Y Utility Easement.
The City shall retain all rights and benefits of superior easement rights which include, without limitation, the right
to approve locations facilities to be installed over, under, or on the 12' Utility Easement where affected by the
City's easements. The City shall also have the superior right to modify, repair, or replace its facilities in the 2
easements identified without regard to the location of the easements and facilities of others within the `12' Utility
EasemenY'. The City, at its discretion, may require that utilities and facilities of others be altered or relocated at n�
cost to the Ciry.
