Boz 1130 l � � �� 91536224000 PURPOSE: The Easement Property described in this parcel Ideutil'ication Number (PIN) Agreement shall be used for public purposes benefitting Grantor's Proper[y, neighboring properties, and the Grantee's municipal storm water management system. This Easement is one of several Easements associated with the Grantor's development of its Property as an apartment complex. This Easement will allow storm water originating outside Grantor's Proper[y to drain through the swale constructed within the Easement Property. 2. GRANTOR PROPERTY: The Easement Property described herein is part of a larger Property to be developed which is located in the City of Oshkosh, Winnebago County, Wisconsin, and more particularly described through the recorded Certified Survey Map as: Gran[or's Properry Descriptdon attached as Exhibit A EASEMENT PROPF.RTY: The 15 foot Drainage Easement granted in this Agreement shall be over, under, and through Grantor's Properry situated in the City of Oshkosh, Winnebago County, Wisconsin, and more particulazly described as follows (Easement Proper[y): The Southerly 15.00 feet of the Westerly 79638 feet, more or less, of Lot 1 of Certified Survey Map No. 6984, recorded on June 29, 2015 in Volume 1 of Certified Survey Maps, Page 6984, as Document No. 1693496, recorded in The Register of Deeds Office, in and for, Winnebago County, W isconsin 4. MAP: The Grantor's Property will include several new Easements related to its development. A map reflecting the location of these Easements, including the "15' Drainage EasemenP' granted in this Agreement, is attached as Exhibit B and is fully incorporated in this Agreement. 16, 2015 ACCESS RIGHTS: Grantee shall have the right to access and use the Easement Property as part of its municipal storm water management system. In addition to accessing the Easement Property from adjoinin� Easements, Grantee will have the limited right to access the Easement Property through certain other parts of the Grantors Property described in Exhibit A. More specifically, Grantee may access the Easemen[ Proper[y by using the driveways, drive aisles, and parking areas of Grantor's apartment complex, provided such access not intrusive or materially disruptive to Grantor's operation of the apartment complex, and provided such access will minimize or prevent unnecessary damage or disruption of the use or surface of the Easement Proper[y. Grantee's use of the apartment complex parking area or drive aisles for access shal not result in the blockage or material obstruction of these areas without permission from the Grantor. /� 6. USE FOR STORM WATER MANAGEMENT SYSTEM: Grantee shall have tlie right to use the EasemeN Property for storm water drainage as pait of its municipTl storm �vater manTgement system. Grantor sh:til consfnict, at ets cost, fhe City-approved srvale on the Easement Property. After the initia! construction of the drninage swale, its ownership and maintenance responsibilities shall remain with the Grantor. Grantee retains the right to enter the property and inspect or survey the swale ac any time it believes it is appropriate to ensure the swale is functioning properly, MATNTENANCE: Grantw shall be responsible for maintaining, repairing, and replacing Ihe surface of the Easement Property, including the drainage swnle. GrTntee is not obligated, but may nevertheless be involved in mainten�nce of the swale pursuant to stahrtory �uthority or through the authority described in a sep�rate storm water operation and maintenance agreement. Grantee may enter the Easement Property at airy Hme to perform inspectiong, suivey, or similar activities tliat Grantee does not reasonably believe will disrupt the operation of Grantor's aparhnent cmnplex. Grnntee shall notify Grantor no less than five (5) business dnys prior to performing aoy repairs within the Easement Property related to his Agreement. In tlie case ofemergency, Grantee will uot be required to provide notice to Granror prior ro performing work on the Easement Property, but will provide notice to the Grantor within hvo business days of first performing siwh work. Grantee will notify Grantor of any maintennnce that must be performed on the Easemen� Property as soon a practical aRer discovery. 8. INTERFEREt�CE WITH EASE�/ENT: Granror, its heits, ngents, or assigns, shall not interfere �vith ttie Grantee's use of the Easement Property for puUlic stonn water drainage, or install or construct any ne�v or additional structures, improvements, or landscnping within the Easement Property. Grantor shall not place, pile, or move sno+v or ice on to the Easement Yroperty. Prohibited new cl�anges, structures, or improvements iuclude, but are not limited ro, temporary or pennanent building shuctures, parking areas, sheds, change iu elev�tions, vegetation except grass, landscaping or fences wiless othenvise approved in writing by the Oshkosh Board of Public Works. Grantor shall promptly remove 1ny objects, mlterials, or structures which are not approved, or which impede the Grantee's access and/or use of the Easement Property, or wkicl� limit the capacity of the swale. If Grantor fails to remove these materials or any obstruction, Grantee may remove them at Grantor's espense. The Granror shall take reasonable steps to prevent thircl paities from interfering i�� nny �vay with the use of the Easement Property for storm water drainage. 9. USE OF EASEMENT BY OTHERS: The Grantor agrees that the Grantee may temporazily assign its rights identified herein to aiiy contractor, thircl party, or other person. Assignees must demonstrate to the Grantee that they have sufficient competence and must give adequate assurances that any �vork to be performed in or around the Easement Properry shall be conducted in a skillfid mannet Assignees must also protect Uie Grantor's interest in the Easement Property to the same estent as if tlie Grantee was itself performing the activity. ] 0. DEFAULT: If either Grai�tor or Grantee reaso��ably believes that the terms of this Easement have been breached, then written notification of the alleged breach shall be delivered to the other paRy. Any party i❑ breach shall have sixty (60) days to cure any actu�l breacli or, if the breach cannot reasonably be cured within the 60-day period, take appropriate steps to materially comply with the parly's obligation to cure. Nohvitlistanding the foregoing, the Grantee is entitfed to ensure tlie continuous proper fimctioning of its municipzl storm �vafer management system withot�t waitii�g sisty (60) days. Gra��tee may use its discretion to evalunte any necessary maintei�ance and/or repairs, or any interference with a permitted use, of the Easemant Property, nnd may take any immediate reasonable action witltout notice to ensure the proper functioning of Grantee's municipal storm water management systent A11 costs and espenses incurred under such emeigency circumstnnces due to Grantor's breach or negligence shail be reimbursed by Grantor to Grantee �vifhin siYty (GO) days of receipt ofa bill for the same. TERM: This Easement it being granted in perpehiity for public purposes and uses, both current and fiihire, �vithoul regard to the Grantee's use of the Easement at any particular time. All rights, title and privileges herein granted, including benefits and burdens, shall run with the land and shall be binding upon nnd inure to the benefit of the Grantor and Grantee, their respective I�eirs, esecutors, administrators, successors, assigns, and (egal representatives. l2. WANER: No delay or omission by any party to tl�is Agreement in exercising any rigl�t or power arising out of any default under any of the terms or conditions of this Agreement shail be construed as a waivec of the riglit or power. A waiver by a party of any of the obligations of the other party shall not be construed to be a waiver of any breach of any other terms or conditions of this Agreement. 13. INVALIDITY: If any term or condition of this Agreement, or the application of Ihis Agreement to any person or circumstance, shall be invalid or unenforceable, the remainder of this Agreement, or the application of the tenn or conditia� to persons or circumstances otlier than those to which it is held invalid or unenforceable, shall not be affected thereby, and each term and condition shall be valid and enforceable to the fullest extent permitted by law. 14. NO THIRD PARTY BENEFICiARY: The terms of this Agreement are for the benefit of the rivo parties identified, and it is not the intention of either the Granror or Grantee tl�at otl�er pai4ies shal] acquire auy riglits [o en£orce or benefit fl•om Itirough this Agreement. I5. MiJNICIPAL LIABILITY: Nothing in this Agreement is intended as a waiver of the municipality's right or opportunity to rely upon or use the municipal limitations and immunities contained within Wisconsin law. Municipal immunities and limitations include, but are not limited to, Sections 345.05, 893.30, and 893.83, Wisconsin Stahdes. Such damage limits, caps and immunities are intended to be preserved and applied, and are incorporated into this agreement and sh�ll goveru all disputes regardless of the underlying theory for relief, whether contractual or otherwise, as Iliey relate to the municipality and its agents, officers, and employees. lG. FORCE MAJEURG: Neitlier Grantor nor Grantee shall be in defauit under this Agreement if its failure to perfonn is csused by any of the following events: act of God; fire; flood; severe stonn; power outages; mnterial shortages or unavailnbility or other delay in tmdertaking their responsibilities identified in tliis Agreement th�t do not residt from the parties failare to maintain their property or facilities. In order to claim relief under this Section, the other paiTy must be notified in writing of the esistence of the event relied upon and the eapected cessatio�� or termination of that event. For Ute duration of any v�lid Force Mnjeure event as defined by tl�is Section, the affected pflrty's perforn�ance shall be escused. However, the effected paiTy is still required to take nppropriate means to minimize or remove tlie event causing Force Majeure and, �vitl�in the shortest possible time, attempt to resume perfonna��ce of the obligation affected by tlie eveut of Porce Majeure. 17. GOVEIiN1NG LAW: This Agreement shall be conslrued and enforced in accordance with [he I�ws of the St�te of Wisconsin. Venue for any action regarding this Agreement shnll be the Winnebago County, Wisconsin, Circuit Court or, if a federal court action, then the appropriate district and/or branch within which Winnebago County is located. 18. NOTICES: Grintee shall no[ be required to provide uotice priar to exercising any rights pursu�nt to d�e Easemeut Property and ihis Agreeme�tt, escept that Grantee will provide tl�e on-site manager tvith advance ❑otice of significant work to be perfonned witliin the Easement Property provided no emergency esists.
