Company, Grantor, and the CITY OF OSHKOSH, a municipal corporatic
Grantee, located in Winnebago County, Wisconsin.
IN CONSIDERATION of the sum of One Dollar ($1.00) and other good
and valuable consideration paid by the Grantee, the receipt of which is
hereby acknowledged, the Grantor, its successors and assigns, does hereby
give and grant unto the Grantee, its successors and assigns, and Grantee
accepts, a sanitary sewer and water main easement under and through the
land hereinafter described.

PURPOSE: The Easement Property described in this
Agreement shall be used for public purposes benefitting both Grantor's property and the Grantee's
municipal utility system. This Easement is one of several Easements associated with the Grantor's
development of its Property as an apartment complex This Easement will recognize existing
sanitary sewer and water distribution mains and their appuRenances which are part of Grantee's
municipal utility system.
2. GRANTOR PROPERTY: The Easement Property described herein is part of a larger Property to
be developed which is located in the City of Oshkosh, Winnebago County, Wisconsin, and more
particularly described through the recorded Certified Survey Map as:

EASEMENT PROPERTY: The 12 foot Sanitary Sewer and Water main Easeme�t granted in this
Agreement shall be over, under, and through Grantor's Proper[y situated in the City of Oshkosh,
Winnebago County, Wisconsin, and more particularly described as follows (Easement Property):
The 12.00 feet adjacent to and parallel to the East right-of-way of Jackson Street
(S.T.H. "76") and being the Westerly 12.00 of Lot 1 of Certified Survey Map
No. 6984, recorded on July 29, 2015 in Volume 1 of Certified Survey Maps,
Page 6984, as Document No. 1693496, recorded in the Register of Deeds
Offtce, in and for, Winnebago County, Wisconsin;
MAP: The Grantor's Property will include several new Easements related to its development. A map
reflecting the location ofthese Easements, including the "12' Sanitary Sewer and Water main EasemenY'
granted in this Agreement, is attached as Exhibit B and is fully incorporated in this Agreement.
ACCESS R[GHTS: Grantee shall have the right to access and use the Easement Property as part of its
municipal utility system. In addition to accessing the Easement from the adjoining public right-of-way,
Grantee will have the limited right to access the Easement Property through certain other parts of the
Grantor's Property described in Exhibit A. More specifically, Grantee may access the Easement Property
by using the driveways of Grantor's aparhnent complex, provided such access is not intrusive or materially
disruptive to Grantor's operation of the apartment complex, and provided such access will minimize or
prevent unnecessary damage or disruption of the use or surface of the Easement Property. Grantee's access

through the �partment complex shall not result in tlie blockage or material obshuction of these areas
without permission from the Grantor.
6. USE FOR MUNICIPAL UTILITY SYSTEM: Grantee shall have the right to use the Easement PropeiTy
for sanitary se�ver and water distributiou mains and appurtenances. Surface level uses may include, without
limitation, manholes aiid valves. The Grantee shall have the right to use the Easement Property to access,
survey, lay, conshuct, use, operate, maintain, repair, replace, relocate, and/or remove its utilities. Grantee
shalt at all times retain Hie sole discretion to install and operate facilities within the Easement Property thal
are appropriate for the Grantee's municipal utility system.
MAINTENANCE: Grantee shall be responsible for maintaining, repairing, and replacing its municipal
utilities incoiporated iuro the Easement Property. Grnntor shall be responsible for maintnining and
repairing tl�e surFace of the Easement Property. The Pa�ties agree to work together to minimize Ihe effecfs
of a�ry maintenauce or repairs tliat may disrupt the use of any side�valk, parking area, drive aisle, or other
commonly used improvement. In the event that the surface o£the Easement Property is damaged during
Grantee's maintenance or repair activities, then the Grantee shall repair any hard stu•faces, including the
driveway located across the Easement Property, to a condition substantially similar to the coudition before
the damage, and sliall also grade and seed any grnss area that is disrupted or damaged by the Grantee's use
of the Easement Property.
8. INTERFERENCE WI1'H EASEMENT: Granror may constn�ct or iustall driveways, sVttctures, or
landscaping identified on the City-approved development site plan. Grantor, its heirs, agents, or assigns,
shall not interfere further with tlie Grantee's use of the Easement Prope�ty, or install or construct any new
or additional s�rucNres, improvements, or 1lndscaping. Grantor sl�all not place, pile, or move snow or ice
on to the Easement Prope�Ty. ProhibiteA new changes, struchires, or improvements include, without
limitation, temporary or perm�nent building structures, parking areas, sheds, change in elevations,
vegetation except grass, Iandscaping or fences un(ess othenvise approved in writing by Ihe Oshkosh Bo�rd
of Public Works. Grantor shall prompUy remove any objects, materials, or structtn�es which are not
approved, or which impede the Grantee's access and/or use of the Elsement Property, or which limit the
capacity of Ihe Grantee's utilities. If Grantor fails to remove these materials or objects, Grantee may
remove tliem at Gr�ntor's expense. Tlte Grurtor shall t�ke reasonable steps to prevent third parties from
interfering with the Grantee's use of this easement.
9. ENCROACHMENTS: Grnntor shall have the right to encroach onto the Easement Property by
constructing surface improvements such as parking areas, drive nisles, and landscaping as identified and
described on the City-approved development site plan. Grantor shall have a limited right to cross and use
the Easement for its underground, private water 1nd/or se�ver systam upon approval by the Oshkosh Board
of Public Works. The loc:�tions of the undergrouud encronchment(s) shall be limited to Uie areas identified
as "Encroachment Are1° on the m�p attached as E�hibit C. All encroacl�ments shall be subordittate to
Grantee's Easement riglus as described in this Agreement. Except for the surface encroachments flpproved
througli the development site plan, Grantee retains the right to require tlie relocation or alteration Grantor's
encroachments at Grintor's espeiise.
I0. USE OF EAS�MENT BY OTHERS: The Grantor agrees that the Grantee may temporarily assigo the
construction and mainten�nce rights identified herein to any contractor, third party, or other person.
Assignees must demonstr�te to the Grantee that they have sufficient competence and must give adequate
assurances that any work to be performed in or around the Easement shall be conducted in a skillfi�l
manner. Assignees must also protect tlie Grantor's interest in tl�e Easement Property to the same extent as
if the Grantee �vas itsetf performiug the construction or maintenance.
I 1. DEFAULT: If either Grantor or Grantee reasonably believes that the terms of this Easement have been
breached, then written notificltion of the nlleged breach sh�ll be delivered to the other party. Any pai�ly in
breach shall have sisty (60) days to cure any :�chial breach or, if the breach cannot reasonably be cured
withiu the 60-day period, take appropriate steps to materially comply with the party's obligalion to cure.

Nohvithstanding the foregoing, ihe Grantee is entitled to ensure the continuous proper functioning of its
utilities �vitliout waiting si�ty (60) days. Gr�ntee may use its discretion to evaluate any necessary
maintenance and/or repairs, or any interference with a permitted use of Ihe Easement Property, and take any
immediate reasonable action without notice to ensure the proper hmctioning of Grantee's utilities. All
costs and espenses incuned under sucli circumstances due to Grantor's breach or negligence shall be
reimbursed by Grantor to Grantee within sisry (60) days of receipt of a bill for the same.
12. TERM: This Ensement it being granted in perpetuity for public purposes and uses, both current and firture,
without regard to Ihe Grantee's use of the Easement at any particular time. All righis, tiHe and privileges
herein granted, including benefits and burdens, shall run with the land and shall be bind'uig upon and inure
ro the benefit of Ihe Grantor and Grantee, their respective heirs, esecutors, administrators, successors,
assigns, and legal representatives.
13. WANER: No delay or omission by any party to this Agreement in esercising any right or power arising
out of any default under any of tlie terms or conditions of this Agreement sltail be construed as a tvaiver of
the right or power. A waiver by a party of a��y of the obligations of the other party shall not be construed to
be a waiver of nny breaclt of any other terms or conditions of this Agreement.
l4. INVAL[DITY: If any term or condition of this Agreement, or tha application of this Agreement to any
person or circumstance, shall be inva(id or unenforceable, the remTinder of this Agreement, or flie
application of the term or condition to persons or circumstances other than those to �vhicli it is held invalid
or unenforceable, shall not be affected diereby, and each tenn and condition shall be valid and enforceable
to the fullest extent permitted by law.
I5. NO THIRD PARTY BENEEICIARY: The tenns of ihis Agreement are for the benefit of the hvo parties
identified, aud it is not H�e intention of either the Grantor or Grantee �hnt other parties shall acquire any
rights to enforce �his Agreement or to benefit from it.
16. MLJN[C1PAL LiABILITY: Nothing in tlus Agreement is intended as a waiver of tlie municiplliq�'s right
or opportunity to rely upon or use Hte municip�l limitations and immunities contained within W isconsin
Inw. Municipal immunities and limifations ii�clude, but are not limited to, Sections 345.05, 893.50, and
893.83, Wisconsin Stahrtes. Such damage limits, caps and immunities are intended to be preserved nnd
applied, and are incorporated into Ihis ngreement and shall govern all disputes regardless of the underlying
theory for relief, whether contractual or othenvise, as they relate to tlie municipelity and its ageNs, ofticers,
and emplayees.
17. FORCE MAJEURE: Neither Grantor nor Grantee shall be in def�ult under this Agreement if its fzilure to
perform is caused by any of the follo�ving events: act of God; fire; flood; severe stonn; power outages;
material shortages or unavailability or other delay in undeitaking their responsibilities identified in ihis
Agreement that do not result from the parties failure to maintain their propeity or facilities. Li order to
claim relief under this Section, the other party must be notified in writing of the existence of the event
relied upon and tUe expected cessation or termination of that event. For tlie duration of any valid Force
M:tjeure event as de5ned by this Section, the aff'ected party's perfonnvtce shall be escused. However, the
afFected pady is still required to t�ke approprinte means ro minimize or remove the event causing Force
Majeure and, within the shortest possible time, altempt to resume perfonnance of the obligation affected by
the event of Force Majeure.
18. GOVERNING LA�V: Tliis Agreement shall be construed and enforced in accordance with the laws of the
State of Wisconsin. Venue for 1ny action regarding this Agreement shall be ihe Winnebago County,
Wisconsin, Circuit Court or, if a federal court action, then tl�e appropriate district and/or branch within
�vhich Winnebago County is located.

19. NOTICES: Grantee shall not be required to provide notice prior to esercising any rights pursuant to the
Easement Property and this Agreement, escept that Grantee �vill provide U�e on-site manager with advance
notice of significant work to be perfonned within the Easement Property provided no emargency exists.
Any notices related to a breacli of this Agreement shal( be in writing and delivered via certified mail, return
receipt requested, as follows. Changes to these addresses shall be in writing. In addition to fonnal
notification, both parties agree to take reasonable measures to keep the other pnrty informed of issues or
questions regarding the Easement Prope�ty.
