by the PREMIER SODA CREEK, LLC., a Wisconsin Limited Liabil
Company, Grantor, and the CITY OF OSHKOSH, a municipal corporatic
Grantee, located in Winnebago County, Wisconsin.
IN CONSIDERATION of the sum of One Dollar ($ I.00) and other good
and valuable consideration paid by the Grantee, the receipt of which is
hereby acknowledged, the Grantor, its successors and assigns, does hereby
give and grant unto the Grantee, its successors and assigns, and Grantee
accepts, a storm water drainage easement over and through the land
hereinafter described.

PURPOSE: The Easement Property described in this Agreement shall be used for public purposes
benefitting Grantor's Proper[y, neighboring properties, and the Grantee's municipal storm water
management system. This Easement is one of several Easements associated with the Grantor's
development of its Property as an apartment complex. This Easement will allow storm water
originating outside Grantor's Property to drain through the swale constructed within the Easement
Property.
2. GRANTOR PROPERTY: The Easement Property described herein is part of a larger Property to
be developed which is located in the City of Oshkosh, Winnebago County, Wisconsin, and more
particularly described through the recorded Certified Survey Map as:
Grantor's Properry Description attached as Exhibit A
EASEMENT PROPERTY: The 30 foot Drainage Easement granted in this Agreement shall be
over, under, and through Grantors Property situated in the City of Oshkosh, Winnebago County,
Wisconsin, and more particularly described as follows (Easement Property):
The Easterly 30_00 feet of the Southerly 626.21 feet, more or less, and the
Southerly 30.00 feet of Westerly 120.00 feet of the easterly 150.00 feet, more
or ]ess, of Lot 1 of Certified Survey Map No. 6984, recorded on July 29, 2015
in Volume 1 of CeRified Survey Maps, Page 6984, as Document
No. 1693496, recorded in the Register of Deeds Office, in and for,
WinnebagoCounty, Wisconsin
4. MAP: The Grantor's Property will include several new Easements related to its development. A map
reflecting the location of these Easements, including the "30' Drainage EasemenP' granted in this
Agreement, is attached as Exhibit B and is fully incorporated in this Agreement.
ACCESS RIGHTS: Grantee shall have the right to access and use the Easement Property as part of its
municipal storm water management system. In addition to accessing the Easement Property from adjoinin
Easements, Grantee will have the limited right to access the Easement Property through certain other paRs
of the Grantor's Property described in Exhibit A. More specifically, Grantee may access the Easement
Property by using the driveways, drive aisles, and parking areas of Grantor's apartment complex, provided

provided such access will minimize or prevent umiecessary damage or disruptiou of the use or surface of
the Easement Property. Grentee's use of the apartment comples parking area or drive aisles for access sliall
not result in the blockage or material obstruction of these are�s without permission from Nie Grantor.
6. USE FOR STORM WATER MANAGEMENT SYSTEM: Grantee shall have tlie right to use tlie
Easement Property for stonn �vater drainage as part of its municipll stonn tvater management system.
Grantor shall construct, at its cost, the City-approved swale on the Easement Property. After the initial
consiruction of the drainage swale, its ownership and mainten�uce responsibilities shall remain with tlie
Grantoc Grantee retains the right to enter the property and inspect or survey the swale at any time it
believes it is appropriate to ensure U�e s�vale is fimctioning properly.
7. MAINTENANCE: Grantor shall be responsible for maintaining, repairing, and replacing the sur£ace of
the Easement PropeiTy, including the drainage s�vale. Grantee's is not obiignted, but may nevertheless be
involved in maintenance of the swale pursuant ro sta[utory authority or through the authority described in a
sepnrate stonn water operatiou and maintenance agreement. Grantee sliall no[ify Grantor no less than five
(5) business days prior to entering the E�seme��t Property for any purpose related to his Agreement. In the
case of emergency, Grantee will not be required to proviAe notice [o Grantor prior to entering the property,
but wilf provide notice to the Grantor within hvo business days of first entering tl�e Easement Property.
Grautee �vill notify Grantor of any maintenance that must be performed on the Easement Property �s soon a
practicnt after discoveiy.
8. INTE2FERENCE WITH EASEMENT: Grantor, its heirs, agents, or assigns, shall not interfere with the
Grantee's use of the Easement Property for public storm w�ter drainage, or install or construct any »ew or
additional structures, improvements, or l�ndscaping within the Easement Property. Grantor shall not pl�ce,
pile, or move snow or ice on the Easement Prope�Ty. Prohibited ne�v changes, structures, or improvements
include, but nre not limited to, temporary or permanent building structures, p�rking areas, sheds, change in
elevations, vegetation except grass, landscaping or fences unless otherwise approved in writing by tlte
Oshkosh Board of Public Works. Grautor sh�ll promptty remove �ny objects, materials, or structures which
are not approved, or whicl� impede the Grantee's access and/or use of the Easement Property, or which
limit the capacity of the sw11e. [f Grantor fails to remove Ihese materials or �ny obstruction, Grantee may
reniove them at Grantor's expense. The Grantor shall take reasonab(e steps to prevent third parlies from
iaterfering in any w�y with the use of the Easement Property for sfonn water drainage.
9. USE OF EASEMENT BY OTHERS: Tha Grantor agrees that tlie Grantee may temporarily assign its
riglits identified herein to any conh•actor, third party, or other person. Assignees musl demonstrate to the
Grantee that they have sufficient competence and must give adequate nssurances tliat any work to be
performed in or Tround the Easement Property shall be conducted in a skillful minner. Assignees must also
protect the Grantor's interest in the Lasement Property to the same e�tent as if the Grantee �vas itself
performing tlie activity.
10. DEFAULT: If either Grantor or Grantee reasaiably believes that the terms of this Easemeut have been
breached, then �vritten notification of the alleged breach shall be delivered to the odier party. Any parly in
breach shall have sixty (60) days to cure any ach�al breach or, if the breach caunot reasonably be cured
�vithin tlie 60-day period, take appropriate steps to materially comply with the party's obligation to cure.
Nohvithstni�ding the foregoi��g, in the case of any iNerference with the permiped use of the Easement
Propetty causing, or threatening to immediately c�use hami to tl�e system, or tlie backing up of stonn �vater
or other drainage problems that threaten to cause harm to the Easement Property or Grantee's mtmicipal
stonn �vater management system, Grantee may take immediate action ro pennit the &ee flow of storm water
or other drainage through the swale in the Easement PropeRy. All costs �nd expenses i��curred under such
emergency circumstances due to Grautor's negligence shall be reimbursed by Grantor to Grantee within
sisty (60) days of receipt of a bilt for the same.
11. TER1bI: This E�sement it being granted in perpetuity for public pmposes and uses, both curreut aud future,
without regard to the Grantee's use of the Easement at any particul�r time. All rights, title and privileges

herein granted, includi��g benefits and burdens, shall run with the land aud shall be binding upon and inure
to the benefit of tlie Grantor and Grantee, Hieir respective heirs, execu[ors, ldministrators, successors,
assigns, vid legal representatives.
12. WAIVER: No detay or omission by any party to this Agreement in exercising any right or power arising
out of any defaul[ under any of the terms or conditions of this Agreement shall be construed as a waiver of
the right or power. A waiver by a pnrty of�any of Ihe obligations of tl�e other party shall not be construed to
be a waiver of any breach of any oN�er tenns or conditious of this Agreement.
13. INVALID[TY: If any tenn or condition of this Agreeme�it, or the application of this Agreement to any
person or ciroumstance, sliall be invalid or unenforceable, the remainder of Ihis Agreement, or the
application of tlie tenn or condition to parsons or circumstances other than those to tivhich it is held invalid
or unenforceable, shall not be afi'ected thereby, and each term and condition shall be valid ai�d enforceable
to the fullest extent permitted by law.
14. NO THIRD PARTY BENEFICIARY: The terms of [his Agreement are for the benefit of the two pa�ties
identified, and it is ��ot the inten[ion of eitlter the Grantor or Grantee tliat otlier parties shall acquire aity
righ[s to enforce or benefit fi�om through this Agreement.
I5. MLJNICIPAL LIABILITY: Nothing in tt�is Agreement is intended as a�vaiver of the municipality's right
or oppo�iimity to rely upon or use the municipal limitations and immunities contained within W isconsin
law. Municipal immunities and limitations include, but are not limited to, Sections 345.05, 893.80, and
893.83, Wisconsin Statutes. Such damnge limits, caps and immw�ities are intended to be preserved and
applied, and are incorporated into this agreement �nd shall govern afi disputes regardless of the underlying
theory for relief, �vhetlier contractual or othenvise, ns they relate to the municipaliry and its agents, officers,
and employees.
16. FORCE MAJEURE: Neitlier Grantor nor Grantee stiall be in default under this Agreement if its failure to
perfonn is caused by any of the following eveMs: act of God; fire; flood; severe storm; power outages;
material shortages or un:�vailnbility or other delay in undertaking tl�eir responsibilities identified in this
Agreement that do not result fi•om the parties failure to maint�in their prope�ty or facilities. In order to
claim relief ui�der this Section, the other paity must be notified in �vriting of Hie existence of tlte event
relied upon and the expected cessation or termination of ihat event. Fa the duration of �ny valid Force
Majeure event as defined by this Section, Ute affected party's perfonnance shall be excused. However, the
affected party is still required to take appropriate means to minimize or remove the event causing Force
Majeure and, within the shoirtest possible time, attempt to resume perfonnance of the obligation affecled by
ihe event of Force Majeure.
17. GOV ERNING LAW: This Agreement shall be construed and enforced in accordance with the laws of the
State of Wisconsin. Vemie for �ny action regarding this Agreetnent shall be Ihe Winiiebago County,
Wisconsin, Circuit Court or, ifa federal court action, then the appropriate district and/or branch �vithin
which Winnebago Counry is located.
18. NOTICES: Any notices required by this Agreement shall be in writing and delivered via certified mail,
return receipt requested, as follows. Changes to �hese addresses shall be in writing. Li addition to formal
notification, both parties agree to take renson�ble measures to keep the other pmty inFonned of issues or
questions regarding the Easement Prope�iy.
