This Easement is one of several Easements associated with Grantor development of its Property as an apartment complex. This Easement wil] allow the installation of storm water drainage pipes and appurtenances which will be incorporated into the Grantee's municipal storm water management system. ACCESS RIGHTS: Grantee shall have the right to access and use the Easement Property for its municipal storm water management system. In addition to accessii�g the Easement Property from the ndjoining public righbof-way, Grantee will have tlie limited riglit to access the Easement Property through certain other p��ts of the Grantor's Property described in Exhibit A. More specifically, Grantee may access the Easement Property by using the driveways, drive aisles, and parking areas of Grantor's apartment comples, provided such access is not intrusive or mlterially disruptive to Grantor's operation of ihe apartment comples, mtd such access �vill minimize or prevent unnecessary d:�mage or disruption of the use or surface of the Easement Property. Grantee's access through Ihe apartment complex parking area or drive aistes shall not result in the blockage or material obstruction of tltese areas without permission from the Grantor. 6. USE FOR STORM WATER MANAGEMENT SYSTEM: Grantee shall have the right to use the Easement Property as part of its municipal storm water management system. The Grantor shalt inst�ll, at its cost, all storm water drainage pipes and appurtenances required by the Gr�ntee. After tlie iuiti�l installation and Grantee approval and ncceptance of the storm �valer drainnge pipes and appuRenances, the ow��ership of sudi facilities sflalt transfer from the Grantor to the Grantee. After the iuitial installation and Grantee approval of the stonn water drainage pipes and appuRenvtces, Grantee sliall assume maintenance and repair responsiUilities for tliese facitities except to the extent that Grantor retains Warranty obligations as described in the approved Civil Plans and in the 2015 Stnndard Speci6cations for the City of Oshkosli. After construction and acceptance, the Grantee shall liave tlte right to use the Easement Property to access, suivey, lay, construct, use, operate, maintain, repair, repince, reloc:�te, and/or remove the underground stonn water drainage facilities atong �vilh associated manholes, inlets, and/or other surface feahires. Grantee shall at all times retnin Uie sote discretion related to the instnllation and operation of its storm water facilities within die Easement Prope�Ty. MAINTENANCE: Grantee shall be responsible for maintnining, repairing, and replaciug its municipal stonn tvater management system facilities incorporated into the Easement Property. Grantor shall be responsible for maintaining and repairing ihe surface of the Easement Property. Grantee sliall notify Grantor or the Property's on-site manlger no less than five (5) business days prior to performing nny work on the Easement Propeity. In the eveut o£an emergency, Grantee �vill not be required to provide notice to Grantor prior to performing the required work, but wiil provide notice to the Grantor within pvo busiuess days of any work being perfonned. The Parties agree to work toge[her to minimize the effects oFany maintenance or repairs that will disrupt the use of any sidewalk, p�rking area, drive aisle, or other commonly used improvemeut In the event that the surface of the Easement Property is dam2ged during Grnntee's mnintenance or repair activities, then die Grantee shall repair �ny i�ard surfaces, including parking areas and drive aisles (ocated across the Easement Property, to a condition substantially simillr to d�e condition before the damage, and sliall also grade and seed any grass areas Aisrupted or d�maged by tlte Grantee's use of the Easement Property. 8. INTERFERENCE WITH EASEMENT: Grantor may construct or install parking and drive aisles, struchires, or landscaping identi£ed on the City-approved devefopment site plan. Grantor, its heirs, agents, or essigns, shall not interfere with tlie Grantee's use of tlie �asement Property, or install or consiruct any new or additionnl structures, improvements, or landscaping. Grantor shall not place, pile, or move snow or ice on to the Easement Property. Prohibited new shuchues or improvements include, but are no! limited to, temporary or permnnent building struchu•es, parking areas, sl�eds, cl�mige in elevations, vegetation escept grass, landscaping or fences unless otherwise approved in writing by the Board of Public Works. Grantor shall promptly remove any objects, mnterials, or structures which are not approved, or wliich impede the Grantee's access and/or use of tiie E�sement Property, or �vhich limit the capacity of the Grantee's storm water mauagement system. If Grnntor fnils to remove these materials or objects, Graittee may remove tliem at Grantor's espense. The Grantor shnll take re�sonable steps to prevent third parties from interfering in any way with the Grantee's use of this easement. 9. ENCROACHMGNTS: Grantor shall have the right to encroach onto the Easement Property by constructing surface improvements such ns parking areas, drive aisles, and similar improvements as June 16, 201 S described on the City-approved developtnent site plan. Grantor shall have a limited right to cross and use the Easemeut Property for its imderground, private water and/or sewer system upon approval by the Oshkosh Board of Public Works. The locations of the undergrotmd encroachment(s) shall be limited to the areas idenHfied as "Encroachment Area" on the map attached as Eshibit C. All encroachments sliall be subordin�te to Grantee's Easement rights as described in this Agreement. Escept for Ihe surface encroachments approved through the development site plan, Grantee retains the rigl�t to require the relocation or alteration Grantor's private facilities, and such rebcatio�� or alteration shall Ue at Grantor's expe�ise. 10. USE OF EASEMENT BY OTHERS: The Grantor agrees that the Grantee may temporarily assign tiie construction and maintenance rights iAentified herein to any contractor, third party, or other person. Assignees must demonsh�ate ro the Grantee that they have sufficieut competence and must give adequate assurances that any work to be performed in or around the Easement shall be conducted in a skillfid manner. Assignees must also protect the Grantor's interest in the Easement Property lo the same extent as if the Grantee was itself performing the construction or maintenance. 1 I. DEFAULT: If either Grantor or Grantee reasonably believes that the terms of this Easement have beei� breached, then �vritten notification of the al(eged breach shnll be delivered to the other party. Any pvTy in breach shall have sixty (60) days to cure any actuaf breacli or, if the breach canno[ reasonnbly be cured within Ihe 60-day period, take appropriate steps to materially comply with the party's obligation to cure. Nohvithst�nding tlte forego'vtg, tlte Grantee is entitled to ensure the continuous proper fimctioning of its utilities �vithout waiting sisty (60) d1ys. Grantee m1y «se its discretion to evaluate any necessary mlintenance and/or repairs, or any interference with a permitted use of the Easement Property, and take any immediate reasouable actiou �vithout notice to ensure the proper fimctioni��g of Grantee's utilities. All costs and expenses incurred imder such circumstances due to Grantor's breach or negligence sliall be reimbursed by Grantor to Grantee within sixty (GO) days of receipt of a bill for the same. l2. TERbL• This Easement it being granted in perpeh�ity for public purposes and uses, boUt current ac�d future, without regard to ttie Grantee's use of the Easement at any particular time. All rights, tiHe �nd privileges herein granted, including bei�efits and burdens, shall run with the land nnd shall be 6inding upon and inure to the benefit of the Grantor and Grantee, their respective heirs, esecutors, administrators, successors, assigns, and legal represent�tives. 13. WANER: No delay or omission by any party to this Agreement in exercising any right or power arising out of any default under a�ty of tl�e terms or conditions of this Agreement shall be construed as a waiver of the right or power. A waiver by a paiTy of any of the obligations of the otlter party shall not be construed to be a �vaiver of any breacl� of any other terms or conditions of tliis Agreement. l4. M VALIDITY: If airy tenn or condition of this Agreement, or the application of this Agreement to any person or circumstance, sl�all be invalid or mienforceable, the remainder of diis Agreement, or the application of tlie tenu or condition to persons or circumstances other than those to wl�ich it is held invalid or uneuforce�ble, shall not be affected thereby, and each term and conditiou shall be valid and enforceable to the fullest extent permitted by law. 15. NO THIRD PARTY BENEFICIARY: The tenns of this Agreement nre for tl�e benefit of tl�e two paities ideniified, and it is not the intention of either the Grantor or Grantee that odier parties shall acquire :�ny rights to enforce or benefit fiom through Uiis Agreement. 16. bIiJNICIPAL LIABILITY: Nothing in this Agreement is intended as a�vaiver of the municipality's right or oppornmity to rety upon or use the municipal limitations and immunities contained �vithin Wisconsin law, Municipal imnumities and limitations include, bul are not limited to, Sections 345.05, 893.80, and 593.83, Wisconsin Stahites. Such damage limits, caps and immunities are intended to be preserved and applied, end are incorporated into this agreement and shall govem all disputes regarclless of the tmderlying theory for relief, whetlier conVactual or otherwise, as they relate to the municipality and its agents, officers, Jurre 16, 2015 and employees. 17. FORCE MAJEURE: Neither Grantor nor Grantee shall be in defauft under this Agreement if iks failure ro perfonn is caused by any of the following events: act of God; fire; flood; severe slorm; power outages; material sliortages or unavailability or other delay in undertaking their responsibilities identified in tUis Agreement that do not resutt from the parties failure to m�intain their prope�Ty or facilities. In order to claim relief under diis Section, the other party must be notified in writing of tl�e existence of the event relied upon and the erpected cessation or termination of that event. For the duration of any valid Force Majeure event as defined by this Section, the 2ffecteA party's performance shall be escused. Ho�vaver, tl�e affected party is stil] required to taka appropriate meaus to minimize or remove the event causing Force Majeure and, wi[hin the shortest possible time, attempt ro reswne perforniance oFthe obligation affected by the event of Force Majeure. 18. GOVEI2NING LAW: This Agreement shall be coustrued attd euforced in accordance with the laws of ihe State of Wisconsin. Venue for any nction regarding this Agreement shall be the Winnebago County, Wisconsin, Circuit Cowt or, if a federal court aetion, then Ihe appropriate district and/or branch within which Wim�ebago County is located. l9. NOT[CES: Grantee sha(( not be required to provide notice prior to esercising any rights pursuant lo the Easement Property and this Agreement, except that Grantee will provide Ihe on-site manager �vitli advance notice of significant work [o be performed within the E�sement Property provided no emergency exisis. Any notices related to a breach of this Agreentent shall be in writing anA delivered via certified m1i1, retum receipt requested, as follows. Changes to tiiese addresses shall be in writing. [n addition to fonnal notification, both parties agree to take reasonable measures to keep the other paity informeA of issues or questions regarding the Easemant Property.
